THIS DEED OF DEDICATION is made this day ofyd�2011, by and between
AT &T CORP., a New York corporation, its successors and assigns ( "Grantor "), and the
COUNTY OF FREDERICK, VIRGINIA, its successors and assigns ( "Grantee ").
WITNESSETH
WHEREAS, Grantor is the owner of the property known as Tax Map No. 43 -A -130 (the
"Property"), by Instrument No. 100010158, located in Stonewall Magisterial District, Frederick
County, Virginia and recorded in the Office of the Clerk of the Circuit Court of Frederick
County, Virginia; and
WHEREAS, it is the desire and intent of Grantor to dedicate for public use that portion of
the Property containing 0.1056 acres and 20' in width more particularly shown as "20' Wide
Strip Containing 0.1056 Acre Hereby Dedicated to Frederick County, Virginia for Future Road
Widening Purposes" on the "Final Plat for Right of Way Dedication of a Portion of the Land of
AT &T Corp." dated February 14, 2011 and prepared by Richard A. Edens, Land Surveyor,
Greenway Engineering, Inc., attached hereto as "Exhibit A" and incorporated herein by reference
as if set.out in full, (hereinafter "Plat "); and

NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of
which is hereby acknowledged, Grantor does hereby grant and convey and Grantee does hereby
accept that portion of the Property, subject to driveway access and all easements of record
including, but not limited to, two (2) twenty -foot (20') fiber optic cable easements, all as
depicted on the attached and incorporated Plat, containing 0.1056 acres and 20' in width and
designated on the Plat as "20' Wide Strip Containing 0.1056 Acre Hereby Dedicated to
Commonwealth of Virginia for Future Road Widening Purposes."
Grantor reserves the right to fully utilize its driveway access. Grantor further reserves the
right to service and maintain, and such other activities as may be required as determined by
Grantor, the two (2) twenty -foot (20') fiber optic cable easement areas described above. These
activities may include, but not be limited to, excavation, grading, the removal of trees, shrubbery,
fences, and structures, and the demolition of all paving, curbing, and/or guttering in the area of
the Property designated on the Plat as "20' Wide Strip Containing 0.1056 Acre Hereby
Dedicated to Commonwealth of Virginia for Future Road Widening Purposes" deemed by it to
interfere with the proper and efficient operation and maintenance of said fiber optic cable
easement areas; provided, however, that Grantor at its own expense shall immediately restore all
trees, shrubbery, fences, structures, paving, curbing, and/or guttering which are disturbed in any
manner.
