N56 W 17000 Ridgewood Drive Menomonee Falls, Wisconsin 50351 Attention: Mark Griepentrog C:) ..... 0 Tax Maps: 64 -A-40P and 64 -A -53 N DEED OF BOUNDARY LINE ADJUSTMENT, EASEMENT AND VACATION OF EASEMENTS THIS DEED OF BOUNDARY LINE ADJUSTMENT, EASEMENT AND r VACATION OF EASEMENTS (this "Deed ") is made as of this SJ- day of August 2010 by and between KOHL'S DEPARTMENT STORES- INC, a Delaware corporation, grantor and grantee ( "Kohl's "), and AIRPORT BUSINESS PARK_ LLC, a Virginia limited liability company, grantor and gFantee{'Airport Business Park") (Kohl's and Airport Business Park are sometimes hereinafter collectively referred to as "Owners "), and FREDERICK COUNTY SANITATION AUTHORITY, a body corporate and politic (hereinafter referred to as "Authority'), grantor and grantee. WITNESSETH: WHEREAS, Owners are the owners of certain real property which property is located in the County of Frederick, Virginia and is more particularly described as Parcel B and Parcel E on the plat prepared by Painter - Lewis, P.L.C., of Winchester, Virginia, titled "BOUNDARY LINE ADJUSTMENT BETWEEN THE PROPERTY AIRPORT BUSINESS PARK, LLC AND KOHL'S DEPARTMENT STORES, INC" dated July 28, 2010 (the "Plat "), attached hereto as Exhibit A and expressly made a part hereof (the "Property"), which Property was conveyed to the Owners pursuant to those certain Deeds referenced on the Plat and that certain Special FIRST AMERICAN TITLE INSURANCE COMPANY 3858 CENTERVIEW DRIVE • SUITE 300 CHANTILLY, VA 20151 44-Zl C) 0 c.� Warranty Deed recorded in the land records of Frederick County, Virginia in Deed Book Z)sr,lL rl -4 I n oon S w i , at Page (the "11 Acre Deed "); WHEREAS, the Owners desire to formalize the platting of the Property; WHEREAS, Kohl's desires to vacate a portion of the existing property line on the Property, and create a new property line as shown on the Plat; WHEREAS, Kohl's desires to grant and convey unto the Authority the easement in the locations as shown on the Plat and as hereinafter provided; and WHEREAS, Authority desires to vacate portions of the easements in the locations as shown on the Plat and as hereinafter provided; and WHEREAS, the Property is not subject to the lien of any deed of trust. Vacation of Boundary Lines and Boundary Line Adiustment NOW THEREFORE, THIS DEED WITNESSETH, in consideration of the premises and the sum of Ten Dollars ($10.00) cash in hand paid by each of the parties hereto to each of the other parties hereto, the receipt and sufficiency of which is hereby mutually acknowledged, and the foregoing Recitals, which are hereby incorporated into this Deed by this reference as if set forth herein in their entirety, the parties agree as follows: The Owners formalize the subdivision of Parcel as per the I IAcre Deed and as reflected on the Plat. In addition, Kohl's hereby vacates the property line as, shown on the Plat as "Ex. Property Line Hereby Vacated", and does hereby create a new consolidated parcel in accordance with the Plat. This Deed is made in accordance with the statutes made and provided in such cases and with the approval of the proper authorities of the County of Frederick, Virginia, as shown by the signature affixed to the Plat attached hereto and incorporated herein. Owners warrants that this 2 O O Deed is made with the free consent and in accordance with the free consent and the desire of the F: Owners, as evidenced by their signatures hereto. Water Easement THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of Ten Dollars ($10.00), cash in hand paid, receipt of which is hereby acknowledged, Kohl's does hereby grant and convey unto the Authority, its successors and assigns, the water easement in the location shown on the Plat as "20' Water Esmt. (Hereby Created)" for the purpose of installing, constructing, operating, maintaining, adding to, repairing, replacing, or altering present or future water mains, and waterlines, including fire hydrants, valves, meters, building service connections, and other appurtenant facilities for the transmission and distribution of water, said easement area being more particularly bounded and described on the Plat. The above - described waterline easement is subject to the following conditions: 1. All water mains, waterlines and appurtenant facilities which are installed in the easement areas shall be and remain the property of the Authority, its successors and assigns, and shall be underground unless the prior written consent of Kohl's is obtained. 2. The Authority and its agents shall have full and free use of said easement area for the purposes named, and shall have all rights and privileges reasonably necessary to the exercise of the rights granted by the easement including the right of access to and from the easement area and the right to use adjoining land where necessary; provided, however, that this right to use adjoining land shall be exercised only during periods of actual construction or maintenance, and then only to the minimum extent necessary for such construction and maintenance, and further, 3 C) 0 this right shall not be construed to allow the Authority to erect any building or structure of a permanent nature on such adjoining land. 3. The Authority shall have the right to trim, cut, and remove trees, shrubbery, fences, structures, or other obstructions or facilities in or near the easement area being conveyed, deemed by it to interfere with the proper and efficient construction, operation, and maintenance of said water mains, waterlines, and appurtenant facilities; provided, however, that the Authority at its own expense shall restore as it deems appropriate for easement use all land or premises which are disturbed in any manner by the installation, construction, operation, and maintenance of said water mains, waterlines and appurtenant facilities. Such restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or pasture areas, and the replacement of structures and other facilities, as appropriate, located without the easement. 4. Kohl's reserves the right to make use of the easement area herein granted which may not be inconsistent with the rights herein conveyed, or interfere with the use of said easement by the Authority for the purposes named; provided, however, that Kohl's shall comply with all applicable county ordinances and regulations prior to placing any building, roadway, other structure or fence within the easement area. Vacations of Authority Easements THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of Ten Dollars ($10.00), cash in hand paid, receipt of which is hereby acknowledged, the Authority, hereby vacates, those portions of the existing water and sewer easements shown on the attached Plat as "Ex. Sewer Esmt. Instr. #020015405 (Hereby Vacated)" and "Ex. 20' Water Esmt. Instr. #020015405 (Hereby Vacated)" and being a portion of the existing water and sewer 4 easements previously dedicated by deed recorded as Instrument No. 020015405 among the land records of Frederick County, Virginia. General Provisions I. All provisions of this Deed, including all benefits and burdens, shall run with the land and will be binding upon and will inure to the benefit of the heirs, assigns, successors and personal representatives of the parties hereto, subject to the provisions hereof. The easements herein granted shall be perpetual, and may not be extinguished by merger or otherwise, unless sooner terminated by a recorded instrument executed by all of the owners of fee simple title interest in and to all of the parcels upon which the easement to be extinguished or terminated is located, and shall be binding on their successors and assigns 2. The Owners covenant that they are seized of and have the right to convey said easements, rights and privileges; that the grantees of the easements shall have quiet peaceable possession, use and enjoyment of the easements, rights and privileges, and that the Owners shall execute such further assurances thereof as may be required. 3. Those certain private easements shown on the attached Plat as "10' Utility Easement (Hereby Created)", "Drainage Esmt. (Hereby Created) ", "10' Drainage Esmt. (Hereby Created) ", "20' Drainage Esmt. (Hereby Created) ", "10' Private San. Sewer Esmt. Hereby Created' and "Temporary Construction Esmt. (Hereby Created)" are being dedicated by separate instrument by and among the parties to which they apply. 4. This Deed is made in accordance with the statutes made and provided in such cases, with the approval of the proper authorities of the Frederick County, Virginia, as shown by the signatures affixed hereto and to the Plat, and is with the free consent and in accordance with the desire of the Owners of the Property as aforesaid.
