Dear Evan:
You have submitted to Frederick County for review the above 'referenced
proposed proffer statement {the "Proffer Statement ') for the proposed rezoning of.Tax
Parcel Numbers 75 -A =2C & 75 -A -2R ( the "Property "), owned by Bowman- Shoemaker
.Companies; Inc::and'Alizarin Crimson, LLC, in the Back Creek Magisterial District,
specifically „for Tax Parcel Number 75 7A -2C 8.98171 acres from, the B3'(Industrial ;
Transition) District to the B2 (Business General) District and 0.4989± acres from the RA'
(Rural Areas) District to the B2 (Business General) - District, all'with proffers, and, for
Tax Parcel Number 75 -A -2R, 0.14± acres from the RA (Rural Are District,to the B3
( Indu Transition) District with proffers for the entire tax parcel I have now
reviewed the Proffer Statement and it is my opinion that the Proffer Statement -would be
in a "form to meet the requirements of the Frederick Cout.ty Ordinance and the
Code of Virginia, and would be legally sufficient.as a proffer statement,'subject to the
following;comment:
For clarity with respect to exactly what is being rezoned grid how, on the` first
page next to "REZONING: ", I would' recommend specifying the acreages at .
issue for each parcel; such as:
REZONING: RZ #
Tax Parc&Number 75 -A -2C: 8.981.7± acres from the B3 '
(Industrial Transition) District to the B2 (Business General)
District, with proffers, and 0.4989± acres from the RA

The reference to the 1.5527± acre portion of 75 -A -2R is to make clear that the :
proffers would apply to the entirety of the parcel; including the portion already
zoned B3, as I believe that may be part of the•inteption of�the proposed rezoning.
Finally, it,may,be helpful.as well to include a map exhibit with the package that.
shows.the properties with the zoning'designations as proposed. .
hhave not reviewed. the substance of the proffers as to'whether the proffers are
suitable and'appropriate for this specific development, as my understanding is thatthai'
review will be done by staff and the Planning Commission.
