The Declarant is the owner in fee simple of that certain tract of land containing 11.7422 acres, more or less, lying and being situate in Back Creek Magisterial District, Frederick County, Virginia, and being a portion of the property acquired by that certain Deed dated December 29, 1994, of record in the Office of the Clerk of the Circuit Court of Frederick County, Virginia in Deed Book 832, at Page 1120, Tax Map No. 62-A-51 (the "Property"). 2. The Declarant has subdivided the Property into New Tax Parcel 62-A-51 D, containing 2.2957 acres (the "Lot"), with a remainder tract containing 9.4465 acres (the "Remainder Tract"), as more particularly set forth on that certain "Final Subdivision Plat of the Land of Stonebrook, L.C." drawn by Richard A. Edens, L.S., dated June 15, 2005, a copy of which is attached hereto and incorporated herein by reference as if set out in full (the "Plat"). Tax Map No. 62-A-51 D. 3. The Plat accurately shows the metes and bounds of the Lot and the Remainder Tract, together with the dimensions thereof, Further, the Plat sets forth the location of existing buildings, building restriction lines, drainage easement, private septic easement and other matters as more particularly set forth thereon. 4. The subdivision of said real estate, as it now appears on the attached Plat, is with the free consent and in accordance with the desires of the undersigned Declarant. 5. The lands more particularly described by the Plat are subject to the lien of that certain Deed of Trust dated October 10, 2003, of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia as Instrument No. 030023537, wherein the lands of the Declarant were conveyed to Sam T. Ashworth, Trustee, to secure that certain indebtedness in the sum of $1,200,000.00, payable to First -Citizens Bank & Trust Company. The Trustee N and the Lender join herein to evidence their consent to the terms of this Deed of Dedication and the subdivision of the Lot and the Remainder Tract as set forth herein. NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH: That for and in consideration of the premises and the benefits which will accrue by reason of this Dedication, the Declarant does hereby subdivide all of that certain tract or parcel of land, containing 11.7422 acres, more or less, lying and being situate in Back Creek Magisterial District, Frederick County, Virginia, into New Tax Parcel 62-A-51D, containing 2.2957 acres, and the Remainder Tract containing 9.4465 acres, as more particularly set forth on the Plat, attached hereto and incorporated herein by reference as if set out in full. The Lot (and only Lot) shall be subject to the following restrictions, covenants and conditions, which shall constitute covenants real running with the land for the benefit of the Remainder Tract, and shall be binding upon all parties having any right, title and interest in and to the aforesaid Lot, or any portion thereof, their heirs, successors and assigns. ARTICLE I DEFINITIONS Section 1. "Lot" shall mean and refer to New Tax Parcel 62-A-5 I D, containing 2.2957 acres, as shown on the Plat. Section 2. "Owner" shall mean and refer to the record owner, whether one or more persons or entities, of fee simple title to the Lot as shown on the Plat, including contract sellers, but excluding those having such interest merely as security for the performance of an obligation. Section 3. "Declarant" shall mean and refer to Stonebrook, L.C., a Virginia Limited Liability Company, its successors and assigns. Michael L. Bryan 9 Court square 2" Floor Wlnebester, VA The Lot shall be subject to the following restrictions, which are constituted covenants real to run with the land: 1. The Lot shall be used for single-family residential purposes only. No business, commercial enterprise or occupation of any kind other than a home occupation shall be carried on, conducted or permitted in or on the Lot. A home occupation is defined to be an occupation carried on by the occupant of a residence or dwelling house as a secondary use in connection with which there is no display or commercial signage, and no one is employed other than members of the family residing the Lot. 2. Not more than one single-family dwelling house shall be erected on the Lot. 3. No signs or advertising of any nature shall be erected or maintained on the Lot except for a temporary "For Sale" sign for said Lot, which sign shall not exceed five (5) square feet in area. No "For Rent" signs shall be allowed or displayed on the Lot. 4. No boats, mobile homes, motor homes, campers, commercial buses, trailers of any type, tractors, trucks or other motor vehicles (other than automobiles, motorcycles, pickup trucks, and 3/4 ton [or less) vans) shall be permitted on the Lot, unless stored in a garage out of public view. No motor vehicle, or material portion thereof, which does not have a current license and current Virginia inspection sticker shall be permitted on the Lot. 5. (a) No animals of any kind (including horses, cows, or other livestock, poultry or birds) shall be permitted on the Lot, except that dogs, cats and other usual household pets may be kept, provided that they are not kept, bred or maintained for commercial or charitable purposes or in unusual numbers. (b) No dogs, cats or other household pets shall be allowed to run at large. 6. No noxious or offensive activities shall be carried on upon the Lot nor shall anything be done thereon which may be, or may become, an annoyance or nuisance to the Declarant, or any of the Declarant's business invitees. 7. In the event that a dwelling or other appurtenant structure situate upon the Lot is destroyed, the owner of the Lot shall, within thirty (30) days from said destruction, shall clear away any debris and the remaining portion of the dwelling, or other appurtenant structure, and maintain the Lot in a neat and orderly condition. 3 8. In the event a dwelling or other appurtenant structure situate upon the Lot is damaged, or has materially deteriorated, the Owner shall immediately repair the damage or deterioration. 9. The Lot shall not be used or maintained as a dumping ground for rubbish. Trash, garbage or other waste shall be in sanitary containers. No refuse or any container for same shall be placed or stored in front of any house except on the date of garbage pickup, unless placed in sanitary containers. 10. No exterior clothes lines, or hanging device, shall be permitted on the Lot, except for an umbrella -type with a diameter not to exceed seven (7) feet; provided, however, that the same may only be used in the rear of any dwelling house constructed on said Lot and the clothes line is stored within a garage, utility building or the equivalent when not in use. 11. (a) The Owner shall keep the Lot and all improvements therein or thereon in good order and repair and free of debris, including, but not limited to, the seeding, watering, and mowing of all lawns, the pruning and cutting of all trees and shrubbery, and the painting (or other appropriate external care) of all buildings and other improvements, all in a manner and with such frequency as is consistent with good property management. (b) The Owner of the Lot shall maintain any wooden fence which may be erected on the Lot in good condition and repair, including, but not limited to, the appearance of said fence as originally constructed, and the repair, construction, reconstruction and maintenance thereof. 12. No dwelling shall be erected on any Lot which shall contain less than the minimum square footage of finished living space as follows: a. Split foyer: 2,400 square feet b. Ranch/single story: 1,800 square feet C. Cape cod/story and half. 2,400 square feet d. Any utility, garage, or other out building erected on the Lot shall be of the same material and construction as the main structure on such Lot. Declarant reserves the right to add to the list of approved materials. 14. Fences and walls shall be constructed of wood, stone or brick, except that gates may be of iron. Declarant reserves the right to add to the list of approved materials for fences and walls. Use of wire or chain link fencing is expressly prohibited upon the Lot. 15. All structures erected upon the Lot shall have brick, stone or stucco on the exposed foundations thereof. In addition, parged block foundations shall be allowed 16. No satellite dish with a diameter greater than 30 inches for the bwmnission or reception of television, radio, or electronic signals, or any other form of electromagnetic radiation shall be erected, used or maintained outdoors on any Lot. 17. No lines, wires, or other devices used for the communication or transmission of electric current or power, including telephone, television or radio signals, shall be erected, placed or maintained in or upon any Lot unless the same shall be contained in conduits or cables installed or maintained underground. 18. (a) No dwelling, structure, addition or exterior alteration shall be constructed upon the Lot, unless the plan of construction, including quality of workmanship, design, colors and materials shall have been approved in writing by the Declarant or its designee(s). Buildings may be of either traditional or contemporary design, but must be situated, designed, constructed and finished so as not to detract from the natural beauty of the surroundings. The Power to determine compliance with this standard shall rest solely in the discretion of the Declarant or its designee(s). (b) No construction of any dwelling, garage, or other outbuilding shall be commenced until the Declarant or its designee(s) has approved in writing the [1] siting or location, [2] design or style, [3] construction materials, and [4] color scheme of the dwelling, garage, utility or other outbuilding. (c) The Declarant or its designee(s) shall not be liable to any person or entity for any exercise or non -exercise of the powers herein accorded. 19. The Lot may not be further subdivided or conveyed except as a whole. This restriction shall not be construed so as to prohibit the conveyance of such minimal amounts of land as may be necessary to resolve boundary adjustments. 21. All of the covenants and restrictions herein shall be binding and remain in full force and effect for a period of thirty (30) years from the date of this instrument is recorded and shall be renewed automatically for additional successive ten (10) year periods, unless the owners of the Lot and the owner of the Remainder Tract shall, at least six (6) months prior to any such renewal date, execute and record an agreement declining to renew the covenants and restrictions set forth herein. 22. The invalidation of any one of the covenants or restrictions contained herein by judgment or Court Order shall in no wise affect any of the other provisions which shall remain in full force and effect. The failure of the Declarant herein to enforce any covenants or restrictions shall not be deemed to be a waiver of the right to do so thereafter as to a default occurring prior or subsequent thereto. 23. The Declarant herein reserves and shall have the right alone to waive any one or more of the restrictive covenants and conditions contained herein as to the Lot owed or transferred by it, except for the restriction contained in the first sentence of Restriction No. 1 pertaining to single family residential use of the Lot, which shall not be waived hereafter by the Declarant as to the Lot. ARTICLE III EASEMENTS Section 1. ]nige Easement; Lot #1 is subject to, and the Declarant (and it successors and assigns) hereby reserves a drainage easement, 20' in width, designated as "20' Easement To Opequon Creek" as set forth on the attached Plat (the "Drainage FAxemene). The Drainage Easement shall include the right (but not the obligation) of the Declarant (and its successors and assigns) to enter upon, maintain, construct, re -construct and grade the Drainage Easement as is necessary for the properly maintenance and drainage of water. 6 C to �C Section 2. A. The Lot is subject to building restriction lines as set forth on the attached Plat. B. The Remainder Tract is subject to that certain private septic discharge easement, designated as 120' Private Septic Discharge Easement Hereby Established to Benefit New Tax Parcel 62-A-51D" on the attached Plat (the "Septic Easement"), for purposes of septic discharge at the "Proposed Discharge Point" into the Opequon Creek in strict conformity with the applicable rules and regulations of the Virginia Department of Environmental Quality, or such other agency or governmental entity having jurisdiction thereof. The Septic Easement shall be an appurtenant and perpetual easement, running with the title to the Remainder Tract for the benefit of the Lot. Section 3. No Access: No access, right of way or easement serving the Lot shall be had over the Remainder Tract or any portion thereof. The sole right of access, easement or right of way to the Lot shall be directly from Greenfield Road (Va. Route 1112) and not over any portion of the Remainder Tract. No right of way, easement or access for purposes of a driveway serving the principal residence or dwelling situate on the Lot shall .exist over the Remainder Tract, or any portion Thereof. The sole right of access or easement for purposes of a driveway serving the principal residence or dwelling situate on the Lot shall be directly from Greenfield Road (Va. Route 1112) and not over any portion of the Remainder Tract whatsoever. ARTICLE IY GENERAL PROVISIONS Section 1. Enforcement; The owner of the Remainder Tract shall have the right to enforce against the Owner of the Lot, by a proceeding at law or in equity, all restrictions, conditions, covenants, and reservations, now or hereafter imposed, by the provisions of this Michael L. Section 2. Sgyerability: Invalidation of any one of these covenants or restrictions by judgment or Court Order shall in no way affect any other provision which shall remain in full force and effect, as described under Article II, Restriction No. 22, above. Section 3. $tea EMWAmendment: The covenants and restrictions of this Declaration shall run with the title to the Lot for the benefit of the Remainder Tract and shall inure to the benefit of and be enforceable by the Owner of the Lot subject to this Declaration and by the owner of the Remainder Tract, their respective legal representatives, heirs, successors and assigns, for a term of thirty (30) years from the date this Declaration is recorded, after which time, said covenants shall be automatically extended for successive periods of ten (10) years, as described under ARTICLE II, Restriction No. 21, above. The covenants and restrictions of this Declaration may be amended during the first thirty (30) year period by an instrument signed by the Owner of the Lot and the owner of the Remainder Tract. Any amendment must be properly recorded among the land records of the Clerk's Office of the Circuit Court of Frederick County, Virginia. Section 4. A. The Dedication and Subdivision of the land as shown on the attached Plat is with the free consent and in accordance with the desire of the undersigned Declarant. B. The County of Frederick, Virginia consents to the subdivision of the Lot as set forth on the Plat, as evidenced by its execution of the attached Plat. C. The Trustee and the Lender join herein to evidence their consent to the terms of this Deed of Dedication and the subdivision of the Lot and the Remainder Tract as set forth herein. STAFF RECOMMENDATION FOR 08/17/05 PLANNING COMMISSION MEETING: This proposed single-family detached rural residential lot of 100,000 square feet, appears to satisfy agency and ordinance requirements. This proposed lot complies with the dimensional requirements of the single-family detached rural residential housing type, in particular, the minimum lot size of 100,000 square feet. Access to the proposed lot will be via Greenfield Drive (Route 1112). This lot type is consistent with the lot sizes within this established neighborhood. This property is located outside the UDA and SWSA as indicated in the 2003 Frederick County Comprehensive Policy Plan. Staff is seeking administrative approval authority; therefore, a recommendation from the Planning Commission to the Board of Supervisors regarding the subdivision request is desired. PLANNING COMMISSION SUMMARY AND ACTION OF THE 8/17/05 MEETING: The Planning Staff reported that the property was developed in 1973, prior to the master development plan (MDP) requirement adopted in 1983. Staff noted that the subdivision appears to satisfy all agency and ordinance requirements and the staff was seeking administrative approval authority with a waiver of the MDP requirements. A Commission member was concerned that storm water pipes, located on Greenfield Road, seemed to be directing discharge towards this lot and that the lot seemed to function as a dry pond. The applicant's representative stated that an additional culvert will be added to redirect the storm water away from the proposed structure on this lot. There were no public comments. By a majority vote, the Planning Commission recommended that the staff be granted administrative approval authority, with a waiver of the MDP requirement, for this subdivision.
