THIS DEED OF SUBDIVISION, DEDIVCATION, VACATION AND EASEMENT
("Deed") is made and dated this A.V" day of igWi'1 2013, by WINCHESTER SOUTH, LLC, a
Maryland limited liability company (hereinafter "Grantor"), of the first part; THE COUNTY OF
FREDERICK, VIRGINIA (hereinafter "Frederick County"), of the second part; FREDERICK
COUNTY SANITATION AUTHORITY (hereinafter "FCSA"), ofthe third part; JULIA ELLEN
LESKO BISHOP (hereinafter "Bishop"), ofthe fourth part; TIMOTHY A. LASCKO, TRUSTEE
and CECELIA A. HODGES, TRUSTEE, trustees under that certain Deed of Trust dated
November 16, 2007 and recorded in the Office of the Clerk of the Circuit Court for Frederick
County, Virginia at Instrument #070017762 (hereinafter "Trustees"), of the fifth part; and
MANUFACTURERS AND TRADERS TRUST COMPANY a New York banking corporation
and successor by merger to Provident Bank of Maryland (hereinafter "Noteholder"), ofthe sixth part.
RECITALS
R1. Grantor is the fee simple owner of that certain parcel and tract of land known as
Lot 3, Eastgate Commerce Center and designated as Frederick County, Virginia, Tax Map Parcel
# 76-A-53K (Lot 3) conveyed to Winchester South, LLC by deeds recorded in the Office of the
Clerk of the Circuit Court for Frederick County, Virginia at Instrument #070017757 and
Instrument #070017758; and
R2. By that certain Deed of Dedication and Vacation dated March 5, 2010 and
recorded in the Office of the Clerk of the Circuit Court for Frederick County, Virginia at
Instrument # 100002974, the Grantor dedicated portions of its property as public right of way and
granted water, sewer, drainage and utility easements as more particularly set forth therein; and
R3. The Grantor now desires to subdivide 4.934 acres of Lot 3 of the Eastgate

Commerce Center designated as Frederick County Tax Map Parcel # 76-A-53K as more
particularly described and set forth on that certain plat prepared by John H. Genther, L.S.,
entitled "Plat Showing Subdivision, Right of Way Dedication and Various Easements Lot 3
Eastgate Commerce Center" dated April 9, 2013, attached to this Deed and incorporated herein
by this reference (hereinafter "Plat"); and
R4. The Grantor desires to dedicate portions of its property as public rights of way,
and for water and sewer easements; and
R5. The FCSA is a Virginia corporation governed by the provisions of the Virginia
Water and Waste Authorities Act (§§15.2-5100, et seq., Code of Virginia, 1950, as amended);
and
R6. The FCSA is the owner of (a) a certain 20 ft. sanitary sewer easement granted by
that certain Deed of Subdivision dated November 16, 2007 and recorded in the Office of the
Clerk of the Circuit Court for Frederick County, Virginia at Instrument 4070017759 and as
shown on Sheet 6 of that certain "Plat Showing Right of Way Dedication and Various
Easements, Lots 2, 3, 4, 5 & 6 Eastgate Commerce Center" prepared by Cory M. Haynes, Land
Surveyor, dated January 14, 2009, and revised May 5, 2009 attached to the Deed of Dedication
and Vacation dated March 5, 2010 and recorded in the Office of the Clerk of the Circuit Court
for Frederick County, Virginia at Instrument #100002974, (b) a certain 25 ft. water and sanitary
sewer easement as shown on Sheet 4 of the aforesaid plat, (c) a certain 20 ft. water easement as
shown on Sheet 4 of the aforesaid plat, (d) a certain water easement as shown on Sheet 4 of the
aforesaid plat, and (e) a certain 20 ft. utility easement as shown on Sheet 4 of the aforesaid plat,
all of which affect portions of the Grantor's property herein described; and
R7. The Grantor has requested the FCSA to vacate certain portions of the easements
described in the foregoing paragraph; and
R8. The FCSA has agreed to the request of the Grantor as described in the
immediately preceding paragraph. The FCSA and the County, by their signatures hereto have
accepted the dedication of the public rights of way and easements described herein; and
R9. Bishop is the owner of that certain tract of land contiguous to the Grantor's
property and designated as Frederick County, Virginia, Tax Map Parcel #87-A-31 (hereinafter
the "Bishop Property") and beneficiary of that certain non-exclusive permanent access easement,
60' in width, granted by the Grantor and more particularly set forth in that certain Deed of
Subdivision dated November 16, 2007 and recorded in the Office of the Clerk of the Circuit
Court for Frederick County, Virginia at Instrument #070017759 (the "Private Easement"); and
R10. The Grantor has requested that Bishop vacate certain portions of the Private
Easement described in the foregoing paragraph; and, by her signature hereto, Bishop has agreed
to the request; and
R11. By Deed of Trust dated November 16, 2007 and recorded in the Office of the
Clerk of the Circuit Court for Frederick County, Virginia at Instrument #070017762, Grantor's
property was conveyed to the Trustees as security for the Noteholder, and it is the desire of the
Trustees and the Noteholder to execute this Deed evidencing their consent hereto and to release
or subordinate the lien of said Deed of Trust as it applies to the easements and rights -of -way
created and dedicated herein.
NOW, THEREFORE, WITNESSETH, that for and in consideration �f the premises and
the benefits which will accrue by reason of this Deed and other good and valuable consideration,
the receipt and sufficiency of which is hereby acknowledged the parties hereto agree as follows:
1. Recitals. The Recitals are incorporated herein and made a material part hereof as
though set forth at length.
2. Subdivision. The Grantor does hereby subdivide Lot 3 of the Eastgate Commerce
Center containing 4.934 acres (Frederick County Tax Map Parcel #76-A-53K) and hereby creates
Lots 3A (containing 2.022 acres) and Lot 3B (containing 2.762 acres) as mor� particularly set
forth on the attached and incorporated Plat.
3. Dedication for Public Street Purposes. The Grantor does hereby grant, bargain,
and convey to the County of Frederick, Virginia, and dedicate for public purposes, that portion of
Grantor's property designated as "0.150 AC HEREBY DEDICATED FOR PUBLIC STREET
PURPOSES" on Sheets 4, 5 and 7 of the attached and incorporated Plat. Said conveyance and
dedication is made with the consent and approval of the appropriate authorities of Frederick

County, Virginia and the Virginia Department of Transportation as evidenced by the signatures
set forth on the attached and incorporated Plat. The dedication of this public right-of-way is with
the free consent and in accordance with the desires of the undersigned Grantor as evidenced by
the signature set forth below.
4. Vacation of Portions of FCSA Easements. The FCSA does hereby vacate,
release, relinquish and quitclaim unto Grantor all of its right, title and interest in and to those
certain rights of easement granted to it in that certain Deed of Subdivision dated November 16,
2007 and recorded in the Office of the Clerk of the Circuit Court for Frederick County, Virginia
at Instrument #070017759 and as shown on Sheet 6 of that certain "Plat Showing Right of Way
Dedication and Various Easements, Lots 2, 3, 4, 5 & 6 Eastgate Commerce Center" prepared by
Cory M. Haynes, Land Surveyor, dated January 14, 2009, and revised May 5, 2009 attached to
the Deed of Dedication and Vacation dated March 5, 2010 and recorded in the Office of the
Clerk of the Circuit Court for Frederick County, Virginia at Instrument #100002974 only to the
extent of the following portions of the FCSA's easements:
4.1. That area designated on Sheets 5 of 8 and 7 of 8 on the attached and incorporated
Plat as "25' WATER & SAN SEW ESMT INST #100002974 (SHADED PORTION) HEREBY
VACATED";
4.2. That area designated on Sheets 5 of 8 and 7 of 8 on the attached and incorporated
Plat as "20' WATER ESMT INST #070017759 (HATCHED PORTION) HEREBY
VACATED";
4.3. That area designated on Sheet 5 of 8 on the attached and incorporated Plat as
"WATER ESMT INST #100002974 (SHADED PORTION) 1 EREBY VACATED";
4.4. That area designated on Sheet 5 of 8 on the attached and incorporated Plat as "20'
SAN SEW ESMT INST #070017759 (HATCHED PORTION) HEREBY VACATED'; and
4.5. That area designated on Sheets 5 of 8 and 7 of 8 on the attached and incorporated
Plat as "20' UTL ESMT INST 4100002974 (HATCHED PORTION) HEREBY VACATED".
5. Vacation of Portions of Bishop Easements. Bishop does hereby vacate, release,
relinquish and quitclaim unto Grantor all of her right, title and interest in and to those certain
rights of easement granted to her in that certain Deed of Subdivision dated November 16, 2007
and recorded in the Office of the Clerk of the Circuit Court for Frederick County, Virginia at
Instrument #070017759 only to the extent of those portions designated on Sheets 5 of 8 and 7 of
8 on the attached and incorporated Plat as "60' ACCESS ESMT INST 9070017759 (HATCHED
PORTION) HEREBY VACATED."
6. Easement Granted to FCSA. Grantor hereby reserves, dedicates, grants and
conveys to the FCSA a permanent, non-exclusive sewage and water easement in that area
designated on Sheets 4 of 8 and 5 of 8 on the attached and incorporated Plat as "25' WATER &
SAN SEW ESMT TO FCSA." Such permanent easement herein conveyed grants to the FCSA,
its successors and assigns, the non-exclusive, perpetual right to construct, install and maintain
water and sewerage facilities (including, but not limited to, sanitary sewer mains or water lines),
including the right to go on, over and upon the said easements for the purpose of installing,
laying, maintaining, repairing and replacing the same as needed. The easement herein granted is
for the use and benefit of the real property owned by the Grantor, its successors and assigns, it
being the intention that the easement runs with the land.
The Grantor, its successors and assigns, shall retain the right to use the land which is
subject to the easement acquired herein in any manner which shall not interfere with the use and
enjoyment of said rights by the FCSA. The Grantor, its successors and assigns, shall at all times
have the right to cross over and upon the said easement and to use the surface over the easement
in such manner as will neither injure nor interfere with the construction, operation or
maintenance of the said water and sewerage facilities, except that no building or other structure
shall be erected over said easement. Whenever the enjoyment of its rights hereunder requires the
FCSA, its successors and assigns, to disturb the surface of the ground, it shall be the obligation of
the FCSA, its successors and assigns, to restore the same to its condition prior to being so
disturbed at the FCSA's (or its successors' or assigns') expense.
7. Reservation of Private Sanitary Sewer Easement. The Grantor hereby reserves
unto itself, its successors and assigns, a permanent, non-exclusive sewage easement in that area
designated on Sheets 5 of 8 and 7 of 8 on the attached and incorporated Plat as "10' PRIVATE
SAN SEW ESMT" on Lot 3B for the benefit of Lot 3A, it being the intention that the Grantor, its

successors and assigns, shall in the future grant and convey a like easement to the FCSA in the
event the same becomes necessary or advisable.
8. Trustee and Noteholder Consents. The Trustees and the Noteholder hereby join
in this instrument in acknowledgment of their consent hereto. The Trustees and the Noteholder
hereby release the lien of the Deed of Trust as to that portion of Grantor's property hereby
dedicated for public street purposes pursuant to Paragraph 3 above and subordinate the lien of the
Deed of Trust with respect to the easements created pursuant to Paragraphs 6 and 7 above.

restrictions, an estimate of all public improvements, all required guaranties for improvements
and all final plats to the Subdivision Administrator. All final plats shall be drawn to a scale
