THIS DEED OF DEDICATION, SUBDIVISION, AND EASEMENT is made

corporation (hereinafter referred to as the "Association"); and the BOARD OF
SUPERVISORS OF FREDERICK COUNTY, VIRGINIA, a body corporate and
politic (hereinafter referred to as the "County").
WITNESSETH:
WHEREAS, the Owner is the owner and proprietor of certain real property (the
"Property") as shown on Plat of Mark D. Smith, L.S., dated January 8, 2003, entitled
"Final Subdivision Plat, Fieldstone Subdivision, Section I" and prepared by Greenway
Engineering of Winchester, Virginia, certified land surveyors (the "Plat") which Plat is
attached hereto and made a part hereof, and
WHEREAS, there are no monetary liens on the Property; and
WHEREAS, the Property is situate in the Red Bud Magisterial District, County
of Frederick, Virginia; Owner having acquired the Property by deed recorded as
Instrument No. 020004815 among the land records of Frederick County, Virginia; and
WHEREAS, it is the desire and intent of Owner to subdivide the Property into
lots and parcels, and to dedicate, grant and convey to the County, its successors and
assigns for public use, the streets and thoroughfares in accordance with this Deed of
Dedication, Subdivision, and Easement and the Plat; and

WHEREAS, it is the desire and intent of Owner to grant and convey unto the
Association the land identified as open space in the location as shown on the Plat and as

WHEREAS, it is the desire and intent of Owner to grant and convey unto the
County the easements in the locations as shown on the Plat and as hereinafter provided.
NOW THEREFORE, in consideration of the premises and the sum of One
Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Owner
does hereby subdivide the Property containing 41.1308 acres, more or less, into lots
and parcels, to be known as Open Space "A" and Open Space "B" , inclusive; and Lots
1 through 63, inclusive, Section I, Fieldstone Subdivision, in accordance with the Plat
which is expressly incorporated herein and made a part of this Deed of Dedication,
Subdivision, and Easement; and
THIS DEED FURTHER WITNESSETH, that, in consideration of the premises
and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, Owner does hereby grant, dedicate, and convey to the County, in fee
simple, the 4.3981 acres for public street purposes as shown on the Plat. This
dedication is made in accordance with the statutes made and provided therefor.
THIS DEED FURTHER WITNESSETH that in consideration of the premises
and the sum. of One Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, Owner does hereby grant, dedicate and convey unto the Association, in

fee simple, Open Space "A" (containing 15.43 acres), and Open Space "B" (containing
7,777 square feet), which Parcels collectively total 15.6144 acres.

THIS DEED FURTHER WITNESSETH that in consideration of the premises
and the sum of one Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, Owner does hereby grant and convey unto the County, its successors
and assigns, the easements as hereafter set forth in the respective locations shown on
the Plat and incorporated herein by reference as follows:
SANITARY SEWER EASEMENT
Easement for the purpose of installing, constructing, operating, maintaining,
repairing, replacing, adding to, or altering present or future sanitary sewer lines,
including manholes, building connection lines and other appurtenant facilities for the
collection of sanitary sewage and its transmission through and across the Property as
shown on the Plat.
The above -described sanitary sewer easement is subject to the following
conditions:
1. All sewer lines and appurtenant facilities which are installed in the easement
shall be and remain the property of the County, its successors and assigns.
2. The County and its agents shall have full and free use of said easement for the
purposes named, and shall have all rights and privileges reasonably necessary to the
exercise of the rights granted in the easement including the right to access to and from the
easement and the right to use adjoining land where necessary; provided, however, that

this right to use adjoining land shall be exercised only during periods of actual
construction or maintenance, and then only to the minimum extent necessary for such

construction and maintenance, and further, this right shall not be construed to allow the
County to erect any building or structure of a permanent nature on such adjoining land.
3. The County shall have the right to trim, cut and remove trees, shrubbery,
fences, structures, or other obstructions or facilities in or near the easement being
conveyed, deemed by it to interfere with the proper and efficient installation,
construction, operation, and maintenance of said sewer lines, and appurtenant facilities;
provided, however, that the County at its own expense shall restore as nearly as
possible, to their original condition, all land or premises which are disturbed in any
manner by the construction, operation, and maintenance of said sanitary sewer lines
and appurtenant facilities. Such restoration shall include the backfilling of trenches,
the replacement of fences and shrubbery, the reseeding or resodding of lawns or
pasture areas within and outside the easement, and the replacement of structures and
other facilities located outside the easement, but shall not include the replacement of
structures, trees and other facilities located within the easement.
4. Owner reserves the right to make use of the easement herein granted which
may not be inconsistent with the rights herein conveyed, or interfere with the use of
said easement by the County for the purposes named; provided, however, the Owner
shall comply with all applicable County ordinances and regulations prior to erecting
any building roadway, other structure, or fence, on the easement.
This easement shall be perpetual and shall run with the land.
This easement shall be binding upon the Owner, its successors and/or assigns
and shall inure to the benefit of the County, its successors and assigns.
This Deed further witnesseth that for and in consideration of the premises and co
the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, the Owner grants and conveys, in fee simple, to the County all
appurtenances and facilities located within the above -described easement.
DRAINAGE EASEMENT
Easements for the purpose of installing, constructing, operating, maintaining,
repairing, replacing, adding to, or altering present or future storm drainage ditches,
lines, or other drainage structures and facilities, plus necessary inlet structures,
manholes, and appurtenances for the collection of storm waters and its transmission
through, across and upon the Property, said easements being more particularly bounded
and described on the Plat.
The above -described drainage easements are subject to the following conditions:
1. All drainage lines and appurtenant facilities which are installed in the
easement shall be and remain the property of the County, its successors and assigns.
2. The County and its agents shall have full and free use of said easement for
the purposes named, and shall have all rights and privileges reasonably necessary to the
exercise of the rights granted in the easement including the right of access to and from
the easement and the right to use adjoining land where necessary; provided, however,

that this right to use adjoining land shall be exercised only during periods of actual
construction or maintenance, and then only to the minimum extent necessary for such
construction and maintenance, and further, this right shall not be construed to allow the c�

WATERLINE EASEMENT
Easement for the purpose of installing, constructing, operating, maintaining,
repairing, replacing, adding to, or altering present or future water mains, including fire
hydrants, valves, meters, building service connection, and other appurtenant facilities for
the transmission and distribution of water through and across the Property, said easement
being more particularly bounded and described on the Plat.
The above -described waterline easement is subject to the following conditions:
1. All water mains, waterlines, and appurtenant facilities which are installed in
the easement shall be and remain the property of the County, its successors and assigns.
2. The County and its agents shall have full and free use of said easement for the
purposes named, and shall have all rights and privileges reasonably necessary to the
exercise of the rights granted in the easement including the right of access to and from
the easement and the right o sue adjoining land where necessary; provided, however that
this right to use adjoining land shall be exercised only during period of actual
construction or maintenance, and then only to the min8ium extent necessary for such

construction an maintenance, and further, this right shall not be construed to allow the

This Deed further witnesseth that for and inconsideration of the premises and the u�
sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledge,
the Owner grants and conveys, in fee simple, to the County all appurtenances and
facilities located within the abobve-descri8bd Sanitary Sewer Easement and Waterline
Easement.
SLOPE MAINTENANCE EASEMENT
Easements for the maintenance and preservation of the slope on the Property as
determined appropriate by the County in the areas as shown on the Plat. Plantings and
shrubbery shall be permitted in said easement areas, but only to the extent that they do
not interfere with the maintenance of the slope, and no structures shall be constructed or
permitted in the easement areas and no activity by the Owner shall be permitted which
changes or alters the slope within the easement area in any way. The slope shall be
maintained by the County at any time it deems necessary. The County shall have the
right of ingress and egress across the property of Owner to maintain said slope and shall
have the right to remove any and all plantings deemed by its to interfere with the
maintenance of the slope.
This easement shall be perpetual and shall run with the land.
This easement shall be binding upon the Owner, its successors and/or assigns and
shall inure to the benefic of the County, its successors and assigns.
TREE PRESERVATION EASEMENT
This Deed further witnesseth, that in consideration of One Dollar ($1.00), cash in CD

and paid, receipt of which is hereby acknowledged, the Owner does hereby grant and 4

convey unto the County, its successors and assigns and the Association, its successors
and assigns, a tree preservation easement in the area shown on the Plat. Within this
easement, no trees, or other foliage providing canopy coverage pursuant to any duly
adopted County ordinance shall be denuded, defaced, or disturbed in any manner, nor
shall this easement area be improved with any building or structure, except for required
utility and storm water management installations. Further, this easement area shall not be
subject to vehicular access other than maintenance vehicles, without the prior written
approval of the County. Both the County and the Association shall have the right to
inspect and maintain any area which lies within this easement, and to remove any
improvements or other items which are constructed or located within this easement in
contravention of the terms stated herein. The association shall be responsible for
maintenance of this easement. The maintenance of this easement shall not be the
responsibility of the County or the Commonwealth.
This Deed further witnesseth that for and in consideration of the premises and
the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, the Owner grants and conveys, in fee simple, to the County all
appurtenances and facilities located within the above -described easement.
This Deed further witnesseth that for and in consideration of the premises and

This Deed of Easement further witnesseth that for and in consideration of the `r

appurtenances and facilities located within the above -described easements.
This Deed of Dedication, Subdivision and Easement is made in accordance with the
statutes made and provided in such cases including Section 15.2-2240 et seq. and
including Section 15.2-2264 et seq. of the Code of Virginia 1950, as amended; with the
approval of the proper authorities of the County of Frederick, Virginia, as shown by
the signatures affixed to the Plat, and is with the free consent and in accordance with
the desire of Owner, the owner and proprietor of the land embraced within the bounds
of said subdivision.
IN WITNESS WHEREOF, the Owner has executed this Deed of Dedication,
Subdivision, and Easement.

THIS DEED OF EASEMENT (the "Deed") is made this day of
12003, by and between LYNNEHAVEN, L.C. , a Virginia limited
liability corporation (hereinafter referred to as "Owner"); and ARCADU
DEVELOPMENT CO., a California corporation, (hereinafter referred to as "Arcadia").
WITNESSETH:
WHEREAS, the Owner is the owner and proprietor of certain real property (the
"Property") as shown on Plat No. 2160A, dated December 12, 2002, entitled "Easement
Plat Showing Permanent Drainage and Temporary Construction & Grading Easements
Across the Land of Lynnehaven, L.C.," and prepared by Greenway Engineering of
Winchester, Virginia, certified land surveyors (the "Plat") which plat is attached hereto
and incorporated herein by reference; and
WHEREAS, the Property is situate in Frederick County, Virginia; Owner having
acquired the Property by deed recorded in Deed Book 843, at Page 415, among the land
records of Frederick County, Virginia; and
WHEREAS, it is the desire and intent of Owner to grant and convey unto Arcadia
the easements in the locations as shown on the Plat and as hereinafter provided; and
NOW THEREFORE WITNESSETH, in consideration of the premises and the
sum of one Dollar ($1.00), cash in hand paid, receipt. of which is hereby acknowledged,
Owner does hereby grant and convey unto Arcadia, its successors and assigns, the

A. STORM DRAINAGE (PERMANENT DRAINAGE) EASEMENT.
Easement for the purpose of installing, constructing, operating, maintaining, repairing,
replacing, adding to, or altering present or future storm drainage ditches, lines, or other
drainage structures and facilities, plus necessary inlet structures, manholes, and
appurtenances for the coliection of storm waters and its transmission through, across and
upon the Property, said easements being more particularly bounded and described on the
Plat.
The above -described storm drainage easement is subject to the following
conditions:
1. - All drainage lines and appurtenant facilities which are installed in the easement
shall be and remain the property of Arcadia, its successors and assigns.
2. Arcadia and its agents shall have full and free use of said easement for the
purposes named, and shall have all rights and privileges reasonably necessary to the
exercise of the rights granted in the easement including the right of access to and from the
easement and the right to use adjoining land where necessary; provided, however, that
this right to use adjoining land shall be exercised only during periods of actual
construction or maintenance, and then only to the minimum extent necessary for such
construction and maintenance, -and further, this right shall not be construed to allow
Arcadia to erect any building or structure of a permanent nature on such adjoining land.
3. Arcadia shall have the right to trim, cut and remove trees, shrubbery, fences,
structures, or other obstructions or facilities in or near the easements being conveyed,

deemed by it to interfere with the proper and efficient construction, operation, and
maintenance of said storm drainage lines, storm drainage facilities, and appurtenant
facilities; provided, however, that Beneficiary at its own expense shall restore as nearly
as possible, to their original condition, all land or premises which are disturbed in any
manner by the installation, construction, operation, and maintenance of said storm
drainage lines and appurtenant facilities. Such restoration shall include the backfilling of
trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or
pasture areas within and outside the easement, and the replacement of structures, and
other facilities located outside the easement, but shall not include the replacement of
structures, trees, and other facilities located within the easement.
4. Owner reserves the right to make use of the easement herein granted which
may not be inconsistent with the rights herein conveyed, or interfere with the use of said
easement by Arcadia for the purposes named.
5. The storm drainage easement area and the stormwater management pond
located on the owner's property within the easement area shall be maintained by the
Lynnehaven Homeowners Association, its successors and assigns.
This easement shall be perpetual and shall run with the land.
This easement shall be binding upon the Owner, its successors and/or assigns and
shall inure to the benefit of Arcadia, its successors and assigns,
This Deed further witnesseth that for and in consideration of the premises and the
sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged,

the Owner grants and conveys in fee simple, to Arcadia all appurtenances and facilities
located within the above -described easements.
B. TEMPORARY CONSTRUCTION EASEMENT. Temporary
easements for the purpose of installing, constructing, operating, maintaining, adding to,
or altering present or future sanitary sewer/water/storm drainage lines, including building
connection lines, plus necessary inlet structures, manholes, and appurtenances; said
easements being more. particularly bounded and described on the Plat. These temporary
easements shall automatically become null and void upon completion of work by Arcadia
and acceptance of the work by the appropriate governmental authorities.
This easement shall run with the land.
This easement shall be binding upon the Owner, its successors, and/or assigns and
shall inure to the benefit of Arcadia, its successors and assigns.
THIS DEED FURTHER WITNESSETH that for and in consideration of the
premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby
acknowledged, the Owner grants and conveys in fee simple to Arcadia all appurtenances
and facilities located within the above -described easement.
C. TEMWORARY GRADING EASEMNT. Temporary grading
easement for the.purpose of the necessary grading through and across the property of
Owner as more particularly bounded and described on the Plat. This temporary grading
easement shall become null and void at such time as construction and grading is
complete.

SUCCESSORS AND ASSMNS BOUND
UNLESS OTHERWISE INDICATED HEREIN, the casements granted herein
shall be perpetual and shall run with the land, and shall be binding upon the Owner, its
successors and/or assigns and shall inure to the benefit of Arcadia, its successors and
assigns.
This Deed is made in accordance with the statutes made and provided in such
cases, and is with the free consent and in accordance with the desire of Owner, the owner
and proprietor of the land embraced within the bounds of said subdivision, as aforesaid.

Dear Mr. Smith:
This letter is to confirm that the final plats for the Fieldstone Section 1 and the Right of Way Dedication for
Channing North, were approved on March 31, 2004. A representative from Arcadia Developers collected
the signed plats for recordation and distribution.
The approval of Section 1 of this subdivision allows for the development of sixty three (63) single family
detached urban residential lots with a minimum lot size of 12,000 square feet. The Right of Way Dedication
plat allows for the continued construction and completion of the section of Charming Drive connecting
Valley Mill Drive to the northern limits of the Channing Drive Master Plan project. Frederick County
currently holds two bonds in the amount of $1,093,833.45 and $486,989.58.00 for the completion of the
improvements associated with Fieldstone Section 1 and Channing Drive North respectively.

Dear Mr. Davenport:
We are in receipt of your letter dated February 2, 2004 rejecting the approval of the Fieldstone Subdivision
Section I plats for not merging BRL's and easement lines. As you are aware, Greenway Engineering
expressed concerns during the Solid Woods Plat recordation process referencing issues Frederick County
will encounter in its enforcement.
As we have discussed, I know of no other County in the state of Virginia that interchanges BRL's and
easements. Again, I recommend you check with other zoning offices in the state to ensure Frederick
County is making an informed decision.
Per your request, we have changed these plats in order that our client will not suffer delays in obtaining
approval of this subdivision. Respectfully again, this letter is in protest of changing the BRL's locations.

prior to obtaining approval for the final plats for Section 1 and the Instrument number
provided when referring to "Existing Channing Drive".
I am returning all copies of the final plats to you to insert the necessary revised plat sheets. One set

Response: In accordance to Frederick County Code Section 165-23 part D, "the front shall be deemed to
be the shortest side with frontage on the street or road..." The shortest tangent is facing and parallels
Rebecca Drive, and the plat reflects this accordingly.

The project consists of the confirmation of a.wetland delineation for the subject tract. The project is called Fieldstone project.

A site inspection has verified that waters and/or wetlands regulated under Section 404 of the Clean Water Act
(33 U.S.C. 1344) exist at the location stated above. The wetland delineation, described by letter, report and plans
submitted by Engineering Consulting Services, Ltd. on April 10, 2002 and revisions dated August 6, 2002, is in
accordance with the methodology described in the 1987 Corps of Engineers Wetland Delineation Manual. This
confirmation is valid for five years from the date of this letter unless new information warrants revision of the delineation
before the expiration date.

Upon review of the subject flood study, we offer the following comments:
1) The HEC-RAS flood study indicates that the increased backwater condition from the
proposed Con -Span bridge shall only occur on property owned by Arcadia Development.
The post -developed cross-section 17+68 which is located approximately at the property
boundary reflects no difference from the one indicated in the pre -developed condition.
2) We recommend that any future plans, plats, deeds, etc. of this proposed property highlight
the post -developed elevations.
Therefore, based on the HEC-RAS 100-year flood study prepared by Greenway Engineering and
sealed by Mark D. Smith, P.E., we recommend approval of the study and its recommendations. The
increase in the backwater condition shall only affect property owned by Arcadia Development.

State's right-of-way. The permit is issued by this office and will require a minimum
processing fee, surety bond coverage, and the salary & expenses of a State assigned Inspector.
