The first annual meeting of the members shall be held within one year from the date of the recordation of this Deed of Dedication, and each subsequent regular annual meeting of the members shall be held on the same day of the same month of each year thereafter, at the hour of 8:00 P.M. If the day for the annual meeting of the member iss-a legal holiday, the meeting will be held at the same hour on the first day following which is not a legal holiday. Section 2. Special Meetings. Special Meetings of the members may be called at any time by the President or by the Board of Directors, or upon written request of one -tenth of the members or a minimum of fifty (50) members, whichever is greater. - -4- Section 3. Proxies. Each member may vote in person or by proxy. All proxies shall be in writing and filed with the Secretary. Every proxy shall be revocable and shall automatically cease after one year. A R T I C L E I V VOTING RIGHTS ;- Each member of the Association shall have one vote for each lot owned in which said member shall hold the interest required for membership in Article II. When more than one person holds such interest in any Lot, all such persons shall be members. The vote for such Lot shall be exercised as they among themselves determine, but in no event shall more than one vote be cast with respect to any Lot. A R T I C L E V BOARD OF DIRECTORS Section 1. Term. The affairs of the Association shall be managed by a Board of not less than three (3), but no more than nine (9) directors, who must be members of the Associa- tion. The initial Board of Directors shall be appointed by the Association and serve until the first annual meeting following conveyance of the first lot in the Properties; thereafter, the Board of Directors shall be elected by the membership as determined in the By -Laws of the Association. A R T I C L E V I PROPERTY RIGHTS IN COMMON PROPERTIES Section 1. Members' Easements of Enjoyment. Every member shall have a right and easement of enjoyment in and to the Common Elements, specifically including but not limited to the rights of ingress and egress across the aforesaid Common Elements and such easement shall be appurtenant to and shall pass with the title to every assessed Lot, subject to the following provisions: (a) The rights of the Association, in accordance with its Articles and By -Laws, to borrow money for the purpose of improving the aforesaid Common Elements and in aid thereof to mortgage said property and the rights of such mortgagee in said properties shall be subordinate to the rights of the homeowners hereunder. (b) The rights of the Association to suspend the voting; -rights and the right to the use of the Common Elements by a member for any period during which any assessment against his Lot remains unpaid; and for a period not to exceed thirty (30) days for any infraction of its published rules and regulations. (c) The rights of the Association to dedicate or transfer all or part of the Common Elements to any public agency, authority, or utility for such purposes and subject to such conditions as may be agreed to by the members. No such dedication or transfer shall be effective un- less an instrument signed by members entitled to cast two-thirds (2/3) of the votes has been recorded; agreeing to such dedication or trans- fer, and unless written notice of the proposed action is sent to every member not less than twenty-five (25) days nor more than fifty (50) days in advance. Section 2. Delegation of Use. Any Member may delegate, in accordance with the By -Laws, his right of enjoyment to the Common Elements to the members of his family, his tenants, or contract purchasers who reside on the property. Section 3. Title to the Common Elements. The Declarant hereby covenants for itself, its heirs and assigns, that it will convey fee simple title to the Common Elements to the Association, prior to the conveyance of the first Lot. In the event of dissolution of the Association, other than incident to a merger on consolidation, the assets of the Association shall be dedicated to an appropriate public agency to be used for purposes similar to those for which the Association was created. No Owner may waive or otherwise escape liability for the assessments provided for herein by non- use of the Common Elements or abandonment of his Lot. Section 9. Subordination of the Lien to Mortgages. The lien of the assessments provided for herein shall be subord- inate to the lien of any mortgage or mortgages now or hereafter encumbering any Lot. Sale or transfer of any Lot shall not affect the assessment lien. However, the sale or transfer of any Lot which is subject to any mortgage or deed of trust, pursuant to a decree of foreclosure thereof, or a valid Trustee sale, shall extinguish the lien of such assessments as to payments thereof which become due prior to such sale or transfer. ARTICLE VI II ARCHITECTURAL CONTROL No building, accessory building, or structure, shed,J awning porch, or porch covering, garage, fence, barns, wall, or other structures shall be allowed, constructed, or altered upon any Lot thereon without the plans and specifications of such having been approved by the Architectural Control Committee as to quality of workmanship, design, colors, and materials and harmony of same to be the project as a whole. We have the following comments: 4ry 1. Number one of your letter appears satisfactory as there is 0.44 miles. 2. There is a discrepancy in the footage. When we added the first section of Green Park Drive, we only added to the intersection of Green Park Court or 0.04 miles. The remaining section of this would be 0.08 miles in lieu of the 0. 2 miles as you show. Also, prior to adding these streets to the Secondary Systern, I have enclosed a copy of the information and data needed for subdivison streets prior to acceptance into the State's Secondary System which are underlined in red. These items must be furnished prior to acceptance into the Secondary System. Also enclosed is a copy of letter dated October 31, 1985 which is self-explanatory which must be completed prior to this request. The total length of these two (2) streets would be 0.52 miles. Therefore, the maintenance fee would be at the rate of $1,200.00 per mile, per year prorated monthly. The bond guaranteeing workmanship and material would be at the rate of $15,000.00 per mile, prorated based on the month in which the Board of Supervisors requests the addition be made. To date we have not received any permits covering the utilities placed within the right -of --way.
