between DAVID B. HOLLIDAY, herein called the Grantor, and M. G. PRELIP
PROPERTIES, L.L.C., a Virginia limited liability company, herein called the
Grantee.
WITNESSETH: That for and in consideration of the sum on One Dollar,
and other good and valuable consideration, the receipt of which is hereby
acknowledged, the Grantor does hereby grant and convey, with General
Warranty and English covenants of title unto the Grantee, in fee simple,
without any irnprovements thereon, the following described real estate:
That certain lot of land in Back Creek District, Frederick
County, Virginia, containing 1.000 acre by survey, designated as
"Lot 6A Commonwealth Business Park" and with metes and
bounds as shown on plat of subdivision of Lot 6 attached hereto,
drawn and dated June 27, 2000 by Douglas C. Legge, L.S.
This is a portion of the property conveyed to David B. Holliday
by deed from Marshall National Bank & Trust Company,
Trustee, dated June 10, 1999, of record in the Clerk's Office of
the Circuit Court of Frederick County, Virginia in Deed Book
950 at, page 704.
Reference is hereby made to the aforesaid instruments and the
references therein contained for more particular descriptions of the property
hereby conveyed.

This is a follow-up to our telephone conversation regarding the addition of Commonwealth
Drive into the State Secondary Road System.
All of the necessary information has been processed, including the Board of Supervisor's
resolution adopted on December 12, 2001. At this time, all that is needed to include this street
into the system on November 1, 2002 is a surety bond in the amount of $3,750.00 (dated from
November 1, 2002 to November 1, 2003) and the maintenance fee of $250.00. If you can supply
these two items no later than October 15, 2002, then the target addition date can be
accomplished.

On May 8, 2002, I visited the referenced development and noticed severe settlement in
the roadway. At a location near the center line between the last connecting entrance
and the cul-de-sac, there is a large depressed area that has appeared within the last
two weeks.
I have corresponded to you recently about the processing of the development for its
inclusion into the Secondary Road System. A July 1, 2002 addition date was targeted.
In light of this new situation of road failure, I am proposing holding off this addition
until this area is corrected.
Please have your contractor examine this area and make the necessary repairs to insure
this failure is permanently corrected. Subgrade exploration by excavation seems the
only likely resolve to this situation. I would also like one of our staff to inspect the
excavated area to determine what corrected actions need to be done.

This letter is to confirm that the final plats for the Commonwealth Business Center Subdivision were
administratively approved on July 22, 1999. The Subdivision Design Plans were approved on the same
date. A total of six (6) lots, all zoned B3 (Industrial Transition), were created by this subdivision.
Primary access to the lots will be via proposed Commonwealth Drive. All utilities serving this
subdivision shall be located underground.
Frederick County currently holds a bond in the amount of $350,000.00 for the completion of the
improvements associated with the Commonwealth Business Center Subdivision. This is primarily for the
completion of Commonwealth Drive. Recorded copies of the final plats have also been received by this
office. Therefore, no further action is required of the developer.

THIS DEED OF DEDICATION, made and dated this 21st day of July,
1999, by and between DAVID B. HOLLIDAY, party of the first part; FIRST
BANK, Strasburg, Virginia, party of the second part; PHILIP E. GROVES,
TRUSTEE, party of the third part; FREDERICK COUNTY, VIRGINIA, party of
the fourth part; FREDERICK COUNTY SANITATION AUTHORITY, party of the
fifth part.
WHEREAS, the party of the first part is the owner in fee simple of the
real estate shown on the attached plats drawn by P. Duane Brown, C.L.S.,
dated July 15, 1999, known as Commonwealth Business Center, which is a
portion of the same real estate conveyed to the party of the first part by deed
dated June 10, 1999 from Marshall National Bank & Trust Co., Trustee, said
deed cif record in the Office of the Clerk of the Circuit Court of Frederick
County, Virginia, in Deed Book 939 at Page 562; and,
WHEREAS, said real estate, as shown on the aforesaid attached plats,
has been subdivided into lots, which plats show the metes and bounds of the
subdivided land, together with the dimensions of each lot thereof and those
certain drainage and utility easements, and easements reserved for installation
and maintenance of water and sewer facilities for said lots.
NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH:
That in consideration of the premises and the benefits which will accrue
by reason of this dedication, the party of the first part does hereby subdivide
that certain tract of land designated as Commonwealth Business Center,
situate in Back Creek Magisterial District, Frederick County, Virginia, and
being more particularly described by the aforesaid plats of P. Duane Brown,
C.L.S., attached hereto and made a part hereof and by this reference
incorporated herein as if set out in full; and does hereby dedicate the streets
and roadways shown thereon to Frederick County for public use, and does
hereby dedicate the water and sanitary sewer easements as shown thereon to
the Frederick County Sanitation Authority. .
RESTRICTIONS AND COVENANTS
All of the lots shown on the plats attached hereto shall be subject to the
restrictions and covenants as more fully set forth in Exhibit A attached hereto
and made a part hereof, which are covenants running with the land, and shall j
be binding upon all parties having any right, title and interest in and to the .
aforesaid lots or any part thereof, their heirs, successors and assigns, and shall
inure to the benefit of each owner thereof.
Invalidation of any one of the covenants or restrictions by judgment or
court order shall in no way affect any other provisions, which shall remain in
full force and effect.
OTHER MATTERS
The property dedicated hereby is subject to those certain easements
designated "Slope & Drainage Easement", "Utility & Drainage Easement",
""Sanitary Sewer Easement", "Drainage Easement", "Signal Loop Easement",
"Water & Sanitary Sewer Easement", on the aforesaid attached plats, as further
set forth in the Deed Book and page references on said plats, of record in the
Clerk's Office of the Circuit Court of Frederick County, Virginia in Deed Book
941 at page 1742, Deed Book 941 at page 1739, and Deed Book 941 at page
1741, and Deed Book 942 at page 885, and such easements are hereby

dedicated to the parties of the fourth and fifth parts as their interests may
appear.
No structures of any kind which substantially impede or obstruct the
flow or ponding of surface drainage water may be placed within said surface
water drainage easements designated on the aforesaid attached plats. Said
surface water drainage easements may not be altered or modified without the
prior consent of the County of Frederick, and David B. Holliday does hereby
grant and convey unto the County of Frederick a perpetual right of way or
easement over the aforesaid designated surface drainage easements for the
purpose of so providing surface drainage. David B. Holliday does further agree
that the County of Frederick shall be under no obligation to maintain said
surface drainage easements.
David B. Holliday reserves unto himself, his successors or assigns, the
right to further subdivide any of the lots shown on the attached plats.
The platting and dedication of the herein described land is made in
accordance with the statutes made and provided in such cases, and is with the
free consent and in accordance with the desire of David B. Holliday, sole owner
and proprietor of the land embraced within the bounds of said subdivision, as
evidenced by the following signature.
Philip E. Groves, Trustee on that certain Deed of Trust of record in the
Clerk's Office of the Circuit Court of Frederick County, Virginia in Deed Book j
939 at page 567, securing a certain obligation of the party of the first part to
First Bank, party of the second part, and at the direction of the party of the
second part as evidenced by its joining in the execution of this instrument,
does hereby consent to the foregoing subdivision and dedications.

Covenants, Conditions and Restrictions
EXHIBIT A
Noxious Emission - No activities giving rise to noise, dust,
smoke, or other nuisances ( defined as those classified as a
public nuisance and enjoinable by a local ordinance).
2. Uses - shall be permitted as allowed by Frederick County B-3
zoning ordinance.
3. Hazardous Wastes - No hazardous waste or substance shall be
deposited, disposed of, or allowed to enter into any storm or
sanitary sewer serving the Center. Moreover, no hazardous
waste or substance, with the exception of cleaners, fumigants,
materials used for the sanitizing in the ordinary course of
business, solvents and petroleum products commonly used in
commercial operations, shall be generated, stored or disposed
of on any part of the Center.
4. Buildings - The "Front" of MAin building ( defined as the longest
wall facing on Commonwealth Blvd.) shall be brick, stone (or
faux stone) decorative or split block, "Drivit" (or a like kind
application) "Stucco" or "Tilt Concrete". Parapets, false wall
extension mansards, or frontal roof extensions may be of wood,
metal, or asphalt shingles.
5. Maintenance Responsibilities - Owners and occupants of any Lot
shall, jointly and severally, have the duty and responsibility, at
their sole cost and expense, to keep that part of the Center so
owned and occupied, including buildings, parking structures,
detention ponds, entrances, grounds, landscaping and all other
improvements in connection therewith, in a well -maintained,
safe, clean and attractive condition at all times. Such
maintenance includes, but is not limited to, mowing of lawns
and, if the Lot is unimproved, weeds must be cut below (12 )
inches; pruning of trees and shrubbery; watering and fertilizing;
keeping lawn and areas, driveways and private roads in good
repair, including irrigation and drainage systems in good repair;
removing snow and ice from walks, driveways and parking
areas; keeping exterior signs and lighting in good repair and
working order; keeping mechanical facilities in working order;
and complying with all governmental, health, police and fire
requirements, statutes and regulations. In addition, streets
affording access to any owner's Lot shall be cleaned by such
Owner whenever construction activity into and out of the Lot
renders such streets in need of cleaning in order to keep their
neat and attractive appearance.

Covenants, Conditions and Restrictions
G. Rubbish and Debris - No rubbish or debris of any kind shall be
kept or allowed to accumulate on any part of the Park, except in
approved waste containers or dumpsters kept in locations
approved by the Board of Review, screened insofar as
practicable from the view of adjacent property and from streets.
7. No rezoning of any lot shall be allowed except by written
permission of grantor, and such approval or denial will be at
grantor's sole and absolute discretion.
R. There shall be no on -street parking and no vehicle shall be
allowed to extend into any street while loading or unloading for
any purpose.
9. Signage - All signage as allowed by Frederick County sign
ordinance.
10. Reservation of Utility Easements - Declarant reserves and retains
an easement twenty feet (20') wide contiguous to each
boundary line of each Lot which now is or hereafter may be
established and wholly within each such Lot, each easement
being for the installation and maintenance of storm or sanitary
sewer lines, water lines, electric lines (underground), telephone
and cable TV lines, gas lines and such other utility lines as may
be desirable. All utility lines including by way of illustration and
not limitation, electric, telephone, cable TV, etc., shall be
underground. Grantor shall have the right to grant and assign the
benefits of any such easement to any electric company, gas
company, telephone company, cable television company, the
governing body of Frederick County or any county, city or town
having jurisdiction over the Business Center and any authority or
public utility of the Commonwealth of Virginia created for the
purpose of installing, operating and maintaining utility lines. it is
provided, however, that the person directing the entry upon any
such easement shall restore the land at such person's expense
to as nearly as practicable the condition existing prior to the
entry, installation or maintenance. Such restoration shall include
the backfilling of trenches, replacement of fences, the resodding
of lawns and the replacement of shrubbery. No conveyance by
an Owner of any portion of its land shall be deemed to be or
construed to be a conveyance or release of the right to create
the easements herein reserved.

Covenants, Conditions and Restrictions
1 1. No unsightly storage of materials, equipment or product
outdoors will be permitted. Outdoor storage of bulk commodities
may be allowed if properly screened and as approved by the
Grantor.
12. No temporary structures may be erected or installed except
those incidental to construction.
1:3. Front and rear and side line "set backs" and percent of area of
land acceptable for building and parking and all lighting and
plantings and screening and all entrances to each parcel of land
shall be approved by Frederick County via site plan approval
process.
14. The Grantor and each Grantee of real estate within the
Commonwealth Business Center shall have the right to enforce
the provisions hereof; and the failure of the Grantor or any
subsequent lot owner to enforce any of the covenants herein at
the time of a breach or violation thereof shall not be deemed to
be a waiver to do so subsequently.
15. Invalidation of any of the provisions contained in these
covenants, or of the application thereof to any person by
judgement or court order shall in no way affect any of the other
provisions hereof or the application thereof to any other
person and the same shall remain in full force and effect.

This is to acknowledge receipt of your revised plans dated June 2, 1999 for the
referenced project. The plans appear satisfactory and are approved. Please advise the
developer accordingly. Please provide eight (8) sets of approved construction
plans with signed seal for VDOT distribution.
I offer the following comments:
• A preconstruction conference be held by the engineer and/or developer with the
attendance of the contractor, various County agencies and VDOT prior to initiation
of work.
• Materials used and method of construction shall apply to current observed VDOT
Road & Bridge Specifications applicable during construction of this development.
• Our review and comments are general in nature. Should conditions in the field exist
such that additional measures are warranted, such measures shall be completed to
the satisfaction of the Department prior to inclusion into the Secondary Road
System.
• Attached is a copy of the minimum requirements and information needed prior to
acceptance of subdivision streets into the Secondary System. This is the
responsibility of the developer.
• All drainage is to be carried within the right-of-way in ditch lines or gutters along the
street to a pipe or drainage easement.
• The contractor shall notify VDOT when work is to begin or cease for any
undetermined length of time. VDOT will also -require 48 hours notice for inspections.

• The appropriate land use permits shall be obtained before any work is performed on
the State's right-of-way. The permit is issued by this office and will require a
minimum processing fee, surety bond coverage, and the salary & expenses of a
State assigned Inspector.
• Any entrances constructed from the referenced street(s) shall meet VDOT minimum
standards. This is the developer's responsibility.
Any signs to be installed will be in accordance with attachments.
• I suggest any utilities and/or storm sewer placed within the proposed right-of-way
be backfilled completely with C.R. Type 21-B Stone. This will greatly reduce the
possibility of any pavement settlement.
• A copy of any/all plats of dedication for drainage easements or additional right-of-
way required for implementation of this proposed project should be provided to
VDOT prior to issuance of any land use permit. Dedication should be made to the
Commonwealth of Virginia.
• A copy of any/all plats of dedication to public use (the County of Frederick) for
drainage easements or additional right-of-way required for implementation of this
proposed project should be provided for VDOT review prior to issuance of any land
use permit.

I have had the opportunity to review the above referenced subdivision plan. The following comments
should be addressed accordingly prior to re -submission of the subdivision plan. In addition, any
changes made to the final master development plan as a result of the MDP approval process should be
reflected in the final subdivision design plan.
1) Please provide the names of owners, zoning, and use of all adjoining properties, and deed book
and page number references for each adjoining parcel.
2) Please provide a table that depicts the area of each lot and parcel, the total area of the
subdivision, and the total area in lots. This should be included in the project summary/area
summary.
3) Please clarify the area of the drainage easement that will presumably encompass the regional
stormwater management facility.
4) As you are aware, the length of cul-de-sacs should not exceed one thousand (1,000) feet.
Please ensure that this requirement, or any waiver of this requirement, is addressed on the final
subdivision plan.
5) Please label the individual setback lines shown on the subdivision plan as they apply to the
proposed lots.

I have attached a copy of the subdivision plans for the Commonwealth Business Center. The site is located on
the 38 acre Cooley Tract, just south of the "Hood" site. We have received a first round of comments from the
review agencies and these are the revised plans. I've also attached copies of the comment letters and our
responses. We will be formally submitting Subdivision and Master Plan applications for this development in
the next couple days. I wanted you to have copies of this information to keep you current with our progress.
While these plans show lot 2 (Carquest) being created as part of the entire subdivision, in all likely hood, lot 2
will probably be platted by adjusting the current property lines. As you know the Cooley Tract consist of two
lots. In order to allow Carquest to move quickly, Marsh and Legge Land Surveyors are preparing a boundary
line adjustment plat, which can be administratively approved, establishing the 9.27 acre lot for Carquest. If
that happens, we will be revising the Commonwealth Business Center Subdivision to show lot 2 as existing.

Upon review of the subject subdivision plan, we offer the following comments:
1. Sheet 3 of 6
The plan indicates that there are existing structures that will need to be removed. It
will be necessary to obtain a demolition permit from the inspections department
prior to removal. If the structures are to be burned, it will be necessary to obtain a
burning permit from the Fire Marshal's office.
2. The plan indicates that there may be contaminated soil on -site. It will be necessary
to provide our office with a letter from a responsible agent certifying that all
contaminated soil has been removed from the site prior to issuance of a land
disturbance permit for Lot 1.
3. It appears that the majority of the stormwater drainage flows to the south of the site
and through the proposed stormwater pond for the Carquest site (Lot 2).
However, stormwater draining through Lot 5 flows to the north of the site. A
stormwater management facility may be required for Lot 5. A more thorough
stormwater analysis shall be performed at the time of the site plan submittal.
4. Place a note on the plan indicating that a wash rack will be required in conjunction
with the construction entrance.
5. It will be necessary to place several rock check dams within the outfall of channel "A" to
reduce the potential for erosion.
6. It is recommended that silt fence be placed along the road to control erosion during

construction.

I believe we have adequately detailed our trip generation estimates. While we understand your concern over
an under -estimation of the traffic volumes on Commonwealth, I believe we have been realistic and a bit
conservative in our trip generation calculations.

We've revised the subdivision plans for the Commonwealth Business Center per your comments of 17 May
1999. I've attached two copies for your approval. The changes include:
1. The existing buildings on site which could be removed have been removed. We have placed a note on
the plans regarding the need to obtain the proper permits prior to demolition of any remaining
structures.
2. A construction entrance with wash rack has been provided.
3. Check dams have been added in ditch "A."
4. Silt fencing has been added along the south side of Commonwealth Blvd.
Concerning the contaminated soil note, the State Department of Environmental Quality has closed any and all
cases on this site. The monitoring well has been closed and capped. It is not in use. If you have any
questions, please feel free to call Jeff Mitchell with Triad Engineering who has handled the corrective action
performed on the site.
We anticipate submittal of the Lot 2 site plan in the next few days. We would appreciate another quick review
of that plan also. Please note the contractor will be requesting a land disturbance permit for Lot 2 prior to site
plan approval.

CHECKLIST
The subdivision design plan shall be drawn at a scale that is acceptable to the Subdivision
Administrator. The subdivision design plan shall include a sheet depicting the full
subdivision submitted. The subdivision design plan shall include the following

Dear Steve:
Upon review of the subject subdivision plan, we offer the following comments:
1. Sheet 3 of 6
The plan indicates that there are existing structures that will need to be removed. It
will be necessary to obtain a demolition permit from the inspections department
prior to removal. If the structures are to be burned, it will be necessary to obtain a
burning permit from the Fire Marshal's office.
2. The plan indicates that there may be contaminated soil on -site. It will be necessary
to provide our office with a letter from a responsible agent certifying that all
contaminated soil has been removed from the site prior to issuance of a land
disturbance permit for Lot 1.
3. It appears that the majority of the stormwater drainage flows to the south of the site
and through the proposed stormwater pond for the Carquest site (Lot 2).
However, stormwater draining through Lot 5 flows to the north of the site. A
stormwater management facility may be required for Lot 5. A more thorough
stormwater analysis shall be performed at the time of the site plan submittal.
4. Place a note on the plan indicating that a wash rack will be required in conjunction
with the construction entrance.
5. It will be necessary to place several rock check dams within the outfall of channel "A' to
reduce the potential for erosion.
6. It is recommended that silt fence be placed along the road to control erosion during

construction.
Once these comments have been addressed, submit two (2) copies of the subdivision plan
for further review. If you have any questions, do not hesitate to contact me.
