Dear Steve:
I have reviewed the above referenced subdivision, submitted to this office on April 8, 1998. The
submitted Final Plat appears to satisfy ordinance requirements, with the exception of the owner and
notary signatures. I trust that you will obtain these signatures prior to submitting the plats for
approval. P
With the Final Plats containing all the necessary information, we are now looking toward satisfying
the proffers, the subdivision application review fee, and the necessary site improvement guarantees.
First, the proffers (see attached copies). It is important to confirm that the monetary proffers have
been paid to date.
1. Rezoning #006-91, approved August 14, 1991. The proffer associated with
rezoning #006-91, item 10 states that $5,000.00 will be paid to the County when the
°UU land is transferred or grading permits are issued for the first four lots, to provide for
expanded fire and rescue emergency services. This should have been applied to the
original 10-acre land division/transfer to Mr. Rainville, and when the grading permits
were issued for Jouan, SpecialMade, and the soon -to -be -developed White Properties.
2. Rezoning #002-97, approved August 13, 1997. The proffers associated with
rezoning #002-97, "Request to Amend Original Proffers" item 3 states that a
. 2> contribution of $5,000.00 will be made to the County at the time of the next grading
i permit to provide for Fire and Rescue Emergency Services. Additionally, the proffer
provides for a contribution of $6,166.23 for Fire and Rescue Emergency Services
under "Monetary Contribution to Offset Impact of Development."

be in receipt of $15,000.00 of the proffered monetary contribution. Similarly, I have contacted the
Public Works Department and advised them against issuing a grading permit for this project until the
proffered monetary contributions are satisfied. I am available to further discuss these proffered
conditions and review any evidence that you may have confirming that the monetary contributions
have been fulfilled.
Second, the subdivision has not been formally submitted to the County for review. Therefore, an
application and review fee of $320.00 should be submitted. This department has not yet received
approval comments from the Fire Marshal or the County Engineer.
Finally, it is required that a guarantee be provided to the County to cover the design and construction
costs of extending Rainville Road to the southern boundary of the property identified as P.I.N. 76-A-
53. Rainville Road shall be built to the extent of the dedicated area as identified on the submitted
plat; approximately 500 feet from Tasker Road. The remaining portion may either be constructed
or bonded.
Once these items have been adequately addressed, this subdivision will be appropriate for approval.

Preliminary Matters
Pursuant to Section 13.1 - 491.1 et. seq., of the code of Virginia, 1950, as
amended, and the provisions of Frederick County Zoning Ordinance with
respect to conditional zoning, the undersigned applicant hereby proffers that in
the event the Board of Supervisors of Frederick County, Virginia, shall approve
Rezoning Application # 001- 98 for the rezoning of 82.1723 acres from the present
Rural Area (RA) Zoning District to the Industrial (M-1) Zoning District.
Development of the subject property shall be done in conformity with the terms
and conditions set forth herein, except to the extent that such terms and
conditions may be subsequently amended or revised by the applicant and such be

Monetary Contribution to Offset Impact of Development
The undersigned, who owns the above described property hereby
voluntarily proffers that if the Board of Supervisors for the County of Frederick,
Virginia approves the rezoning for the 82.1-723 acre tract, lying on the east side of
U.S. Route 522 South along Route 642 in the Shawnee Magisterial District of
Frederick County, Virginia from RA to M-1, the undersigned will pay to
Frederick County for the Stephens City Fire and Rescue Company, 0.02¢ per

paid at the time of building permit application and approval.

Request to Amend Original Proffers
The undersigned request to amend the outstanding proffers of August 14, 1991 adopted

Commerce Center. Voluntarily proffered are the following amended proffers for the East -gate
Commerce Center:
1. Street intersection connections to Tasker Road will be limited to five streets that
create three intersections with Taster Road. These streets are shown on the attached
Master Deve!opment Plan and labeled as Eastgate Drive, Rams Head Road. Arnie!
Circle, Bearcat Circle and Wrights Run Road.
All streets in the Eastgate Commerce Center will be constructed to VDOT standards.
Right turn lane entering Sunrise Drive from southbound Front Royal Pike (US Route

General DeveIooment Plan
The development of the subject property will provide for a street layout connecting with
the relocated VA State Route 642, known as Tasker Road and US Route 522 known i Front Royal Pike as shown on the attached Master Development Plan, Sheet 2 of 2 - Master
Development Plan for Eastgate Commerce Center, dated January 27, 1997.
Voluntarily proffered is the attached Master Development Plan and as shown on the
Master Development Plan for Eastgate Commerce Center the following improvements:
1. A thirty foot (30') wide road efficiency buffer along both sides of Tasker Road
landscaped with a double row of evergreen plants four feet (4') minimum in height will
be installed by the undersigned. The road efficiency buffer may be used for right-of-
way expansion of Tasker Road.
2. A traffic signal at the intersection of Tasker Road and Front Royal Pike (US Route
522) and the exansion of the left turn lane from northbound Front Royal Pike (US
Route 522) west onto Tasker Road will be constructed by the undersigned within nine
(9) months of an official notification by VDOT.
3. Additional right-of-way for the construction of turn lanes and/or travel lanes along
Tasker Road will be provided by the undersigned to VDOTat subdivision stage.
4. A traffic impact study wiII be conducted using• VDOT procedures for each site
development use proposed within the Eastgate Commerce Center at the time of site
plan review. Improvements to Tasker Road will be constructed by the undersigned as
required by VDOT regulations for the predicted traffic impacts based upon the specific
proposed use. Notification of the existence of this proffer shall be provided to each lot
purchaser prior to or at the time of each lot sale.

to rezone 25 acres from RA to B-2, 20 acres from RA to B-3 and 70
acres from RA to M-1 located approximately 1.5 miles north of
Double Tollgate on U.S. 522 South in the Opequon District, and
identified by GPIN 760000A0000530, was referred to the Planning
Commission on August 7, 1991; and
WHEREAS, the Planning Commission held a public hearing_ on this
application on August 7, 1991; and
WHEREAS, the Planning Commission received a draft statement of
conditions proffered prior to the public hearing; and

We, the undersigned, WRIGHTS RUN L.P., sole owner of the land to be
rezoned under zoning request number 00to-4N , referred to as the Eastgate
Commerce Center rezoning, and the applicant for said rezoning, hereby
voluntarily proffer the following conditions. The conditions proffered shall be
binding upon the heirs, executors, administrators, assigns, and successors in
interest of the undersigned. In the event the Frederick County Board of
Supervisors grants said rezoning to B-2, B-3 & M-1 and accepts these conditions,
the following proffered conditions shall apply to the land rezoned in addition to
other requirements set forth in the Frederick County Code:
I. As shown on the attached Generalized Development Plan, access to the
property to be developed will be by two intersections along the proposed Rte. 642
(Point B) and one intersection along U.S. Rte. 522 south. (Point D)
2. Within 60 days after rezoning approval by the Board of Supervisors
the owner will transfer to the Virginia Department of Highways or to the County
of Frederick, the eighty foot (80') fee simple right-of-way together with necessary

commercially zoned frontage with Rte. 642 as shown on the Generalized
Development Plan from Point E to Point F. All B-3 zoned uses will be developed
utilizing this frontage; road. A road efficiency buffer 30' in width between
pavements provided with landscaping and/or seeding for aesthetic purposes

access road intersection (Point B) and/or at the US Route 522 and industrial
access road intersection (Point D). The signal light system will meet all VDOT
requirements. Notification shall be made at the time of any site plan review for
uses within the park. The owner proffers to construct the signal system within
nine (9) months of the date of such notification.
6. The owners proffer that all development on this site will be served by
central sewer and water facilities, which will be brought to the site by the
developer and provided by the Frederick County Sanitation Authority; except,
that individual sewer and water interim onsite facilities may be used for each of
the first three established business, in aggregate totalling no more than 400
employees. Such interim facilities are to be specifically approved by the Health
Department prior to site plan approval.
7. The owners proffer that storm water detention calculations will be
presented with final design which show no adverse impacts created by the
imposition of increased storm water on the existing downstream water course.
Storm water detention structures will be designed to limit post -development
flows to pre -development levels in accordance with state and county regulations.
Also, at the time of site plan approval, suitable analysis of run off quality impacts
will be performed, so as to mitigate a portion of the impact created by industrial
development of the site.
8. The owners proffer to construct a right" turn lane on US Route 522 (Point
D) when the industrial access road is constructed. This access road may be
constructed and placed in operation prior to improvement of US Route 522 by
V.D.O.T. The owner further proffers to construct all road facilities to V.D.O.T.
requirements_ and.fo-r,t-V,9.O.T. approval prior to development.

the proposed use of this property, it is impossible at this time to determine what impacts, if

Sanitation Authority: No comment.
County Engineer: We have no comments at this time. Depending on the future use of this

This proposal would not meet ordinance requirements because there is no master plan and
the property has no road frontage at this time. The understanding of approval, which will be
enforced by the enclosed written agreement, is that the use of the property is restricted until
a master plan is presented and road frontage is provided. This seems like a reasonable thing
to do to assist the owners in getting the utilities extended to the property. Staff will ensure
that the agreement is properly executed and recorded prior to final administrative approval
of this division.
Staff Recommendation for 6/5/96: Considering that the written agreement will preclude any use
of this property until ordinance requirements are met, it seems reasonable to assist the owners by
approving this request.
Summary of 6/5/96 Planning Commission Action: The Planning Commission heard this request
at their regular meeting on June 5, 1996. They were advised by staff that the County Attorney had
recommended against the proposed agreement that had been presented in their agenda. In lieu of
that, a note was placed on the plat stating that "This site cannot be developed unless and until water,
sewer and roads are extended to the lot boundary in accord with Frederick County regulations."
Also, the owner has provided an affidavit stating that he understands that the lot cannot be developed
unless water, sewer and the street are extended to the lot. The Planning Commission unanimously
recommends approval of this subdivision as presented.

Dear Kris:
Please find enclosed the application, fees and plats for approval of the above
referenced subdivision. As detailed in a letter to Bob Watkins from Chuck
Maddox dated April 23, 1996 approval of the plats by June 21, 1996 is requested to
assure utility service extension.
As of this date, we have forwarded comment sheets to VDOT, FCSA, Public
Works, Planning, Inspections and the Fire Marshal's office for approval. We are
also attaching a "draft" agreement for controlling use of the property, pursuant to
Chuck's conversation with you last week. Should you require any additional
information for your review and approval, please contact me immediately.

Dear Bob:
The owners of Eastgate Commerce Center (Wrights Run Limited Partnership)
are financing the extension of water and sewer utilities to the Center to be
logically installed simultaneous with construction of Route 642.
Security for the loan involves the transfer of a 10 acre parcel of M-1 zoned land as
shown by the attached plat. The understanding of approval is that use of the
property is to be restricted until road frontage is provided, hopefully by industrial
access funding. The contract owner is planning for a 100,000 s.f. industrial
building at some time in the future, not this year.
The approval of this plat within 60 days of this letter will guarantee utility
services are extended to this important economic development project on the
U.S. Route 522 south corridor.
We are formally filing this subdivision and would appreciate any
recommendation you may have as to procedures and schedules.

Dear Steve:
After looking over the draft agreement proposed as part of the Wright's Run L.P. subdivision request, there are
some points that I believe need to be addressed. First, prior to final administrative approval of the subdivision,
a bond for the road construction should be provided.
As for the test of the proposed agreement, the first paragraph states that the applicant/owner agrees that the
parcel will not be used for "industrial use" until a roadway is constructed or funding is secured It needs to be
made clear within the agreement that there will be no use of the propertyy by this or any subsequent owner prior
to the completion of a VDOT approved road The County will not issue any building permits for the parcel until
it is either served by a road, or a road design has been reviewed and approved by the appropriate agencies and
bonded.
The second paragraph should be removed Use and/or occupancy of the property will be subject to all the normal
requirements of any industrially zoned property.
The third paragraph needs to be reworded In accordance with the Frederick County Zoning Ordinance, a Master
Development Plan is required for this property. As currently worded, the proffers in effect for this parcel do not
appear to permit the design that is suggested for the site. Therefore, a revision of the proffers will be necessary.
Basically, the County is willing to permit the division of the land at this time with the clear understanding that
revision to the proffers and zoning district boundaries, approval of a Master Development Plan and construction
of an access road will all need to be completed prior to any approved use of the ten -acre parcel.
