This letter is to verify action taken by the Frederick County
Planning Commission at their meeting of July 18, 1990.
Winchester -Frederick County Industrial Corp. Subdivision was
approved for lot line adjustments for parcels D and E. These
parcels, consisting of 20.001 acres and 20.837 acres, are located
south of Route 37 and east of Route 651 in the Back Creek
Magisterial District.

reserving a right-of-way extending east to the railroad tracks
to allow for possible future direct connection to Route 11,
near interchange.
Sanitation Authority: This area is served by the City of
Winchester.
Inspections Department: Use group shall be determined at the
time of plans review. Building shall comply with the proper
use group of the BOCA National Building Code, 1987.
Parks & Recreation Department: Development appears to meet
open space and recreational requirements.
Fire Marshall: Division of two 20+ acre lots should not
change fire protection, subject to site plan for future
construction.
Planning and Zoning: The proposed subdivision meets the M-1

In connection with Frederick County's approval of a
subdivision plat for the Winchester -Frederick County Industrial
Development Corporation, the Farmers and Merchants National Bank
issues to the County of Frederick this irrevocable letter of
credit, under the following conditions. If the County certifies
in writing to the issuer that the Winchester -Frederick County
Industrial Development Corporation has failed to complete in a
workmanlike manner all public utility facilities including, but
not limited to: Construct an Industrial Access Road, as required
by the Subdivision Ordinance, Chapter 18 of the Frederick County
Code (2/13/74) as amended, and according to the approved
subdivision plat entitled Winchester -Frederick County Industrial
Development Corporation and dated February 28, 1990, after the
County's written notice to the Winchester -Frederick County
Industrial Development Corporation of the Winchester -Frederick
County Industrial Development Corporation's failure, Farmers and
Merchants National Bank shall honor the County's sight drafts,
accompanied by the ceritficate and shall pay the County the sum of
$25,000.00 stated by the County as necessary to so complete the
facilities.
This letter of credit shall extend until May 1, 1991 or until
such earlier date as the County issues to the Winchester -Frederick
County Industrial Development Corporation a letter accepting as
complete the said improvements.
This letter of credit shall be binding on the successors and
assigns of the Bank and the Winchester -Frederick County Industrial
Development Corporation.

Development Corporation
In connection with Frederick County's approval of a
subdivision plat for the Winchester -Frederick County Industrial
Development Corporation, the Farmers and Merchants National Bank
issues to the County of Frederick this irrevocable letter of
credit, under the following conditions. If the County certifies
in writing to the issuer that the Winchester -Frederick County
Industrial Development Corporation has failed to complete in a
workmanlike manner all public utility facilities including, but
not limited to: Construct an Industrial Access Road, as required
by the Subdivision Ordinance, Chapter 18 of the Frederick County
Code (2/13/74) as amended, and according to the approved
subdivision plat entitled Winchester -Frederick County Industrial
Development Corporation and dated February 28, 1990, after the
County's written notice to the Winchester -Frederick County
Industrial Development Corporation of the Winchester -Frederick
County Industrial Development Corporation's failure, Farmers and
Merchants National Bank shall honor the County's sight drafts,
accompanied by the ceritficate and shall pay the County the sum of
$25,000.00 stated by the County as necessary to so complete the
facilities.
This letter of credit shall extend until May 1, 1991 or until
such earlier date as the County issues to the Winchester -Frederick
County Industrial Development Corporation a letter accepting as
complete the said improvements.
This letter of credit shall be binding on the successors and
assigns of the Bank and the Winchester -Frederick County Industrial
Development Corporation.

Re: Restrictive Covenants - IDC land south of Route 37
(1) All operations in the area must conform with the
Winchester and Frederick County ordinance.
(2) All building plans must have final approval of the
Winchester -Frederick County Industrial Development Corporation,
provided the same be in existence, including layout, exterior
architectural design and description, and landscaping.
(3) Land Coverage. No structure or structures may cover
more than 50 per cent of the gross aggregate land area of the
individual lot.
(4) Building Setbacks. Front buildings and storage areas
shall be set back from the right-of-way line of the main access
road through the Winchester Industrial Park, and street and roads
on which there is frontage, and set back from all other lines in
accordance with the zoning ordinances adopted by the County of
Frederick, Virginia, as amended.
(5) Parking. At least one parking space 9 x 19 with
sufficient manuevering space, shall be provided for each employee.
Parking shall be allowed within the front setback area directly in
front of the main structure. Front setback areas to the side of the
main structure may be utilized for passenger car parking, but no
nearer than 25'-0 from the right-of-way line of any street or road
or 50'-0 from a Residential District or areas within other Districts
which are predominantly Residential in nature.

(€i) Loading and. Unloading, Truck Parking and Storage.
Loading and unloading facilities shall be provided only at the
side or rear of any structure.
No truck parking shall be allowed in front of setback area
within 40'-0 of the street or road on which any building faces or
within 25'-0 of any other street or road. No off-street parking or
loading area shall be within 25'-0 of any right-of-way line of any
highways, roads or streets. No parking or loading area shall be less
than 50'-0 from a Residential District or areas within other Districts
which are predominantly Residential in nature and 25'-0 from all
other Districts, provided, that all setback areas comply with the
zoning ordinances of the County of Frederick, Virginia, as amended.
(7) Uniform Sign Standards. All signs must be approved by
the Winchester -Frederick County Industrial Development Corporation.
(8) The setback areas shall be maintained in a neat manner
consistent with the purpose of an industrial park.
(9) There shall be no subdivision of this land without the
written consent of the Winchester -Frederick County Industrial
Development Corporation, and the approval of the Planning
Commission and the Board of Supervisors of the County of Frederick,
Virignia.
(10) Failure to comply with the uses hereinbefore set forth
will result in the removal of structures from the said property
at the expense of the purchaser.
(11) No parcel purchased by a person, firm, partnership or
corporation shall be resold without the prior written approval by
the Industrial Development Corporation, which approval shall not
be unreasonably withheld by the Corporation.
