WHEREAS, Wakeman and DANAC are adjacent land owners and land developers, near Kernstown in Frederick County, .Virginia; and, WHEREAS, Wakeman and Lakeside Water and Sewer Company entered into a Contract and Tariff Agreement dated June 28, 1971, which was recorded in the Clerk's Office of the Circuit Court of Frederick County, Virginia, -in Deed Book 402 at Page 216, agreeing to supply water and sewer to Wakeman's land containing about 400 acres; and, WHEREAS, Wakeman contends that the said Contract and Tariff Agreement benefits his said 400 acres and binds.,the assigns and successors in title to S. Herbert Shackelford and wife from whom DANAC, through Trustees under certain deeds of trust, acquired the lands of Shackelford and wife and of his successor corporations, including Lakeside Water and Sewer Company; and, WHEREAS, Wakeman conveyed 14.25 acres to Lakeside Water and Sewer Company for the location of a sewage treatment plant; and, WHEREAS, DANAC denies that it is bound by said Contract and Tariff Agreement; and, WHEREAS, DANAC plans to convey all of its assets relating to and being a part of the Lakeside Water and Sewer Company to Virginia Lakeside Water and Sewer Company with Virg i J 519 vl MOK 473 PACE 519 Lakeside assuming the liability for the performance of DANAC'S agreements contained herein in as so far as appropriate to Virginia Lakeside upon: .1. Approval of DANAC'S Affiliates' Petition, which Provides for payment to DANAC for said assets by Virginia Lakeside Water and Sewer Company, and 2. Approval of Virginia Lakeside's application for a Certificate of Public Convenience and Necessity, both currently pending before the State Corporation Commission; and, WHEREAS, Wakeman has filed objections with the State Corporation Commission to the issuance of said Certificate and has also filed a suit in the Circuit Court of Frederick County, Virginia, against DANAC and Virginia Lakeside Water and Sewer Company and others for the construction of said Contract and Tariff Agreement and other relief; and, WHEREAS, Wakeman, DANAC and Virginia Lakeside have agreed to a settlement of their differences upon the following terms, covenants and conditions: DIVISION OF EXISTING TAPS. 1. That there are 135 taps for water and sewer remaining unused and unconnected of the total•300 taps approved by the State Health Department for the facility now known as Virginia Lakeside Water and Sewer Company sewage treatment system, and therefore they are hereby divided as follows; A. Sixty-eight (68) taps to DANAC. B. Sixty-seven (67) taps to Wakeman. INCREASE OF TERRITORY. a 2.. A. That the land on.which the remaining taps are located, lying outside the currently proposed area, will be -2- v. 520. included in a Petition for Amendment to the currently requested territory of 'Virginia'Lakeside, which will be filed by Virginia Lakeside, within fifteen (15) days after the issuance of the Certificate of Public Convenience and Necessity and the allocation of territory to be served, if not so included, by the State Corporation Commission. B. The Wakeman land which Virginia Lakeside will task the State Corporation Commission to annex to the area jallocated by the Certificate will be as shown in red ink on the attached map. CONVEYANCE or TAPS AND LINES IN EXISTING SYSTEM AND EASEMENTS. 3. Wakeman will, within fifteen (15) days after the State Corporation Commission's approval of Virginia Lakeside's currently pending application for a Certificate of Public Convenience and Necessity, dedicate to Virginia Lakeside the water and sewer lines currently connected and located within the allocated territory, mains, fireplugs and appurtenances, together with a duly executed deed of easement, copy attached and by reference made a part hereof, providing for a construction easement of twenty (20) feet and a permanent easement of ten (10) feet, - for the existing 'and any proposed water and sewer lines on Wakeman's property to be served by Virginia Lakeside. - INCREASE IN TAPS. 4. A. Wakeman will share equally with DANAC any increase in authorized water and sewer taps which occur by re-evaluation of the Virginia Lakeside Water and Sewer Systems or upon DANAC'S or Virginia Lakeside's expenditure of not more than S15,000.00 for improvement or expansion of the central plants. B. DANAC, as an affiliate of Virginia Lakeside, -3- • �J E 1 521 4!3 f'Ai.f 5:1 as well as Virginia Lakeside, shall have the option of increasing the size of Virginia Lakeside's water and sewer systems.and determining the amount of money to be spent for capital improve- ments to enlarge said systems. C. Wakeman shall have the right to contribute up to one-half (1/2) of any amounts which DANAC or Virginia Lake- side decides to spend for improvement or enlargement of the systems upon thirty (30) days written notice to Wakeman specifying ,and itemizing all improvements and the estimated cost thereof and the expected number of increased taps. Said contributions shall be made at the same time DANAC or Virginia Lakeside makes any payment for said improvement or enlargement. If there is a cost overrun of more than 30$, Wakeman shall have the option of deciding whether to contribute 50% to that overrun and 4. continue to share equally in the increased.number of taps; :f he does not contribute he will receive the proportionate number of taps as his total contribution bears to the total cost, including the increased cost. D. If DANAC or Virginia Lakeside contribute all of the capital funds for enlargement of the systems which in- crease the authorized number of taps, DANAC will receive the first twenty-seven (27) new taps and the balance will be shared equally by DANAC and Wakeman. E. If Wakeman contributes 50% of the costs of said capital for enlargement of the systems, then the increased authorized taps shall be shared equally.- F. Upon payment of the required hook up fee as provided by the State Corporation Commission Virginia Lakeside will allow the connection to its systems of water and sewer lines already constructed by Wakeman in his development, but un- connected to any water and sewer system, as shown on the attached plat, upon approval by the State Corporation Commission of Virginia Lakeside's petition for expanded service area, and within thirty (30) days after the said water and sewer lines have been noted as unobjectionable for inclusion in the Virginia Lakeside system by the State Health Department. All parties recognize that Virginia Lakeside will have to previously approve this construction and this approval will not be unreasonably withheld. If Virginia Lakeside is required to rebuild the water and sewer lines because of any deficiency in construction by Wakeman at any time within thirty (30) years Wakeman will_ pay any such costs less 3.3% per year depreciation•; up to the amount credited him for such lines. Virginia Lakeside will credit Wakeman with the construction cost (agreed to exceed $309000.00) of the unconnegted water and sewer lines on said plat to be applied against the tap fees on said lines as fixed by the State Corporation Commission in its Certificate of Public Convenience and Necessity, Rates, Rules and Regulations but Virginia Lakeside will not owe any sums beyond these credits. C. Both parties agree that when the State Health Department notes the existing Wakeman system as unobjectionable as part of a central water and sewer system, Virginia - Lakeside will accept the system as noted and Wakeman will then deed i MK 4 73 -Puf 523 said water and sewer lines, mains, fireplugs and appurtenances to Virginia Lakeside and also give a deed of easement as in Paragraph 3 above to Virginia Lakeside for said constructed lines, mains, fireplugs and appurtenances before they are connected to its water and sewer systems. WAKEMAN'S SEPARATE AGREEMENTS. 6. A. 'Wakeman will develop his land and sell his lots in an orderly manner starting with his land and proposed lot development closest to the lots already being served and continuing in that manner. B. Wakeman, within two (2) days after the execution of this agreement, will notify the State Corporation Commission of his withdrawal of all opposition to the petition of Virginia Lakeside currently pending before it. C. Wakeman agrees to stay all pending legal proceedings against DANAC and Virginia Lakeside upon their execution of this Contract and during the pendency of Virginia Lakeside's current petition and its promised Amended Petition before the State Corporation Commission which they agree to prosecute diligently. Upon final favorable action by the State Corporation Commission, Wakeman will dismiss said legal proceedings and release all claims against DANAC and Virginia Lakeside under said Contract and Tariff Agreement. Wakeman hereby agrees that all the terms of this Agreement made by them shall be binding upon their heirs, assigns and personal representatives and successors in title and shall be covenants real running with their present development known as Wakeman Manor. 7. To facilitate locating of water and sewer service lines it is recommended they be referenced with a distance to a property corner. Owner may want to give consideration to marking service lines to further facilitate locating in the future. 2. Sheet 5 - Sewer line between manholes B & C should show wyes for sewer service lines to keep from having to tap lines in the future. 3. Sheet 5 - There is a discrepancy between the profile drawing and the written inverts between manholes D. E & F. 4. Sheet 5 - Owner may want to give consideration to encasing pipe under stream channel between manholes E and F. 5. Sheet 5 - Manhole F may require a drop connection depending upon the depth of the existing sewer line. 6. Sheet 6 - Two water line bends are not designated as to degree of bend on Carol Court. 7. Sheet 6 - Drop Manhole Connection will be necessary at manhole J. unless grade of pipe between manholes I & J is changed to decrease vertical distance between pipe inverts in manhole J. 8. Sheet 7 - Drop connection at manhole Q is necessary. 9. Sheet 8 - Same comment as 2 above applies to lines between manholes O & T and K & P. 10. Sheet 8 - rDrop connection is required at manhole P. 11. Sheet 8 - Concrete encasement of sewer line should be considered where sewer line crosses under stream near existing manhole on Lakeside Trunk Line. 12. Sheet 8 - Drop connection or other modification may be required at,,, the manhole on the Lakeside Trunk Line depending upon the invert in the manhole. 13. It appears that several lots will not be sewered at basement level without special provisions being made when buildings are constructed. This comment is made based upon an attempt to correlate the construction plans with the Preliminary Plat which shows topography for the area. Ronald Berg Deputy Subdivision Administrator Frederick County Department of Planning and Development 9 Court Square Winchester, Virginia 22601 Dear Mr. Berg: We have briefly reviewed the two preliminary and/or master plans for subdivisions which were referred to this office by you and the Winchester -Frederick County Health Department. Our comments are as follows: 1. Surry Square: Since this apartment development will involve a total flow contribution of 67,200 gallons per day, or 168 apartment units at 400 gallons per day per unit, detailed plans of the sewage collection system must be submitted to this office for review. The Winchester sewage treatment plant is presently extremely overloaded; therefore, final approval of plans and specifications by the State Water Control Board may be questionable. Although this Department is responsible for the initial technical review of plans and specifications, final approval is a matter for the State Water Control Board. 2. Wakeland Estates: Attached to this letter you will find a copy of our letter to Dr, William Hatfield, Director of the Frederick County Health Department, in which we pointed out that the recent submittal of plans for a townhouse development of 36 units has virtually depleted the Lakeside Estates sewage treat- ment plant capacity. In addition, the construction of the Lakeside Estates sewage treatment plant has not been completed on schedule as was promised by Mr. Herbert Shackelford, owner of the system; therefore, tir. H. Ronald Berg 2 0 August 14, 1973 we can not approve of any additional connections to this sewage treatment plant. We have also at- tached a copy of our letter to Mr. Herbert Shackel- ford concerning the Lakeside Estates water system. You will note from this letter that this system is presently using two unapproved sources of water; therefore, we certainly feel that it would be in- appropriate to consider extensions of the water system until the present system is brought to con- form with the public water supply permit under which the system is operated. We appreciate your bringing these matters to our attention. If you should have any questions, or if we can be of any further service, please do not hesitate to call upon us.
