DEED OF DEDICATION
and
DECLARATION OF COVENANTS, CONDITIONS AND RESTRICTIONS
of
VALLEY MILL ESTATES
SECTIONS I and II
THIS DEED OF DEDICATION, made and dated this day of
March, 1997, by and between THE CAMERON GROUP, a Virginia general
partnership, party of the first part, and FREDERICK COUNTY, VIRGINIA, party
of, the second part.
WHEREAS, the party of the first part is the owner in fee simple of the
real estate shown on the attached plats drawn by P. Duane Brown, L.S., dated
August 12, 1996 and August 13, 1996, known as Valley Mill Estates, Section I
and Section II respectively; and,
WHEREAS, said real estate, as shown on the aforesaid attached plats, has
been subdivided into lots, which plats show the metes and bounds of the
subdivided land, together with the dimensions of each lot thereof and those
certain drainage and open space easements, and easements reserved for
installation and maintenance of water and sewer facilities for said lots.
NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH.
That for and in consideration of the premises and the benefits which
will accrue by reason of this dedication, the party of the first part does
hereby subdivide, grant and dedicate in fee simple that certain tract or parcel
of land designated as VALLEY MILL ESTATES, Sections I and II, situate in
Stonewall Magisterial District, Frederick County, Virginia, more particularly
described by the said plats of P. Duane Brown, C.L.S., attached hereto and
made a part of this instrument.
The party of the first part does further dedicate all of the streets in
Sections I and II, to Frederick County, Virginia, for public use, which streets
are more particularly described by the final plats of the subdivision.
A R T I C L E I
RESTRICTIONS AND COVENANTS
All of the lots shown on the plats attached hereto shall be subject to
the following restrictions and covenants which are covenants running with the
land, and shall be binding upon all parties having any right, title and interest
in and to the aforesaid lots or any part thereof, their heirs, successors and
assigns, and shall inure to the benefit of each owner thereof.
1. The lots shall be used exclusively for residential purposes. No
business or occupation of any kind other than a "home occupation" shall be
carried on or permitted upon these lots. A "home occupation" is defined to be
an occupation carried on by the occupant of a dwelling as a secondary use in
connection with which there is no display, and no one is employed other than
members of the family residing on the premises. No building shall be erected,
altered, placed or permitted to remain on any lot other than one single-family
detached dwelling, garage and other approved structures for use solely by
the occupants. Except for those related to real estate sales and construction,
no sign, advertisement or message other than for identification purposes only
shall be displayed or published which offers or implies commercial or
professional services, or which may constitute any other kind of business
solicitation in or from any residence or residential property. No buildings,
structures, or signs of any type may be placed or erected on any portion of

the open space easements as shown on the attached plats. Notwithstanding
the foregoing, The Cameron Group or its successors in interest may, for a
period not to exceed two years from the date of this instrument, erect,
maintain and operate real estate sales and construction offices, model homes,
displays, signs and special lighting on any part of the property and on or in
any building or structure now or hereafter erected thereon while owned by
The Cameron Group or its successors in interest.
2. No clothing, laundry, or wash shall be aired or dried at any time on
any portion of the lots in any area other than in the rear yard of the lots,
and must not be visible from the street.
3. No noxious or offensive activity shall be carried on upon any lot,
nor shall anything be done or placed thereon which may become an annoyance
or nuisance to the neighborhood. Owners shall at all times maintain their
property and all appurtenance thereto in good repair and in a state of neat
appearance. All lawn areas shall be kept mowed and shall not be permitted to
grow beyond a reasonable height.
4. No sign of any kind that is illuminated and/or larger than two
square feet shall be displayed to the public view on any lot, except temporary
real estate signs not more than four square feet in area advertising the
property for sale or rent, and except as provided elsewhere herein.
5. No animals shall be kept or maintained on any lot except common
household pets such as dogs and cats, provided that they are not kept, bred
or maintained for commercial purposes and do not create a nuisance or
annoyance to surrounding lots nor the neighborhood and are in strict
compliance with applicable Frederick County ordinances.
6. Trash and garbage containers shall not be permitted to remain in
public view except on days of trash collection. No accumulation or storage of
litter, new or used building materials, or trash of any kind shall be permitted
on any lot. All trash must be kept in containers with lids and having a
capacity of not more than 50 gallons; no burning of trash shall be allowed.
7. The exteriors of all structures, including walls, doors, windows and
roofs, shall be kept in good maintenance and repair. No structure shall be
permitted to stand with its exterior in an unfinished condition for longer than
six months after the commencements of construction. In the event of fire,
windstorm or other damage, the exterior of no structure shall be permitted to
remain in a damaged condition for longer than three months.
8. All building plans for dwellings, accessory buildings, fences, and
their respective locations on the lot must be approved in writing by the
Architectural Control Committee prior to the beginning of construction. Said
committee shall consist of The Cameron Group or persons designated in writing
by The Cameron Group; all such designees shall be lot owners in Valley Mill
Estates.
Residences shall have a total finished living space, exclusive of
open porches, carports, garages and basements, of not less than 1800 square
feet for a one-story dwelling; 1100 square feet on the first floor for a two
story (or more) dwelling, with a minimum total square footage of 2100 square
feet; 1800 square feet exclusive of basement level and lower levels in a split
level dwelling; and 1800 square feet on the main floor of a split foyer
dwelling.
9. Driveways from the street to the residence must be paved with tar -
and -chip, asphalt, or concrete; off-street parking measuring at least 12 feet
by 35 feet must be provided on each improved lot.
10. No mobile homes or double -wide structures may be placed on any
lot.

11. No lot shall be used for the parking of trucks of a load capacity of
more than one ton, or tractor trailers, and no such trucks or tractor trailers
shall be parked on streets on a lot in the subdivision. No abandoned cars
(i.e., those without current valid license plats and/or no valid inspection
sticker and cannot be operated legally on a public street or highway), no
trucks, buses, motor homes, boats, trailers, campers, or other unsightly
vehicles or equipment of any description may be parked, stored, placed left or
abandoned on the streets or lots of any land in the subdivision.
12. All entrance culverts must be installed according to Virginia
Department of Highways standards and specifications.
13. No lot within the subdivision may be subdivided unless all of the
lot portions created as a result of this subdividing are attached to the
contiguous and adjacent lots of this subdivision, so as to increase the lot area
of those contiguous lots. The Cameron Group, however, for itself and its
successors in interest, reserves the right to resubdivide any of the lots
shown on the attached plats and to alter, amend and change any lot lines or
subdivision plan so long as it owns any of the lots.
14. No fence, hedge or other visual barrier shall be erected or planted
in the front yard of any lot shown on the attached plats, and no tree, hedge,
or shrub planting shall be maintained anywhere on any lot in such a manner
as to obstruct sight lines for vehicular traffic. Fencing of back yards may
include side yards to a limit of one-half the depth of each dwelling only.
Chain link fencing is specifically not permitted.
15. No junk vehicles, recreational vehicles, house trailers, or commercial
industrial vehicles, such as (but not limited to) moving vans, trucks, tractors,
trailers, vans, wreckers, hearses, buses, boats, boating equipment, travel
trailers, or camping equipment shall be regularly or habitually parked on any
public streets within Valley Mill Estates Sections I and II, or otherwise parked
within the boundaries of the subdivision. No vehicle may be parked for a
period greater than sixty days on any lot or on any platted street as shown
on the attached plats unless such vehicle bears a currently valid Virginia
vehicle inspection windshield sticker.
16. The provisions of Paragraphs 4, 7, and 10 shall not apply to the
construction or development of improvements on any lot by The Cameron
Group or its successors in interest, commencing within two years from the
date of submission of the lot to these restrictive covenants.
17. All lots are required to observe the applicable requirements of
Frederick County ordinances with regard to building restriction lines and
setbacks, and as indicated on the plats and/or the legends of the plats
attached hereto, and to the following requirements: no building may be
erected on any lot closer than 45 feet from Mill Race Drive and Racey Drive,
except for Lot 20 and 21 which may have a building erected 35 feet from the
road rights of way.
18. The Cameron Group reserves the right for itself and its successors
in interest to waive any one or all of the restrictive covenants, conditions,
reservations, and restrictions as to the sale or transfer of any future lot or
lots except that it cannot change the development from residential to
commercial. This waiver shall not affect the binding effect of the covenants,
restrictions, and conditions upon any other lots. The Cameron Group does
further reserve the right for itself and its successors in interest to impose
additional restrictive covenants, conditions, reservation, and restrictions as to
the sale and transfer of any future lot or lots and such imposition shall not
affect the binding effect of these provisions upon any other lots.
19. Any owner shall have the right to enforce, by a proceeding at law
or in equity, all restrictions, covenants, and conditions now or hereafter
imposed by the provisions of this deed. Failure by any owner to enforce any
right, restriction, provision, condition, or covenant granted by this deed and

declaration shall not constitute a waiver of the right of such homeowner to
enforce such right, restriction, provision, condition, or covenant in the future.
20. No exterior antennas or satellite dishes shall be erected or placed
on any lot or attached to any dwelling.
21. Invalidation of any one of these covenants or restrictions by
judgment, court order or governmental regulation shall in no way affect any
other provisions, which shall remain in full force and effect.
A R T I C L E II
OTHER MATTERS
1. The property dedicated hereby is subject to those certain easements
or rights of way designated "Sanitary Sewer Easement" and "Sewer Easement"
on the aforesaid attached plats. The Cameron Group does hereby grant and
convey unto the Frederick County Sanitation Authority a perpetual right of
way or easement over the aforesaid rights of way for the installation and
maintenance of water and sewer lines and any related facility designated on
the aforesaid plats as said easements.
2. The property dedicated hereby is subject to those certain easements
or rights of way designated "Drainage Easement" and to a 20 foot slope and
drainage easement along all rights -of -way and a 10 foot utility and drainage
easement along all property lines as set forth on the aforesaid attached plats,
for the purpose of surface water drainage and the installation of utilities, as
further set forth below. No structures of any kind which substantially impede
or obstruct the flow or ponding of surface drainage water may be placed
within the surface water drainage easements designated on the aforesaid
attached plats.
Said surface water drainage easements may not be altered or
modified without the prior consent of the County of Frederick, and The
Cameron Group does hereby grant and convey unto the County of Frederick a
perpetual right of way or easement over the aforesaid designated surface
drainage easements for the purpose of so providing surface drainage. The
Cameron Group does further agree that the County of Frederick shall be
under no obligation to maintain the surface drainage easements.
No owner of any lot shall interfere with the natural drainage of surface
water from such lot to the detriment of any other property shown on the
plats.
3. The Cameron Group further dedicates that certain 500 square foot
parcel in Section I as shown on Sheet 9 of 11 of the attached plats to the
Frederick County Sanitation Authority, for use of a pumping station.
4. The Cameron Group reserves unto itself, its successors or assigns,
the right to erect, maintain, operate and replace underground and above
ground telephone and electric light conduits, related equipment, and other
facilities, sewer, gas, water, and television lines and related equipment, and
other utility equipment where such utility lines and equipment are now located
and along a strip 10 feet along all boundary lines of each lot and along those
areas intended for public access on the attached plats, as needed. In
addition, there shall be service easements for each lot for all public utilities
upon any of the lots shown which shall exist at the location of such utilities
at the date each lot is conveyed. or shall be located as such utilities are
actually extended to the individual lot after the call for connection by the lot
owner.
5. The covenants and restrictions of this deed shall run with and bind
the land, and shall inure to the benefit of and be enforceable by the owner of
any lot subject to this deed and declaration, his legal representatives, heirs,
successors and assigns, for a term of ten years from the date this deed and
declaration is recorded. At the end of that period, the covenants and

restrictions of this deed and delcaration may be amended in whole or in part,
provided that any such amendment shall be signed by a majority of the
owners of the lots. Any amendment must be properly executed and
acknowledged by the owners and recorded among the land records of
Frederick County, Virginia.
6. The platting and dedication of the herein described land is made in
accordance with the statutes made and provided in such cases, and is with
the free consent and in accordance with the desire of The Cameron Group,
sole owner of the land embraced within the bounds of the subdivision, as
evidenced by the following signature and seal on behalf of The Cameron

PLANNING AND ZONING: There is an approved master development plan for the
proposed subdivision. The subdivision layout appears to comform to the MDP. Staff concurs
with the County Engineer's comments regarding the need for detailed site plans for lots 3,4,
13,14,16,17,20 and 21. We also share concerns about the practicality of lot 21 as a building
site given the slopes invloved and the drainage easement which bisects the lot. Some redesign
should be considered.
RECOMMENDATION FOR NOVEMBER 15, 1995: Approval, contigent upon erosion and
sedimentation control and other information being supplied to the satisfaction of the County Engineer,
requested notes being placed on subdivision plats, and satisfaction of all other review agency
comments.

above referenced project. The plans appear satisfactory and are approved. Please
advise the developer accordingly.
I offer the following comments:
• A preconstruction conference be held by the engineer and/or developer with the
attendance of the contractor, various County agencies and VDOT shall be
conducted prior to initiation of work.
• Materials used and method of construction shall apply to current observed VDOT
Road & Bridge Specifications applicable during construction of this development.
• Our review and comments are general in nature. Should conditions in the field
exist such that additional measures are warranted, such measures shall be
completed to the satisfaction of the Department prior to inclusion into the
Secondary Road System.
• Attached is a copy of the minimum requirements and information needed prior
to acceptance of subdivision streets into the Secondary System. This is the
responsibility of the developer.
• All drainage is to be carried within the right-of-way in ditch lines or gutters along
the street to a pipe or drainage easement.
• The contractor shall notify VDOT when work is to begin or cease for any
undetermined length of time. VDOT will also require 48 hours notice for
inspections.

• The appropriate land use permits shall be obtained before any work is performed
on the State's right-of-way.
• If mailboxes are to be placed along the roadway fronting lots, a minimum of four
(4') feet shall be between the edge of pavement and the front of mailbox.
• Private entrances will be installed in accordance with VDOT's Standard PE-1
Specifications. This is the developer's responsibility.
• Any signs to be installed will be in accordance with attachments.
• I suggest any utilities and/or storm sewer placed within the proposed right-of-
way be backfilled completely with C.R. Type 21-A Stone. This will greatly reduce
the possibility of any pavement settlement.
• This plan is approved with the understanding we have yet to complete our review
of your recently submitted trip generation data. If the information indicates
improvements at the intersection of Route 659/ 1270 are necessary, then the
developer will be responsible for implementing those measures prior to our
acceptance of Mill Race Drive Extended or Racey Ridge Drive into our Secondary
Maintenance System.

SUBDIVISION STREETS INTO STATE SECONDARY SYSTEM
Subdivision streets may be considered eligible for acceptance into the State Secondary System
when:
• Built according to plans approved by the Department of Transportation,
properly maintained since completion and
• Rendering a public service [serving three (3) occupied dwellings or three (3)
businesses per street].
THE FOLLOWING WILL BE REQUIRED TO BE FURNISHED TO THE COUNTY
PLANNING DEPARTMENT AT LEAST THIRTY (30) DAYS PRIOR TO ADOPTION OF
THE RESOLUTION BY THE BOARD OF SUPERVISORS REQUESTING THE ADDITION:
1. Three (3) copies of as -built construction plans showing:
• Roadway Geometries
• Drainage & Drainage Easements
2. Three (3) copies of the final plat with date & place of recordation, deed
book number and page number.
3. Signed permits covering all utilities, publicly or privately owned, to
occupy or cross the right-of-way and quitclaiming any prior rights.
4. Bond to guarantee workmanship and performance of material for one year from
date of acceptance. (See reverse side for schedule.)
5. Maintenance Fee - check payable to the "Virginia Department of
Transportation". This fee is based on the length of the streets involved from the
date of acceptance to the end of the fiscal year (June 301). No maintenance fee

Dear Ron:
We have completed our review of the subdivision plans
proposed for Valley Mill Estates and offer the following
comments:
1. Erosion and Sediment Control Narrative: Paragraph 2.1 F
indicates that the following devices are shown on the
drawings:
a. Sediment basin
b. Construction entrance
C. Inlet and outlet protection
d. Silt fence
e. Rock fill check dam
Only items "b" and "c" are shown on sheet 3 of 7. The
remaining erosion and sediment control measures need to be
added at the appropriate locations. The sediment basin
needs to be incorporated in the design of the stormwater
detention basin.
2. Stormwater Management
a. A predevelopment "C" value of 0.35 should be adopted for
the Martinsburg shale.
b. The offsite drainage originating from the Pioneer
Heights subdivision should be evaluated using a "C"
value of 0.45 to insure adequate piping within the
proposed Valley Mill Estates development.
c. Re-evaluate the weighted post development "C" value
assuming a pre -development "C" value of 0.35 in the
undeveloped shale.
d. Resubmit revised design calculations.

3. Sheet 2 of 7: Correct the inlet invert elevation shown for
the stormwater detention basin.
4. Sheet 3 of 7: Based on the proposed grading scheme and
drainage layout, we will require detailed site plans for the
following lots: 3,4,13,14,16,17,20, and 21. A note should
be added to the drawings stipulating this requirement.
Also, the developer should be notified that it will be
their responsibility to notify prospective lot owners of
this requirement.
5. Sheet 3 of 7: Lot 21 will be a difficult lot to develop
because of the proposed fill requirements and drainage
structures which cross the lot. At a minimum, this office
will require that a detailed geotechnical study and a site
plan be submitted for our review and approval prior to
granting a permit for this lot. Consideration should be
given to incorporating this lot with lot 20 or designate the
lot as open space.
6. Sheet 3 of 7: The proposed stormwater management plan
diverts drainage across lot 21 onto lot 80 located in Mill
Race Estates. At a minimum, the outlet end of the proposed
culvert will require stabilization with something more
substantial that just rip -rap. In addition, easements will
be required within the Mill Race subdivision to allow
conveyance of the stormwater to the stormwater detention
basin. Piping the storm flows directly to the detention
basin may prove to be a more prudent design.
7. Sheet 3 of 7: Grouted rip -rap should be utilized for
drainage channels located on steep slopes.
8. Sheet 4 of 7: A note has been included indicating that all
CMP will be asphalt coated. Clarify that this note also
applies to driveway entrances.
9. Sheet 5 of 7: Compaction tests will be required for the
proposed detention basin embankment.
10. Sheet 6 of 7: Specify grouted rip -rap within the emergency
spillway.

11. Sheet 7 of 7: The detail specified for the inlet protection
will be enforced by our inspection personnel. The earthwork
contractor will be required to obtain a land disturbance
permit prior to initiating the site development. The permit
fee will be waived if the site plan has been approved by the
Board of Supervisors prior to that time. This permit will
allow this office to inspect the erosion and sediment
control measures prior to initiating any grading.

I offer the following comments:
• A preconstruction conference be held by the engineer and/or developer with the
attendance of the contractor, various County agencies and VDOT shall be
conducted prior to initiation of work.
• Materials used and method of construction shall apply to current observed VDOT
-Road & Bridge Specifications applicable during ccnstructior. of this development.
• Our review and comments are general in nature. Should conditions in the field
exist such that additional measures are warranted, such measures. shall be
completed to the satisfaction of the Department prior to inclusion into the
Secondary Road System.
• Attached is a copy of the minimum requirements and information needed prior
to acceptance of subdivision streets into the Secondary System. This is the
responsibility of the developer.
• All drainage is to be carried within the right-of-way in ditch lines or gutters along
the street to a pipe or drainage easement.

• If mailboxes are to be placed along the roadway fronting lots, a minimum of four
(4') feet shall be between the edge of pavement and the front of mailbox.

Specifications. This is the developer's responsibility.
• Any signs to be installed will be in accordance with attachments.
• I suggest.any utilities and/or storm sewer placed within the proposed right-of-
way,be backfilled completely with C.R. Type 21-A Stone. This will greatly reduce
the possibility of any pavement settlement.
• This plan is approved with the understanding we have yet to complete our review
of your recently submitted trip generation data. If the information indicates
improvements at the intersection of Route 659/1270 are necessary, then the
developer will be responsible for implementing those measures prior to our
acceptance of Mill Race Drive Extended or Racey Ridge Drive into our Secondary
Maintenance System.

As discussed at our recent meeting, I am enclosing two (2) land use permit applications
to cover the street extension and utility work for the referenced project. Each
application will need to be completed where indicated and returned with individual
checks in the amount of $40.00 to cover necessary processing and inspection fees.
In addition, surety bond coverage in the amount indicated on the applications will need
to be provided. I have enclosed copies of our standard insurance bond Form MP-20
and letter of credit Form MP-231. Either method of surety can be used. I also need a
letter of acceptance in accordance with the enclosed example from the Frederick
County Sanitation Authority and four complete sets of the approved site plan in order to
process your applications.
Once we are in receipt of your applications, please allow at least two (2) weeks for

As requested, we have reviewed your site plan dated June 13, 1996 for the referenced
project. Our comments may be found on the enclosed plans marked in red and as
follows:
1. As you know the existing topography of the property is extremely steep and with
the proposed roadway layout, will result in large fill sections along Hill Valley
Drive. While it appears the slopes are constructable as planned, particular care
needs to be taken at the time of construction in order to insure these slopes remain
stable to prevent causing any future maintenance problems. Strict enforcement of
proper embankment construction procedures to include density testing and proper
material properties (% moisture, etc.) will be critical. Additionally, cross sections
will need to be provided for the project
2. The proposed standard CG-9B entrance gutters will need to be installed in
conjunction with the placement of the roadway curb & gutter. Additionally, all
entrance locations should be shown on the plans and profiles in accordance with
Section 2.9 of our Minimum Standards of Entrances to State Highways provided.
3. Lots 16 & 13 will need to be accessed from Brandywine Court Additionally,
entrance gutters will need to be provided to all open space areas.
4. The right-of-way width on Hill Valley Drive from Statiah 10+58 to Station 16+84.26
will need to be widened in order that the proposed 4' sidewalk will be totally
enclosed within the right-of-way. The use of a pedestrian access easement to
enclose a portion of sidewalk was discussed with you during the review of the
Woodside Estates project in July, 1994. I have also enclosed for your reference a
copy of a letter to Mr. Ron Mislowsky of your office indicating the use of an access
easement to enclose the sidewalk would not be considered in the future.

5. All intersections will need to be identified as Standard CG-11's.
6. Due to the proposed traffic this project will generate, a right turn taper with 12'
offset at the face of gutter along Route 656 will be required.
7. A note indicating all vegetation will need to be removed along Route 656 adjacent to
the entrance to provide minimum sight distance will need to be added to the plan.
8. Although the proposed steep fill section of Hill Valley Road has a 13.5' wide terrace
(includes the sidewalk, shoulder and additional area), guardrail will not likely be
required. However, the proposed grading of the lots through this area makes the
building sites completely undesirable and unbuildable. Therefore, a note indicating
guardrail may be needed at the discretion of the VDOT Inspector will need to be
added to the plan.
9. The proposed watermain will need to be shifted from under the pavement or
ductile iron pipe used.
10. A standard UD4 underdrain system will need to be provided under the curb &
gutter section.
11. We disagree with the drainage design analysis and conclusion concerning
stormwater management requirements. If the drainage basin is 900 acres the
regulations would only exempt this project if it were nine 9 acres or less. The time
of concentration for the drainage basin is much too small. This distorts the
contribution to the drainage basin by the proposed subdivision. We recommend
stormwater detention be required for this project
12. All stormsewer culverts should be changed to reinforced concrete pipe. Due to the
depth, Culverts 2,10,13 & 14 should be R.C.P. Class IV. Additionally, appropriate
end treatments as marked will need to be provided.
13.Our project alignment which was supplied to you previously has not been modified
at this time. The alignment will need to be shown on the plans.
14.Other miscellaneous comments as marked will need to be addressed.
