THIS AMENDED DEED OF DEDICATION, SUBDIVISION, EASEMENT AND
CONVEYANCE is made this 30 day of October, 2012, by and between BROOKFIELD
STEP14ENSON VILLAGE, L.L.C., a Virginia limited liability company, its successors and
assigns ("Brookfield"), PRLAP, INC., TRUSTEE, a Virginia corporation, ("Trustee"), and
BANK OF AMERICA, N.A., a national banking association ("Beneficiary"), parties of the first
part, and SNOWDEN BRIDGE COMMUNITY ASSOCIATION, an association formed
pursuant to the Virginia Property Owners Association Act (the "Association"), parties of the
second part.
WITNESSETH
WHEREAS, a Deed of Dedication, Subdivision, Easement and Conveyance for Section 2
of Snowden Bridge was recorded by Brookfield on October 13, 2011 in the Office of the Clerk
of the Circuit Court of Frederick County, Virginia as Instrument No. 110009016 (the
"Declaration"); and
WHEREAS, Brookfield is the owner of the property known as Tax Map No. 44-A-293,
by Instrument No. 040021293 and by Boundary Line Adjustments at Instrument Nos. 070005227
and 110007386, located in Stonewall Magisterial District, Frederick County, Virginia and
recorded in the aforementioned Clerk's Office (the "Property"); and

WHEREAS, it is the desire and intent of Brookfield to amend the previously recorded
Declaration to subdivide the residue of Section 2 and to further subdivide a portion of the
Property into lots and parcels in accordance with this Deed and the plat dated August 23, 2012,
entitled "Final Subdivision Plat Snowden Bridge Section 2 Addition" and prepared by Greenway
Engineering, certified land surveyors, (the "Plat") which is attached hereto as and incorporated
herein by reference as "Exhibit A. and
WHEREAS, it is the desire and intent of Brookfield to grant and convey unto the
Association, the easements in the locations as shown on the Plat and as hereinafter provided; and
WHEREAS, it is the desire and intent of Brookfield to convey a portion of the Property
to the Association; and
WHEREAS, the Property is subject to the lien of a certain Deed of Trust dated November
24, 2004, and recorded as Instrument No. 040024825 in the aforesaid Clerk's Office (the "Deed
of Trust"), wherein the Property was conveyed unto the Trustee, by Deed of Substitution of
Trustee dated March 5, 2010 and recorded as Instrument No. 100006655 in the aforesaid Clerk's
Office, in trust, to secure a certain indebtedness, as more specifically set forth therein; and
WHEREAS, the Property is, or will be, subject to the terms and conditions of the
Declaration for Snowden Bridge (the "Declaration"), a declaration for a property owners
association formed pursuant to the Virginia nonstock corporation act and recorded in the
aforesaid Clerk's Office as Instrument No. 070018836.
SUBDIVISION
NOW THEREFORE WITNESSETH, in consideration of the premises and the sum of
One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield,

together with the Trustee, do hereby restate and affirm the previously recorded Declaration and"
subdivide the residue of Section 2 and that portion of the Property containing 1.3469 acres into
lots and parcels to be known as Lots 81 through 89, inclusive, Section 2, Snowden Bridge, in
accordance with the Plat which is expressly incorporated herein and made a part of this Deed.
COMMON SHARED UTILITY EASEMENTS
THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the
sum of One Dollar (SI.00) cash in hand paid, receipt of which is hereby acknowledged,
Brookfield grants and conveys unto the Association the common and shared utility easements
over those certain areas and in the locations shown on the Plat, identified as "5' Common Shared
Utility Esmt.," in accordance with the terms and conditions of the Declaration. These easements
are supplemental to, and not in lieu of or otherwise restrictive of easements for utilities, as set
forth in the Declaration.
TRUSTEE'S RELEASE AND SUBORDINATION
THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the
sum of One Dollar ($1.00) cash in hand paid, receipt of which is hereby acknowledged, the
Trustee, as authorized to act by Beneficiary, as shown by its execution hereto, do release and
discharge from the lien of the Deed of Trust those portions of the Property dedicated for public
use and subordinate the lien on the Deed of Trust to the easements herein conveyed.
TO HAVE AND TO HOLD SAID released property unto Brookfield, its successors and
assigns, fully released and discharged from the liens and operations of the Deed of Trust.

It is expressly understood that the release of the portion of the Property from the lien of
the Deed of Trust shall not affect in any way the lien of the Deed of Trust upon the other land
conveyed thereby and not released hereby, and the Deed of Trust shall remain in full force and
effect as to the land conveyed thereby and not released hereby, subject to the easements herein
conveyed.
MISCELLANEOUS
Headings made in this Deed are for convenience purposes only and are not intended to
affect the express terms herein set forth.
This Deed is made in accordance with the statutes made and provided in such cases; with
the approval of the proper authorities of Frederick County, Virginia, as shown by the signatures
affixed to the Plat and this Deed, as applicable, and is with the free consent and in accordance
with the desire of Brookfield, the owner and proprietor of the Property, and the Trustee, as
aforesaid.
The Association executes this Deed for the purpose of accepting responsibility for all
maintenance and other obligations assigned to or assumed by the Association under this Deed.
The undersigned warrants that this Deed is made and executed pursuant to authority
properly granted by the articles of organization, operating agreement or majority vote of the
members of Brookfield.

This is to acknowledge receipt of your plans dated November 14, 2011 for the referenced project. The plan
appears satisfactory and is approved. Please advise the developer accordingly. Please submit three copies of
the signed and sealed plans for signature, and a CD with PDF's of the individual plan sheets.
I offer the following comments:
• Materials used and method of construction shall apply to current observed VDOT Road & Bridge
Specifications applicable during construction of this development.
• Our review and comments are general in nature. Should conditions in the field exist such that additional
measures are warranted, such measures shall be completed to the satisfaction of the Department prior to
inclusion into the Secondary Road System.
• Attached is a copy of the minimum requirements and information needed prior to acceptance of
subdivision streets into the Secondary System. This is the responsibility of the developer.
All drainage is to be carried within the right-of-way in ditch lines or gutters along the street to a pipe or
drainage easement.
• The contractor shall notify VDOT when work is to begin or cease for any undetermined length of time.
VDOT will also require 48 hours notice for inspections.
• Any entrances constructed from the public street(s) shall meet VDOT minimum standards. This is the
developer's responsibility.
• 1 suggest any utilities and/or storm sewer placed within the proposed right-of-way be backfilled
completely with C.R. Type 21-B Stone. This will greatly reduce the possibility of any pavement settlement.
• A copy of any/all RECORDED PLATS of dedication to public use (the County of Frederick) for drainage
easements and right-of-way required for implementation of this proposed project shall be provided for VDOT
review.

Subdivision streets may be considered eligible for acceptance into the State Secondary System
when:
• Built according to plans approved by the Department of Transportation,
properly maintained since completion and
• Rendering a public service (serving three (3) occupied dwellings or three
(3) businesses per street].
THE FOLLOWING WILL BE REQUIRED TO BE FURNISHED TO VDOT (14031 Old Valley Pike,
Edinburg) AT LEAST THIRTY (30) DAYS PRIOR TO VDOT REQUESTING THE ADOPTION OF THE
RESOLUTION BY THE BOARD OF SUPERVISORS REQUESTING THE ADDITION:
1. One set and one Electronic Copy (in PDF Format preferred - individual file size no larger than 2
MB - rnav need to store as individual sheets) of As -Built Construction Plans per the attached
checklist.
2. One copy of the final plats with date & place of recordation, deed book number and page
number or instrument number.
3. Signed Land Use Permit In -Place Permit Applications (Form LUP-IIP) covering all utilities,
publicly or privately owned, to occupy or cross the right-of-way and quitclaiming any prior
rights. (Electric, Gas, Water, Sewer, Telephone, Cable) If there are no facilities in place, a
letter from the utility company indicating such is to be provided.
4. Surety to guarantee workmanship and performance of material for one year from date of
acceptance. Surety amount provided by VDOT Representative after acceptance of
construction. Surety amount is based on mileage. It is necessary that the surety instrument
be provided for one year, beginning the month of the County resolution.
5. Maintenance Fee - check payable to the "Treasurer of Virginia". Maintenance Fee amount
provided by VDOT Representative after acceptance of construction. Maintenance Fee based
on mileage.
6. Administrative Cost Recovery Fee - check payable to the "Treasurer of Virginia".
Administrative Cost Recover Fee provided by VDOT Representative after acceptance of
construction. Recovery Fee based on mileage.
7. Per the attached Inventory of Streets, a sketch fully annotated and clearly readable of
subdivision layout, providing a realistic representation of the street network with north arrow,
arrangement of streets, distances between intersecting centerlines, split mileage along existing
State roads to nearest intersecting State road or jurisdictional/corporate limit. (Not less than
8.5"x11" and not greater than 11"x17')
