STREET DEDICATION THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield dedicates unto the County the 2.3168 acres for public street purposes as so designated on the Plat. This dedication is made in accordance with the statutes made and provided therefore. EMERGENCY INGRESS AND EGRESS EASEMENTS AND TEMPORARY TURN -AROUND EASEMENT THIS DEED FURTHER WITN.ESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto the County, its successors and assigns, an easement for ingress and egress and a temporary turn -around easement (identified as "Temporary Turn - Around Esmt." on the Plat), for construction and maintenance of utilities, for County and other emergency vehicles, and for the purpose of performing any governmental functions which the County may find necessary or desirable to perform, including, but not limited to, police and fire protection, over and across all public and/or private access easements, and ingress and egress easements, as shown on the Plat. Notwithstanding the foregoing, in the event any of such public and/or private access easements, and/or ingress and egress easements are hereafter adjusted, relocated, reconfigured, or otherwise altered, these easements shall automatically be adjusted so 4 I O G.1 that no portion of the Property which ceases either to be a public or private access easement, or ingress and egress easement, shall be subject to these easements. The temporary turn -around easement is granted until such time as construction of the turn -around on Flyfoot Drive is complete. Said turn -around is to be constructed on Tax Map No. 44-A-292 and is permitted by Access Easement from Stephenson Associates, L.C. to Brookfield dated July 28, 2011 and recorded on August 26, 2011 in the aforesaid Clerk's Office as Instrument No. 110007387. STORM DRAINAGE EASEMENTS THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto the County, its successors and assigns, a fifteen foot (15') storm sewer easement, several twenty foot (20') stormwater easements and several storm sewer easements, identified on the Plat respectively as "15' Storm Sewer Esmt.," "20' Storm Sewer Esmt.," "20' Storm Drainage/Sewer Esmt.," an d "Storm Sewer Esmt." for the purposes of constructing, operating, maintaining, adding to, altering or replacing present or future stormwater management facilities, storm drainage lines, storm sewer lines, or other drainage structure, including building connection lines, plus all necessary inlet structures, manholes, and appurtenances for the collection of storm waters and their transmission through and across said Property of Brookfield, said easements being more particularly bounded and described on the Plat. The foregoing easements are subject to the following conditions where applicable: 5 R .C" Z - 1. All sewers, manholes, inlet structures, and appurtenant facilities which are installed in the easements shall be and remain the property of the County, its successors and assigns. 2. The County and its agents shall have full and free use of said easements for the purposes named, and shall have all rights and privileges reasonably necessary to the exercise of the easements including the right of access to and from the easements and right to use adjoining land where necessary; provided, however, that this right to use adjoining land shall be exercised only during periods of actual construction or maintenance, and further, this right shall not be construed to allow the County to erect any building or structure of a permanent nature on such adjoining land. 3. The County shall have the right to trim, cut, and remove trees, shrubbery, fences, structures, or other obstructions or facilities in or near the easements being conveyed, deemed by it to interfere with the proper and efficient construction, operation, and maintenance of said easements; provided, however, that the County, at its own expense, shall restore, as nearly as possible, the premises to their original condition. Such restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or pasture areas, and the replacement of structures and other facilities located outside the easements, but shall not include the replacement of structures, trees, or other facilities located within the easements. 4. The County shall have the right to demolish all paving, curbing, and/or guttering in the easements being conveyed, deemed by it to interfere with the proper and efficient construction, installation, operation, and maintenance of said stormwater drainage lines and appurtenant facilities; provided, however, that the County, at its own expense, shall restore all 0 0 c.n paving, curbing, and/or guttering which are disturbed in any manner by the construction, operation, and maintenance of said stormwater drainage lines and appurtenant facilities. 5. Brookfield reserves the right to construct and maintain roadways over said easements to the extent not prohibited or restricted by ordinance and to make any use of the easements herein granted which may not be inconsistent with the rights herein conveyed, or interfere with the use of said easements by the County for the purposes named; provided, however, that Brookfield shall not erect any building or other structure, excepting a fence, on the easements without obtaining the prior written approval of the County. 6. The individual lot owners and/or Snowden Bridge Association shall be responsible for maintenance of storm drainage easements conveyed herein in accordance with the terms and conditions of the Declaration. Each lot owner's responsibility to perform such maintenance obligations shall run with the land. SANITARY SEWER AND WATERLINE EASEMENTS THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto FCSA, its successors and assigns, several twenty foot (20') water line easements, several water line easements, and several sanitary sewer easements, identified on the Plat as "20' Water Line Esmt.," "Water Line Esmt.," and "Sanitary Sewer Esmt." which shall be perpetual exclusive easements and for the purposes of constructing, operating, maintaining, adding to, altering or replacing present or future water mains and sanitary sewer lines, including, but not limited to, fire hydrants, valves, meters, building service connections and connection lines, sanitary lateral lines, manholes and other appurtenant facilities 7 co r- 0 M for the transmission and distribution of water and the collection of sanitary sewage and its transmission through, upon, and across the Property. WHEREAS, the easements shall be subject to the following terms and conditions: 1. All water lines, mains, sanitary sewer lines and appurtenant facilities which are installed in the easements shall be and remain the property of FCSA, its successors and assigns. 2. FCSA and its agents shall have full and free use of the easements for the purposes named herein, and shall have all the rights and privileges reasonably necessary to the exercise of the easements. 3. FCSA shall have the right to trim, cut and/or remove trees, shrubbery, fences or other obstructions on or near the easements being conveyed deemed by FCSA to interfere with the efficient construction, operation or maintenance of water lines, mains, sanitary sewer pipes, necessary structures, and appurtenances necessary for the provision of water and/or the collection of sanitary sewage and for its transmission through and across the Property; provided, however, that FCSA, at its own expense, shall restore as it deems appropriate for easement use, all land or premises which are disturbed in any manner by the construction, operation, and maintenance of said waterlines and sanitary sewer lines and appurtenant facilities. Such restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or pasture areas, and the replacement of structures and other facilities as appropriate located outside the easements, but shall not include the replacement of structures, trees or other facilities located within the easement. 4. FCSA shall have the right to demolish all paving, curbing, and/or guttering in the easements being conveyed, deemed by it to interfere with the proper and efficient construction, 0 0 _, installation, operation, and maintenance of said water lines and sanitary sewer lines and appurtenant facilities; provided, however, that FCSA, at its own expense, shall restore all paving, curbing, and/or guttering which are disturbed in any manner by the construction, operation, and maintenance of said water lines and sanitary sewer lines and appurtenant facilities. 5. Brookfield reserves the right to make any use of the Property that will not be inconsistent with the easements. Brookfield shall have the right to cross over and upon said easements and to use the surface over the easements in such manner as will neither injure nor interfere with the construction, operation or maintenance of water lines, mains, sanitary sewer pipes, necessary structures, and appurtenances necessary for the provision of water and/or the collection of sanitary sewage and for its transmission through and across the Property; provided, however, that Brookfield shall not erect any building or other structure on the easements without obtaining the prior written approval of FCSA. COMMON SHARED UTILITY EASEMENTS THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00) cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto Snowden Bridge Association the common and shared utility easements over those certain areas and in the locations shown on the Plat, identified as "5' C.S.E.," in accordance with the terms and conditions of the Declaration. These easements are supplemental to, and not in lieu of or otherwise restrictive of easements for utilities, as set forth in the Declaration. E CO ,r-- 0 0D GAS EASEMENT THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto Washington Gas, its successors and assigns, a ten foot (10') gas easement, identified on the Plat as "10' Gas Esmt." for the purposes of a perpetual exclusive easement and right-of-way ten feet (10') in width, for the purposes of laying, constructing, maintaining, operating, removing, replacing, altering, extending, repairing, and increasing or decreasing in size a gas pipeline or pipelines, service pipes, valves, regulators and accessory equipment ("Equipment"), as well as wire or fiber optic communication cable, in, through and across its Property. WHEREAS, the easement shall be subject to the following terms and conditions: 1. The Equipment shall be and remain the property of Washington Gas. 2. Washington Gas and its agents shall have full and free use of the easement for the purposes named, including the right of access to and from the easement; and in addition, Washington Gas shall have the right during the period of original construction of the equipment, to use additional space, as needed, for construction use only. 3. The gas pipeline, service pipes, and any and all other equipment shall be installed below cultivation and regulators and accessory equipment may be above the surface and Brookfield reserves the right to construct and maintain private roadways and fences over the easement without restricting Washington Gas's access to the easement and to make any use of the easement herein granted not inconsistent with the rights herein conveyed to Washington Gas or with the use of the easement by Washington Gas for the purposes named. Uses inconsistent with the easement include, but are not limited to, the erection of any building or other structure 10 0 r 0 kA within the easement, the making of a fill or an excavation on the easement, or the inundation of the easement, without written approval of Washington Gas. 4. Washington Gas shall have the right to trim, cut, and remove trees, shrubbery, fences, structures, or other obstructions or facilities in the easement deemed by Washington Gas to interfere with the proper and efficient use of the easement for the purposes named; provided, however, Washington Gas at its own expense shall restore, as nearly as possible, the Property to its original condition, including the back filling of trenches, the replacement of fences, and the reseeding of lawns or pasture areas, but not the replacement of structures, trees, or other obstructions. 5. Brookfield warrants generally said easement and will execute such further assurances thereof as Washington Gas may request. 6. Washington Gas shall pay Brookfield actual damages that may arise from the original construction, maintenance, replacement, operation and removal of said Equipment. 7. After the Equipment and easement are installed at the Property, at the sole expense of Washington Gas, said Equipment and easement may be moved and relocated at the direction of Brookfield and at the sole expense of Brookfield. This paragraph is not in any way to be interpreted as requiring the original installation of the pipeline. The installation of said pipeline equipment shall be the sole responsibility of Washington Gas. SIGHT DISTANCE EASEMENT THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto Snowden Bridge Association a sight distance easement over CD .r- that certain area and in the location shown on the Plat, identified as "Sight Distance Esmt.," in 1. accordance with the terms and conditions of the Declaration. TRUSTEE'S RELEASE AND SUBORDINATION THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, the Trustee, as authorized to act by Beneficiary, as shown by its execution hereto, does release and discharge from the lien of the Deed of Trust those portions of the Property dedicated for public use, and Open Space Parcels 1, 2, and 3, Section 4, Snowden Bridge and subordinate the lien of the Deed of Trust to the easements herein conveyed. TO HAVE AND TO HOLD SAID released property unto Brookfield, its successors and assigns, fully released and discharged from the liens and operations of the Deed of Trust. It is expressly understood that the release of the portion of the Property from the lien of the Deed of Trust shall not affect in any way the lien of the Deed of Trust upon the other land conveyed thereby and not released hereby, and the Deed of Trust shall remain in full force and effect as to the land conveyed thereby and not released hereby, subject to the easements herein conveyed. CONVEYANCE OF OPEN SPACE THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00) cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys with special warranty of title unto Snowden Bridge Association, Open Space Parcel 1, Section 4, Snowden Bridge, containing 6.5625 acres, to have and to hold 12 O unto Snowden Bridge Association, its successors and assigns. Brookfield further grants and conveys with special warranty of title unto Diamond Valley Association, Open Space Parcels 2 and 3, Section 4, Snowden Bridge, containing 18,043 square feet, to have and to hold unto Diamond Valley Association, its successors and assigns. MISCELLANEOUS Headings made in this Deed are for convenience purposes only and are not intended to affect the express terms herein set forth. This Deed is made in accordance with the statutes made and provided in such cases; with the approval of the proper authorities of Frederick County, Virginia, as shown by the signatures affixed to the Plat, as applicable, and is with the free consent and in accordance with the desire of Brookfield, the owner and proprietor of the Property, and the Trustee, as aforesaid. Such restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or pasture areas, and the replacement of structures and other facilities located outside the easements, but shall not include the replacement of structures, trees, or other facilities located within the easements. 4. The County shall have the right to demolish all paving, curbing, and/or guttering in the easements being conveyed, deemed by it to interfere with the proper and efficient construction, installation, operation, and maintenance of said stormwater drainage lines and appurtenant facilities; provided, however, that the County, at its own expense, shall restore all paving, curbing, and/or guttering which are disturbed in any manner by the construction, operation, and maintenance of said stormwater drainage lines and appurtenant facilities. n N 5. Brookfield reserves the right to construct and maintain roadways over said GJ easements to the extent not prohibited or restricted by ordinance and to make any use of the easements herein granted which may not be inconsistent with the rights herein conveyed, or interfere with the use of said easements by the County for the purposes named; provided, however, that Brookfield shall not erect any building or other structure, excepting a fence, on the easements without obtaining the prior written approval of the County. 6. The individual lot owners and/or Snowden Bridge Association shall be responsible for maintenance of storm drainage easements conveyed herein in accordance with the terms and conditions of the Declaration. Each lot owner's responsibility to perform such maintenance obligations shall run with the land. SANITARY SEWER AND WATERLINE EASEMENTS THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto FCSA, its successors and assigns, several twenty foot (20') water line easements, several water line easements, and several sanitary sewer easements, identified on the Plat as "20' Water Line Esmt.," "Water Line Esmt.," and "Sanitary Sewer Esmt." which shall be perpetual exclusive easements and for the purposes of constructing, operating, maintaining, adding to, altering or replacing present or future water mains and sanitary sewer lines, including, but not limited to, fire hydrants, valves, meters, building service connections and connection lines, sanitary lateral lines, manholes and other appurtenant facilities for the transmission and distribution of water and the collection of sanitary sewage and its transmission through, upon, and across the Property. 7 0 N WHEREAS, the easements shall be subject to the following terms and conditions: 1. All water lines, mains, sanitary sewer lines and appurtenant facilities which are installed in the easements shall be and remain the property of FCSA, its successors and assigns. 2. FCSA and its agents shall have full and free use of the easements for the purposes named herein, and shall have all the rights and privileges reasonably necessary to the exercise of the easements. 3. FCSA shall have the right to trim, cut and/or remove trees, shrubbery, fences or other obstructions on or near the easements being conveyed deemed by FCSA to interfere with the efficient construction, operation or maintenance of water lines, mains, sanitary sewer pipes, necessary structures, and appurtenances necessary for the provision of water and/or the collection of sanitary sewage and for its transmission through and across the Property; provided, however, that FCSA, at its own expense, shall restore as it deems appropriate for easement use, all land or premises which are disturbed in any manner by the construction, operation, and maintenance of said waterlines and sanitary sewer lines and appurtenant facilities. Such restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of lawns or pasture areas, and the replacement of structures and other facilities as appropriate located outside the easements. 4. FCSA shall have the right to demolish all paving, curbing, and/or guttering in the easements being conveyed, deemed by it to interfere with the proper and efficient construction, installation, operation, and maintenance of said water lines and sanitary sewer lines and appurtenant facilities; provided, however, that FCSA, at its own expense, shall restore all paving, F t O N curbing, and/or guttering which are disturbed in any manner by the construction, operation, and ul maintenance of said water lines and sanitary sewer lines and appurtenant facilities. 5. Brookfield reserves the right to make any use of the Property that will not be inconsistent with the easements. Brookfield shall have the right to cross over and upon said easements and to use the surface over the easements in such manner as will neither injure nor interfere with the construction, operation or maintenance of water lines, mains, sanitary sewer pipes, necessary structures, and appurtenances necessary for the provision of water and/or the collection of sanitary sewage and for its transmission through and across the Property; provided, however, that Brookfield shall not erect any building or other structure, except a fence, on the easements without obtaining the prior written approval of FCSA. COMMON SHARED UTILITY EASEMENTS THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00) cash in hand paid, receipt of which is hereby acknowledged, Brookfield grants and conveys unto Snowden Bridge Association the common and shared utility easements over those certain areas and in the locations shown on the Plat, identified as "5' C.S.E.," in accordance with the terms and conditions of the Declaration. These easements are supplemental to, and not in lieu of or otherwise restrictive of easements for utilities, as set forth in the Declaration. GAS EASEMENT THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, E e C) N Brookfield grants and conveys unto Washington Gas, its successors and assigns, a ten foot (10') CYN gas easement, identified on the Plat as "10' Gas Esmt." for the purposes of a perpetual exclusive easement and right-of-way ten feet (10') in width, for the purposes of laying, constructing, maintaining, operating, removing, replacing, altering, extending, repairing, and increasing or decreasing in size a gas pipeline or pipelines, service pipes, valves, regulators and accessory equipment ("Equipment"), as well as wire or fiber optic communication cable, in, through and across its Property. WHEREAS, the easement shall be subject to the following terms and conditions: 1. The Equipment shall be and remain the property of Washington Gas. 2. Washington Gas and its agents shall have full and free use of the easement for the purposes named, including the right of access to and from the easement; and in addition, Washington Gas shall have the right during the period of original construction of the equipment, to use additional space, as needed, for construction use only. 3. The gas pipeline, service pipes, and any and all other equipment shall be installed below cultivation and regulators and accessory equipment may be above the surface and Brookfield reserves the right to construct and maintain private roadways and fences over the easement without restricting Washington Gas's access to the easement and to make any use of the easement herein granted not inconsistent with the rights herein conveyed to Washington Gas or with the use of the easement by Washington Gas for the purposes named. Uses inconsistent with the easement include, but are not limited to, the erection of any building or other structure within the easement, the making of a fill or an excavation on the easement, or the inundation of the easement, without written approval of Washington Gas. 10 1 7 O fV 4. Washington Gas shall have the right to trim, cut, and remove trees, shrubbery, fences, structures, or other obstructions or facilities in the easement deemed by Washington Gas to interfere with the proper and efficient use of the easement for the purposes named; provided, however, Washington Gas at its own expense shall restore, as nearly as possible, the Property to its original condition, including the back filling of trenches, the replacement of fences, and the reseeding of lawns or pasture areas, but not the replacement of structures, trees, or other obstructions. 5. Brookfield warrants generally said easement and will execute such further assurances thereof as Washington Gas may request. 6. Washington Gas shall pay Brookfield actual damages that may arise from the original construction, maintenance, replacement, operation and removal of said Equipment. 7. After the Equipment and easement are installed at the Property, at the sole expense of Washington Gas, said Equipment and easement may be moved and relocated at the direction of Brookfield and at the sole expense of Brookfield. This paragraph is not in any way to be interpreted as requiring the original installation of the pipeline. The installation of said pipeline equipment shall be the sole responsibility of Washington Gas. We currently have all the review agency approvals that are required with the exception of Public Works, Parks and Rec, and the Airport Authority. Evan will be securing those approvals early next week. We will need a review fee check from Brookfield in the amount of $4000 made payable to the Treasure of Frederick County for our submission to Planning. Please have the check forwarded to Evan as I will be out of the office all of next week. We are also resubmitting the Rec Center plans back to review agencies as needed for final approval and will also resubmit to Planning. We currently have the Limited Power of 10/14/2011 Page 2 of 2 Attorney form, signed by Rick, for the Section 4 submission but do not have one for the Rec Center. The form that we have is currently marked for "Subdivision Plan" only.
