Virginia limited liability company, hereinafter, "GRANTOR", and JUDITH MCCANN
SLAUGHTER, hereinafter "GRANTEE".
WITNESSETH
That for and in consideration of the sum of Ten and 001100 Dollars (SI0.00) and other
good and valuable consideration, the receipt of which is hereby acknowledged, Grantor does
hereby grant, bargain, convey and sell with Special Warranty of Title, unto the Grantee, in fee
simple, and Grantee hereby accepts, the following described real estate, with appurtenances
thereunto pertaining, to -wit:
ALL THAT certain tract or parcel of land identified and depicted as
"Adjusted Tax Parcel 44-A-29" on the attached and incorporated "Final
Plat for Boundary Line Adjustment between the Lands of Stephenson
Associates, L.C. and Judith McCann Slaughter", by Mark D. Smith, L.S.
of Greenway Engineering, dated May 12, 2006 ("Plat').
AND BEING a portion of the same property conveyed to Grantor by deed
dated March 13, 2003 from Crider & Shockey, Inc. of West Virginia, and
recorded in the Office of the Clerk of the Circuit Court for Frederick
County, Virginia on March 19, 2003 as Instrument No. 030005766.

references therein contained for a finther and more particular description of the property hereby

THIS CONVEYANCE IS MADE SUBJECT TO all duly recorded and enforceable
restrictions, easements, and rights of way, including but not limited to, that certain Deed of Gift

AND DEEDS OF TRUST MODIFICATION
THIS DEED, dated as of the 7th day of December , 2006, by and among
BROOKFIELD STEPHENSON VILLAGE, L.L.C., a Virginia limited liability company
(hereinafter referred to as 'Brookfield"); LENKA LUNDSTEN, TRUSTEE and LINDA M.
LONG, TRUSTEE, Trustees, either of whom may act (hereinafter collectively referred to as the
'BOA Trustees"); BANK OF AMERICA, N.A. (hereinafter referred to as 'BOA");
STEPHENSON ASSOCIATES, L.C., a Virginia limited liability company (hereinafter referred
to as "Stephenson") (Brookfield and Stephenson are sometimes hereinafter collectively referred
to as the "Owners"); THOMAS A. LOUTHAN, TRUSTEE and H. EDMUNDS
COLEMAN. III, TRUSTEE, Trustees, either of whom may act (hereinafter collectively
referred to as the "C&S Trustees") (the BOA Trustees and the C&S Trustees are sometimes
hereinafter collectively referred to as the "Trustees"); and, CRIDER & SHOCKEY, INC. OF
WEST VIRGINIA (hereinafter referred to as "C&S").

RECITALS:
A. The Owners are the owners and proprietors of certain real property (the
"Property") as shown on an unnumbered plat dated April 28, 2006, entitled "Final Plat for
Boundary Line Adjustment Between the Lands of Stephenson Associates, L.C. and
Brookfield Stephenson Village, L.L.C.", and prepared by Greenway Engineering, certified
land surveyors (the "Plat") which Plat is attached hereto. The Property is situate in Stonewall
Election District, Frederick County, Virginia; Brookfield having acquired its portion of the
Property ("Parcel 293") by deed recorded as Instrument Number 040021293 at Page 0310,
adjusted by Instrument Number 040011938 at Page 0166 and Instrument Number 040020874 at
Page 0330, all among the land records of Frederick County, Virginia (the "Land Records"); and
Stephenson having acquired its portion of the Property ("Parcel 31A") by deed recorded as
Instrument Number 030005766 at Page 0271, adjusted by Instrument Number 040011938 at
Page 0166 and Instrument Number 040020874 at Page 0330, all among the Land Records.
B. It is the desire and intent of Owners to adjust various common boundary lines of
individual Owners as shown on the Plat and as hereinafter provided.
C. Parcel 293 is subject to the lien of a certain Deed of Trust dated November 24,
2004, and recorded as Instrument Number 040024825 at Page 0103 among the Land Records
(the 'BOA Deed of Trust"), wherein Parcel 293 was conveyed unto the BOA Trustees, either
of whom may act, in trust, to secure a certain indebtedness, as more specifically set forth therein.
D. Parcel 31A is subject to the lien of a certain Deed of Trust dated September 27,
1996, and recorded in Deed Book 866 at Page 1293 among the Land Records (the "C&S Deed
of Trust"), wherein Parcel 31A was conveyed unto the C&S Trustees, either of whom may act,

in trust, to secure a certain indebtedness, as more specifically set forth therein. tD
PARCEL ADJUSTMENTS
NOW, THEREFORE, WITNFSSETH, that for and in consideration of the facts reflected
in the recitations set forth herein, the consideration received therefor by the Owners, and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the Owners hereby adjust and reconfigure the common boundaries of the existing Parcel 293 and
Parcel 31A in accordance with the Plat attached hereto.
The lands hereby conveyed are adjacent to and contiguous with each other. These
conveyances of land are made for the purpose of adjusting the boundary lines of said presently
owned lands of the Owners.
QUITCLAIMS
THIS DEED FURTHER WTTNESSETH, that in consideration of the conveyances made
hereby and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, Stephenson hereby GRANTS AND CONVEYS, WITH SPECIAL WARRANTY
OF TITLE, unto Brookfield, all its right, title and interest, if any, in and to Parcel 293, as
adjusted herein and as more particularly shown and depicted on the Plat. To have and to hold
Parcel 293, together with all rights, privileges and advantages [hereunto belonging or
appertaining to Brookfield, its successors and assigns, forever.
THIS DEED FURTHER WTTNESSETH, that in consideration of the conveyances made
hereby and other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, Brookfield hereby GRANTS AND CONVEYS, WITH SPECIAL WARRANTY
OF TITLE, unto Stephenson, all its right, title and interest, if any, in and to Parcel 31A, as

adjusted herein and as more particularly shown and depicted on the Plat. To have and to hold
Parcel 31A, together with all rights, privileges and advantages thereunto belonging or
appertaining to Stephenson, its successors and assigns, forever.
CONFIRMATION OF ACREAGES
The Parcels, as adjusted, now contain the following acreages:

BOA DEED OF TRUST MODIFICATION
THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the
sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, the
BOA Trustees, as authorized to act by BOA, as shown by its execution hereto, do hereby consent
and agree to the boundary line adjustments, as provided for in this Deed and pursuant to the Plat.
Further, the BOA Deed of Trust is hereby amended to add those portions of the Property
incorporated into Parcel 392, and to release those portions of the Property conveyed out of Parcel
293, so that the lien of the BOA Deed of Trust shall include, without limiting any other
properties already subject to its lien, new Parcel 293, which parcel is owned by Brookfield. The
BOA Trustees and BOA have executed this Deed to evidence their consent to the modification
herein accomplished. Brookfield hereby grants and conveys, with Special Warranty of Title,
unto the Trustee, new Parcel 293, as herein adjusted, subject to the terms and conditions of the
BOA Deed of Trust.

The portions of the Property conveyed are subject to all recorded easements, conditions,
restrictions, and agreements that lawfully apply to such portions or any part thereof.
TO HAVE AND TO HOLD the portions of the Property conveyed, together with all
rights, privileges, and advantages thereunto belonging or appertaining to the respective
individual Owners, their successors or assigns, forever.
It is expressly understood that the subject adjustments of the Property, as consented to
herein by the BOA Trustees, shall not affect in any way the lien of the BOA Deed of Trust upon
the land conveyed thereby and shall remain in full force and effect upon said land, as adjusted
hereunder.
C&S DEED OF TRUST MODIFICATION
THIS DEED FURTHER WTTNESSETH, that in consideration of the premises and the
sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, the C&S
Trustees, as authorized to act by C&S, as shown by its execution hereto, do hereby consent and
agree to the boundary line adjustments, as provided for in this Deed and pursuant to the Plat.
Further, the C&S Deed of Trust is hereby amended to add those portions of the Property
incorporated into Parcel 31A, and to release those portions of the Property conveyed out of
Parcel 31A, so that the lien of the C&S Deed of Trust shall include, without limiting any other
properties already subject to its lien, new Parcel 31A, which parcel is owned by Stephenson.
The C&S Trustees and C&S have executed this Deed to evidence their consent to the
modification herein accomplished. Stephenson hereby grants and conveys, with Special
Warranty of Title, unto the C&S Trustees, new Parcel 31A, as herein adjusted, subject to the
terms and conditions of the C&S Deed of Trust.

The portions of the Property conveyed are subject to all recorded easements, conditions,
restrictions, and agreements that lawfully apply to such portions or any part thereof.
TO HAVE AND TO HOLD the portions of the Property conveyed, together with all

individual Owners, their successors or assigns, forever.
It is expressly understood that the subject adjustments of the Property, as consented to
herein by the Trustee, shall not affect in any way the lienof the C&S Deed of Trust upon the
land conveyed thereby and shall remain in full force and effect upon said land, as adjusted
hereunder.
STATUTORY COMPLIANCE
The platting of the land and adjustment of the boundary lines provided by this instrument
is made with the free consent and in accordance with the desires of the Owners and the Trustees
and in accordance with the provisions of Virginia Code Section 15.2-2264, and applicable
regulations of Frederick County, Virginia, as evidenced by the approval of said boundary line
adjustment by authorized officials of Frederick County, Virginia, as noted on the attached plat.

The revised Master Development Plan for this property appears to have significant measurable impact
on Route 711, the VDOT facility which would provide access to the property. The revised Master
Development Plan is acceptable.
Before making any final comments, this office will require a complete set of site plans, drainage
calculations and traffic flow data from the I.T.E. Trip Generation Manual, Seventh Edition for review.
VDOT reserves the right to comment on all right-of-way needs, including right-of-way dedications,
traffic signalization, and off -site roadway improvements and drainage. Prior to construction on the
State's right-of-way the developer will need to apply to this office for issuance of appropriate permits
to cover said work.

We have reviewed the information you sent regarding the Snowden Bridge Master Development
Plan Revision, which changes the numbers of each housing type proposed. We estimate that the
14 fewer single-family detached units, 58 more single-family attached units, and 50 fewer
multifamily units in this development will increase the students generated by this
development by seven (7). Bused on Tune student membership, that's an increase of 0.05%.
Accordingly, Frederick County Public Schools has no concerns regarding this MDP revision.

It was good talking to you earlier this week. As we discussed, Brookfield Homes has directed
Greenway to revise the Snowden Bridge Master Development Plan to eliminate the court yard
cluster single family housing and incorporate additional townhouse units. We met with the
Planning Department and it was agreed that this revision could be processed for
administrative approval following our obtaining all review agency comments.

I have attached two PDFs whodemonstrate the revisions with red highlights for your review.
Sheet 13 demonstrates the location within the project site in which there is a change in the
housing product type, while Table #1 on Sheet 6 provides information regarding the total
housing units that are planned to date. In order to assist you with your analysis, I have
