TRUBAN, Trustee, party of the third part; and WACHOVIA HANK OF NORTH CAROLINA, N•A•, party of the fourth part. WHEREAS, the Declarant is the owner in fee simple of the 66.4312 acres shown on the attached plat drawn by Gilbert W. Clifford & Associates, Inc., Engineers - Land Planners - Surveyors, dated July 30, 1993, revised August 6, 1993 and August 16, 1993 (hereinafter referred to as the "Subdivision Plat"), known as "The Henkel -Harris Company, Incorporated Subdivision", which property is further described on the Final Master Development Plan of The Henkel -Harris Company, Incorporated Subdivision as filed in the Office of the Frederick County, Virginia, Department of Planning and Development; and WHEREAS, this 66.4312 acre parcel of real estate is the same land, in its entirety, that was conveyed to the DECLARANT by deed dated January 22, 1988, from Capitol Records, Inc., a Delaware Corporation, of record in the Office of the Clerk of the Circuit Court of Frederick County, Virginia, in Deed Book 670 at Page 332, and in the Office of the Clerk of the Circuit Court of the City of Winchester, Virginia, in Deed Book 221 at Page 266; and WHEREAS, the said 66.4312 acre parcel is subject to a Deed of Trust, Assignment of Rents and Security Agreement dated October 26, 1992, of record in the Office of the Clerk of the Circuit Court of Frederick County, Virginia, in Deed Book 786 at Page 971, and in the Office of the Clerk of the Circuit Court of the City of Winchester, Virginia, in Deed Book 254 at Page 1805, granted by Declarant to John W. Truban, Trustee, to secure Wachovia Bank of North Carolina, N.A., a certain indebtedness described therein; and WHEREAS, the Declarant desires to provide for the widening and improvement of Shawnee Drive (Virginia Secondary Route #652), and therefore desires to dedicate, for public street purposes, "Parcel 111, containing 0.2310 acres, as shown on the attached Subdivision Plat; and WHEREAS, the Declarant desires to provide ingress to and egress from the subdivision to Shawnee Drive (Virginia Secondary Route 1652), such ingress and egress to be over and through "Parcel 5" and "Parcel 1111, and Declarant desires to dedicate "Parcel 511, containing 1.5183 acres, and "Parcel 1111, containing 1.4914 acres, all as more particularly shown on the attached Subdivision Plat; and WHEREAS, said real estate, as shown on the attached Subdivision Plat, has been subdivided into lots, and the Subdivision Plat shows accurately the metes and bounds of the subdivided land, together with the dimensions of each lot thereof and also shows certain existing and proposed easements, all of which constitute The Henkel -Harris Company, Incorporated Subdivision; and WHEREAS, the Declarant now desires to subdivide the same into lots to be known as THE HENKEL-HARRIS COMPANY, INCORPORATED SUBDIVISION. The subdivision of said real estate and the dedication of Parcels 1, 5 and 11 is with the free consent and in accordance with the desires of the undersigned Declarant, Trustee, and Beneficiary, and the parties hereto further desire to subdivide the aforesaid real estate in accordance with the provisions of "The Virginia Land Subdivision Act" as are applicable and in force and effect as of the date of execution of this Deed of Dedication. NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH: That for and in consideration of the premises and of the aforesaid and the benefits which will accrue by reason of this Dedication, the Declarant does hereby: 2 1. Subdivide the land as shown on the attached Subdivision Plat of Gilbert W. Clifford & Associates, Inc., Engineers - Land Planners - Surveyors, dated July 30, 1993, revised August 6, 1993 and August 16, 1993, such subdivision designated as The Henkel -Harris Company, Incorporated Subdivision, which plat is drawn in conformity with the Final Master Development Plan for The Henkel -Harris Company, Incorporated Subdivision on file in the Office of the Frederick County, Virginia, Department of Planning and Development. This is the same real estate conveyed to the Declarant by Deed dated January 22, 1988, from Capitol Records, Inc., a Delaware Corporation, of record in the Office of the Clerk of the Circuit Court of Frederick County, Virginia, in Deed Book 670 at Page 332, and in the Office of the Clerk of the Circuit Court of the City of Winchester, Virginia, in Deed Book 221 at Page 266; and 2. Grant and dedicate to the County of Frederick, Virginia, for public street purposes, "Parcel 111, containing 0.2310 acre, "Parcel 511, containing 1.5183 acres, and "Parcel 11", containing 1.4914 acres, all as more particularly described on the attached Subdivision Plat of Gilbert W. Clifford & Associates, Inc., Engineers - Land Planners - Surveyors, dated July 30, 1993, revised August 6, 1993 and August 16, 1993. Storm and Surface Water Draivaae Basements: The property subdivided herein and hereby is subject to those certain easements, rights of way, and/or servitudes shown and designated as "SWMP" and "PROPOSED STORM CHANNEL" on the Final Master Development Plan of The Henkel -Harris Company, Incorporated Subdivision, which is on file in the Office of the Frederick County, Virginia, Department of Planning and Development, all for the purpose of channeling, managing, and containing surface and storm water drainage. No structures of 3 any kind which substantially impede or obstruct the flow or ponding of storm or surface drainage water may be placed within said storm or surface water drainage easements designated on the aforesaid Final Master Development Plan. The developer is committed to providing a state maintained street to service all parcels. The decision as to whether parcel 5 or parcel 3 will be the main entrance to the park is not yet tied down.
