Here's the original of the Deed of Dedication and Subdivision concerning
America House which is going to be located on Tasker Road. You have the original
of the plat and I would ask that you attach it to this Deed of Dedication and
Subdivision and once you have received the proper bonding for the road
construction, that you execute the plat which will allow the same to be placed of
record with a closing between the seller and the buyer shortly thereafter.
We enclose a check for $320.00 to cover the application fee for the
subdivision and when Mike gets back, if there is an application to be filled out, I
will work that out with him.

THIS DEED OF DEDICATION AND SUBDIVISION, made and dated this
day of , 1999, by and between JASBO, INC., a Virginia

Corporation, hereinafter referred to as "JASBO" and THE COUNTY OF
FREDERICK, VIRGINIA (hereinafter "Frederick County").
WHEREAS, Jasbo is the owner of certain property lying and being situate in
Opequon Magisterial District, Frederick County,,^Virginia, as set forth on the
attached plat of Mark D. Smith, Land Surveygp, dated September 22, 1998,
having acquired said property by deed dated December 12, 1986, and recorded in
the Office of the Clerk of the Circuit Court of Frederick County, Virginia, in Deed
Book 634 at Page 499; and
WHEREAS, in consideration of the subdivision, Jasbo has agreed to
dedicate a 46 foot road right of way (0.2563 acres) (future Spanish Oak Road), as
designated on the attached plat; and,
WHEREAS, Jasbo desires to subdivide said property and has secured the
approval of Frederick County, Virginia, to do so.
NOW, THEREFORE, JASBO, by its signature hereto, does:
1. Dedicate to Frederick County, Virginia that certain parcel of land
containing 0.2563 acres designated 46' Road Right of Way (future Spanish Oak
Road), as more particularly shown on that certain plat entitled "Final Subdivision
Plat of a portion of the land of Jasbo, Inc., Plat Showing 4.2889 Acres (Parcel A)
las standing in the name of Jasbo, Inc.", made by P. Duane Brown, L.S., dated
September 22, 1998, attached hereto and made a part hereof.
This Subdivision as shown on the aforesaid attached plat and the
Idedication of land is with the free consent and in accordance with the desires of

We are preparing the deed of conveyance with regard to the
Jasbo, Inc. to America House transaction and make reference to
Othe subdivision plat which is to be recorded in order that this
transaction can be completed.
I am forwarding, by copy of this letter, to Mr. Mike Ruddy,
P the copies of the subdivision plat that have been signed by
everyone and needs only his signature in order to record.
However, before recording, letters of credit, or other bonding is
necessary to insure the completion of the water, sewer and road
improvements, the figures that the county has established for the
ybonding requirements being as follows:
1. Spanish Oak Road - $65,000.00
2. For the sewer - $15,000.00
3. For the water - $10,000.00
I also am enclosing with your letter and the letter to Mr.
Ruddy, a copy of John Whitacre's letter signifying that the
Frederick County Sanitation Authority has completed the lines as
being installed per their specifications. Accordingly Jasbo,
Inc. will bond the construction of the water line in the amount
of $10,000.00, by letter of credit from F & M Bank - Winchester
and America House should likewise, pursuant to their agreement,
secure a letter of credit or bond in the amount of $65,000.00 for
the road construction.
I am sending to you a prototype letter of credit that the
county accepts with regard to projects of this type.
Of course, the other details concerning the closing, in
addition to the deed of conveyance, consist of the $42,889.00
cash payment with a note for the remainder of the purchase price
secured by a deed of trust from the land conveyed.
