THIS DEED OF DEDICATION, SUBDIVISION AND DECLARATION
OF EASEMENTS, and VACATION OF EASEMENTS made and dated this
l� day of , 200%, by and between WHITING ROAD, LLC, a
Virginia Limited Liability Company, hereinafter called the "Declarant", party of
the first part, and the COUNTY OF FREDERICK, VIRGINIA, hereinafter
called "County", and VIRGINIA DEPARTMENT OF TRANSPORTATION,
hereinafter called "VDOT".
WHEREAS, the Declarant is the owner in fee simple of the real estate
shown on the Final Subdivision Plat for Annandale Allied Industrial Park Land of
Whiting Road, LLC dated September 28, 2007, prepared by Urban, Ltd., which is
attached hereto and made a part hereof. This is the same real estate previously
conveyed to Declarant by that certain Deed dated September 7, 2006 and recorded
as Instrument No. 060017280 and by Deed dated June 22, 2007 and recorded as
Instrument No. 0700103 71 , and by Deed of Boundary Line Adjustment dated June
221, 2007 and recorded as Instrument No. 070010370, among the land records of
the Clerk of the Circuit Court of Frederick County, Virginia.
WHEREAS, said real estate as shown on the aforesaid attached Final
Subdivision Plat has been subdivided into six (6) lots and the hereinabove Final
Plat shows accurately the metes and bounds of the subdivided land, together with

the dimensions of each lot thereon, and also shows certain surrounding lands in
said Subdivision to be used as public streets, open space, sanitary sewer easements,
water, utility, ingress/egress, drainage and signage easements, and reserved area,
reservation area, and landscape easement as well, all of which constitute a portion
of that development known as Annandale Allied Industrial Park Land of Whiting
Road, LLC.
WHEREAS, the Subdivision of Annandale Allied Industrial Park as shown
on the aforesaid attached Final Subdivision Plat is with the free consent and in
accordance with the desire of the undersigned Declarant, and the Declarant further
desires to subdivide the aforesaid real estate in accordance with the provisions of
"The Virginia Land Subdivision Act" as applicable and in force and effect as of the
date of execution of this Deed of Dedication.
NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH:
That for and in consideration of the premises and the benefits which will accrue by
reason of this Dedication the Declarant does hereby subdivide all of that certain
tract or parcel of land designated as Annandale Allied Industrial Park lying and
being situate in the County of Frederick, Virginia, and more particularly described
on that certain Final Subdivision Plat of Annandale Allied Industrial Park Land of
Whiting Road, LLC, dated September 28, 2007, prepared by Urban, Ltd. which is

attached hereto and made a part hereof as if set out in full. co
FOR AND IN CONSIDERATION AS AFORESAID, the Declarant does
further dedicate the 60 foot right of way referred to as "Frogale Court" on the
aforesaid Plat, to Frederick County, Virginia, for public use, which street dedicated
hereby and more particularly described in said attached Plat.
FURTHER, the Declarant does hereby dedicate that portion of land
consisting of 0.15142 Acres to Frederick County, Virginia, for public use as shown
on the attached Plat..
Further, an additional right of way and Easement over 2.318804 acres is
reserved to be dedicated to Virginia Department of Transportation or Frederick
County to accommodate potential future interchange for Route 37 and Shady Elm
Lane as shown on said plat and footnote 5 attached.
FURTHER, the Declarant does hereby grant and convey certain easements,
and rights of way as shown on said Plat as appurtenant easements that run with the
land which shall be binding on the successors and interests of the land.
Declarant shall retain the right to use its land which is subject to the
easements conveyed herein in any manner which shall not interfere with the use
and enjoyment of said easement rights by Grantee. Declarant or successors in title
shall at all times have the right to cross over and upon said easements and to use
the surface over the said easements in such manner as will neither injure nor
interfere with the construction operation or maintenance of the water lines and
water mains, except that no building or other structure shall be erected over said
permanent easement unless by mutual consent of the parties or their successors.
Further, the Declarant or its successors in title previously have dedicated or
conveyed to the Commonwealth of Virginia certain drainage easements identified
as existing 30 foot drainage easement to Commonwealth of Virginia, in Deed Book
449, at Page 400, and utility easements to Northern Virginia Power Company in
Deed Book 252, at Page 504, and Deed Book 204, at Page 491, and the Declarant
does hereby intend to vacate said easements and rights of way noted above.
NOW, THEREFORE, the Declarant does hereby vacate the existing 30 foot
drainage easement to Commonwealth of Virginia in Deed Book 449, at Page 400,
identified on said Plat, and does hereby vacate the right of way and easement to
Northern Virginia Power Company recorded in Deed Book 252, at Page 501, and
in Deed Book 204, at Page 491..

THIS DEED OF DEDICATION, SUBDIVISION AND DECLARATION
OF EASEMENTS, and VACATION OF EASEMENTS made and dated this
day of , 2007, by and between WHITING ROAD, LLC, a
Virginia Limited Liability Company, hereinafter called the "Declarant", parry of
the first part, and the COUNTY OF FREDERICK, VIRGINIA, hereinafter
called "County", and VIRGINIA DEPARTMENT OF TRANSPORTATION,
hereinafter called "VDOT".
WHEREAS, the Declarant is the owner in fee simple of the real estate
shown on the Final Subdivision Plat for Annandale Allied Industrial Park Land of
Whiting Road, LLC dated September 28, 2007, prepared by Urban, Ltd., which is
attached hereto and made a part hereof. This is the same real estate previously
conveyed to Declarant by that certain Deed dated September 7, 2006 and recorded
as Instrument No. 060017280 and by Deed dated June 22, 2007 and recorded as
Instrument No. 070010371, and by Deed of Boundary Line Adjustment dated June
22, 2007 and recorded as Instrument No. 070010370, among the land records of
the Clerk of the Circuit Court of Frederick County, Virginia.
WHEREAS, said real estate as shown on the aforesaid attached Final
Subdivision Plat has been subdivided into six (6) lots and the hereinabove Final
Plat shows accurately the metes and bounds of the subdivided land, together with
the dimensions of each lot thereon, and also shows certain surrounding lands in
said Subdivision to be used as public streets, open space, sanitary sewer easements,
water, utility, ingress/egress, drainage and signage easements, and reserved area,
reservation area, and landscape easement as well, all of which constitute a portion
of that development known as Annandale Allied Industrial Park Land of Whiting
Road, LLC.
WHEREAS, the Subdivision of Annandale Allied Industrial Park as shown
on the aforesaid attached Final Subdivision Plat is with the free consent and in
accordance with the desire of the undersigned Declarant, and the Declarant further
desires to subdivide the aforesaid real estate in accordance with the provisions of
"The Virginia Land Subdivision Act" as applicable and in force and effect as of the
date of execution of this Deed of Dedication.
NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH:
That for and in consideration of the premises and the benefits which will accrue by
reason of this Dedication, the Declarant does hereby subdivide all of that certain
tract or parcel of land designated as Annandale Allied Industrial Park lying and
being situate in the County of Frederick, Virginia, and more particularly described
on that certain Final Subdivision Plat of Annandale Allied Industrial Park Land of
Whiting Road, LLC, dated September 28, 2007, prepared by Urban, Ltd. which is
attached hereto and made apart hereof as if set out in full.
FOR AND IN CONSIDERATION AS AFORESAID, the Declarant does
further dedicate the 60 foot right of way referred to as "Frogale Court" on the
aforesaid Plat, to Frederick County, Virginia, for public use, which street dedicated
hereby and more particularly described in said attached Plat.
FURTHER, the Declarant does hereby dedicate that portion of land
consisting of 0.15142 Acres to Frederick County, Virginia, for public use as shown
on the attached Plat..
Further, an additional right of way and Easement over 2.318804 acres is
reserved to be dedicated to Virginia Department of Transportation or Frederick
County to accommodate potential future interchange for Route 37 and Shady Elm
Lane as shown on said plat and footnote 5 attached.
FURTHER, the Declarant does hereby grant and convey certain easements,
and rights of way as shown on said Plat as appurtenant easements that run with the
land which shall be binding on the successors and interests of the land.
Declarant shall retain the right to use its land which is subject to the
easements conveyed herein in any manner which shall not interfere with the use
and enjoyment of said easement rights by Grantee. Declarant or successors in title
shall at all times have the right to cross over and upon said easements and to use
the surface over the said easements in such manner as will neither injure nor
interfere with the construction, operation or maintenance of the water lines and
water mains, except that no building or other structure shall be erected over said
permanent easement unless by mutual consent of the parties or their successors.
Further, the Declarant or its successors in title previously have dedicated or
conveyed to the Commonwealth of Virginia certain drainage easements identified
as existing 30 foot drainage easement to Commonwealth of Virginia, in Deed Book
449, at Page 400, and utility easements to Northern Virginia Power Company in
Deed Book 252, at Page 504, and Deed Book 204, at Page 491, and the Declarant
does hereby intend to vacate said easements and rights of way noted above.
NOW, THEREFORE, the Declarant does hereby vacate the existing 30 foot
drainage easement to Commonwealth of Virginia in Deed Book 449, at Page 400,
identified on said Plat, and does hereby vacate the right of way and easement to
Northern Virginia Power Company recorded in Deed Book 252, at Page 501, and
in Deed Book 204, at Page 491..

Subdivision Plats; Property Identification Number (PIN): 63-A-61
Dear Carl:
Thank you for providing me with the opportunity to review the Subdivision Plats for the proposed
development referred to as Annandale Allied Industrial Park. I have reviewed the plats for
preliminary comments, as follows:
1. On sheet 1, revise the signature approval line to read "Frederick County Zoning & Subdivision
Administrator."
2. On sheet 2, provide the adjoining property owner information for all adjoining properties,
including those located across Shady Elm Road.
3. On sheet 3, provide the acreage for the 37 dedication area. The word area is misspelled.
4. On sheet 3, provide the legal reference and the speed limit for Route 37 and Shady Elm.
5. On sheet 3, regarding the reference to .15 acres dedicated to Frederick County for public use, this
appears to be the ten foot right-of-way dedication for Shady Elm Road. Please verify.

provide clarification.

This is to acknowledge receipt of your revised plans dated September 21, 2007 for the
referenced project. The plans appear satisfactory and are approved. Please advise
the developer accordingly. We have already received the six sets of approved
construction plans with signed seal for VDOT distribution.
I offer the following comments:
• A preconstruction conference be held by the engineer and/or developer with
the attendance of the contractor, various County agencies and VDOT prior to
initiation of work.
• Materials used and method of construction shall apply to current observed VDOT
Road & Bridge Specifications applicable during construction of this development.
• Our review and comments are general in nature. Should conditions in the field
exist such that additional measures are warranted, such measures shall be
completed to the satisfaction of the Department prior to inclusion into the
Secondary Road System.
• Attached is a copy of the minimum requirements and information needed prior
to acceptance of subdivision streets into the Secondary System. This is the
responsibility of the developer.
• All drainage is to be carried within the right-of-way in ditch lines or gutters along
the street to a pipe or drainage easement.
• The contractor shall notify VDOT when work is to begin or cease for any
undetermined length of time. VDOT will also require 48 hours notice for
inspections.
• The appropriate land use permits shall be obtained before any work is performed
on the State's right-of-way. The permit is issued by this office and will require a
minimum processing fee, surety bond coverage, and the salary & expenses of a
State assigned Inspector.
• Any entrances constructed from the referenced street(s) shall meet VDOT
minimum standards. This is the developer's responsibility.

• Any signs to be installed will be in accordance with the approved plans and the
Manual on Uniform Traffic Control Devices (MUTCD) 2003 Edition.
• I suggest any utilities and/or storm sewer placed within the proposed right-of-way
be backfilled completely with C.R. Type 21-B Stone. This will greatly reduce the
possibility of any pavement settlement.
• A copy of any/all recorded plats of dedication for drainage easements or
additional right-of-way required for implementation of this proposed project
should be provided to VDOT prior to issuance of any land use permit.
Dedication should be made to the Commonwealth of Virginia.
• A copy of any/all RECORDED PLATS of dedication to public use (the County of
Frede(ck) for drainage easements or additional right-of-way required for
implementation of this proposed project should be provided for VDOT review
prior to issuance of any land use permit.

Dear Mr. Johnson:
Thank you for providing me with the opportunity to review the Subdivision Design Plan for the
proposed development referred to as Annandale Allied Industrial Park. As you know, this plan
cannot be granted approval until the Master Development Plan is approved by the Frederick
County Board of Supervisors and all County agencies. However, I have reviewed the SDP for
preliminary comments, as follows:
1. Signature Lines. Revise the signature approval line to read "Frederick County Zoning &
Subdivision Administrator", and provide a signature block for the owner of the property.

of lots in this subdivision, and match the total area of the property to the total area
