As you know the resident voters of Autumn Glen include mostly senior citizens, retirees, widows or widowers. The developer of Autumn Glen has attempted to take advantage of our members and we have looked to our county government for protection. We have been patient and tried to resolve these problems with Mr. Arnold by direct communication with him. Also, our interaction with your office on numerous occasions has only resulted in minimal improvements being made. Now our frustrations have led us to the conclusion that we must consider other approaches if the matter is ever to be resolved. To this end the association board of directors have decided to compile a compendium containing copies of all relative communications we have had with Mr. Arnold, our legal representative, and your office along with an explanatory letter. We intend to and give this compendium to the press. By so doing it is our sincere hope that their coverage will spark remedial action being taken. Of course we are reluctant to proceed on this course if it can be avoided. Therefore, be informed that we will not take this action until October 7, 2004 so that Frederick county may have time to enforce the ultimatum contained in your May 18 letter to Mr. Arnold. You are also reminded that Frederick County continues to hold four Letters of Credit in the amount of $62,505.00 to guarantee the required site improvements in Autumn Glen. The Planning Department continues to receive complaints regarding the quality and incompleteness of this project. Staff conducted a field visit on May 17, 2004 and confirmed that the construction of the recreation center building and site work is still incomplete. The following deficient items are noted: -Sidewalk along Tasker Road: Not completed; -Road efficiency buffer along Tasker Road: Insufficient quantity and dead trees; -Tall grass and weeds in and around storm water management facility; -Community Center incomplete; -Piles of debris and dirt to be removed in and around the storm water management facility; -Streets not in the State system; -Required individual plantings for each dwelling are insufficient. If the recreation center building construction and related site work are not completed within thirty (30) days, Frederick County will enforce the terms of the Letter of Credit by collecting the funds and ensuring the completion of this project. As vice-president and chairman of the landscape committee of "The Autumn Glen Homeowners Association" I wish to call the following to your attention before your department releases the developer of this subdivision (Mr. Don Arnold) from the terms governing his letters of credit. Be aware that as a committee we must be able to properly maintain the grounds of "Autumn Glen". This is not possible at the present time for the following reasons. 1). The new sidewalk along Tasker Road has been completed after a fashion. However, debris from the construction (Roots, Stones, Cement overflow etc.) were tossed into the area between the new sidewalk and the road. Also, the cement trucks caused deep ruts when the cement was delivered. Consequently this area must be cleaned up, a seed bed prepared and seeded. Obviously, this must be done so the area can be and mowed. 2). The Sidewalk along the east side of Lynn Drive has not been installed although it is clearly shown on our plat of the development dated 01/02/2001. 3). The water retention area continues to be an aggravation, a health hazard and an eye sore. It has discarded old roof trusses, rocks and other debris imbedded in the weeds, bushes and cattails that have been permitted to flourish therein. Also there are ruts from heavy equipment in the ground that will have to be smoothed over before the area can be properly maintained. We believe that it is the responsibility of the developer to return this area to a condition where it can be properly maintained by the association. A recent letter in the "Winchester Star" addressed situations such as ours in which developers fail to fulfill the obligations they undertake, perform sub -standard work or otherwise ignore legitimate concerns of their clients. It was pointed out that in many such instances at some point necessary corrective actions become a burden of the county government. This puts stress on budgets that are already stretched too the limit. We urge you to pursue this matter vigorously and avoid unnecessary county involvement and expense. R. L. Horsburgh cc: C. S. Approval of Revised Subdivision Design Plan and Site Development Plan for Autumn Glen - Section One Dear Mark: Frederick County administratively approved a revision to the referenced Subdivision Design Plan and Site Development Plan on September 25, 2000. This plan was revised to establish 44 duplex lots and 6 multiplex lots within the first section of Autumn Glen. Additional revisions within Section One include the provision of a recreational center with parking; a picnic pavilion with tables and grills; and enhancements to the road efficiency buffer to provide 75 white pine trees which provide screening to the limits of lot 5A. Please note that the developer of this project is required to provide recreational amenities during the development of Section One, as well as participate in the development of 450 linear feet of sidewalk and a common shared buffer and screening easement between this project and the B-2 District parcel located on the east side of Lynn Drive. The applicant has committed to submit a detailed site plan for the development of the recreational center, as well as the submittal of an executed common shared buffer and screening easement agreement between all appropriate parties within 30 days of the date of this approval letter. ARTICLE V Section 1. "Association" shall mean and refer to Autumn Glen -Frederick County, Virginia Homeowners Association, Inc., a nonstock Virginia Corporation, its successors and assigns. ARTICLE IX PROPERTY RIGHTS IN COMMON PROPERTIES Section 1. In computing the required vote of the Members in connection with any such mortgage of the Common Areas, the lots owned by the DECLARANT shall not be included. All Members shall be given notice of any such proposed mortgage of said Common Areas as set forth in Paragraph (c) infra. (b): The rights of the Association to adopt rules and regulations concerning the use of the Common Areas. Assessments: The Declarant, for each Lot owned, hereby covenants, and each Owner of any Lot by acceptance of a deed therefor, whether or not it shall be so expressed in any such deed or other conveyance, is deemed to covenant and agrees to pay to the Association: (1) annual assessments or charges, and (2) special assessments for capital improvements, such assessments to be fixed, established and collected from time to time as hereinafter provided. Section 3. Basis and Maximum of Annual Assessments: Until January 1 of the year immediately following the conveyance of the first Lot by the Declarant (other than conveyances by the Declarant to secure an obligation, the maximum annual assessment shall be One Thousand Four Hundred Dollars ($1,400.00) per Lot. Special Assessments for Capital Improvements. In addition to the annual assessments authorized above, the Association may levy in any assessment year a special assessment, applicable to that year only, for the purpose of defraying, in whole or in part, the cost of any construction or reconstruction, unexpected repair or replacement of a described capital improvement upon the Common Areas, specifically including but not limited to maintenance, repair and improvement of any Association -owned property within said Subdivision, including the necessary fixtures and personal property related thereto, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of Members who are voting in person or by proxy at a meeting duly called for this purpose, written notice of which shall be sent to all Members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting, setting forth the purposes of the meeting. Section 5. Ouorum for any Action Authority Under Sections 3 and 4. If the required quorum is not forthcoming at any meeting, another meeting may be called, subject to the notice requirement set forth in Sections 3 or 4 and the required quorum at any such subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting. No such subsequent meeting shall be held more than ninety (90) days following the preceding meeting. Section 6. Date of Commencement of Annual Assessments. DUE DATE: The annual assessments provided for herein shall commence as to all Lots on the first day of the month following the conveyance of the first lot to a third party purchaser by the Declarant. The first annual assessment shall be adjusted according to the number of months remaining in the calendar year. The Board of Directors shall fix the amount of the annual assessment against each Lot at least thirty (30) days in advance of each annual assessment period. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board of Directors. The Association shall, upon demand at any time, furnish a certificate in writing signed by a designated representative of the Association, setting forth whether the assessments on a specified Lot have been paid. A reasonable charge may be made by the Board for the issuance of these certificates. Such certificates shall be conclusive evidence of payment of any assessment therein stated to have been paid. With regard to any enforcement action (whether judicial or extra- judicial) to collect any assessment the Association shall be entitled to collect its reasonable attorney fees and costs related thereto. No Owner may waive or otherwise escape liability for the assessments provided for herein by non-use of the "Common Areas" or abandonment of his Lot. Section B. Subordination of the Lien to Mortgages. The lien of the assessments provided for herein shall be subordinate to the lien of any deed of trust now or hereafter encumbering any Lot. Sale or transfer of any Lot shall not affect the assessment lien. No signs or advertising of any nature shall be erected or maintained on any Lot except "For Sale" signs for said Lot which signs shall not exceed five (5) square feet in area, or signs used by the Declarant to advertise the property during construction and sale. No "For Rent" signs shall be allowed or displayed on any Lot. 3. No boats, mobile homes, motor homes, campers, commercial buses, trailers of any type, tractors, trucks or other motor vehicles (other than automobiles, motorcycles, pickup trucks of 3/4 ton (or less) and vans) shall be permitted on any Lot except during the course of construction of the unit. No motor vehicle or material portion thereof which does not have a current license and current Virginia inspection sticker shall be permitted on any Lot. 4. No animals of any kind (including livestock, poultry or birds) shall be permitted on any Lot, except that dogs, cats and other usual household pets may be kept, provided that they are not kept, bred or maintained for commercial or charitable purposes.or in unusual numbers. No outside animal shelter shall be allowed on any lot. 5. No noxious or offensive activities shall be carried on upon any Lot nor shall anything be done thereon which may be, or may become, an annoyance or nuisance to the other lot owners. No fence or hedge shall be constructed or planted in front nor along the side (not applicable to corner lots) of any unit, nor within twenty-five (25) feet of any street. Rear fencing and hedges shall not exceed six (6) feet in height. All fencing shall be constructed of wood. 7. In the event that a unit is destroyed, the owner of the unit, within thirty (30) days from said destruction, shall clear away any debris and the remaining portion of the unit and maintain the Lot in a neat and orderly condition. 8. In the event a unit is damaged, or has materially deteriorated, the owner of the unit shall immediately repair the damage or deterioration. 9. No Lot shall be used or maintained as a dumping ground for rubbish. Trash, garbage or other waste shall be kept in sanitary containers. No refuse, or any container for same, shall be placed or stored in front of any unit, except on the date of garbage pickup. 10. No exterior clotheslines, or hanging device, shall be permitted on any Lot, except for a portable umbrella -type with a diameter not to exceed seven (7) feet; provided, however, that the same may only be used in the rear of any unit constructed on said Lot and further that the clothes line is stored within a garage, utility building or the equivalent when the clothes line is not in use. 11. All driveways are to be constructed of concrete and driveway aprons shall be installed per the specifications required by the Virginia Department of Transportation. 12. All units shall have 1,200 square feet of living space. Living space shall be computed by using outside foundation measurements and shall be exclusive of garages and basements. 14. Roof pitches shall be 5/12 or greater. 15. The foundation of all houses shall have a brick veneer from the house plate to the ground surface which brick veneer shall be on the side of the house facing the street and on the side of the unit (if applicable) facing the side lines. No brick veneer is required on the side of the house facing the rear property line. In the alternative poured concrete walls, with a brick mold, and paint, shall be allowed. 16. There shall be no planting, structures, fences, shrubs or other obstruction placed that obstruct(s) vision, on any corner lot, which rises more than three feet above ground level, within 25 feet of any lot line that creates the border with any street. 17. No building, structure, addition nor exterior alteration or improvements of any character shall be constructed upon any Lot or unit located thereon, except as exterior painting is permitted by paragraph 13, unless the plan of construction, including quality of workmanship, design, colors and materials, shall have been approved in writing by the Board of Directors of the Association as being in harmony with the whole subdivision. 18. Each owner shall keep all lots owned by him and all improvements thereon in good order and repair, including, but not limited to, the seeding, watering and mowing of all lawns, the pruning and cutting of all trees and shrubbery, and the painting (or other appropriate external care) of all buildings and other improvements, all in a manner and with such frequency as is consistent with good property management. In the event an owner of any lot in Autumn Glen, Section I, or in future sections, shall fail to maintain the premises and improvements situated thereon as provided herein, the Association, after notice to the owner as provided in the Bylaws and approval by two thirds (2/3) vote of the Board of Directors, shall have the right to enter upon said lot to correct drainage and to repair, maintain and restore the lot and the exterior of the unit erected thereon. All cost related to such correction, repair or restoration, shall be at the expense of the lot owner and shall become a special assessment upon such lot for which a lien is created and which may be enforced pursuant to the provisions of Article X, Section 7. 20. The general rules of law regarding party walls and liability for property damages due to negligence or willful acts or omissions shall apply. The cost of reasonable repair and maintenance of a party wall shall be shared by the two adjoining landowners, except to the extent the wall is not of use to one of the Owners. Notwithstanding any other provision of this Article, if an owner by his negligence or willful act causes a party wall to be exposed to the elements such owner shall bear the whole cost of furnishing the necessary protection against such elements. The right of any owner to contribution from any other owner under this Article shall be appurtenance to the land and shall pass to such owner's successor in title. 21. No trees shall be planted nor other digging undertaken without first securing the approval of the local power company or other appropriate utility, and without first being advised as to the location of all underground electrical, telephone or other underground utility. 22. No baby carriages, bicycles or other articles of personal property shall be deposited, allowed or permitted to remain outside of any unit except in the rear area of the lot. The Association shall specifically have authority to impound all such articles that remain outside in violation of this provision and to make a charge for the safekeeping and return thereof. 23. If the construction of any unit causes an encroachment on the adjacent lot, then such encroachment shall be deemed a perpetual easement on the servient lot for the benefit of the dominant lot. 24. No lot upon which a unit has been constructed shall be further subdivided or separated into smaller lots by any owner HARRISON 3 JOHNSTON -1 % - ATTORNEYS AT LAW WINCHESTER. VIRGINIA and no portion less than all of such lot, nor any easement or other interest herein, shall be conveyed or transferred by an owner, provided that this shall not prohibit deeds of correction, deeds to resolve boundary disputes and similar corrective instruments. This prohibition shall not prevent the merger of two or more lots into a larger lot(s) provided that said merger shall never have the effect of reducing, in size, any lot affected by said merger. 25. The invalidation of any one of the covenants or restrictions contained herein by Court judgment or Court order shall in nowise affect any of the other provisions which shall remain in full force and effect. The failure of the Association, lot owners or the Declarant herein to enforce any covenants or restrictions shall not be deemed to be a waiver of the right to do so thereafter as to a default occurring prior or subsequent thereto. ARTICLE XIII EASEMENTS Section 1. Public Utility and Drainage Easements: The property dedicated hereby is subject to those certain easements or rights of way designated as Drainage Easements and Utility Easements on the aforesaid plat of Autumn Glen, Section I. The DECLARANT does hereby grant and convey unto Frederick County, Virginia, or other agency having jurisdiction thereof, a perpetual right of way or easement for the construction, reconstruction, maintenance and repair of the aforesaid easements and any related facility designated on the aforesaid plat as Drainage or Utility Easements. Section 2. Maintenance of Drainage Easements: The HARRISON d JOIiNSTON- ATTORNEYS AT LAW YNNCHESTER, MRGINIA maintenance of all drainage easements located within the subdivision shall be maintained by the Association and in the event that said Association does not maintain said areas and keep the same in good repair, then the Declarant and/or Frederick County, as the case may be, may come upon said property and make necessary repairs and perform whatever maintenance is necessary with the cost of the same to be borne by the Association and in the event that said Association does not pay for said repairs and/or maintenance when billed, then said charge shall become a lien upon the property belonging to the Association. Section 3. Ingress/Egress Easements Over Common Areas: The Common Areas shall be subject to easements for non -vehicular ingress and egress from the Lots to the streets located within Autumn Glen, Section I subject to Article IX, Section 1(b). Section 4. Reservations of Easements: (a) The DECLARANT reserves unto itself the right to erect, maintain, operate and replace underground telephone and electrical conduits, related equipment, and other facilities, including, but not limited to, sewer, gas, water and television lines and related equipment, and other utility equipment where such utility lines and equipment are located within the utility easements set forth on the Final Plat of Autumn Glen, Section I, and over the Common Areas, as needed, provided that such easements shall not unreasonably interfere with the use and enjoyment of the Common Areas. (b) The DECLARANT further reserves unto itself, for a period of five (5) years from the date of conveyance of the first lot in Autumn Glen, Section I Subdivision to a third party HARRISON 3 JOHNSTON- ATTORNEYS AT LAW WINCHESTER, VIRGINIA BK91 i"'1-199 purchaser, a blanket easement on, over and under the ground within said Subdivision to maintain and correct drainage of surface water in order to maintain reasonable standards of health, safety and appearance. Such right expressly includes the right to cut any trees, bushes or shrubbery, make any grading of the soil or to take any other similar action reasonably necessary, following which the DECLARANT shall restore the affected property to its original condition as near as practical. The DECLARANT shall give reasonable notice of intent to take such action to all affected owners, unless in the opinion of the DECLARANT an emergency exists which precludes such notice. The reservation by DECLARANT of such blanket easement and rights contained herein shall not, in any way, obligate DECLARANT to undertake any maintenance, repair or corrective action whatsoever and shall not impose any liability or responsibility upon DECLARANT therefore. (c) The Owner(s) shall have reasonable rights of access over the immediately adjacent Lot or Common Area for the maintenance, repair, construction or reconstruction of that portion of any dwelling house built upon a common boundary line. ARTICLE XIV GENERAL PROVISIONS Section 1. Enforcement: The Association, its successors or assigns, or any Owner, including the Declarant, shall have the right to enforce, by a proceeding at law or in equity, all restrictions, conditions, covenants, reservations, liens and charges, now or hereafter, imposed by the provisions set forth herein. All costs which the Association, its successors or assigns, or any Owner, or Declarant, shall incur in the successful enforcement of the restrictions, conditions, covenants, reservations, liens, and charges, now or hereafter imposed, shall be borne by the party against which action is taken and which costs shall include reasonable attorney's fees, costs and damages. Section 2. Severability: Invalidation of any one of these covenants or restrictions by judgment or court order shall in no way affect any other provision which shall remain in full force and effect, as described under Article XIV, Section 3, supra. Section 3. Amendment: The covenants and restrictions of this Declaration shall run with the land and bind the land, and shall inure to the benefit of and be enforceable by the Association, or the Owner of any Lot, or the Declarant, subject to this Deed of Dedication, their respective legal representatives, heirs, successors and assigns, for a term of fifteen (15) years from the date this Deed of Dedication is recorded, and continue thereafter unless, six months prior to the end of the fifteen (15) year period, an instrument signed by ninety (90) percent of the lot owners subject to these covenants, is placed of record in the Office of the Clerk of the Circuit Court of Frederick County, Virginia which instrument shall set forth any amendment hereto. Thereafter any amendment hereto may be made at any time by an instrument signed by ninety (90) percent of the lot owners subject to these covenants which instrument shall be recorded in the aforesaid Clerk's Office. This paragraph shall not act as a prohibition to the HARRISON 6 JOHNSTON I I _ 21 ATTORNEYS AT LAW VNNCHESTER, VIRGINIA a1;11Qp-1001 amendment of this Deed of Dedication, or any provision herein, made by the Declarant, within five (5) years from the date of recordation hereof, provided that the same shall not have the effect of changing the overall scheme of development contemplated herein. Section 4. Dissolution: Upon dissolution of the Association, other than incident to a merger or consolidation, the assets of the Association shall be dedicated to an appropriate public agency to be used for purposes similar to those for which the Association was created. In the event such dedication is refused acceptance, such assets shall be granted, conveyed or assigned to any non-profit organization, for similar purposes. Section 5. Reservation of Use of Community Recreation Center: The DECLARANT reserves the right to use the community recreation center for a period not to exceed four (4) years from the date that a certificate of occupancy is issued for community center. The DECLARANT shall pay for all utility charges and other charges attributable to DECLAR.ANT'S use of the community recreation center. The Dedication and Subdivision of the land as shown on the attached plat is with the free consent and in accordance with the desires of the undersigned DECLARANT, Trustee and Beneficiary of the land being subdivided, and is in conformity with the provisions of "The Virginia Land Subdivision Act" as are applicable, together with the applicable ordinances and regulations of the governing body of Frederick County, Virginia, or other agency having jurisdiction thereof. The stormwater management calculations need to be revised. The pre -developed and post -developed time of concentrations do not appear to be representative of the actual site conditions. There are two different drainage areas within this site which should be more accurately analyzed for their routing and time of concentrations. The 100-year storm should be routed through this site to ensure that no building structures will be impacted. Also, analyze the point of discharge from structure one (1) to determine that the two (2) year and ten (10) year pre -developed storm flows are not exceeded downstream by this development. 2. Sheet 7 of 8 The stormwater pond needs to be designed as a sediment basin in accordance with Virginia Erosion and Sediment Control Standard 3.14. Construction of the sediment basin shall be a first step in the development of this site. 3. Extend the diversion berm or place a silt fence along the perimeter with Tasker Road to control sediment on -site. 4. The construction entrance needs to have a wash rack installed to contain mud on - site. 5. Place a note on the erosion control plan indicating that a land disturbance permit shall be obtained from this department prior to initiating any grading operations. A temporary entrance permit shall be obtained from the Virginia Department of Transportation prior to beginning any grading operations as well. 7. Place a note on the plan indicating that street signs shall be placed within the subdivision prior to issuance of any building permits. Once these comments have been addressed, submit two copies of the subdivision plan for further review. As you know the resident voters of Autumn Glen include mostly senior citizens, retirees, widows or widowers. The developer of Autumn Glen has attempted to take advantage of our members and we have looked to our county government for protection. We have been patient and tried to resolve these problems with Mr. Arnold by direct communication with him. Also, our interaction with your office on numerous occasions has only resulted in minimal improvements being made. Now our frustrations have led us to the conclusion that we must consider other approaches if the matter is ever to be resolved. To this end the association board of directors have decided to compile a compendium containing copies of all relative communications we have had with Mr. Arnold, our legal representative, and your office along with an explanatory letter. We intend to and give this compendium to the press. By so doing it is our sincere hope that their coverage will spark remedial action being taken. Of course we are reluctant to proceed on this course if it can be avoided. Therefore, be informed that we will not take this action until October 7, 2004 so that Frederick county may have time to enforce the ultimatum contained in your May 18 letter to Mr. Arnold. The two outside water faucets on the community center have never been anchored to the wall. Six of the shrubs have died and we were forced to buy replacements because Mr Arnold has not given us the name of the nursery that sold him the shrubs. We expect to be reimbursed for the $120.50 we spent for this. 6. Streets are not in the state system: I hear that this is in the process of being turned over to the state but I have nothing official on this. A stop sign and two route signs have been installed at corner of Lynn & Bayberry. Two stop signs have been installed at the corners of Lynn Drive and Spanish Oak. 7. "The approved plan calls for certain landscaping components. Nothing has been done to correct the following defects. First, the plan calls for lawn areas to be covered with 4 inches of top soil, fertilized, limed, seeded and mulched with straw. This was never done. Second, the vegetation approved includes the planting of Japanese Yews of three feet in height. Those planted are barely one foot in height. Furthermore, many of the shrubs planted are boxwoods not yews. The deciduous trees are supposed to be red oak. The trees planted are maples. Some of the evergreen shrubs that were planted have since died due to neglect prior to the transfer of the development to the home owners association". Nothing has been done about this. A recent letter in the "Winchester Star" addressed situations such as ours in which developers fail to fulfill the obligations they undertake, perform sub -standard work or otherwise ignore legitimate concerns of their clients. It was pointed out that in many such instances at some point necessary corrective actions become a burden of the county government. This puts a stress on budgets that are already stretched to the limit. We urge you to ensure that this work is done by using Mr. Arnold's bond money to pay for these expenses. He was ordered by Frederick County to correct the problems by June 18th. The problems have not been corrected. The following is where we stand at the moment. 1. Sidewalk along Tasker Road: The sidewalk has been poured for the complete distance, but debris from the construction (tree parts, stones, cement overflow, etc.) were tossed into the area between the new sidewalk and the road. Also cement truck tires caused deep ruts in the drainage ditch along Tasker. This has dammed up and diverted the flow of water in the drainage ditch. The area needs to be cleaned up, a seed bed prepared and seeded. Currently this area of grass cannot be mowed. 2. The sidewalk along Lynn Dr between Tasker Rd and the existing sidewalk has not been started. This is about 200 yards long and is on the plat. 3. Road efficiency buffer along Tasker Rd: Nothing has been done regarding the insufficient quantity and dead trees. 4. Mr. Arnold conveyed the development to the homeowners association with a severe weed control problem and failed to clear construction debris from common areas. There are tall grass and weeds in and around the storm water management facility: The Code of Frederick County (144-28 B) specifically requires that common open spaces shall be free of debris and weeds and shall be graded, stabilized and completely improved for its intended use prior to its dedication to the property owners association.. At least two snakes have recently been seen in the neighborhood, one of which was trying to come in a backdoor. The tall weeds and brush have probably drawn them to this area. 5.
