WITNESSETH: In consideration of the sum of Ten Dollars
(S10.00), cash in hand paid, and other good and valuable
consideration, the receipt of which is hereby acknowledged,
the Grantors do hereby grant and convey, with general warranty
Of title, unto the Grantee, in fee simple, all that certain
lot or parcel of land, together with the improvements thereon
and all rights, rights of way and appurtenances thereunto
belonging, lying and being situate in the Back Creek
Magisterial District, Frederick County, Virai.nia, fronting on
Route 621 and containing 20.855 acres, and being more
particularly described by that certain plat drawn by Thomas A.
Shockey, Land Surveyor, of record in the Clerk's Office of the
Circuit Court of Frederick County in Deed Book 565 at Page
168; incorporated herein by reference as if set out in full.
AND BEING a portion of the same land conveyed to the
Grantor herein by that certain Deed of Assumption and Deed of
Partial Release, dated August 30, 1983, from Stonebrook swim
and Racquet Club, a Virginia Partnership, at als., which Deed
Of Assumption and Deed of partial Release is of record in the
Clerk's Office of the Circuit Court for the City of
Winchester, Virginia, in Deed Book 565, at page 157.
Reference is hereby madj to the aforesaid instruments and
the references contained therein for a more particular
description of the property conveyed hereby.
This conveyance is made subject to all easements, rights
Of way and restrictions of record affecting the subject
property, and in particular, is subject to that certain sixty
(60) foot right of way leading from Route 621 to that certain

lot or parce? of land containing 5.0017 acres previously
acquired by Thomas C. Glass, trading as Stonebrook Swim and
Racquet Club, by that certain deed dated June 8, 1979, from
Harold C. Cooper, et ux, which deed is of record in the
aforesaid Clerk's Office in Deed Book 50q, at Page 417. Said
riyht of way ur edbement in hereby reserved by Thomas C.
Glass, trading as Stonebrook Swim and Racquet Club, his
successors and assigns forever, for purposes of ingress and
egress from said Route 621 to said 5.0017 acre tract or parcel
of land; provided, however, that in the event said 5.0017 acre
parcel is ever subdivided, the aforesaid right of way or
easement shall only serve the property upon which a residence
is now situate as shown on the attached plat of Thomas A.
Shoekey, Land Surveyor, or any replacement or substitution
thereof, and any other lot or lots subdivided therefrom shall
not have the use or benefit of said right of way or easement.
The hersinabove described land conveyed hereby is subject to
that certain "20' foot easement to Opequon Creek", as shown on
the aforeraid plat attached hereto drawn by Thomas A. Shockey,
Land Surveyor.
The Grantor does hereby covenant that it has the right to
convey to the Grantee; that the Grantee shall have quiet and
peaceable possession of the said property, free from all liens
and encumbrances; and it will grant such further assurancea of
title as may be requisite.

indebtedness secured by a SUMUMA treed of Trust on said
Property dated September 5, 1978, of record in the aforesaid
Clerk's office in Deed Book 497, at page 612, given to
secare the Shenandoah Valley National Bank of Winchester,
Virginia, a bond in the original principal sum of Six Hundred
Fifteen Thousand Dollars ($615,000.00), upon which there is
an outstanding principal balance due of Six Hundred Twelve
Thousand, Six Hundred Thirty -Seven Dollars and Forty -Two
Conte ($612,637.12), with iuterost thereon at a rate equal
to and to vary with a rate one and one-half percent (1-1/2%)
above -prime rate not by First National city Bank, New York,
Now York, but restricted to a maximum interest rate of
twelve and one-half percent (12-1/2%) per annum and a minimum
interest rate of eight and one-half percent (8-1/2%). Payable
as follows, Sixty-nine (69) monthly installments of Six
Thousand Nine Hundred Ninety Dollars ($6,990.00), which
includes principal and interost, commencing on October 1,
1983, and continuing on the first day of each consecutive
month thereafter, with an additional final installment equal
to the principal and interest remaining due, which installment
•hall be due and payable on the lot day of July, 1989, reference
is hereby made to that certain Modification Agreement dated
August 31, 1983, of record in the aforesaid Clark's Office imme-
diately preceding this Deed of Assumption and Deed of partial
Release as to the modification of the terms of the indebtedness
socuros by the aforesaid Supplemental Dead of Trust; which sold
Supplemental Deed of Trust, as modified by said modification Agr4

of this Dead of Assumption and Deed of Partial Release to
Personally guarantee the re -payment of the indebtedness

Of this Deed of Assumption and Deed of Partial Release
solely for the purpose of consenting to the assumption of
the aforesaid Supplemental Deed of Trust, as Modified by
said Modification Agreement.
Reference is hereby math to that certain Modification
Agreement dated „ugust 31, 1983, of record in the aforesaid
Clerk's Office immediately preceding this Deed of Assumption and Dead of Partial Release, and further, reference is hereby
made to that Substitution Of Trustee instrument dated Jan-
uary 10, 1983, of record in the aforesaid Clerk's aOffice in
Deed Book 555, at Page 772, whereby Benjamin M. Butler was
appointed Substitute Trustee under said SupP)'mental Deed of
Trust referred to hereinabove.
For and it consideration of the assumption of the
aforesaid indebtedness secured by the aforesaid Supplemental
Deed Of Trust upon the

Except as noted above, the Grantor covenants that it

The hereinabove described real estate conveyed
herein is subject to a deed of trust dated December 30,
19721 securing an indebtedness of Thomas C. Glass, et al, to

all of whom may act, for any purpose, including release

Dear Mr. Glasst
with regard to your letter of July 16, 1973, let me assure you that
existing developments will not be required to conform to the requirements
of the new Zoning Ordinance. If all 130 lots of Section 1 have been sub-
LU divided and Final Plats approved, you would be subject to the provisions
of the old lot size requirements.
The only difficulty I can forsee is with lots that are not built
D upon in the relatively near future. For those cases I would urge you
to retain this letter as a reminder.
