THIS DEED OF BOUNDARY LINE ADJUSTMENT, made and dated this 7' day
of April, 1998, by and between LENOIR CITY COMPANY OF VIRGINIA, a Virginia
` Corporation, hereinafter Grantor; and TOAN AND ASSOCIATES, L.C., a Virginia Limited

Liability Company, hereinafter Grantee; and H. EDMUNDS COLEMAN, III, Sole Acting
Trustee; and F & M BANK - WINCHESTER, Beneficiary.
o WHEREAS, the Grantor and the Grantee, respectively, are the owners of two adjoining
ro j tracts of land identified as a 118.45 acre tract (as to Grantor) and a 13.7999 acre tract (as to
Grantee), lying and being situate on the North side of McGhee Road, in Gainesboro (formerly

1' WHEREAS, on September 17, 1997, Articles of Organization were filed with the
af Virginia State Corporation Commission by Toan and Associates, L.C., pursuant to Section 13.1-
1010.1 of the Code of Virginia, converting Toan and Associates Limited Partnership, a Virginia
Limited Partnership, to Toan and Associates, L.C., a Virginia Limited Liability Company,

whereby Toan and Associates, L.C. succeeded to the ownership of or interest in real estate held
by Toan and Associates Limited Partnership, including the 13.7999 acre tract referenced herein..
A copy of the Certificate of Conversion issued by the Virginia State Corporation Commission
is of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia, in Deed
Book 889 at Page 562; and
WHEREAS, the Grantor and the Grantee desire to adjust the boundary lot line existing

between the two lots as more specifically set forth herein.
NOW, THEREFORE, WITNESSETH: That for and in consideration of the
I conveyance made hereby, and other good and valuable consideration, the receipt of which is
hereby acknowledged, the Grantor does hereby grant and convey with general warranty of title,
unto the Grantee, in fee simple, the following described property and appurtenances thereunto
belonging:
All of that certain strip of land consisting of 0.3247 acre, and having been a
portion of the 118.45 acre tract, more particularly described on the Final Plat of
s Boundary Line Adjustment Between the Land of Toan and Associates Limited
Partnership and the Land of Lenoir City Company of Virginia, said plat dated
March 11, 1998, and prepared by Douglas C. Legge, L.S., a copy of which is
attached hereto and by this reference made a part hereof as if set out in full; and
being a portion of the same property conveyed to Lenoir City Company of
Virginia, a Virginia Corporation, by Deed dated January 1, 1968, and recorded
in the Clerk's Office of the Circuit Court of Frederick County, Virginia, in Deed
+ Book 344 at Page 235.

The 0.3247 acre strip of land conveyed herein is contiguous with that certain 13.7999
acre tract of land owned by the Grantee herein, the said Toan and Associates Limited
Partnership, a Virginia Limited Partnership, having acquired said 13.7999 acre tract of land by
Deed dated April 20, 1990, of record in the aforesaid Clerk's Office in Deed Book 743 at Page
1298. The conveyance of the hereinabove described 0.3247 acre strip of land from the 118.45
acre tract of land is made for the purpose of adjusting the boundary lines of the Parcels. The
said 0.3247 acre strip of land is hereby incorporated into and merged and consolidated with the
aforesaid 13.7999 acre tract of land, thus creating an adjusted parcel of land identified as
containing a total of 14.1246 acres of land [Tax Map Number 43-19-38]. The 118.45 acre tract,
as adjusted, now contains a total adjusted area of 118.13 acres [Tax Map Number 43-A-63].
The platting of the Parcels and the adjustment of the boundary line provided by this
Deed and the Plat attached hereto are made with the free consent and in accordance with the
desire of the Owners (Lenoir City Company of Virginia and Toan and Associates, L.C.) of the
Parcels and with the free consent of the Trustee of said 13.7999 acre tract of land and in
accordance with the provisions of Virginia Code § 15.2-2264, and applicable regulations of
Frederick County, Virginia, as evidenced by the approval of said boundary lire adjustment by
an authorized official of Frederick County, Virginia, as noted on the attached Plat.
Reference is here made to the aforesaid instruments and the attachments and the
references therein contained for a further and more particular description of the property hereby
conveyed.
The 13.7999 acre tract of land is encumbered by a Deed of Trust dated April 1, 1998,
1998, and recorded in the Clerk's Office of the Circuit Court of Frederick County, Virginia, in
Deed Book 901 at Page 1625, wherein the 13.7999 acre tract of land was conveyed to Michael
L. Bryan and/or H. Edmunds Coleman, I11, Trustees, either of whom may act, to secure F & M
Bank - Winchester. The said H. Edmunds Coleman, III, as Sole Acting Trustee, and F & M
Bank - Winchester, as Beneficiary of the Deed of Trust, join in the execution of this Deed to
indicate their acknowledgment and consent to this Boundary Line Adjustment and to modify
the Deed of Trust so that the legal description of the 13.7999 acre tract will read in conformity
herewith; i.e., the adjusted tract containing and adjusted area of 14.1246 acres. The validity and
lien of said Deed of Trust is not hereby diminished or otherwise affected.
Except as otherwise provided for herein, the Grantor covenants that it has a right to
convey said property to the Grantee; that it will execute such further assurances of title to said
property as may be requisite; that it is seized in fee simple of the property conveyed; and that
the Grantee shall have quiet possession of said property free from all encumbrances.

We have received your letter of December 9, 1991 and preliminary sketch of the
referenced proposal. As previously discussed, this office has no conceptual
difficulties with the spur crossing McGhee Road provided all current VDOT
policies can be met. One noted item of concern is the proposed location of
the crossing in relation to Route 661. For safety reasons the spur will most
probably need to be shifted away from this intersection.
We have forwarded the proposal onto our Rail Division in Richmond for their
consideration. We would suggest your agent communicate directly with
Mr. Dave Austin at (804) 786-1061 of that office should there be any
questions. If and when it is determined a spur can be allowed at this
location, its installation will need to be covered under land use permit. I
have enclosed for your use a copy of Section 5.140 of our Land Use Permit
Manual which details permit application procedures and requirements.
In the meantime should you have any questions or if I may be of further
assistance, please let me know.

Highway Department - No objection. As you know, this street has not been
added to the Secondary System.
Planning and Zoning - This plat records the right-of-way for an extension of
McGhee Road for a distance of approximately 1,664 feet, ending in a permanent
cul-de-sac. Preliminary plans were submitted for this street prior to the
adoption of the master plan requirement, so a master plan is not required for
this street or land using this street for access. This street must be
constructed to VDH&T standards and commercial entrances must be provided.
Construction plans have been reviewed by VDH&T.

RESOLUTION
BY THE
FREDERICK COUNTY BOARD OF SUPERVISORS
At a regular meeting of the Board of Supervisors of Frederick County,
Virginia, held this filth day of December, 1985, it was duly moved and seconded
that the following resolution be adopted.
BE IT RESOLVED, That the Virginia Department of Highways and Transportation is
hereby requested to add 1600 linear feet of McGhee Road, from the intersection
of Lenoir Drive and McGhee Road to the southwestern corner of the lot of
McElroy Metal Inc. in the Stonewall Industrial Park, to the Secondary System
of Frederick County pursuant to Section 33.1-72.1 of the Code of Virginia,
1950, as amended.
AND FURTHER BE IT RESOLVED, That the Board does guarantee the Commonwealth of
Virginia an unrestricted right-of-way of 80 feet with necessary easements for
cuts, fills, and' drainage; recorded in Deed Book 607, Page 255, dated 9,
December, 1985.

THIS DEED OF DEDICATION made this=day of jL ,
1985, by LENOIR CITY COMPANY OF VIRGINIA to the COUNTY OF
F REDERICK dedicating all of its interest in land lying and being situate in
Stonewall Magisterial District, Frederick County, Virginia, originally acquir
by Lenoir City Company of Virginia by deed recorded among the land record
of Frederick County, in Deed Book 344 at Page 235.
WITNESSETH: That the land hereinafter described and being a portion
of the land shown on the attached plat dated November 26, 1985 which is in-
corporated herein is hereby dedicated to the County of Frederick and trans-
ferred for the purpose of creating a public right of way:
All of that parcel of land in Stonewall Magisterial District, Frederick
County, Virginia, located northwest of the intersection of McGhee
Road and Lenoir Drive, more particularly described as follows:
Beginning at a point in the northern right of way line of McGhee Road,
said point being in the extended western right of way line of Lenoir
Drive, thence with the said extended western right of way line S27°
15'31 "W 126.99 feet to a point, thence leaving the existing right of
way line and proceeding along a proposed right of way line by a
curve to the left, said curve having a radius of 50.00 feet and an
arc of 74. 23 feet, a chord of N 15 ° 16' 15" W 67. 60 feet; by a curve
to the right, said curve having a radius of 994.93 feet and an arc of
300. 57 feet, a chord of N 49 ° 08' 44 "W 299. 43 feet; N 40 ° 29' 28 "W
858.93 feet by a curve to the left, said curve having a radius of
50.00 feet and an arc of 78.54 feet, a chord of N 85 ° 29' 28 "W 70.71
feet; S 490 30' 32" W 280.00 feet to a point, thence crossing the
proposed right of way, N 40" 29' 28" W 80. 00 feet to a point, thence
proceeding along a proposed right of way line, N 49° 30'32" E 280.00
feet; by a curve to the right, said curve having a radius of 130. 00 feet

referenced project's revised detention pond design. The revised design
appears satisfactory and is therefore approved.
Please advise the developer a drainage easement to enclose the facility and a
maintenance/liability agreement between the Virginia Department of
Transportation and Frederick County will be required before the streets within
the development may be considered eligible for acceptance into the State
System.

Please be reminded prior to McGhee Road Extended being eligible for acceptance
into the State's Secondary Road System the proposed stormwater detention basin
on Lots 7#28 & n29 will need to be constructed and functioning properly. Also
an executed agreement supplied by you between VDOT and Frederick County to
absolve the Department of any maintenance or liability of the detention basin
will be required.
