THIS DEED OF GIFT OF REALTY AND WATER RIGHTS, made this
7'kr day of August, 1994, by and between SHEN-VALLEY LIME
CORPORATION, a Virginia Corporation, and JAMES L. BOWMAN,
Widower, of the one part, hereinafter called the Grantors, and
the TOWN OF STEPHENS CITY, a Municipal corporation, of the other
part, hereinafter called the Grantee.
WITNESSETH: That as a charitable contribution, the
Grantors do hereby give, grant and convey, including all mineral
and water rights, with General Warranty and English covenants of
title, unto the Grantee, together, with all rights, rights of
way, privileges and appurtenances thereto belonging, the
following parcels of land and easements:
That certain parcel of land, containing
approximately 11,200 square feet, more or less,
situated on the northeast side along the B&O Railroad
(Chesse System, now CSX) right of way, and on the
remaining sides bordered by the other lands of the
Grantors conveyed from The Flintkote Company, a
Delaware Corporation, on September 30, 1983, as
recorded in the Clerk's Office of the Circuit Court of
Frederick County, Virginia, in Deed Book 566, at Page
517, the parcel more particularly described as Parcel
A on the plat prepared by S. W. Marsh, C.L.S., dated
June 27, 1994, attached hereto and by this reference
made a part hereof. There is also conveyed to the
Grantee herein, as an appurtenance to this Parcel, a
30 foot right of way for the purpose of ingress and
egress across the land retained by the Grantors herein
and as set forth on the plat attached hereto and
designated as a 30 foot ingress -egress easement.
There is additionally conveyed to the Grantee
herein, as an appurtenance to the above parcel, a 10
foot temporary construction easement, for the
construction of a 20 foot permanent water easement and
a water line, as shown on the aforementioned plat.
FURTHER, WITNESSETH: That as a charitable contribution,
the Grantors do hereby give, grant and convey unto the Grantee
all their right, title and interest in and to all of the water
underlying and flowing to those certain parcels of land acquired
by the Grantors from the Flintkote Company, a Delaware
Corporation, by deed dated September 30, 1983, and recorded in
the aforesaid Clerk's Office in Deed Book 566, at Page 517.
The Grantors covenant that they have the right to convey
the aforesaid property and water rights, and that said property
and water rights are free and clear of all encumbrances and
claims, except for that certain Deed of Trust dated August 18,
1992, between Shen -Valley Lime Corporation, JASBO, Inc., and
James L. Bowman and H.K. Benham, III, and Billy J. Tisinger,
Trustees, to secure a Note payable to The Peoples National Bank
of Martinsburg, West Virginia, in the original principal sum of
One Million Five Hundred Thousand Dollars ($1,500,000.00), said
Deed of Trust being of record in the aforesaid Clerk's Office in
Deed Book 782, Page 1166.
This conveyance is made subject to all legally enforceable
restrictive covenants and easements of record, if any, affecting
the aforesaid realty.
The Grantee through its authorized representative joins in
this deed for the purpose of evidencing its acceptance of the
charitable contributions of the Grantors as set forth herein.
