Section III Route 1282 Frederick County I appreciate you meeting with myself and Mr. Dwight Hawkins to review the drainage problems on Pioneers Road on March 3, 1992. As a result of our meeting, we advised Mr. Butch Kerns we would be correcting the problem in front of his lot #193 by recutting the ditch to obtain positive drainage to the south. We hope to have this work completed within the next few weeks. Another concern, as you well know, is the 18" plastic pipe which has been installed within the 20' drainage easement between Lots #196 & 197. This pipe invert is set approximately 2 1/2" above the invert of our culvert under Route 1282, thus causing water to backup within our pipe. If left unchecked, this situation will seriously affect the life of our culvert as well as cause a possible health hazard. I am enclosing, for your use, past correspondence from this office relative to the matter. As you can see, the 18" pipe installed by the lot developer is undersized and should be upgraded to a minimum of 24". The developer has also installed, without a permit, his private entrance pipe incorrectly. This is also causing a drainage problem within the ditchline fronting Lot #196. In order to correct the situation and to possibly avoid additional problems in the immediate area, we request your assistance. We feel if your office would deny an occupancy permit for the home being constructed on Lot #196, the lot developer would be compelled to take corrective action. A R T I C L E I I ------------------- MEMBERSHIP Every person or entity who is a record Owner of a fee or undivided fee interest in any Lot which is subject by covenants of record to assessments by the Association, including contract sellers, shall be a Member of the Association. The foregoing is not intended to include persons or entities who hole an interest merely as security for the performance of an obligation. One membership per Lot. Membership shall be appurtenant to and may not be separated from ownership of any Lot which is subject to assessment by the Association. Ownership of such Lot shall be the sole qualification for membership. A R T I C L E I I I VOTING RIGHTS Each Member of the Association shall have one vote of each Lot owned in which said Member shall hold the interest required for membership in Article II. When more than one person holds such interest in any Lot, all. such persons shall be Members. The vote for such Lot shall be exercised as they among themselves determine, but in no event shall more than one vote be cast with respect to any Lot. ARTICLE IV ------------------- PROPERTY RIGHTS IN COMMON PROPERTIES Section 1. Members' Easements of Enjoyment; Every Member shall have a right and easement of enjoyment in and to the Open Space, specifically including but not limited to the rights of ingress and egress across the aforesaid Open Space and such easement shall be appurtenant to and shall pass with the title to every assessed Lot,subject to the following provisions: (a) The rights of the Association, in accordance with its Articles and By -Laws, to borrow money for the purpose of improving the aforesaid Open Space and in aid thereof to mortgage said property and the rights of such mortgagee in said Properties shall be subordinate to the rights of the Homeowners hereunder. (b) The rights of the Association to suspend the voting rights and the right to the use of the OPen Space by a Member for any period during which any assessment against his Lot remains unpaid; and for a period not to exceed thirty (30) days for any infraction of its published rules and regulations. Delegation of Use: Any Member may delegate, in accordance with the By -Laws, his right of enjoy- ment to the Open Space to the members of his family, his tenants, or contract purchasers who reside on the property. Section 3. Title to the Olen Spaces The Declarant hereby covenants for its heirs and assigns, that James R. Wilkins, Inc. will convey fee simple title to the Open Space to the Association, prior to the conveyance of the first Lot. A R T I C L E V COVENANTS FOR MAINTENANCE ASSESSMENTS FOR THE ASSOCIATION Section 1. Assessments: The Declarant, of or each Lot owned within the Properties, hereby covenants, and each Owner of any Lot by acceptance of a deed therefor, whether or not it shall be so expressed in any such deed or other conveyance, is deemed to covenant and agree to pay to the Association (1) annual assessments or charges, and (2) special assessments for capital improvements, such assessments to be fixed, established, and collected from time to time as herein- after provided. The annual assessments and special assess- ments, together, with such interest thereon and costs of collection thereof, as hereinafter provided, shall be a charge on the land and shall be a continuing lien upon the property against which each such assessment is made. Each such assess- ment, together with such interest, costs and reasonable attorney's fee, shall also be the personal obligation of the -5- person who was the Owner of such property at the time when the assessment fee was due. The personal obligation shall not pass to his successors in title unless expressly assumed by them. Section 2. Purpose of Assessments_ The assessments levied by the Association shall be used exclusively for the purpose of promoting the recreation, health, safety and welfare of the residents of the Properties and, in particular, for the improvement and maintenance of the Properties, payment of real estate taxes, repairs, snow removal, and service facilities devoted to this purpose and related to the use of and enjoyment of the Open Space. Basis and Maximum of Annual Assessments: -------------------------------------- For the first calendar year during which the annual assessments shall be made, the maximum annual assessment shall be Thirty Dollars ($30.00) per year per Lot; (a) From and after January 1 of the year immediately following the conveyance of the first Lot to an Owner, the maximum annual assessment per Lot may be increased above that set forth hereinabove by a vote of the Members for the next succeeding year and at the end of each year's period, for each succeeding period of one year, provided that any such change shall have the assent of two-thirds (2/3) of the votes of Members who are voting in person or by proxy, at a meeting duly called for this purpose, written notice of which shall be sent to all Members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting, setting forth the purpose of the meeting. Section 4. Special-- Assessments for — —Capital ImErovements: In addition to the annual assessment authorized above, the Association may levy in any assessment year a special assessment applicable to that year only, for the purpose of defraying, in whole or in part, the cost of any construction or reconstruction, unexpected repair or replace- ment of a described capital improvement upon the Open Space, including the necessary fixtures and personal property related thereto, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of. Members who are voting in person or by proxy at a meeting duly called for this purpose, written notice of which shall be sent to all Members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting, setting forth the purpose of the meeting. Section 5. Uniform Rate of Assessment: Both ------------------------------- annual and special assessments must be fixed at a uniform rate for all Lots, and may be collected on a monthly basis. Quorum for ---any--Action Authority —Under =---------- ---------- Sections 3 and 4: At the first meeting called, as provided in Sections 3 3 and 4 hereof, the presence of at the meeting of Members or of proxies entitled to cast Fifty One Percent (51%) of all votes shall constitute a quorum. YIRGINIA quorum at the preceding meeting. No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting. Section 7. Date of Commencement of Annual Assessments: DUE_ DATE: The annual assessments provided for herein shall commence as to all Lots on the first day of January next following the date on which more than Twenty -Five Percent (25%) of the Lots in this subdivision have been sold. The Board of Directors shall fix the amount of the annual assessment against each Lot at least thirty (30) days in advance of each annual assessment period. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board of Directors. The Association shall, upon demand at any time, furnish a certificate in. writing signed by an officer of the Association, setting forth whether the assessments on a specified Lot have been paid.. A reasonable charge may be made by the Board for the issuance of these certificates. Such certificates shall be conclusive evidence of payment of any assessment therein stated to have been paid. Section 8. Effect_ of_Non_Pavment of Assessments: Remedies of the Association_ Any assessments which are to paid when due shall be delinquent. If the assessments which is not paid within thirty (30) days after the due date, the assessment shall bear interest from the date of delinquency at the rate of eight percent (8%) per annum, and the Association may bring an action at law against the Owner personally obligated to pay the same, or foreclose the lien against the ! No Owner may waive or otherwise escape liability for the assessments provided for herein by non-use of the Open Space or abandonment of his Lot. Section 9. Subordination of the Lien to Mortgages: --------------------------------------- The lien of the assessments provided for herein shall be subordinated to the lien of any mortgage or mortgages now or hereafter encumbering any Lot. Sale or transfer of any Lot shall not affect the assessment lien. However, the sale or transfer of any Lot which is subject to any mortgage, pursuant to a decree or foreclosure thereof, shall extinguish the lien of such assessments as to payments thereof which become due prior to such sale or transfer. No sale or transfers shall relieve such Lot from liability for any assessments thereafter becoming due from the lien thereof. Section 10. Exempt Property: The following property subject to this Declaration shall be exempt from the assessments created herein; (a) the Open Space; (b) all properties dedicated to and accepted by a local public authority; and (c) all properties owned by a charitable or nonprofit organization exempt from taxation by the laws of the State of Virginia. However, no residence occupied as a dwelling shall be exempt from these assessments. Section 11. Failure —to— Maintain —Open —Space: In the event that the Association, or its successors, shall fail to maintain the Open Space in reasonable order and condition, the County of Frederick may take such action as authorized by the I = Frederick County Zoning Ordinance. The Frederick County Zoning Ordinance is by this reference made a part hereof as if set out in. full. A R T I C L E V I USE, RESTRICTIONS AND COVENANTS This Subdivision shall be subject to the following restrictions which are constituted covenants real to run with the land: HARRISON 6 JOHNSTON ATTORNEYS AT LAW WINCHESTER, VIRGINIA 1. No building shall be located nearer than 25 feet to the front property line nor nearer than 10 feet to the side property lines of any Lot, unless a different distance is shown on the said plat, in which event the building line shown thereon shall govern. Reservations: The DECLARANT reserves unto itself, its successors or assigns, the right to erect, maintain, operate and replace underground and above ground telephone and electric light conduits, related equipment, and other facility, sewer, gas, water, and television lines and related equipment, and other utility equipment where such utility lines and equipment are now located and along the strip 12 feet along the front and rear of each Lot and a 12 foot strip centered on the side line of each adjoining Lot,and a 12 foot strip along the boundary of all non -adjoining Lots and over the Open Space, as needed, provided that such easement shall not interfere with the use and enjoyment of the Open Space. Enforcement: The Association, its successors or assigns, or any Owner, shall have the right to enforce, by any proceeding at law or in equity, all restrictions, conditions, covenants, reservations, liens and charges, now, or hereafter, imposed by the provisions of this Declaration. Severability_ Invalidation of any one of these covenants or restrictions by Judgment or Court order shall in no way affect any other provision which shall remain in full force and effect. Section 3. Amendment: The covenants and restrictions of this Declaration shall run with the land and bind the land, and shall inure to the benefit of and be enforceable by the Association, or the Owner of any Lot subject to this Declaration, their respective legal represen- tatives, heirs, successors and assigns, for a term of thirty (30) years from the date this Declaration is recorded, after which time, said covenants shall be automatically extended for successive periods of ten (10) years. The covenants and restrictions of this Declaration may be amended during the first thirty (30) year period by an instrument signed by not less than ninety percent (90%) of the Lot Owners, and there- after, by an instrument signed by not less than seventy-five percent (75%) of the Lot Owners. Any amendment must be properly recorded. Section 4. Dissolution: Upon dissolution of the Association, other than incident to a merger or consolidation, the assets of the Association shall be dedicated to an appropriate public agency to be used for purposes similar to those for which the Association was created or for general welfare of the residents of Shenandoah Hills. In the event that such dedication is refused acceptance, such assets shall be deemed vested in the Members of Association as tenants in common. Maintenance Fees The Secondary System budgets within the several counties are effective for a fiscal year, running from July 1 through June 30 of the following calendar year. Any streets added subsequent to July 1 of any given year will not have been accounted for in the budgetary process. Therefore, a maintenance fee in accordance with Table III will be required for any subdivision street addition which will be effective at any time other than July 1. Any fraction of a month is to be counted as a whole month. Official acceptance dates cannot be made retro- active, so when extenuating circumstances prevent official acceptance as of July 1, it will be satisfactory to request that the effective fee date be retroactive to July 1 and, if approved by the Secondary Roads Division, no maintenance fee will be required. Keen discretion must be exercised by field engineers in making judg- ments as to what constitutes an extenuating circumstance. Administrative delays beyond the control of the developer would be considered an extenuating circumstance. But delays caused by the developer's failing to comply with certain requirements would not be considered extenuating. Rights of Way A. Widths Right of way widths in accordance with Tables 1 and 1A are required to be dedicated to public use. If sidewalk is to be provided, additional right of way width will be required to the extendt necessary to accommodate the sidewalk. B. Landscaping All disturbed areas within the dedicated rights of way and easements shall be restored with a vegetation which is compatible with the surrounding area. No streets shall be accepted for maintenance where there is visual evidence of siltation unless appropriate protective measures in accordance with the Department's construction practices have been taken. Any planting of trees and/or shrubs shall be in accordance with the Department's Environmental Quality Division's "Guide for Tree and Shrub Planting on Virginia's Streets and Highways." C. Utilities It is the policy of the Department to require a clear and unencumbered dedication of rights of way on all additions to the system. Therefore, any easements or other interests within the platted right of way must be quitclaimed of any prior rights therein in exchange for a permit to occupy the space. This permit shall be processed by the Residency, once the acknowledgment of acceptance of the street has been received, and a route number has been assigned. No inspection or guarantee fee will be required for the issuance of the permit in this instance. All longitudinal underground utilities shall be located under the shoulder of the road insofar as is practical. Commission policy prohibits the open -cutting of paved or surface -treated roads. Therefore, all lateral under- ground utilities to be installed prior to the acceptance of the street should be installed before the final surface application. D. "Spite Strips" The Department will not approve plans that include reserved or "spite" strips which prohibit the use of streets J by adjacent properties, whether within or outside the development proper. Drainage Drainage facilities, including off -site facilities when necessary to provide adequate drainage, shall be provided in accordance with the Department's current "Location and Design Division Drainage Manual." A. Easements Drainage easements shall be provided from all drainage outfalls to extend to a watercourse, defined on page 6, or furnish an acceptable agreement from county authorities to save the Department harmless from future claims. In instances where developments divert more intensified runoff into existing VDH&T facilities to the extent that the facilities must be adjusted, such adjustments shall be at the developer's expense, and the developer will be required to furnish any additional easements thus required. B. Curb and Gutter. It is not the sense of the Department that curb and gutter be one of its requirements for subdivision streets. Our comments and recommendations are as follows: 1. The drainage along the streets must be carried in a ditchline to a drainage out fall easement. 2. The typical section should show a minimum 16" depth for the normal road ditch to facilitate entrance pipes. Pipe arches are recommended for entrances in lieu of round pipes. 3. The location of Soil Stabilization Mat, Standard EC-3, and paved ditch are shown on the plans. These locations are only approximate locations and may be adjusted at the time of installation. 4. The vertical curve at Station 6 + 00, Pioneers Road, is to be lengthened to obtain a minimum 200' sight distance. 5. The modified road ditch with a 2' bottom is to be constructed on Pioneer Road from Route 656 to the pipe at Station 2 + 15. 6. The drainage easement left of Station 2 + 15, Pioneer Road, should be adjusted for the paved ditch needed to direct the ditch water down to the bottom of the field. 7. We would like to call the developer's attention to the existing gas line through this proposed subdivision which is within the right-of-way. It will be their responsibility to have Shenandoah Gas Company prepare a deed quitclaiming any prior rights they now have to occupy the space. This will be required before this street is added to the Secondary System. Also, the operating pressure of the gas line must be less than 20t of the specified minimum yield strength of the pipe or it will be necessary to encase. TRANSPORTATION FOR THE 21 ST CENTURY Mr..11.
