Krobath, L.S., dated January 29, 2007 attached hereto and by this reference made apart hereof as if set out in full; and, WHEREAS, the Declarant desires to dedicate to the County of Frederick the public roadways known as Merchant Street, Market Street and Milton Ray Drive, the public access easements contiguous to said roadways and designated "PA" on the hereinafter mentioned plat, and to dedicate the storm drainage easements associated with the Property, all as shown on the plat drawn by John E. Krobath, L.S., dated January 29, 2007 attached hereto and by this reference made a part hereof as if set out in full; and, WHEREAS, the Declarant desires to further dedicate to Frederick County Sanitation Authority, the easements for public water and the easements for public sanitary sewer, all of which are shown on the aforesaid attached plat drawn by John E. NOW, THEREFORE, THIS DEED OF DEDICATION WITNESSETH: DEDICATION OF MERCHANT STREET, MARKET STREET AND MILTON RAY DRIVE That for and in consideration of the premises and the benefits that will accrue by reason of this dedication, the Declarant does hereby dedicate and convey with Special Warranty of title unto the County of Frederick, that certain tract or parcel of land, lying and being situate in Stonewall Magisterial District, Frederick County, Virginia, containing 4.7957 acres in the aggregate, as shown on the plat of survey drawn by John E. Krobath, L.S., dated January 29, 2007 and by this reference made a part hereof as if set out in full, together with those certain public access easements throughout the Rutherford Farm Subdivision as shown on the plat drawn by John E. Krobath, L.S., dated January 29, 2007 and are designated as Public Access Easements ("PA") and being immediately adjacent to and abutting the said 4.7957 acres shown thereon. Said dedication being for public roads known as Merchant Street, Market Street and Milton Ray Drive. The acceptance of the said public roads by Frederick County, Virginia, is evidenced by the signature of its agents upon the plat of subdivision attached hereto and by this reference made a part hereof as if set out in full. 2 DEDICATION OF WATER AND SEWER EASEMENTS The Declarant, Rutherford Farm, LLC, does hereby dedicate and convey the easements to the Frederick County Sanitation Authority for water mains and sanitary sewer mains as designated on the aforesaid attached plat drawn by John E. Krobath, L.S., dated January 29, 2007 and by this reference made a part hereof as if set out in full, including easements for water mains and sanitary sewer mains located within that certain variable width ingress/egress easement over Lot 6, as shown on the referenced plat of Rutherford Farm, LLC Subdivision. The said easements being for the construction and maintenance of the water and sewer mains and said rights -of -way are granted for the purpose of enabling the Frederick County Sanitation Authority to install, lay, maintain, the water mains and sanitary sewer mains underground as hereinabove described. The Declarant, and its successors in title to the land over which the said easement or rights -of -way are granted, shall have the right at all times to cross over and upon said rights -of -way and use said easements or said rights -of -way, provided that such use does not interfere with the construction, laying and maintaining of said water mains and sanitary sewer mains. Whenever the enjoyment of its rights hereunder require, the Frederick County Sanitation Authority to disturb the surface of the ground, it shall be the obligation of the Frederick County Sanitation Authority to restore the same to the condition which existed prior to said disturbance at the Frederick County Sanitation Authority's expense. The acceptance of the water and sewer mains and the sanitary sewer mains by the Frederick County Sanitation Authority is evidenced by the signature of its agents upon the attached plat. 3 DEDICATION OF STORM DRAINAGE EASEMENTS The Declarant does further dedicate and convey with Special Warranty of Title unto the County of Frederick, those certain storm drainage easements as shown on the plat of survey drawn by John E. Krobath, L.S., dated January 29, 2007 attached hereto and by this reference made a part hereof as if set out in full, including easements for storm drainage easement as may be located within that certain variable width ingress/egress easement over Lot 6, as shown on the referenced plat of Rutherford Farm, LLC Subdivision. INGRESS/EGRESS EASEMENT The Declarant does hereby establish that certain variable width ingress/egress easement over Lot 6, on the plat of Rutherford Farm, LLC Subdivision drawn by John E. Krobath, dated January 29, 2007, attached hereto and by this reference made a part hereof as if set out in full and which easement is for the benefit of all of the lots shown on the plat of subdivision of Rutherford Farm, LLC attached hereto, together with those certain Public Access Easements immediately adjacent to and abutting the said easement as shown on the plat drawn by John E. Krobath, L.S., dated January 29, 2007. LANDSCAPE BUFFER AND WOODLAND BUFFER The Declarant further establishes those certain landscape buffers and woodland buffers as shown on the plat of survey drawn by John E. Krobath, L.S., dated January 29, 2007 and by this reference made a part hereof as if set out in full. HISTORICAL INTERPRETATION AREA The Declarant hereby establishes that certain historical interpretation area designated as such on the plat of survey drawn by John E. Krobath, L.S., dated January 29, 2007 in which historical area is dedicated as a public access easement with interpretative sign viewing area 4 included thereon, all in conformity with the proffers contained in the final rezoning approval by the County of Frederick on file in the Planning Office of the Frederick County Planning Department. Maintenance of the historical interpretation area shall be the responsibility of Rutherford Farm, LLC or its designee approved by the County of Frederick, Virginia. WHEREAS, Rutherford Farm, LLC is the owner of a tract of land situate in Frederick County, Virginia, being designated as Tax Map No. 43-A-100; and C. Robert Solenberger, et al, are the owners of an adjacent tract of land designated on the Frederick County Tax Maps as 43-A-99; and, WHEREAS, Rutherford Farm, LLC, et al, have entered into an Easement Agreement dated May 9, 2007 of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia, as Instrument No. 07-0007920 for the providing of drainage easement and temporary construction easement, among other things contained therein, and this Deed of Easement is made in compliance thereof. WITNESSETH that for and in consideration of the benefits to accrue thereby, the Grantors do hereby grant and convey unto the Grantee a non-exclusive perpetual drainage easement (the "Drainage Easement") over, under and upon that portion of the property designated "SD" on the plat of survey drawn by John E. Krobath, L.S., dated June 4, 2007 attached hereto and by this reference made a part hereof as if set out in full for the purpose of diverting storm water and drainage runoff and discharge, storm water collection, retention, drainage ditches and culverts, detention and distribution lines, spillways and facilities (the "Drainage Improvements") from the Rutherford Farm property over, under and upon the property of C. Robert Solenberger, et al, as shown on the aforesaid attached plat. The Drainage Easement shall include the right of the Grantee to construct, install, maintain, repair, extend, improve, build and/or operate certain drainage ditches and culverts, any storm water dines and related equipment and appurtenances over, under and upon the Drainage Easement in accordance with and as detailed in the site plan approved by the Frederick County Planning Office for the Rutherford Crossing Shopping Center. The Grantee shall maintain the Drainage Improvements in good condition and repair and the cost of maintaining the Drainage Improvements shall be shared on a prorated basis in accordance with the cost allocation set forth in the Agreement of May 9, 2007 by and between the parties and others. Grantor, its successor and assigns shall not (and shall not permit any other party to) modify, restrict, damage or take or permit any action that would affect the flow and function of the Drainage Easement. The Grantor does further grant and covey unto the Grantee a non-exclusive easement (the "Temporary Construction Easement") over and upon the portion of the property of Grantor as shown on the plat of survey drawn by John E. Krobath, L.S., dated June 4, 2007 designated thereon as "TC" together with a Temporary Access Easement set forth on said plat as "TA" which Temporary Construction Easement and temporary access are for the purpose of the Grantee performing the various easements granted within the document and others executed on this date. The Grantor and Grantee expressly acknowledge that the Temporary Construction Easement and Temporary Access Easement herein granted and conveyed shall automatically and without requirement of further written agreement or recorded instrument by and among the 2 parties, become null and void and of no force and effect whatsoever immediately upon the full completion of the construction of the easements or December 31, 2008 whichever the first shall occur. SCHROTH, parties of the first part, hereinafter called the Grantors, and RUTHERFORD FARM, LLC, a Virginia limited liability company, hereinafter called the Grantee. WHEREAS, Rutherford Farm, LLC is the owner of a tract of land situate in Frederick County, Virginia, being designated as Tax Map No. 43-A-100; and C. Robert Solenberger,et al; are the owners of an adjacent tract of land designated on the Frederick County Tax Maps` as 43-A-99 and, WHEREAS, Rutherford Farm, LLC, et al, have entered into an Easement Agreement dated May 9, 2007 of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia, as Instrument No. 07-0007920 for the providing of drainage easement and temporary construction easement, among other things contained therein, and this Deed of Easement is made in compliance thereof. WITNESSETH that for and in consideration of the benefits to accrue thereby, the Grantors do hereby grant and convey unto the Grantee a non-exclusive perpetual drainage easement (the "Drainage Easement") over, under and upon that portion of the property designated "SD" on the plat of survey drawn by John E. Krobath, L.S., dated June 4, 2007 attached hereto and by this reference made a part hereof as if set out in full for the purpose of diverting storm water and drainage runoff and discharge, storm water collection, retention, drainage ditches and culverts, detention and distribution lines, spillways and facilities (the "Drainage Improvements') from the Rutherford Farm property over, under and upon the C=)-: �r CrN property of C. Robert Solenberger, et al, as shown on the aforesaid attached plat. The Drainage Easement shall include the right of the Grantee to construct, install, maintain, repair, extend, improve, build and/or operate certain drainage ditches and culverts, any storm water lines and related equipment and appurtenances over, under and upon the Drainage Easement in accordance with and as detailed in the site plan approved by the Frederick County Planning Office for the Rutherford Crossing Shopping Center. The Grantee shall maintain the Drainage Improvements in good condition and repair and the cost of maintaining the Drainage Improvements shall be shared on a prorated basis in accordance with the cost allocation set forth in the Agreement of May 9, 2007' by and between the parties and others. Grantor, its successor and assigns shall not (and shall not permit any other party to) modify, restrict, damage or take or permit any action that would affect the flow and function of the Drainage Easement. The Grantor does further grant and covey unto the Grantee a non-exclusive easement (the "Temporary Construction Easement") over and upon the portion of the property of Grantor as shown on the plat of survey drawn by Johm E. Krobath, L.S., dated June 4, 2007 designated thereon as "TC together with a Temporary Access Easement set forth on said plat as "TA" which Temporary Construction Easement and temporary access are for the purpose of the Grantee performing the various easements granted. within the document and others executed on this date. The Grantor and Grantee expressly acknowledge that the Temporary Construction Easement and Temporary Access Easement herein granted and conveyed shall automatically and without requirement of further written agreement or recorded instrument by and among the 2 C3 C7 parties, become null and void and of no force and effect whatsoever immediately upon the full completion of the construction of the easements or December 31, 2008 whichever the first shall occur.
