PARTNERSHIP, a Virginia Partnership, of the one part, hereinafter called the Grantor, and
PROSPERITY PROPERTIES. L.L.C., a Virginia limited liability company, of the other
part, hereinafter called the Grantee.
WITNESSETH : That for and in consideration of the sum of Ten Dollars ($10.00)
and other valuable consideration, the receipt of which is hereby acknowledged, the Grantor
does grant with General Warranty and English Covenants of Title, unto the Grantee, in fee
simple, the following described real estate, to -wit:
All of that certain lot or parcel of land, lying and being situate in Back Creek
Magisterial District, Frederick County, Virginia, containing 1.83996 acre, more or less,
and identified as LOT 5, KERNSTOWN BUSINESS PARK, SECTION I, and
further described on the Final Plat of Lot 5, Kernstown Business Park, Section I, made
by David M. Furstenau, L.S., dated October 5, 2002, attached hereto and by this
reference made a part hereof; and being a portion of the property conveyed to the
Grantor herein by deed, dated October 15,1987, from Horton Nursery, Inc., a Virginia
Corporation, recorded in the Clerk's Office of the Circuit Court of Frederick County,
Virginia, in Deed Book 662, at Page 468. Reference is hereby made to the aforesaid
instruments for a further and more particular description of the property herein

This conveyance is made subject to all duly recorded and enforceable restrictions,

PROFFERED CONDITIONS
A strip of land sixty (60) feel in width shall be dedicated to the County of Frederick for
the.purpose of providing a future collector road which will connect Valley Pike (Route
11) with Shady Elm Road (Route 651). The location of this dedicated strip of land is
from the end of Prosperity Drive to the western limits of parcel 75-A-2D, as
demonstrated on the attached plat which is referred to as Exhibit 1.
The voluntary dedication of land shall be valid for as long as the Winchester Area
Transportation Plan identifies this area as a potential route for a collector road between
Route 11 South and Route 651, due to the possible expansion or change of the 1-81 -
Route 37 South Interchange, This shall not be used for any private expansion of a road
or development of private lands to the west or south of this land.
If after eight years from the dated signed, this land has not b, een used or is not in the
definite plans for a collector road between Route 11 and Route 651, the land will revert
back to the owner of record of each parcel.
