Section 7. "Declarant" shall mean and refer to Valley Mortgage and Investment Corporation, a Virginia Corporation, its successors and assigns. A R.T I C L E I I MEMBERSHIP Every person or entity who is a record owner of a fee or undivided fee interest in any Lot which is subject by covenants of record to assessments by the Association, including contract sellers, shall be a member of the Association. The foregoing is not intended to include persons or entities who hold an interest merely as security for the performance of an obligation. One membership per lot. Membership shall be appurtenant to and may not be separated from ownership of any Lot which is subject to assessment by the Association. i Ownership of such Lot shall be the sole qualification for membership. A R T I C L E I I I MEETING OF MEMBERS Section 1. Annual Meetings. The first annual meeting of the members shall be held within one year from the date of the recordation of this Deed of Dedication, and each subsequent regular annual meeting of the members shall be held on the same day of the same month of each year thereafter, at the hour of -4- 8:00 P.M. If the day for the annual meeting of the members is a legal holiday, the meeting will be held at the same hour on the first day following which is not a legal holiday. Section 2. Special Meetings. Section 3. Proxies. Each member may vote in person or by proxy. All proxies shall be in writing and filed with the i Secretary. A R T I C L E V I PROPERTY RIGHTS IN COMMON PROPERTIES Section 1. Members' Easements of Enjoyment. Every member shall have a right and easement of enjoyment in and to the Common Elements, specifically including but not limited to the rights of ingress and egress across the aforesaid Common Elements and such easement shall be appurtenant to and shall pass with the title to every assessed Lot, subject to the following provisions: (a) The rights of the Association, in accordance with its Articles and By -Laws, to borrow money for the purpose of improving the aforesaid Common Elements and in aid thereof to mortgage said property and the rights of such mortgagee in said properties shall be subordinate to the rights of the homeowners hereunder. (b) The rights of the Association to suspend the voting rights and the right to the use of the Common Elements by a member for any period during which any assessment against his Lot remains unpaid; and for a period not to exceed thirty (30) days for any infraction of its published rules and regulations. (c) The rights of the Association to dedicate or transfer all or part of the Common Elements to any public agency, authority, or utility for such purposes and subject to such conditions as may be agreed to by the members. The DECLARANT hereby covenants for itself, its heirs and assigns, that it will convey fee simple title to the Common Elements to the Association, prior to the conveyance of the first Lot. In the event of dissolution of the Association, other than incident to a merger or consolidation, the assets of the Association shall be dedicated to an appropriate public agency to be used for purposes similar to those for which the Association was created. In the event that such dedication is refused acceptance, such assets shall be granted, conveyed and assigned to the then owners of each lot on an equal basis and which ownership shall be devoted to such similar purposes as stated herein. A R T I C L E V I I COVENANTS FOR MAINTENANCE ASSESSMENTS FOR THE ASSOCIATION Section 1. Assessments. The DECLARANT, for each Lot owned within the Properties, hereby covenants, and each Owner of any Lot by acceptance of a deed therefor, whether or not it i shall be so expressed in any such deed or other conveyance, is Ii deemed to covenant and agree to pay to the Association (1) annual! assessments or charges, and (2) special assessments for capital I improvements, such assessments to be fixed, established, and collected from time to time as hereinafter provided. The annual assessments and special assessments, together with such interest', thereon and costs of collection thereof, as hereinafter provided shall be a charge on the land and shall be a continu- ing lien upon the property against,which each such assessment is made. Each such assessment, together with such interest, costs and reasonable attorney's fee, shall also be the personal obligation of the person who was the Owner of such property at - / - the time when the assessment fee was due. The personal obligation shall not pass to his successors in title unless expressly assumed by them. Section 2. Purpose of Assessments. The assessments levied by the Association shall be used exclusively for the i purpose of promoting the recreation, health, safety, and welfare of the residents in the properties and, in particular, I for the improvement and maintenance of the properties, payment I of real estate taxes, repairs, maintenance, repair and replacement of special street signs and special traffic signs within the subdivision, snow removal, and service and facilities devoted to this purpose and related to the use of and enjoyment j of the Common Elements. Section 3. Basis and Maximum of Annual Assessments. Until January 1 of the year immediately following the conveyance of the first Lot to an Owner, the maximum annual assessment shall be Fifty Dollars ($50.00) per year per lot; (a) From and after January 1 of the year immediately following the conveyance of the first Lot to an an Owner, the maximum annual assessment per Lot may be increased above that set forth hereinabove by a vote of the members for the next succeeding year and at the end of each year's period, for each succeeding period of one year, provided �j that any such change shall have the assent of two-thirds (2/3) of the votes of members who are voting in person or by proxy, at a meeting duly called for this purpose, written notice of which shall be sent to all members not less than thirty (30) days nor more than sixty (60) it days in advance of the meeting, setting forth the purpose of the meeting. j (b) After consideration of current maintenance ij costs and future needs of the Association, the Board of Directors may fix the annual assessments at an amount not in excess of the maximum. In addition to the annual assessments authorized above, the SCULLY, fHROCKMORTON - 8 - GLASS 'TORNEYS AT LAW OUTH KENT STREET CHESTER,VIRGINIA 22601 I I 't SCULLY, fHROCKMORTON GLASS TORNEYS AT LAW OUTH KENT STREET CHESTER,VIRGINIA 22601 Association may levy in any assessment year a special assessment applicable to that year only, for the purpose of defraying, in whole or in part, the cost of any construction or reconstruction, unexpected repair or replacement of a described capital improve- ment, such capital improvements must be in conformity with the final master development plan on file in the Office of the Frederick County Department of Planning and Development, upon the Common Elements, including the necessary fixtures and personal property related thereto, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of members who are voting in person or by proxy at a meeting duly called for this purpose, written notice of which shall be sent to all members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting, setting forth the. purpose of the meeting. Section 5. Uniform Rate of Assessment. Both annual and special assessments must be fixed at a uniform rate for all Lots,; and may be collected on a monthly basis. Section 6. Quorum for any Action Authority Under Sections 3 and 4. At the first meeting called, as provided in Sections 3 and 4 hereof, the presence at the meeting of members or of proxies entitled to cast sixty-seven percent (67%) of all j votes shall constitute a quorum. If the required quorum is not forthcoming at any meeting, another meeting may be called, subject to the notice requirement set forth in Sections 3 and 4 and the required quorum at any such subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting. No such subsequent meeting shall be held more than sixty (60) days following the preceding meeting. Section 7. Date of Commencement of Annual Assessments: Due Date. The first annual assessment shall be adjusted according to the number of months remaining in the calendar year. The Board of Directors shall fix the amount of the annual assessment against each Lot at least thirty (30) days in advance of each annual assessment period. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board of Directors. The Association shall, upon demand at any time, furnish a certificate in writing signed by an officer of the Association, setting forth whether the assessments on a specified Lot have been paid. A reasonable charge may be made by the Board for the issuance of these certificates. Such certificates shall be conclusive evidence of payment of any assessment therein stated to have been paid. Section 8. Effect of Non -Payment of Assessments: i Remedies of the Association. Any assessments which are not paid when due shall be delinquent. If the assessment is not paid within thirty (30) days after the due date, the assessment shall bear interest from the date of delinquency at the rate of I ten percent (10%) per annum, and the Association may bring an action at law against the Owner personally obligated to pay the same, or foreclose the lien against the property, and interest, costs and reasonable attorney's fees on any such action shall be added to the amount of such assessment. No owner may waive or otherwise escape liability for the assessments provided'for herein by non-use of the Common Elements or abandonment of his Lot. Section 9. Subordination of the Lien to Mortgages. The lien of the assessments provided for herein shall be subordinate to the lien of any mortgage or mortgages now or -10- hereafter encumbering any Lot. Sale or transfer of any Lot shall not affect the assessment lien. However, the sale or transfer of any Lot which is subject to any mortgage or deed of trust, pursuant to a decree of foreclosure thereof, or a valid Trustee sale, shall extinguish the lien of such assessments as to payments thereof which become due prior to such sale or transfer. No sale or transfers shall relieve such Lot from liability for any assessments thereafter becoming due from the lien thereof. Section 10. Exempt Property. The following property i subject to this Declaration shall be exempt from the assessments created herein: (a) the Common Elements; and (b) all properties dedicated to and accepted by a local public authority. However, no residence occupied as a dwelling shall be exempt from these assessments. ARTICLE VII I ARCHITECTURAL CONTROL No building, accessory building, or structure, shed, awning porch, or porch covering, garage, fence, barns, wall, or other structures shall be allowed, constructed, or altered upon any Lot thereon without the plans and specifications of such having been approved by the Architectural Control Committee as to quality of workmanship, design, colors, and materials and harmony of same to be the project as a whole. No front or side yard fence, wall or walls, or other similar type structures shall be allowed except those approved by the Architectural Control Committee. No fence, wall or hedge over three (3) feet high shall be allowed to be erected, planted,'or constructed upon any front yard of any Lot. No ,i satellite dish antenna, of any type or brand, may be installed or allowed on any Lot or on any part of the development. Upon completion of the main usebuilding on a Lot, such I Lot is required to have a minimum or two (2) deciduous trees i planted and growing thereon. The Architectural Control Committee shall initially be i the DECLARANT and remain so until such time as one-half (1/2) of the lots in the Section are sold. No motor vehicle which does not have a current license plate or a current inspection sticker shall be permitted to be parked on any lot or adjacent thereto. No noxious or offensive activities shall be carried on upon any Lot, nor shall anything be done thereon which may be or may become an annoyance or nuisance to the neighborhood. No sign of any kind shall be displayed to the public view on any Lot except one professional sign of not more than one (1) square foot, one (1) sign of not more than five (5) square feet advertising the property for sale or rent, or signs used by a builder to advertise the property during the construction and sales period. Senior TRANSPORTATION FOR THE 21 ST CENTURY 5lFUI508 AGREEMENT COUNTY OF FREDERICK, VIRGINIA AND THE VIRGINIA DEPARTMENT OF TRANSPORTATION THIS AGREEMENT, entered into this 14th day of September, 1990 by and between the County of Frederick, Virginia, hereinafter called "County", and the Commonwealth of Virginia, Department of Transportation, hereinafter called "Commonwealth". WITNESSETH: THAT, -WHEREAS, the county and others are in the process of developing some land in the vicinity of the intersection of State Route 647, East of Stephens City, Virginia, in the area known as Section II of Albin Village Subdivision as shown on Plat attached hereto; WHEREAS, it is anticipated that the development of this section of Albin Village Subdivision will increase the runoff of stormwater and cause drainage problems to exist along the watercourse between the subdivision and Route 647, the elimination of which will be beneficial to all of the parties involved; and WHEREAS, the County and others desire that the roads within the subdivision be taken into and be made a part of the Commonwealth's Secondary Highway System and be maintained by the Commonwealth; and WHEREAS, the Commonwealth is authorized by statute to make certain additions to the Secondary System of Highways and empowered to establish reasonable standards and requirements for such additions; and WHEREAS, one such reasonable standard for the acceptance of new roads of new subdivisions into the Secondary System of Highways is that there shall be a continuous drainage easement from such roads to natural watercourses or an executed agreement with the appropriate governing body, whereby the local governing body assumes the responsibility for the future maintenance and operation of an alternate method determined by the Commonwealth as SEP 1 4 1 Olt,751 satisfactory for handling this storm drainage; and WHEREAS, both the County and the Commonwealth acknowledge that this standard is desirable to assure safe thoroughfares for the traveling public, with maximum security to neighboring landowners; and WHEREAS, the parties hereto desire to carry out and accomplish certain work, and to determine and agree upon the manner of doing said work; NOW, THEREFORE, for and in consideration of the mutual covenants hereinafter stipulated to be kept and performed, it is agreed between the parties hereto as follows: A. THE COUNTY SHALL: 1. Construct or cause to be constructed, -at no cost to the Commonwealth, an adequate on site stormwater detention facility to intercept the peak stormwater runoff expected to recur on an average of once in 25 years and emergency spillways based on a 100 year frequency storm from the roads and the other areas within Section II of Albin Village Subdivision.` 2. Maintain or cause to be maintained at no cost to the Commonwealth, the on site storm water detention facility noted in one (1) above so as to permit it to function as designed and in such a manner as not to result in nuisances, health or safety hazards, or damage by reason of increased drainage to property in this area to be affected. 3. Secure all rights -of -way or right-of-way easements necessary to cover the construction and maintenance of the detention facility noted in one (1) above, and to have its construction completed prior to the request for the addition of the streets in Section II of the Albin Village Subdivision into the Secondary System of Highways. 4. Indemnify and hold harmless the Commonwealth from any and all claims for taking and/or damaging under Article I, Section 11, of the Revised Constitution of Virginia of property of any and all landowners who might be adversely affected by drainage which exits the boundaries of Section II, Albin Village Subdivision. 8K751���5 5. Indemnify and hold harmless the Department from any and all costs or expenses incurred as a result of the denial, settlement and/or litigation of such claims for taking and/or damages from drainage from Section II, Albin Village Subdivision. 6. Reimburse the Department for repairs to roadways damages as a result of the lack. of an adequate design and/or proper maintenance to the on site stormwater detention facility for Section II, Albin Village Subdivision. 7. The County agrees to prohibit any future development in the watershed upstream of this proposed detention facility prior to provisions, as are mutually agreed upon by the County and the Commonwealth, being made to adequately provide for the anticipated increased runoff caused by such future developments. B. THE COMMONWEALTH SHALL: 1. Add to the State Secondary Highway System and maintain the roads in Section II of the Albin Village Subdivision that, upon inspection, are found to be designed, constructed and maintained in "accordance with the standards and procedures of the Virginia Department of Transportation. I must advise you if the culvert is left in place in its present location the drainage easement on the backside of Lot 139 will have to be re -plated to accommodate the outfall. My recommendations are marked in red on the attached plans. In lieu of a new easement the developer, Mr. Kit Molden, has advised me approximately 20' from the end of the culvert will be removed and the ditch line relocated to the existing easement. After this matter has been addressed, please resubmit an as -built set of plans for review and approval. Should you have any questions concerning this matter, do not hesitate to call. Our comments, recommendations and requirements are as follows- 1. The proposed 25"X16." pipe, arch size, is no longer available. The standard size is now 24"X18". 11 2. A temporary turn around should be provided at the and of the Village Lane construction. 3. A Standard CD-2 should be placed at Station 3+50 (t) Village Lane. 4, Ditches will be reviewed during construction to determine if additional erosion control measures are necessary. 5. The radii for flares at street intersections should be a minimum of 501. 6. We are attaching one set of plans and drainage computations marked with our comments in red. A permit must be applied for and approved before doing any work on the State's `right-of-way at the intersection of Route 647. A standard VDH&T stop sign will be required. 7.1 Any proposed mailboxes should be placed back of the ditch line to prevent hindering of ourmaintenance operation when these streets are added to the Secondary System. Base stone must be placed a foot wider than the proposed pavement on all streets. Pavement design will be determined by CBR Tests conducted by the Virginia Department of Highways a Transportation at the developer's expense and should be requested when the grading has been completed. Attached please find a copy of the minimum requirements and data for subdivision streets prior to acceptance into the Secondary System. This is the responsibility of the developer.
