Teats, his wife, recorded in Deed Book 653 at Page 763, and being more particularly described in Schedule "A" attached hereto and made a part hereof and as shown as Parcel B on the attached plats (hereinafter "the Land"); and WHEREAS, the Land is subject to two deeds of trust, the first held by First American Bank, recorded in Deed Book 638 at Page 37 of said land records, wherein the Land was conveyed to Commonwealth Abstract Corporation, Trustee, to secure the payment of certain indebtedness therein described; and the second held by Warren G. Teats, recorded in Deed Book 653 at Page 771, wherein a part of the land was conveyed to H.K. Benham, Trustee, to secure indebtedness therein described; and WHEREAS, by Declaration of Protective Covenants dated April 3, 1987, recorded in Deed Book 643 at Page 621 of said land records, Declarants subjected the Land to Protective Covenants, reserving, however, the right to amend or substitute new protective covenants in place thereof except as to Lots sold prior to the amendment or substitution; and WHEREAS, since the imposition of the Declaration of Protective Covenants the only Lot which has been sold is excluded from Schedule "A", the metes and bounds which describe the Land; and WHEREAS, Declarants wish to provide for the development, enhancement and maintenance of the Land as a business center in a way which will protect property values and assure an harmonious and aesthetically pleasing mixture of office, commercial, light industrial and open space uses; NOW THEREFORE this Declaration W I T N E S S E T H: That Declarants, with the consent of Lenders and Trustees, do hereby declare that the Land described in Schedule "A" and as shown on the attached plats and any additional property which may hereafter be subjected to this Declaration by Declarants and their successor(s) in interest shall be held, transferred, sold and conveyed subject to the covenants, restrictions, easements, charges and liens hereinafter set forth. This Declaration shall run with the Land and every part thereof and shall be binding upon and shall inure to the benefit of all Owners, lessees, licensees, tenants, and occupants of the Land and their successors and assigns. This Declaration shall be in - 2 - substitution for the Declaration of Protective Covenants subjected to this Declaration by Declarants and their successor(s) in interest shall be held, transferred, sold and conveyed subject to the covenants, restrictions, easements, charges and liens hereinafter set forth. This Declaration shall run with the Land and every part thereof and shall be binding upon and shall inure to the benefit of all Owners, lessees, licensees, tenants, and occupants of the Land and their successors and assigns. This Declaration shall be in substitution for the Declaration of Protective Covenants recorded in Deed Book 643 at Page 621 of said Land Records, to the end that said Declaration of Protective Covenants is hereby vacated as to the Land. ARTICLE I USES, PERMITTED AND PROHIBITED 1.01 No portion of the Land shall be used for a purpose or in a manner which violates the Zoning Ordinance, the Subdivision Ordinance, or any of the Building Codes of Frederick County, Virginia. 1.02 Notwithstanding approval by any public agency, no use of any part of the Land shall be permitted which gives rise to, or is likely to give rise to, noxious or offensive odors, smoke, vapor, dust, noise or vibration. 1.03 No asphalt plant, concrete batching plant, automobile salvage yard, tire recapping establishment, tank farm, - 3 - stock yard, used car lot, vehicle storage lot or used equipment sales yard shall be permitted upon any part of the Land. 1.04 No hazardous waste, substance or material shall be deposited in the storm or sanitary sewers serving the Land or kept or stored upon any part of the Land. 1.05 Power lines, telephone lines and cable TV lines shall be installed underground except in those cases where underground installation would cause unnecessary destruction of trees and shrubs. 1.06 No rubbish or debris of any kind shall be kept or allowed to accumulate on any part of the Land except in approved waste containers or dumpsters kept in locations approved by the Board of Review, totally screened from the view of adjacent property and from streets. 1.07 No communications towers, satellite earth stations or exterior radio or television antennas shall be placed upon any part of the Land without the written approval of the Board of Review. 1.08 No outside storage of any type will be approved without the written approval of the Board of Review in which case such storage shall be totally screened from the view of adjacent property and from streets. 1.09 Parking. The Owner of each Lot shall provide adequate automobile parking (not less than required by the Zoning Ordinance of Frederick County) on such Owner's Lot for the parking needs of its employees, visitors and company vehicles. - 4 - Each Owner or Occupant shall use its best efforts to prevent its employees, lessees, agents, customers and visitors from parking on any street within the Land. If any Owner or Occupant of a Lot shall persistently park or allow their employees, lessees, agents, customers or visitors to park after written notice from the Association that such use is in violation of this Declaration the Association shall have the right to assess a charge for each day each vehicle is parked on a street in the amount of $25.00. Such charge together with the expense of collection shall be payable by the Owner, it being the responsibility of the Owner to enforce the parking restriction. Further, the Association shall have the right to cause vehicles parked in violation to be removed by towing or otherwise at the expense of the Owner of the vehicle parked in violation. 1.10 Signs. All signs shall be uniform and consistent as to size, color, design and placement. One building mounted sign shall be permitted for each building. Free standing signs shall not be permitted, except directional signs. Written approval of the Board of Review shall be required for all signs as to size, location, design, materials and text. Flashing or moving signs shall be prohibited. 1.11 Reservation of Utility Easements. Declarants hereby reserve the right to create at any time by recordation of appropriate instruments among the land records of Frederick County, Virginia, temporary or permanent easements for storm and sanitary sewer lines, water lines, underground electric, - 5 - telephone and cable TV lines, gas lines and such other utility lines as may be desirable across, under and through all of the Lots, common areas and open space within the Land except building locations approved by the Board of Review and building areas reasonably set aside by Owners of Lots which meet zoning regulations and the requirements of this Declaration. Declarants shall have the right to grant and assign the benefits of any such easements to any electric company, gas company, telephone company, cable television company, the Board of Supervisors of Frederick County or any County, City or Town having jurisdiction over the Land and any authority or public utility of the Commonwealth of Virginia created for the purpose of installing, operating and maintaining utility lines, providing, however, that the Person directing the entry upon any such easements shall restore said Land at such Person's expense to as nearly as practicable the condition existing prior to the entry, installation or maintenance. Such restoration shall include the backfilling of trenches, replacement of fences, the resodding of lawns and the replacement of shrubbery, but not the replacement of natural obstructions. No conveyance by Declarant of any portion of the Land shall be deemed to be or construed to be a conveyance or release of the right to create the easements herein reserved even though such conveyance purports to convey Declarant's interest in fee simple. ARTICLE II USERS ASSOCIATION 2.01 Declarants have caused to be established a non - stock, non-profit association incorporated in Virginia known as Airport Business Center Users Association ("The Association"). The Board of Directors of the Association shall appoint a Board of Review consisting of not fewer than three (3) persons nor more than five (5) persons of whom at least one shall be a land planner, architect or landscape architect ("The Board of Review"). The Board of Review shall have the power to review, approve or disapprove or approve with conditions all plans for development or construction within the Land in accordance with the procedures set forth in Article III of this Declaration. 2.02 Membership. The Owner of each Lot within the Land shall be a member of the Association entitled to vote and shall be bound by the by-laws of the Association. The total number of votes to be cast shall be one (1) vote for each $1,000 of valuation for real estate tax purposes for all of the Land and improvements in the Airport Business Center. The number of votes to be cast by any Lot Owner shall be one (1) vote for each $1,000 of valuation of his Lot and improvements for real estate tax purposes. The calculation of votes to be cast during any year shall be based upon assessed values effective as of January 1 of such year. When more than one person owns an interest in a Lot all such persons shall be members and the votes which they are - 7 - entitled to cast shall be exercised as they among themselves shall determine. 2.03 The members of the Board of Directors shall be elected by members of the Association, provided, however, the Declarants or the survivor of them shall be entitled to elect a majority of the Directors until at least ninety (90) percent of the Land shall have been sold and conveyed of record. 2.04 The Declarants hereby covenant and declare that each Owner of a Lot in the Land, by acceptance of a deed of a Lot within the Land, shall be deemed to covenant and agree to pay the Association: (a) An annual general assessment to pay an aliquot share of the cost of maintaining all common areas, including but not limited to open spaces, ponds, storm drainage facilities, walkways, private streets, landscaping, recreation amenities, signs, street lights, the payment of insurance and real estate taxes on common areas, and the administration and enforcement of this Declaration, including staff salaries, litigation expense and the operation of the Association. The share attributable to each Lot shall be calculated by multiplying the total budget cost by a percentage determined by dividing the assessed value of the Lot for real estate tax purposes by the assessed value for all of the Land. CER= (b) Special assessments for capital improvements, provided the amount of a special assessment in any year may not exceed the general assessment for that year. (c) Special assessments against individual Lot Owners for the costs incurred by the Association in bringing such Lot into compliance with the Association documents. (d) The amount of a general assessment in any year shall not exceed ten percent (10%) of the real estate tax bill levied by Frederick County for that year. (e) No special assessment for capital improvements shall be levied without the affirmative vote of sixty-seven percent (67%) of all votes entitled to be cast. 2.05 Liability for Assessments. The annual general assessments, special assessments for capital improvements and special assessments against individual Lots, together with interest and cost of collection, shall be a charge on the Land and improvements and shall be a continuing lien upon the Lot against which each such assessment is made. Each such assessment, together with interest and the costs of collection, shall also be the personal obligation of the person(s) who was the Owner of the Lot when the assessment fell due. 2.06 Remedies of the Association In The Event Of Default. If any interest or charge is not paid within 30 days after the due date the assessment or charge shall bear interest from due date at twelve percent (12%) per annum. In the event the assessment or charge is not paid within sixty (60) days from due date the Association may, after ten (10) days written notice, file a written notice of lien among the land records to evidence the lien upon the Lot against which such assessment or charge was made. Such notice of lien shall be signed by an officer of the Association and shall be recorded among the land records of Frederick County. The Association may also bring actions at law or in equity for the enforcement of liens and the collection of arrears. 2.07 Preventive Remedies. The Association, or any Owner of a Lot, may proceed at law or in equity to prevent or abate the violation of the provisions of this Declaration. 2.08 Right of Inspection. During normal business hours and subject to reasonable security requirements the Association shall have the right for its agents to enter any part of the Land, but not the inside of buildings, for the purpose of ascertaining whether this Declaration has been or is being complied with. Any such entry shall be deemed by permission and neither the Association or any member or employee thereof shall be deemed liable for any manner of trespass. 2.09 Right of Entry for Enforcement. The Association and its agents shall have the right, upon reasonable notice, at - 10 - any time and from time to time following violation or breach of this Declaration, (a) to enter upon the Lot upon or as to which said violation or breach exists and summarily to abate and remove, at the expense of the Owner thereof, any structure, object or condition that may be or exist there contrary to the intent and meaning of this Declaration (including, without in any way limiting the generality of the foregoing, the care and maintenance of landscaping and lawns, care and maintenance of improvements, removal of trash and debris, removal of dirt from streets resulting from construction activity, abatement of nuisances, removal or relocation of signs, etc.) and/or (b) to institute a proceeding at law or in equity against the persons who have violated or are attempting to violate any of the provisions of this Declaration, to enjoin or prevent them from doing so, to cause said violation to be remedied and/or to recover damages for said violation. In the event, pursuant to this paragraph, the duly authorized agents of the Association enter upon any Lot for the purpose of abating or removing any violation or breach of this Declaration, neither the person entering nor the person directing the entry shall be deemed liable for any manner of trespass for such action, and the Owner of such Lot shall promptly reimburse the Association for the cost thereof. Payment of such amount shall be secured by a lien against the Land and improvements of such Owner, which lien may be foreclosed and/or enforced in any manner available at law or in equity. However, as provided in Section 2.15, such lien shall be inferior to any mortgage made in good faith and for value. If such amount is not paid in full within thirty (30) days after such Owner is billed therefor by the Association, then the Association may institute appropriate action to enforce the collection of such amount, together with interest from the due date at the highest rate then permissible under the laws of Virginia. All rights of the Association under this Article II are optional and not obligatory and shall not impose any duty or obligation on the Association. 2.10 Cumulative Remedies. The remedies hereby specified are cumulative, and this specification shall not be deemed to preclude any aggrieved person's resort to any other remedy provided hereunder or at law, in equity or under any statute. 2.11 Non -Waiver. No delay or failure on the part of an aggrieved person to invoke any available remedy in respect to a violation of any provision of this Declaration shall be held to be a waiver by the person of (or an estoppel of that person to assert) any right available to him upon recurrence or continuance of said violation or the occurrence of a different violation, nor shall there be imposed upon Declarant, the Board or the Association a duty to take any action to enforce this Declaration. 2.12 Assignment of Right and Duties. Any and all of the rights, powers and reservations of Declarant herein contained may be specifically assigned by Declarant to any person, and upon - 12 - any such person consenting in writing to accept such assignment and assume such rights, powers and duties, he shall, to the extent of such assignment, have the same rights and powers and be subject to the same obligations and duties as are given to and assumed by Declarant herein. No conveyance by Declarants of any part of the Property or any interest therein shall be deemed to be, or construed as, an assignment of any right or power reserved herein to Declarants, unless said right, power or reservation is specifically transferred or assigned by Declarants. The term Declarants as used herein includes all such assignees, who are specifically assigned said rights, powers and reservations, and their successors and assigns. Any assignment or appointment made under this section shall be in recordable form and shall be recorded among the land records of Frederick County, Virginia. 2.13 Constructive Notice. Each Owner, lessee, licensee and Occupant, by acceptance of a deed conveying title to a part of the Land, or the execution of a contract for the purchase thereof, or the acceptance of a lease or license therefor, or the taking possession thereof, whether from Declarants or other Owner or lessee, shall accept such deed, contract, lease, license or possession upon and subject to each and all of the provisions of this Declaration, and also the jurisdiction, rights and powers of Declarants and their successors and assigns, and by such acceptance shall for himself, his heirs, personal representatives, successors and assigns, covenant, consent and agree to and with Declarants, his - 13 - successors and assigns, and to and with the other Owners and lessees to keep, observe, comply with and perform the requirements of this Declaration, whether or not any reference to this Declaration is contained in the instrument by which such person acquired said interest. Every person who now or hereafter owns or acquires any rights, title, or interest in or to any portion of the Land is and shall be conclusively deemed to have consented and agreed to the provisions of this Declaration, whether or not any reference to this Declaration is contained in the instrument by which such person acquired an interest in said real property. Notwithstanding the foregoing, Owners, lessees, licensees, and Occupants agree to refer to this Declaration in deeds, leases and licenses covering any portion of the Land and to make this Declaration binding upon all Owners, lessees, licensees and Occupants. 2.14 Waiver. Neither Declarants, the Board of Review, the Association or any member thereof, nor their successors or assigns shall be liable for damages to any Owner, lessee, licensee, or Occupant of a portion of the Property by reason of any mistake in judgment, negligence, nonfeasance, action or inaction in the administration of the provisions of this Declaration or for the enforcement or failure to enforce this Declaration or any part thereof; and every Owner, lessee, licensee or Occupant, by acquiring an interest in the Land, agrees that he will not bring any action or suit against Declarants, Declarants' successors or assigns, or the Board of - 14 - Review, or the Board of Directors of the Association, or any member thereof, from time to time, to recover any such damages or to seek equitable relief on account of their enforcement or non- enforcement of this Declaration. 2.15 Subordination To Mortgages and Deeds of Trust. Liens or charges resulting from general and special assessments permitted hereby shall be subordinate to the liens of mortgages and deeds of trust placed for the purpose of financing and refinancing Buildings and Improvements upon the Land. The sale or transfer of any Lot pursuant to a foreclosure or a deed in lieu of foreclosure shall extinguish the lien of assessments and charges which become due prior to such sale or transfer. However, sale or transfer of any Lot other than by foreclosure or deed in lieu of foreclosure shall not affect any assessment lien and no sale or transfer by foreclosure or otherwise shall relieve the grantee from liability for any assessments or charges which thereafter become due or from the lien thereof. ARTICLE III PLAN APPROVAL PROCEDURES 3.01 Preliminary Submission. Prior to the commencement of any clearing, grading or construction, the Owner or his designated representative shall submit to the Board of Review three (3) copies of a preliminary plan in accordance with development guidelines provided by the Board of Review setting forth the following: - 15 - (a) A master plan for full development of the Lot; (b) A site plan and schematic design of area proposed for immediate development showing: (1) location of all structures, easements, street rights -of -way, and set -back lines; (2) location of all walks, parking areas, off-street loading areas, driveways and outside storage areas; (3) location of all landscaping features and existing trees to be preserved, and limits of clearing and grading; (4) Site coverage data and calculations; (5) parking data and calculations, including base data for projected needs; (6) Site drainage plans, data and calculations; and (7) a contour grading plan at two (2) foot or lesser intervals including spot elevations at appropriate locations. (c) Architectural building elevation drawings of each Building face; (d) Building materials and color information, with samples if available; (e) Description of proposed uses; and - 16 - (f) Evidence that the proposed plan is in conformity to the ordinances of Frederick County. Within not more than thirty-one (31) days following delivery of Owner's submission to a representative of the Board of Review the Board shall review the submission in a meeting at which Owner or Owner's representative shall be entitled to be present and within twenty-one (21) days following the conclusion of the meeting the Board shall provide Owner or Owner's representative a written approval, approval with conditions or disapproval. 3.02 Final Submission. Following approval of a Preliminary Submission and prior to commencement of any clearing, grading or construction the Owner or his designated representative shall submit to the Board of Review (a) three (3) copies of all site plans, applications for permits, construction drawings and specifications and other drawings submitted for governmental approval. In addition, to the information required for the Preliminary Submission the Final Submission shall include: (a) location of all walks, driveways and curblines; (b) layout and location of all parking areas, including location and dimensions of all spaces, circulation aisles, landscaping, curbs and bumpers; - 17 - (c) layout and location of all off-street loading areas; (d) layout and location of all outside storage areas, including identification and size of the material to be stored and location type and dimensions of all fencing and screening; (e) location, height, intensity and fixture type of all exterior lighting; (f) location, size and type of all pipes, lines, conduits and appurtenant equipment and facilities for the transmission of sanitary sewage, storm water, water, and other utility services; (g) location, site and type of all fencing; (h) architectural floor plans, Building elevations, wall sections and details of each Building; (i) temporary construction sign design; (j) permanent sign design and location; (k) such other data as may be specified in the Development Guidelines. 3.03 No Use Prior To Approval. No Building, structure or Improvement of any kind shall be commenced, installed, erected, placed, assembled, altered, occupied or permitted to remain on any Lot, nor shall any use be commenced on any Lot, unless and until the final Submission for the same (including a - 18 - description of the proposed use) have been submitted to, reviewed and approved by the Board of Review in accordance with this Article III. No Owner shall commence clearing or grading or construction of any Site improvement prior to final submission of the development proposal to the Board of Review and approval thereof by the Board of Review. 3.04 Presumption of Compliance. Upon approval by the Board of Review of a Final Submission for any Lot, subject only to conditions contained in the approval, all development shown on the Final Submission shall be deemed to comply with the requirements of this Declaration. If the Board of Review, after having reviewed and approved a Preliminary Submission, shall fail to respond to a Final Submission within twenty-one (21) days after receipt thereof, the Final Submission shall be deemed approved. ARTICLE IV DURATION, MODIFICATION AND REPEAL 4.01 Duration. This Declaration shall continue and remain in full force and effect at all times with respect to the Land and each part thereof (subject, however, to the right to amend, vacate and repeal as provided for herein) for a period of twenty (20) years from the date of recordation of this Declaration among the land records of Frederick County, Virginia, and shall be automatically extended thereafter for successive periods of ten (10) years each, subject to termination as provided below. - 19 - 4.02 Termination and Modification. This Declaration, or any provisions hereof, may be terminated, modified or amended, or this Declaration may be vacated as to a portion of the Land, with the written consent of the Owners of at least sixty-seven percent (67%) of the square feet of the Land devoted to Lots (excluding streets, common areas and open space); provided, however, that so long as Declarants or an Affiliate of Declarants owns at least ten percent (10%) of the Land devoted to Lots, no such termination, amendment or modification shall be effective without the written approval of Declarants. Further, such termination, modification or amendment of this Declaration shall be effective until a written instrument setting forth the terms thereof has been executed by the Owners of at least sixty-seven percent (67%) of the square feet of the Land devoted to Lots and said instrument has been recorded in the land records of Frederick County; provided, however, that any part of the Land may be dedicated or conveyed for public streets or other public use free and clear of this Declaration by execution and delivery of a deed by the Owner to the appropriate governmental body. ARTICLE V MISCELLANEOUS 5.01 Variance. With the written concurrence of the Board of Review Declarants shall have the power to grant reasonable variances from provisions of this Declaration in order to overcome practical difficulties or unnecessary hardship, provided, however, that such variances shall not, in the opinion - 20 - of a majority of the Board of Review materially injure or adversely impact the Land. No variance granted pursuant to the authority herein reserved shall constitute a waiver of any provision of this Declaration as applied to any other Person or Lot. 5.02 Partial Invalidity. If any provision of this Declaration is held invalid or unenforceable by any Court of competent jurisdiction the invalidity of such provision shall not affect the validity of the remaining provisions of this Declaration. 5.03 Notice. Any notice required or permitted under this Declaration shall be deemed to have been given when delivered to the person to whom notice is being given or alternatively within five (5) days after depositing a written notice in the U. S. Mails, postage prepaid, certified mail, return receipt requested, addressed to the person receiving the notice at the address shown for the Owner of the Lot or parcel in question for the preceding tax year. 5.04 Captions. The Captions included within the declaration are for convenience only and shall not limit the meaning, effect or scope of any provision of this Declaration. 5.05 Governing Law. A CD Underdrain is to be installed in the grade sag at Station 8+00. 4. Typical section does not shown the depth of pavement surface. Without knowing the specific type of commercial development, 6" of B-3 and 1 1/2" of S-5 is recommended as minimum due to the anticipated truck traffic from the development of warehouses on the last 3 lots. 5. It appears everything has been constructed in accordance with the approved plans accept for the installation of the proposed VDOT Standard GR-2 Guardrail on the western side of Cessna Drive. However, the installation of the guardrail will not be required at this time because the possibility exists the deep drainage hollow may be filled in order to develop the lots fronting this portion of the Cessna Drive right-of-way. A determination on whether the guardrail will be required will be made at the time of acceptance. The street will be eligible to be added to the Secondary Road System when the minimum public service is provided and the Frederick County Board of Supervisors passes a resolution requesting this street to be added to the Secondary.Road System. It must be further understood the right-of-way is to be maintained in its present condition if it is to be added to the Secondary Road System. It was noted during the final inspection several other contractors were working on or along the Cessna Drive right-of-way. I would recommend you advise these individuals to keep any or all damages to the right-of-way to a minimum for these damages will have to be corrected. For your information and ready reference enclosed is information and data needed for - subdivision streets prior to acceptance into the States Secondary Road.System and mailbox placement specifications. Please ensure the individual lot developers are supplied this information so there will be no misunderstandings in the future. Also be reminded any commercial entrances constructed off of Cessna Drive must meet our minimum standards.
