The Water Easements and the related Easement Areas are subject to the Conditions set forth hereinbelow. The Sewer Easements and the Water Easements (cumulatively, the "Easements"), and respective related Easement Areas therefor, granted herein are subject to the following Conditions: i . All Facilities which are installed in the Easement Areas shall be and remain the property of the Authority, its successors and assigns. 2. The Authority and its agents shall have full and free use of the Easements for the purposes named, and shall have all rights and privileges reasonably necessary to the enjoyment and exercise of the Easements, including the right of reasonable access to and from the Easement -4- 0 0 N CT Areas and the right to use adjoining land of the Owner where necessary; provided, however, that this right to use adjoining land shall be exercised only during periods of actual construction, reconstruction or maintenance, and further, this right shall not be construed to allow the Authority to erect any building or structure of a permanent nature on such adjoining land. 3. The Authority shall have the right to trim, cut and remove trees, shrubbery, fences, structures or other obstructions or facilities in or near the Easement Areas deemed by it to interfere with the proper and efficient construction, operation and maintenance of the Facilities; provided, however, that the Authority, at its own expense, shall restore, as nearly as possible, to their original condition all land or premises included within or adjoining the Easement Areas which are disturbed in any manner by the construction, operation and maintenance of the Facilities, such restoration to include the backfilling of trenches and the reseeding or resodding of lawns or pasture areas, but not the replacement of structures, trees or other obstructions. 4. The Owner reserves the right to cross over and upon said Easements, and to construct and maintain roadways on the surface over the Easements and the Easement Areas in such manner as will neither damage nor interfere with the construction, operation or maintenance of the Facilities and the Owner reserves the right to make any use of the Easement Areas herein granted which shall not be inconsistent with the rights herein conveyed and/or which shall not interfere with the use of the Easements by the Authority for the purposes named; provided, however, that the Owner shall not erect any building or other structure on the Easements or within the Easement Areas without the prior written approval of the Authority. 5. In the event a use of the Easement Areas by the Owner is approved by the Authority, but requires the relocation of any of the Facilities or the adjustment of the depth of any of the Facilities, all costs required to accomplish such relocation or adjustment shall be paid by the Owner. The Owner agrees that no vegetation another than (i) grass, (ii) shrubbery, and (iii) flowers and vegetable plants with root systems that extend no more than 12 inches below the surface at maturity, may be planted in the Easement Areas; provided, however, that such flowers, shrubbery and vegetable plants are planted at the Owner's risk and the Authority shall have no -5- obligation to replant such flowers, shrubbery and vegetable plants nor to compensate the Owner for such vegetation in the event such vegetation is damaged or destroyed during the exercise of the Authority's rights under these Easements. At such time as any portion of the land within the Easement Areas is/are accepted by the Commonwealth of Virginia or any appropriate agency thereof for maintenance into the state highway system, all easement rights acquired by the Authority by this instrument in such portion of land shall cease and terminate, provided that the Commonwealth of Virginia or any appropriate agency thereof concurrently grants to the Authority all necessary permits for the continued operation, maintenance, inspection, repair and replacement of its Facilities in said locations. The Owner covenants that it is seized of and has the right to convey said Easements, rights and privileges, that the Authority shall have quiet and peaceable possession, use and enjoyment of the Easements, rights and privileges, and that the Owner shalt execute such further assurances thereof as may be required. In the event the Authority notifies the Owner, or its successors or assigns, of a violation of the terms of these Easements and the Owner does not clue such violation within thirty (30) days of such notice, the Authority may take such action as necessary to cure such violation, including ingress and egress over any portion of the Property deemed necessary by the Authority to access the Easement Areas or to enforce the Authority's rights hereunder. All costs and expenses incurred by the Authority in exercising or enforcing its rights hereunder shall be paid or, at the Authority's election, reimbursed, by the Owner, within thirty (30) days from the date the Owner receives a bill or invoice from the Authority for such costs and expenses. If such costs and expenses are not paid within the thirty (30) day period referenced in the preceding sentence, all such costs and expenses shall immediately commence bearing interest at the rate of twelve percent (12%) per annum. The Authority shall have the right to enforce the terms of these Easements by any remedy available at law or in equity. -6- 9. If the Authority is adjudicated the prevailing party in any judicial proceeding between the parties regarding enforcement of these Easements, the Authority shall be awarded its costs and expenses, including reasonable attorney's fees. 10. The Owner agrees that the agreements and covenants stated in this Deed with respect to the Easements granted to the Authority are not covenants personal to the Owner but are covenants running with the land which are and shall be binding upon the Owner, its successors and assigns. THIS DEED FURTHER WITNESSETH, NOW THEREFORE, that in consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, the receipt and sufficiency of which are hereby acknowledged, the Owner does hereby create and establish a private sanitary sewer lateral easement for the purpose of constructing, installing, operating, repairing, replacing and the maintaining a private sanitary sewer line for the benefit of the owner, its heirs, successors and assigns, of Lot 211, in the location as more particularly bounded and described on the Plat as "Proposed Sanitary Sewer Easement (Private)". The intent is to construct the 13 dwellings in Phase 3A (Lots 151-164) first as utilities are existing. Geometry: Mary's Wind Court — Street was shortened 20' due to steep grades in the back yards of cul-de-sac units and due to raising site. Firefly Lane- Street was shortened +/- 25' due to unnecessary length, cul-de-sac geometry revised accordingly. Falling Mountain Place - Street was shortened +/- 75' due to unnecessary length. Eleven Moons Place — Street was shortened +/- 75' due to unnecessary length. Storm Sewer: The layout of the storm sewer was revised to minimize inlet structures and eliminate redundant or parallel pipe runs while honoring the approved drainage areas and outfalls. The use of drops in invert elevations (max. drop = 2') across structures has been implemented to keep pipe depth and rock excavation to a minimum. The Town has begun to refocus our efforts in being a regional partner for better development and provide developments outside the Town of Stephens City with some comments as required by the Frederick County Planning Department. The Town does not object to the Meadow's Edge, Phase III development other than the greater concern for the amount of traffic the development will generate within an already "over taxed" corridor and interchange. It is with great concern and with a concentrated effort that the Town and County must continue to work together with regard to development in and outside the Town of Stephens City. As development continues within the Southern portion of the County along the Route 277 corridor and extensions there of, it places more of a traffic burden within the Town's infrastructure. It is the Town's goal to work with the County on solving these issues together for better development. General Comments on Meadow's Edge, Phase III. - There seems to be a lack of focus on connectivity. Cul-de-Sacs can sometimes be a very useful tool to manage inner development traffic, but they are also used sometimes as a tool only to increase density. It seems as if the development layout had some opportunities for inner connectivity which would have enhanced the development, even at the cost of a few lots as opposed to simply using cul-de-sacs to maximize density. • There does not seem to be much of a focus on the pedestrian movement throughout the layout. Crosswalks at each intersection would be an appropriate treatment to better enhance the pedestrian movement throughout the development. • Per traditional Single Family Development it would be appropriate to incorporate landscaping, such as a tree line along the sidewalks. The sidewalk shows a design of 4 ft sidewalks with might limit this in design, but landscaping should be considered in order to enhance the development. The Town has begun to refocus our efforts in being a regional partner for better development and provide developments outside the Town of Stephens City with some comments as required by the Frederick County Planning Department. The Town does not object to the Meadow's Edge, Phase III development other than the greater concern for the amount of traffic the development will generate within an already "over taxed" corridor and interchange. It is with great concern and with a concentrated effort that the Town and County must continue to work together with regard to development in and outside the Town of Stephens City. As development continues within the Southern portion of the County along the Route 277 corridor and extensions there of, it places more of a traffic burden within the Town's infrastructure. It is the Town's goal to work with the County on solving these issues together for better development. Genera[ Comments on Meadow's Edge, Phase III. - There seems to be a lack of focus on connectivity. Cul-de-Sacs can sometimes be a very useful tool to manage inner development traffic, but they are also used sometimes as a tool only to increase density. It seems as if the development layout had some opportunities for inner connectivity which would have enhanced the development, even at the cost of a few lots as opposed to simply using cul-de-sacs to maximize density. • There does not seem to be much of a focus on the peucstrian movement throughout the layout. Crosswalks at each intersection would be an appropriate treatment to better enhance the pedestrian movement throughout the development. • Per traditional Single Family Development it would be appropriate to incorporate landscaping, such as a tree line along the sidewalks. The sidewalk shows a design of 4 ft sidewalks with might limit this in design, but landscaping should be considered in order to enhance the development. The comments above are designed to give the applicant and Frederick County officials some issues to consider as they proceed throughout the review process.
