PROFFERED CONDITIONS
A strip of land sixty (60) feet in width shall be dedicated to the County of Frederick for
the.purpose of providing a future collector road which will connect Valley Pike (Route
11) with Shady Elm Road (Route 651). The location of this dedicated strip of lane: is
from the end of Prosperity Drive to the western limits of parcel 75-A-2D, as
demonstrated on the attached plat which is referred to as Exhibit 1.
The voluntary dedication of land shall be valid for as long as the Winchester Area
Transportation Plan identifies this area as a potential route for a collector road between
Route 11 South and Noute 651, due to (lie possible expansion or change of the 1-61 -
Route 37 South Interchange. This shall not be used for any private expansion of a road
or development of private lands to the west or south of this land.
If after eight years from the dated signed, this land has not bveen used or is not in the
definite plans for a collector road between Route 11 and Route 651, the land will revert
back to the owner of record of each parcel.

Grantor, and VALLEY FARM CREDIT, ACA, a Virginia Limited Liability Company, parry of the
second part, hereinafter called the Grantee.
WITNESSETH: That for and in consideration of the sum of Ten ($10.00) Dollars,
cash in hand paid, and other good and valuable consideration, the receipt of which is hereby
acknowledged, the Grantor does hereby grant and convey with special warranty of title unto the
Grantee, in fee simple, all that certain lot or parcel of land lying and being situate in Back Creek
Magisterial District, Frederick County, Virginia, containing 1.00 acres and more particularly described
as Lot 15 on that certain plat of survey drawn by David M. Furstenau, L.S., dated November 7, 2000,
attached hereto and by this reference made a part hereof as if set out in full; AND BEING a portion of
the same property conveyed to KT&T Partnership, a Virginia Partnership, by Deed dated October 15,
1987, of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia, in Deed Book
662 at Page 648.
This conveyance is made subject to all rights and restrictions of record affecting the
subject property and particularly those restrictive covenants contained in the Deed of Dedication dated
July 7, 1995 of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia in Deed
Book 841 at Page 1341 and by this reference rnade a part hereof as if set out in full.
The Grantor hereby covenants that it has the right to convey to the Grantee; that the
Grantee shall have quiet and peaceable possession of the said property, free from all liens and
encumbrances; and it will grant such further assurances of title as may be requisite.
