WITNESSETH: That for and in consideration of the sum of Ten Dollars ($10.00),

WHET-.-F-AS, RTT Partnership, hereinafter called Owners,. have caused'
certain lands awned by there to be platted into an addition, known as
Kernstown Dusiness Park, to the County of Frederick, Virginia.
WHEREAS, it is the desire and intent at owners, commercial
buildings, signs, and other appurtenances placed within said sub-
division be designed and placed in such a manner their location,
orientation on the lot, architecture, landscaping, and method of
identification (signs), compliment the other buildings in the
subdivision and are individually and collectively useful and
attractive;
NOW THEREFORE, Owners hereby adapt the Restrictive Covenants
stated herein and agree the stated covenants shall apply Lo the EI-3
ZONED portion of the property now platted as Kerrestown F(usiness Park,
an Addition to the County of Frederick, Virginia, as covenants
running with the land:
I. SCOPE OF APPLICATION
These covenants shall apply in their entirety to the area, Zoned
D73, now knew and described as Kernstown business Park, etn addition
to the County of Frederick, Virginia, as shown ire the recorded plat
thereof. (See attached Plat)
II. PURPOSES OF COVENANTS
The purpose: ol- these Restrictive Covenants are, to:
(A) Provide an architecturally pleasing aind compatible plan Of
development for the proper-ty;

(B) Protect the Owner' s and Tenants of lots against improper
devel��pment and use of surrounding lots, in the D-3 Zoned portion � �f
the development, which will depreciate the value and/or use of.their
lot ;.
(C) Prevent the erection or maintenance on Kernstown Business
Park of structures constructed � •f improper or unsuitable materials or
with improper or unsuitable quality rnethods of construction;
(D) Ensure adequate cor►sisteret and reasonable development of
Kernstown Business Park as a high -quality commercial envirorement;
(E) Encourage and ensure the erection of the attractively
designed improvements appropriately located within Kernstown Business
Park in order to achieve harmonious appearance and function;
(F) Provide adequate off-street parking and loading facilities;
(G) -Provide minimum maintenance- standards to promote a uniform,
neat and clean appearance throughout Kernstown Lousiness Park;
(H) Guide the development of Kernstown Business Park in a
manner compatible and consistent with the objectives and goals of -the
County of Frederick, Virginia; in a phased and orderly manner
insuring an economically and environrneritally sound and balanced
community;
III. DEVELOPMENT STANDARDS AND PROTECTIVE COVENANTS

in building standards is to obtain consistency and quality in
architectural design and to protect and Enhance values in Kernstown
Business Park.

construction materials.

(B) The exterior wall of any side wall facing
Prosperity Drive shall bi_ carnstructed of material architecturally
appealing as approved by fa'&T or their assigns.
1. Performance Standards: See Frederick County B-3 zoning for
allowable uses.
Setbacks. Fallow Frederick County guidelines for setbacks.
3. Off -Street Parking. Follow Frederick County guidelines. No
parking shall be permitted on any street or road or at any place
other than on the paved parking areas provided for and described
heveinbelow_ Adequate off-street parking shall be provided to
accommodate a business' anticipated needs; however, shall at least
meet the minimum standards required by the Frederick County
ordinances. All off-street parking, access drives and loading areas
shall be paved and properly graded to assure proper drainage and to
avoid drainage onto adjacent lots.
4. Outside Storage. All outside storage areas permitted and
all waste and rubbish storage facilities shall be within an enclosed
area, properly screened, and shall have an all-weather surface. No
material or wastes shall be deposited upon any lot in such a form or
marn-ser that same may be moved by natural causes or forces.
5. Signs. One central subdivision sign for the businesses
located off U.S. Rt. 11 will be allowed. Identification signs shall
be restricted to advertising only the persons or companies located on
the lot. Two (`) temporary signs per lot is permitted at any one
time. Temporary signs may be used for construction and design teaun
information or future occuparit identification. Hrry permanent sign
must cc-isiply with the sign ordinances in effect of Frederick County,
Virginia.

(A) Storage areas, storage tanks, trash containers,
heating, air conditioning, electrical, gas, utility, and ether
special equipment, materials, and maintenance facilities, shall be
either housed ire enclosed buildings or otherwise completely screened.
Such screening may be by the use of landscaping or permanent
fences. Roof objects (including fans, vents, cooling towers,
skylights and all roof rnour-Ited equipment which rises above the roof
line) shall be housed ire closed buildings or screened a raireiraurn of 47
above roof line.
(E0 No satellite dish larger than four (4) feet ire
diameter, shall be erected on the property or any structure thereon.
Allowed satellite dishes shall be suitably screened ire such a manner
that the dish cannot be seen from Prosperity Drive or U. S. 11.
(C) Doundary fences, fronting Prosperity Drive, roust
be of wood, brick or stone, no higher than 48", except as required
for buffering by Frederick County planning Commission.
7. Utility Connections. All utility connections, including all
electrical and telephone connections and installations of wires to
buildings, and all pipes, conduits, cables and lines shall be made
underground frorn the nearest available source.
a. On -Site Drainage. Each Owner shall be required to provide
adequate drainage for the lot which drainage plan and systern shall be
approved by Frederick County planning Commission and shall be
designed to avoid all but rainimal .spillage or drainage onto arty
adjacent lot. Drainage plaris and systems shall be designed to direct
the flow of water into the public area as approved by the County or

r►. Landsca ir�q._ All grass areas shall be kept mowed to a height
riot exceeding G iriches. All shrubs, trees and other ornamental
bushes will be kept in good condition so that all dead wood shall be
removed from the same to present an agreeable setting. Each owner
shall maintain the landscaping or, its property and all plantings
thereon in good health and appearance without substantial alteraticn-1
and shall repair any damage thereto occurring by reason of any cause
whatsoever.
IV. SCOPE OF AGREEMENT
1. Run with the Land. these covenants and restrictions shall
run with the land and shall be binding on all parties, their hairs
and assigns, for a period of twenty-five (25) years from the date
hereof.
(A) Within six rnoriths of expiratiore, a majority of
the lot owners may amend or cancel these restrictions and covenants
by filing said amendments or cancellation in writing in the land
records of Frederick County, Virginia. If no such action is taken,
these covenants shall continue for successive five year increments
and any five-year period may be terminated ire accordance with the
terms of the original termination.
(G) During the initial term any subsequent extension
of these Covenants, compliance with a provision of these Covenants
may be waived or the Covenants may be amended if the waiver or
arsiendment is reduced to writing and -Approved by a majority -f the
owners of lots located within the subdivision. Any waiver or
amendment shall be recorded in the land records maintained by the
Office of the Circuit Clerk and Ex-Officio Recorder of Frederick
County, Virginia.

. Violations. if any party or lot owner violates or attempts
tc• violate these- covenants or restrictions it shall be lawful for any
person or persons awning any interest in any lot to prosecute any
violating or attempting to violate any such covenants or
restrictions, either to prevent them from doing so or to recover
damages or other penalties far such violation.
3. Irnva1idation. Invalidation of any one of these covenants by
judgment or court order shall, ire no wise, affect any of the other
provisions herein contained.
