YIRSINIA THIS DEED OF DEDICATION, made and dated this ` day of 1987,.by and between FRED L. GLAIZE, III and ANN W. GLAIZE, his wife, and BOWMAN TRUCKING COMPANY, INCORPORATED, A Virginia Corporation, parties of the first part, hereinafter called the Grantors, and THE COUNTY OF FREDERICK, VIRGINIA, party of the second part, hereinafter called the Grantee. WHEREAS, the Grantors are the owners in fee simple of a certain tract of land situate in Frederick County, Virginia, to -wit: All that certain tract or parcel of land, together with the improvements thereon, and the appurtenances thereunto belonging, located in Shawnee Magisterial District, Frederick County, Virginia, lying on the west side of Virginia State Route 656, known as Greenwood Road, which property is located east of the City of Winchester, Virginia, which is more particularly described as Greenwood Heights, Section V, on that certain plat and survey by P. Duane Brown, C.L.S., dated March 11, 1987, attached hereto and by this reference made a part hereof, and being the same property which was conveyed to Bowman Trucking Company, Inc., by deed dated July 1, 1986, and recorded in the Office of the Clerk of the Circuit Court of Frederick County, Virginia in Deed Book 620, at Page 356 and further which Bowman Trucking Company, Inc., by deed dated July 7, 1986 conveyed an undivided one-half interest to Fred L. Glaize, III, which deed is recorded in the aforesaid Clerk's Office in Deed Book 620, at Page 762; and, WHEREAS, the Grantors now desire to subdivide the same into lots to be known as Greenwood Heights - Section V and to evidence that the above and foregoing subdivision of the above described property, as more particularly described on said plat attached hereto, is with the free consent and in accordance with the desire of the undersigned owners and that said Grantors do further desire to subdivide the subject property in accordance with the provisions of the Virginia Land Subdivision Act, as are applicable and also to subdivide under the 1 K K a HARRISON 6 JOHNSTON ATTORNEYS AT LAW WINCHESTER. VIRGINIA applicable ordinances of Frederick County, Virginia and further to dedicate the streets and easements and other amenities as shown on said plat, to Frederick County, Virginia. NOW THEREFORE; THIS DEED OF DEDICATION WITNESSETH: A. That for and in consideration of the premises and the benefits which will accrue by reason of this dedication, the Grantors do hereby subdivide all of that portion of land designated as Greenwood Heights - Section V as hereinbefore described, said land being located west of and adjacent to State Route 656, also known as Greenwood Road, located in Shawnee Magisterial District, Frederick County, Virginia as more particularly described on the plat attached hereto and do hereby dedicate to the Grantee that portion of said land that is designated for streets, roads, drives or avenues, on the aforesaid plat and do hereby create a public right of passage over the same and to further establish, of record, the easements and other rights of ways as shown on said plat. B. Ann W. Glaize, wife of Fred L. Glaize, III, joins in this Deed of Dedication to evidence her consent hereto and to join, insofar as any claim or right that she has in said property, to affirm the actions taken herein. C. All of the lots as shown on the plat attached hereto, shall be subject to the following Covenants and Restrictions which Covenants and Restrictions are real, running with the land and shall be binding on all subsequent owners of said lots and each deed, by recitation or reference shall be deemed to contain the following restrictions: 1. All lots shall be used for single family residential purposes only. No detached garage nor carport shall be permitted on any lot. Any utility or other out -building on any lot shall be of the same material and construction as the main structure on such lot. ►I 41 . HARRISON 3 JOHNSTON ATTORNEYS AT LAW 2. No signs or advertising of any nature shall be erected or maintained on any lot except for sale or rental signs for said lot which signs shall not exceed five (5) square feet in area. 3. No boats, mobile homes, motor homes, campers, commercial buses, trailers of any type, tractors, trucks or other motor vehicles (other than automobiles, motorcycles, pickup trucks, and 3/4 ton (or less) vans) shall be permitted on any lot except during the course of construction. No motor vehicle or material portion thereof, which does not have a current license and current Virginia inspection sticker shall be permitted on any lot. 4. No animals of any kind (including livestock, poultry or birds) shall be permitted on any lot, except that dogs, cats and other usual household pets may be kept, provided that they are not kept, bred or maintained for commercial or charitable purposes or in unusual numbers. 5. No fence or hedge shall be constructed or planted in the front nor along the side (not applicable to corner lots) of any residence nor within twenty-five (25) feet of any street. Rear fencing and hedges shall not exceed six (6) feet in height. All fencing shall be of wood or vinyled covered chain link construction. 6. No noxious or offensive activities shall be carried on upon any lot nor shall anything be done thereon which may be, or may become, an annoyance or nuisance to the neighborhood. 7. In the event that a dwelling is destroyed, the owner of the dwelling, within thirty (30) days from said construction, shall clear away the remaining portion of the dwelling unit and maintain the lot in a neat and orderly condition. 8. In the event a dwelling unit is damaged, or has materially deteriorated, the owner of the unit shall immediately repair the damage or deterioration. 9. No lot shall be used or maintained as a dumping ground for WINONESTER, VIRRINIA tl rubbish. No refuse or any container for same shall be placed or stored in front of any house, except on the date of garbage pickup. 10. No exterior clothes lines, or hanging device, shall be permitted on any lot, except for an umbrella type with a diameter not to exceed seven {7) feet, provided, however, that the same may only be used in the rear of any building constructed on said lot and the clothes line is stored within a utility building or the equivalent when the clothes line is not in use. 11. The color of the paint on the exterior of every building on each lot shall be the same as the original color unless the new color is a color used in the historic portion of Williamsburg, Virginia and is sold by the maker of the paint as a sanctioned historic Williamsburg, Virginia color. 12. Every owner shall provide his lot with off-street parking space of at least 450 square feet, which may include all area in any driveway located on the lot itself, to be used by the inhabitants of the dwelling house located on said lot. Parking on the street shall be prohibited and it is the intent of this restriction that parking space for at least two vehicles be provided. 13. A ten foot (10') easement is reserved along the rear property line of each lot (being that property line or lines of a lot that is opposite a property line of the lot fronting on a dedicated street) for the purpose of installing any utilities including, but not limited to, electrical lines, telephone lines, water and sewer lines and television cable lines. 14. There shall be no planting, structure, fences, shrubbery, or other obstruction to obstruct vision, planted or maintained on any corner lot which rises more than three feet (3') above ground level within twenty-five feet (25') of the intersection of any street lines. 15. All split foyer dwelling houses shall have 850 square feet of living space on each floor, excluding carports, garages, and basements, 4 HARRISON & JOHNSTON ATTORNEYS AT LAW WINCHESTER, VIRGINIA and rancher style dwelling houses shall have 1,150 square feet of living space on each floor. 16. All dwelling houses constructed, if said dwelling house has a chimney, and the chimney is flued on the outside of the dwelling house, then all such flues shall be entirely faced with brick. 17. All lots are required to observe any setback lines, and/or side lines and/or rear yard lines as shown on the plat attached hereto in addition to those applicable requirements of the Frederick County Subdivision and Zoning Ordinances. 18. All of the covenants and restrictions herein shall remain in full force and effect for a period of fifteen (15) years from the date of this instrument and shall be renewed automatically for additional successive ten (10) year periods unless the owners of a majority of the lots in the Greenwood Heights - Section V Subdivision shall, at least six (6) months prior to any such renewal date, execute and record an agreement amending said covenants and restrictions. 19. The Grantors reserve the right alone to impose additional restrictive covenants and restrictions as to any lot or lots owned by them at the time of the imposition and such imposition shall not affect the binding effect of these provisions upon any other lots. 20. The invalidation of any one of the covenants or restrictions contained herein by judgment or Court Order shall in nowise affect any of the other provisions which shall remain in full force and effect. The failure of the lot owners or the Grantors herein to enforce any covenants or restrictions shall not be deemed to be a waiver of the right to do so thereafter as to a default occurring prior or subsequent thereto. 21. The covenants and restrictions herein contained shall not impose any restraint on any portion of land now owned or hereafter acquired by the Grantors herein. 5 4 � i f D. "Common Area A", "Common Area B", and "Common Area C", as noted in the attached plat, shall be conveyed to the "Greenwood Heights Section V - Property Owners Association, Inc." (hereinafter called the "Association•:'.'). All rules and regulations for the use of these three f areas shall he set up by the Association. j The Association shall be operated by the following By -Laws: (1) Every person or entity who is a record owner of a fee or undivided fee interest in any lot shown on the attached plat shall be a member of The Association. The foregoing is not intended to include persons or entities who hold an interest merely as security for the performance of an obligation. Membership shall be appurtenant to and i may not be separated from ownership of any such lot. Ownership of such lot shall be the sole and continuing qualification for membership. (2) Each member shall have one (1) vote for each such lot owned by that member. If a member has less than a full interest in a lot, his vote shall be reduced accordingly. The total number of votes shall equal the total number of lots in Greenwood Heights - Section V Subdivision. (3) Each member shall have a right and easement of enjoyment in and to the "Common Areas" as shown on the attached plat and such right and easement shall be appurtenant to and pass with the title to each lot, subject, however, to the conditions and restrictions placed thereon by the Association or hereby. Furthermore, each lot owner's right to use the "Common Areas" is conditioned upon his payment of the annual assessments noted below and his compliance with the rules and regulations of The Association. (4) The members of the Association shall hold their annual meeting on the second Monday in May of each year, at which meeting the members shall elect the Board of Directors of The Association, which HARRISON a JOHNSTON Board shall initially consist of two (2) members, both of whom must be ATTORNEYS AT lAM' WINCHESTER. The number of Directors on the Board and the date of the annual meeting may be changed by the membership at their annual meeting. At this annual meeting, the Association shall also designate one of the Directors to be the President and the other a Secretary - Treasurer. The vote of the members shall be by majority vote of those present or represented at the meeting by proxy. The President shall have the authority to call special meetings of The Association for any purpose by giving at least ten (10) days written notice mailed to the last known address of each member. (5) An annual assessment, beginning in 1988, shall be made by the Association for the purpose of maintaining and perpetuating the "Common Area A", "Common Area B", and "Common Area C", and the recreational facilities thereon. Expenses of perpetuation and maintenance shall include, but not be limited to, the payment of real estate taxes, insurance, repair and replacement of facilities, legal and accounting expenses and other expenses necessary to operate the Association. The annual assessment shall be owed by the owner of record of each lot as of April 1 of the year of the assessment. The annual assessment for 1988 shall be $45.00 per lot and shall be payable on or before the first day of May, 1988. The amount of each subsequent annual assessment and the time at which it shall be payable shall be determined by The Association at its annual meeting. The amount of the annual assessment shall be set at an amount intended to accomplish the purposes noted above, including the creation of a reserve for anticipated expenditures.and emergencies. The Association shall notify each lot owner in writing at least thirty (30) days prior to the assessment being due. :Failure to pay an assessment within thirty (30) days after the mailing of the notice shall result in the incurring of interest by the lot owner of 12% per annum, with the lot owner being subject to the cost of collection, including reasonable attorney's fees, in the event the lot owner fails to make timely payments. All written notices of assessments shall be to the last address given in writing to the Treasurer by the lot owner. The owner of each lot in the subdivision, by acceptance of a deed thereto, is deemed to covenant and agree to pay to The Association the annual assessment described above. In addition to being a personal obligation of the lot owners, the annual assessment shall be a charge and lien against the respective lots subdivided herein, but the lien shall be inferior and subordinate to the lien of any deed of trust hereafter recorded in the Office of the Clerk of the Circuit Court of Frederick County, Virginia, encumbering one or more of the lots subdivided herein, unless record notice to the contrary is given prior to the recordation of such deed of trust. If the owner of any lot is in default in the payment of any assessments, in addition to any other means of collection, The Association may bring an action at law against the owner personally obligated to pay same and may also sell the lot involved at public auction after advertisement once a week for two successive weeks, in a newspaper having general distribution in this county, and after 30 days written notice mailed to the last known address of said owner. Cost of the sale shall be paid from the proceeds of sale before payment of the amount involved. No owner may waive or otherwise avoid liability for the assessments provided for herein by non-use of a Common Area or the abandonment of his lot. WITNESS the following signatures and seals: e- ! Property Owner's Association actions: 1. Satisfy the Association's bylaws and covenants procedurally to abandon the Open Space and the POA. What percentage of the members must participate in the vote? Can the Board of Directors make the decision, or does the entire POA membership need to participate? 2. Confirm that all responsibilities of the POA are addressed prior to its' abandonment. Example, if you abandon the POA, do you intend to eliminate all covenants? If not, how do you envision enforcement of the covenants? 3. Confirm who will own the open space if abandoned. A plat will be required to illustrate new property lines if the intent is to transfer ownership of the open space to adjoining properties. This plat must comply with Frederick County Zoning and Subdivision Ordinance requirements, and obtain the County's Subdivision Administrator's approval. Process statuary procedures to vacate the open space dedication in the Deed of Dedication and Declaration of Plat for the Greenwood Heights, Section V subdivision. This includes Board of Supervisors actions. For the Board to consider a request to eliminate the Open Space requirements for the Greenwood Heights, Section V subdivision, the following information must be submitted: l . Submit a request for the Board of Supervisors' consideration to eliminate the Open Space requirement for Greenwood Heights 2. Provide documentation why the abandonment of the open space is being sought. 3. Provide minutes from the POA meeting regarding the approval to abandon the open space. What percentage of the POA supports request; what percentage of POA must support request based on covenantsibylaws? 4. Provide the preliminary plats regarding whom would own the open space. 21-5-6 5-4 OPEN SPACE REQUIREMENTS 5-4-1 The following open space and recreation requirements shall be met by uses in this district. 5-4-2 A minimum percentage of the gross area of any proposed development shall be designated as common open space. This open space shall be for purposes of environmental protection and for the common use of residents of the development. Developments which contain any of the following housing types shall provide open space as specified below: Minimum Required Minimum Required Open Space Open Space Allowed with Bonus Factors Developments containing only 0% -- single-family detached traditional rural or single family detached traditional housing. Developments containing only 15% 0% single-family detached urban traditional housing. Developments containing only 25% 15% single-family detached cluster or a mixture of single-family detached cluster and urban traditional housing. All other developments. 30% 20% 5-4-3 No more than 50% of the required open space shall be within the following environmental areas: lakes and ponds, wetlands or steep slopes. The Administrator, upon recommendation by the Planning Commission, may allow a larger amount of steep slopes to be utilized where the developer can demonstrate a viable plan to make these areas useful. 5-4-4 Where the required open space is less than one (1) acre, the Administrator, upon recommendation by the Planning Commission, may waive the open space requirement, except for that amount of space needed for the placement of the required recreation facilities and environmental requirements. 5-5 RECREATION FACILITY REQUIREMENTS 5-5-1 Housing types with lot sizes of less than 5,000 square feet shall provide the following recreational units, or equivalent recreational facilities, for each thirty (30) dwelling units. Glaize, ill, joins in this Deed of Dedication to evidence her consent hereto and to join, insofar as any claim or right that she has in said property, to affirm the actions taken herein. C. All of the lots as shown on the plat attached hereto, shall be subject to the following Covenants and Restrictions which Covenants and Restrictions are real, running with the land and shall be binding on all subsequent owners of said lots and each deed, by recitation or reference shall be deemed to contain the following restrictions: 1. All lots shall be used for single family residential purposes only. No detached garage nor carport shall be permitted on any lot. Every owner shall provide his lot with off-street parking ;pace of at least 450 square feet, which may include all area in any driveway located on the lot itself, to be used by the inhabitants of the dwelling house located on said lot. A ten foot (10') easement is reserved along the rear property line of each lot (being that property line or lines of a lot that is opposite a property line of the lot fronting on a dedicated street) for the purpose of installing any utilities including, but not limited to, electrical lines, telephone lines, water and sewer lines and television cable lines. 14. All lots are required to observe any setback lines, and/or side lines and/or rear yard lines as shown on the plat attached hereto in addition to those applicable requirements of the Frederick County Subdivision and Zoning Ordinances. 18. All of the covenants and restrictions herein shall remain in full force and effect for a period of fifteen (15) years from the date of this instrument and shall be renewed automatically for additional successive ten (10) year periods unless the owners of a majority of the lots in the Greenwood Heights - Section V Subdivision shall, at least six (6) months prior to any such renewal date, execute and record an agreement amending said covenants and restrictions. 19. The Grantors reserve the right alone to impose additional restrictive covenants and restrictions as to any lot or lots owned by them at the time of the imposition and such imposition shall not affect the binding effect of these provisions upon any other lots. 20. The invalidation of any one of the covenants or restrictions contained herein by judgment or Court Order shall in nowise affect any of the other provisions which shall remain in full force and effect. The failure of the lot owners or the Grantors herein to enforce any covenants or restrictions shall not be deemed to be a waiver of the right to do so thereafter as to a default occurring prior or subsequent thereto. 21. "Common Area A", "Common Area B", and "Common Area C71, as noted in the attached plat, shall be conveyed to the "Greenwood Heights Section V - Property Owners Association, Inc." (hereinafter called the "Association"). All rules and regulations for the use of these three areas shall be set up by the Association. The Association shall be operated by the following By -Laws: (1) Every person or entity who is a record owner of a fee or undivided fee interest in any lot shown on the attached plat shall be a member of The Association. The foregoing is not intended to include persons or entities who hold an interest merely as security for the performance of an obligation. Membership shall be appurtenant to and may not be separated from ownership of any such lot. Ownership of such lot shall be the sole and continuing qualification for membership. Furthermore, each lot owner's right to use the "Common Areas" is conditioned upon his payment of the annual assessments noted below and his compliance with the rules and regulations of The Association. Mr. Carroll insisted the extra depth of the ditch line was a result of a proposed drainage change, as stated in your letter dated September 17, 1987 which is attached and approved by the Department. Mr. Kessler advised the depth of the ditches were acceptable providing 3 $1 slope from the edge of the proposed shoulder to the bottom of the ditch and the 3:1 embankment slope on the back side of the ditch are met, as indicated, on the approved typical section of the subdivision plans. Two (2) other matters which have yet to be resolved is the utility pole at the intersection of Route 656 which must be removed and the ditches at the end of the coal -de -sac which are off the proposed right-of-way with no recorded ease- ments. This work basically involves the elimination of the culvert under Meadowbrooke Court and the carrying of what principally involves road drainage only along the North side of Meadowbrooke Court into a ditch connection with Meadowlark Court and ultimately into culvert B. We additionally attached calculations showing the impact on culvert B to be acceptable. The radius at the intersection of i`leadow Brooke Drive and meadowlark Court to be a minimum of 451. G. Soil Stabilization Mat is to be installed on Meadow Brooke Drive from the intersection of Route 656 to approximately Station 4+00. 3. It appears drainage is being diverted from the cul-de-sac on Meadowlark Court to Route 656 above the two (2) existing private entrance pipes. These pipes should be replaced by the developer with 21" X 15" arch pipe and the roadway ditch graded between the pipes. The Swale drain ditch is to be constructed within the drainage easement with Soil Stabilizat- ion Mat for erosion control. 4 Field review indicates the drainage Swale on the back corner of t.ie development could be considered a natural water course. Therefore, a drainage easement beyond the property line will not be required. 5. A standard VDOT stop sign will be required at tlxe intersection of Meadow Brooke Drive with Route 656. Also, a permit must be applied for and approved before doing any work on the State's right-of-way at this location. Pavement design will be determined by CBS Tests conducted by the Virginia Department of Transportation at the expense of the developer. These tests take approximately four (4) weeks. It is suggested you request these tests prior to placing the base stone or after the rough grading has been completed. We are continuing to experience problems with the placing of mailboxes in front of the ditch line which will hinder our maintenance operations when these street,,:; are added to the Secondary System. Please review this matter with the developer so the proposed :mailboxes will be placed back of the ditch line. Attached you will find a copy of the minimum requirements and data for subdivision streets prior to acceptance into the Secondary System.
