The easements are subject to the following conditions: 1. All sewers, manholes, inlet structures and appurtenant facilities which are installed in the easement(s) and right(s)-of-way shall be and remain the property of the County, its successors and assigns. 2. The records that this department maintains indicate that 4.18 acres of the Frederick Woods development are reserved as open space. Attached is a map illustrating the limits of the open space. I was not able to locate a plat indicating the metes and bounds of this open space. Also attached are maps illustrating the original and the post-Tasker Road limits of the development. These maps illustrate the reconfiguration of the development, and the location of the two lots that were lost in order to accommodate the Tasker Road project. No use or improvements shall be made in the easements without specific written authorization from Frederick County, and no use shall be made of the easement(s) which would interfere in any way with the natural drainage. THIS DEED FURTHER WITNESSETH THAT for and in consideration of the sum of Ten Dollars ($10.00), cash in hand paid, the receipt and sufficiency of which is hereby acknowledged, the Declarant does hereby grant and convey unto the Association (as hereinafter defined) , its successors and assigns, the Open Space as shown on the attached plat for the Association's use and enjoyment. The Association shall be responsible for the maintenance of the Open Space and all property owners must pay annual assessments for this maintenance, as set forth more particularly hereinbelow. All Open Space areas are subject to easements for future installation of water, sewer and storm drainage facilities and for ingress -egress easements and the maintenance of same as otherwise set forth herein. All of the Lots and the Property shown on the subdivision plat shall be held, sold and conveyed subject to the following easements, restrictions, covenants, and conditions, which are for the purpose of protecting the value and desirability of, and which shall run with, the real estate property and be binding on all parties having any right, title or interest in the described prop- erties or any part thereof, their heirs, successors and assigns, and shall inure to the benefit of each owner thereof. ARTICLE I DEFINITIONS Section 1. "Association" shall mean and refer to the FREDERICK WOODS HOMEOWNERS ASSOCIATION, INC., a Virginia Nonstock Corporation, its successors and assigns. Section 2. "Owner" shall mean and refer to the record Owner, whether one or more persons or entities, of a fee simple title to any Lot which is a part of the properties, including contract sellers, but excluding those having such interest merely as security for the performance of an obligation. -5- Section 3. "Property" shall mean and refer to that certain real property hereinbef ore described, and such additions thereto as may hereafter be brought within the jurisdiction of this Asso- ciation. Section 4. "Common Area" shall mean and refer to all real property (including the improvements thereto) shown as Open Space on the attached plat and owned by the Association for the common use and enjoyment of the Owners. Section 5. "Lot" shall mean and refer to the Lots in FREDERICK WOODS Subdivision, as shown upon the recorded subdivi- sion plat, with the exception of Common Areas. Section 6. "Residence" shall refer to the improvements erected on any Lot in the subdivision. Section 7. "Declarant" shall mean and refer to FREDERICK WOODS ASSOCIATES LIMITED PARTNERSHIP, a Virginia Limited Partner- ship, and its successors and assigns, if such successors or as- signs acquire more than one undeveloped Lot from the Declarant for the purpose of development. Section 8. "Mortgagee" shall refer to any firm or entity holding a first mortgage or first deed of trust on any Lot or any Common Area, if the Association has been notified in writing of the existence of such mortgage or deed or trust. ARTICLE II EASEMENTS Section 1. Easements for Encroachments and Overhang. There shall be reciprocal appurtenant easements for encroachments and overhangs as between each Lot and such portion or portions of the Common Area adjacent thereto or as between adjacent Lots due to the intentional or unintentional placement by Declarant or settling or shifting of improvements constructed, reconstructed, or altered thereon (in accordance with the terms of this Declara- tion) to a distance of not more than one foot, as measured from any point on the common boundary between each Lot and the adjacent portion of the Common Area or as between adjacent Lots, as the case may be, along a line perpendicular to such boundary at such point. In no event shall an easement for encroachment or overhang exist if such encroachment occurred due to willful conduct on the part of an Owner, tenant, or the Association. Section 2. Support Easement. To the extent that any por- tion of the Property now or hereafter supports or contributes to the support of any other portion of the Property, the former is hereby burdened with an easement for the lateral and subjacent support of the latter. �r Section 3. Easements for Utilities. There is hereby reserved to the Association and Declarant permanent easements upon, across, above and under all Property for access, ingress, egress, installation, repair, replacement and maintenance of all utilities serving the Property or any portion thereof, including, but not limited to, gas, water, sanitary sewer, telephone and electricity, as well as storm drainage, or for maintaining private streets or Common Areas. Section 4. Easements for Entry. An Owner or his agent shall have an easement upon adjacent properties to the extent reasonably necessary to perform maintenance work and repairs on the Owner's fence or improvements, such as caulking, painting, and repairing gutters and down spouts. ARTICLE III PROPERTY RIGHTS Section 1. Owners Easements of Enjoyment. Every Owner shall have a right and easement of enjoyment in and to the Common Area which shall be appurtenant to and shall pass with the title to every Lot, subject to the following provisions: (a) the right of the Association to charge reasonable admission and other fees for the use of the recreational facility, if any, situated upon Common Area; (b) the right of the Association to suspend the voting rights and right to use of the recreational facilities by an Owner for any period during which any assessment against the Lot remains unpaid; and for a period not to exceed sixty (60) days for any infraction of its published rules and regulations; and (c) the right of the Association to dedicate or transfer all or any part of the Common Areas to any public agency, author- ity, or utility for such purpose and subject to such conditions as may be agreed to by the members. Section 2. Delegation of Use. Any Owner may delegate, in accordance with the By -Laws, his right of enjoyment to the Common Areas and facilities to the members of his family, his tenants, or contract purchasers who reside on the Property. Section 3. Notwithstanding the other provisions of this Declaration, all right, title and interest in and to the Common Areas shall be subject to the provisions and requirements of the lawful ordinances of the County of Frederick, Virginia, existing on the date of this Declaration. -7- ARTICLE IV MEMBERSHIP AND VOTING RIGHTS Section 1. Every Owner of a Lot which is subject to assessment shall be a member of the Association. Membership shall be appurtenant to and may not be separated from ownership of any Lot which is subject to assessment. Section 2. The Association shall have two classes of voting membership. Class A. Class A members shall be all Owners, with the exception of the Declarant, and shall be entitled to one vote for each Lot owned. When more than one person holds an interest in any Lot, all such persons shall be members. The vote for such Lot shall be exercised as they determine, but in no event shall more than one vote be cast with respect to any Lot. Class B. The Class B member(s) shall be the Decla- rant and shall be entitled to ten (10) votes for each Lot owned. The Class B membership shall cease and be converted to Class A membership on the happening of either of the following events, whichever occurs earlier: (a) when the total votes outstanding in the Class A membership exceed the total votes outstanding in the Class B mem- bership and the Declarant states in writing to the Board of Direc- tors of the Association that it has no intent to annex any further land, Lots, or open space or parcels to the Property subject to the Declaration, or (b) on September 1, 2002. ARTICLE V COVENANTS FOR MAINTENANCE ASSESSMENTS Section 1. Creation of the Lien and Personal Obligation of Assessments. Each Owner of any Lot, except Daniel A. Colaw and Aletha Colaw unless and until they obtain a building permit for any Lot, by acceptance of a deed therefor, whether or not it shall be so expressed in such deed, is deemed to covenant and agree to pay the Association: (1) annual assessments or charges, and (2) special assessments for capital improvements, such assessments to be established and collected as hereinafter provided. The annual and special assessments, together with interest, costs and reasonable attorneys' fees, shall be a charge on the land and shall be a continuing lien upon the Property against which each such assessment is made. Each such assessment, together with interest, costs, and reasonable attorneys' fees, shall also be the personal obligation of the person who was the Owner of such Prop- erty at the time when he assessment fell due. The personal obli- gation for delinquent assessments shall not pass to his successors in title unless expressly assumed by them. -8- Section 2. Purpose of Assessments. The assessment levied by the Association shall be used exclusively to promote the recre- ation, health, safety, and welfare of the residents of the Proper- ty and for the improvement and maintenance of the Common Areas, private driveways, ingress/egress easements and private roadways serving the subdivision. Section 3. Maximum Annual Assessment. (a) Until January 1 of the year immediately fol- lowing the conveyance of the first Lot to an Owner, the maximum annual assessment shall be Seventy -Two Dollars ($72.00) per Lot. (b) From and after January 1 of the year immedi- ately following the conveyance of the first Lot to an Owner, the maximum annual assessment shall be the same as the previous year without a vote of the membership. (c) From and after January 1 of the year immedi- ately following the conveyance of the first Lot to an Owner, the maximum annual assessment may be increased by a vote of a majority of each class of members who are voting in person or by proxy, at a meeting duly called for this purpose; provided, however, that the Board of Directors shall be empowered to raise the maximum annual assessment to a sum not greater than one hundred ten per- cent (110%) of the maximum annual assessment due for the preceding year without a vote of the membership. (d) Notwithstanding any contrary provision con- tained herein, the Class B members shall pay no annual asessments provided the Declarant funds all budget deficits for as long as the Declarant is a member of the Association. Section 4. Special Assessments for Capital Improvements. In addition to the annual assessments authorized above, the Asso- ciation may levy, in any assessment year, a special assessment applicable to that year only for the purpose of defraying, in part or in whole, the cost of any construction, reconstruction, repair or replacement of a capital improvement upon the Common Area (and common drives), including fixtures and personal property related thereto, provided that any such assessment shall have the assent of two-thirds (2/3) of the votes of each class of members who are voting in person or by proxy at a meeting duly called for this purpose. Section 5. Notice and Ouorum for Any Action Authorized Under Sections 3 and 4. Written notice of any meeting called for the purpose of taking any action authorized under Sections 3 and 4 shall be sent to all members not less than thirty (30) days nor more than sixty (60) days in advance of the meeting. At the first such meeting called, the presence of members or of proxies enti- tled to cast sixty percent (60%) of all the votes of each class of membership shall constitute a quorum. If the required quorum is not present, another meeting may be called subject to the same notice requirement, and the required quorum at the subsequent meeting shall be one-half (1/2) of the required quorum at the preceding meeting. Section 6. Uniform Rate of Assessment. Both annual and special assessments for all Class A members of the Association must be fixed at a uniform rate and may be collected on a monthly, quarterly or annual basis as designated by the Board of Directors. Section 7. Date of Commencement of Annual Assessments: Due Dates. The annual assessments provided for herein shall commence as to all Lots on the first day of the month following the convey- ance of the first Lot by Declarant to a Purchaser. The first monthly assessment shall be adjusted according to the number of months remaining in the calendar year. The Board of Directors shall fix the amount of the monthly assessment against each Lot at least thirty (30) days in advance of each annual assessment peri- od. Written notice of the annual assessment shall be sent to every Owner subject thereto. The due dates shall be established by the Board of Directors. Section 8. Effect of Nonpayment of Assessments: Remedies of the Association. Any assessment not paid within thirty (30) days after the due date shall bear interest from the due date at the rate of fifteen percent (15%) per annum. The Association may bring an action at law against the Owner personally obligated to pay the same, and/or enforce its lien rights against the Property. No Owner may waive or otherwise escape liability for the assess- ments provided for herein by nonuse of the Common Area or abandon- ment of his Lot. Section 9. Subordination of the Lien to Deeds of Trust. The lien of the assessments provided for herein shall be subordi- nate (1) to the lien of any first deed of trust; and (2) the lien of any construction loan deed of trust granted by Declarant, or its successors or assigns. ARTICLE VI ARCHITECTURAL CONTROL Section 1. Requirement for Approval. No building, fence, wall, pavement, landscaping or other improvement or structure shall be commenced, erected or maintained upon the Property, nor shall any exterior addition to or change or alteration of the exterior appearance of any structure or landscaping in the Subdivision, be made until the plans and specifications showing the nature, kind, shape, height, color, material, and a site plan showing the location of such improvements and landscaping with grading modifications shall have been submitted to and approved in writing as to harmony of external design and location in relation to surrounding structures and topography by the Board of Directors of the Association, or by an Architectural Review Committee -10- composed of three (3) or more representatives appointed by the Board. In the event said Board, or its designated committee, fails to approve or disapprove such design and location within forty-five (45) days after said plans and specifications have been submitted to it, approval will not be required and this Article will be deemed to have been fully complied with. Any aggrieved party may appeal a decision of the Architectural Review Committee to the Board of Directors. Section 2. Procedures. The Architectural Review Committee shall: (a) adopt architectural standards and design guidelines subject to the confirmation of the Board of Directors; (b) peri- odically inspect the Property for compliance to adopted standards, guidelines and approved plans; and (c) maintain complete and accu- rate records of all actions taken. Section 3. Enforcement. Any exterior addition, change, or alteration made without application to, and approval of, the Board of Directors, or its Architectural Review Committee shall be deem- ed to be in violation of this covenant, and may be required by the Board of Directors to be restored to its original condition at the offending Owner's sole cost and expense. ARTICLE VII FEDERAL AGENCY PROVISIONS Section 1. Any Mortgagee, upon request, will be given written notification from the Association of any default by the Owner of a Lot encumbered by such Mortgage in the performance of any obligation under this Declaration, the Articles of Incorpora- tion, or the By -Laws, which is not cured within sixty (60) days. Section 2. Any Mortgagee who obtains title to a Lot pursu- ant to the remedies provided in the Mortgage, or foreclosure of the Mortgage, or by deed or assignment in lieu of foreclosure, shall not be liable for such Lot's unpaid dues or charges which accrue prior to the acquisition of title to such Lot by the Mort- gagee. Section 3. A Mortgagee shall have the right to examine the books and records of the Association. Unless at least two-thirds (2/3) of the Mortgagees (based upon one vote for each Mortgage owned) or Owners have given their prior written approval, the Association shall not: (a) By act or omission seek to abandon, partition, subdivide, encumber, sell or transfer the Common Area; provided, that the granting of easements for public utilities or other pub- lic purposes consistent with the intended use of the Common Area, or a resubdivision of Lots and Common Area by the Declarant (and its successors and assigns), shall not be deemed a transfer within the meaning of this clause; -11- (b) Change the method of determining assessments, dues or other changes which may be levied against an Owner; (c) By act or omission change, waive or abandon the architectural controls established by this Declaration; (d) Fail to maintain fire and extended coverage on insurable parts of the Common Area on a current replacement cost basis in an amount not less than one hundred percent (100%) of the insurable value (based on current replacement costs); or (e) Use hazard insurance proceeds for losses to the Common Area for other than the repair, replacement, or reconstruc- tion of the Common Area. Section 4. All Mortgagees may, jointly or singly, pay taxes or other charges which are in default and which may or have become a charge against the Common Area, and may pay overdue pre- miums on hazard insurance policies, or secure.new hazard insurance coverage upon the lapse of a policy for such Common Area. The Mortgagee or Mortgagees making such payments shall be owed immedi- ate reimbursement therefor from the Association. Section 5. The assessments imposed by the Association shall include a projected adequate reserve fund for maintenance, repairs, and replacements for those parts of the Common Area and common drives designated as such on any subdivision record plat that may require replacement or maintenance on a periodic basis. Such reserves shall be payable in regular installments rather than by special assessments. Section 6. Proceeds of casualty insurance paid to the Association by reason of any loss to the Common Area, or any con- demnation proceeds paid to the Association, shall, to the extent not used to repair or restore the Common Area, be distributed equally to the Owners of each Lot, subject, however,.to the rights of any Mortgagee with respect to the proceeds payable to the Owner of the Lot encumbered by such Mortgagee's Mortgage. ARTICLE VIII RESALE OF LOTS Section 1. An Owner who resells his Lot shall comply with the following conditions: (a) The deed conveying title to a Lot shall contain a provision which incorporates by reference all of the covenants and restrictions set forth in this Declaration and any amendment hereto or supplementary or restated declaration. -12- (b) Prior to settlement on the sale of a Lot, the Owner shall obtain from the Association and provide the prospec- tive contract purchaser a certificate (the "Resale Certificate") which sets forth (i) the existence of the Association, (ii) the amount of any outstanding assessments or other charges against such Lot, (iii) the amount of the current annual assessment or periodic installment of the annual assessment on the Lot, (iv) the status of any violation of this Declaration which may exist with respect to such Lot at the time of the Resale Certificate is pre- pared, and (v) such other information as may be required by law. The Association shall, upon demand, and for a reasonable charge, furnish such a Resale Certificate signed by an officer of the Association. A properly executed Resale Certificate of the Asso- ciation as to the status of assessments on a Lot is binding upon the Association as of the date of its issuance. ARTICLE IX GENERAL PROVISIONS Section 1. Enforcement. The Association, or any Owner shall have the right to enforce, by any proceeding at law or in equity, all restrictions, conditions, covenants, reservations, liens or charges now or hereafter imposed by the provisions of this Declaration. Failure by the Association or by any Owner to enforce any covenant or restriction herein contained shall in no event be deemed a waiver of the right to do so thereafter. Section 2. Severability. Invalidation of any one of these covenants or restrictions by judgment or court order shall in no wise affect any other provisions which shall remain in full force and effect. Section 3. Amendment. The Covenants and restrictions of this Declaration shall run with the land for a term of twenty (20) years from the date this Declaration is recorded, after which time they shall be automatically extended for successive periods of twenty (20) years. This Declaration may be amended during the first twenty (20) year period by an instrument signed by not less than ninety percent (90%) of the Lot Owners, and thereafter by an instrument signed by not less than seventy-five percent (75%) of the Lot Owners. Any amendment must be recorded. Section 4. Annexation. (a) Within twenty-one (21) years from the date of this Declaration, additional residential property and Common Area may be annexed to the Property with the consent of two-thirds (2/3) of each class of members; and (b) additional land, lots, and common area; however, may be annexed by the Decla- rant without the consent of members within ten (10) years from the date of this instrument. Section 5. Restrictive covenants. The following restric- tive covenants shall run with the land and be binding upon all Owners, their heirs, successors and assigns: -13- FIRST: It is the intent of the Declarant, as the present Owner of the above -described Subdivision, that a dignified and high quality residential subdivision shall be developed and main- tained. It is, therefore, required that the standard of architec- tural design, material and workmanship of all houses and other improvements in said Subdivision be of the highest order, and that the site planning, building and landscaping thereof result in a carefully executed and harmonious effect. To such ends, the re- strictions and covenants herein contained are by these presents imposed upon all land in the Subdivision. SECOND: The land in the above described Subdivision, and any and all Lots now or hereafter subdivided or created therein by Declarant, its successors or assigns, shall be used solely for, and shall be known and described exclusively as, residential dwel- ling Lots. The Declarant, however, for itself, its successors and assigns, does hereby reserve the right to alter, amend and/or change any line or lines or subdivision plan, pursuant to a re- corded plat of subdivision or resubdivision, and/or operate on any Parcel in the Subdivision any community swimming pool, tennis courts or other recreational facilities, all as Declarant, its successors or assigns, may deem appropriate. THIRD: No dwelling is to be erected or maintained on any of said lots to contain less than the following total finished living space (outside foundation dimensions), exclusive of open porches, carports, garages, and basements, of the following types of dwellings: (a) Rambler, ranches, one story or the above ground levels in a multi -level home - 1,400 finished square feet; (b) Split foyer and one and one-half stories - having a first floor of 1,200 finished square feet and a total of 1,800 finished square feet; (c) Two stories - 900 finished square feet each floor. All structures must have a minimum roof pitch of 5/12. FOURTH: No fences shall be located in the front or on the sides of the house. Fencing in the rear of the house may not exceed sixty inches (6011) in height and the material and design shall be wooden board or rail, and in no event shall chain link fences be used. All fences constructed shall be kept and main- tained in good repair, including painting and staining, if the same is required. Provided, however, that this restriction shall not preclude the Owner from constructing a fence as required by the Frederick County Code in the event that a swimming pool is placed upon the subject Property. -14- FIFTH: No residence or any part thereof in the Subdivi- sion, nor any garages or other structures or outbuildings on any Lot in said Subdivision, shall be used for the conduct or practice of any business, commerce, profession or trade of any nature in- cluding but not limited to beauty shops, daycare and/or "pre- school" operations or similar home operations; and no chickens, or other fowl, cows, horses, pigs or other livestock or animals (other than domestic cats or dogs and other domesticated household pets) shall be kept or maintained on any part of said Subdivision, or on any structures or other improvements situate herein; and no dogs, cats or other animals of any nature shall be bred therein or thereon and/or sold for commercial purposes. No exterior televi- sion, radio and/or satellite dish or antenna shall be permitted on any Lot in the Subdivision. No window mounted fans and/or air conditioning units shall be permitted on any Lot in the Subdivi- sion. SIXTH: No trailer, basement, tent, shack, garage, barn or other outbuilding erected on any of the Lots in said Subdivision shall at any time be used for habitable purposes, temporarily or permanently, nor (subject to the provisions of Article SEVENTH hereof) any structure of a temporary character be erected upon any part of said Subdivision unless first approved in writing by the Declarant, or its successors or assigns of Declarant designated by it. SEVENTH: No construction shed or construction office shall be permitted to remain on any Lot in said Subdivision except inci- dental to, and in connection with, bona fide construction of per- manent improvements pursuant to building permits actually issued by governmental authorities having jurisdiction, and any such construction shed or office must be removed from said Lot not later than two (2) months after cessation of building operations. For purposes hereof, "building operations" shall be deemed to have ceased when the Owners of the Lot on which such construction shed or office is located has not, within two ( 2 ) months performed or caused to be performed in good faith any actual construction improvements on such Lot or on a Lot contiguous thereto. In the case of the Declarant, building operations shall be deemed to continue until the Declarant has obtained Frederick County Resi- dential Use Permits for all Lots and been released from all bond obligations by Frederick County on FREDERICK WOODS Subdivision. EIGHTH: No noxious or offensive activity of any nature shall be carried on or upon any Lot in the Subdivision, nor shall anything be done or placed thereon which may be or become an annoyance or nuisance to the neighborhood. Property Owners in the Subdivision shall, at all times, maintain their Property in good repair and in a state of neat appearance. Refuse, trash, garbage and debris, or containers therefor, shall not be stored or placed on any Property where they will be visible from any street. Trash, refuse, leaves and other waste materials shall be stored in sanitary containers and shall not be burned in said Subdivision, and incinerators manufactured or designed for the burning of -15- trash, garbage or waste materials shall not be placed or operated on any part of any Lot in the Subdivision. No commercial or in- dustrial vehicles, including, but not limited to, moving vans, trucks of any kind, tractors, trailers, construction vehicles or equipment, buses, farm machinery or equipment shall be regularly or habitually parked or permitted to remain in front of, or on or adjacent to any Lot or street in the Subdivision (except, as to construction equipment, in connection with bona fide construction of improvements in said Subdivision, and in such case, subject to the same restrictions imposed upon construction sheds and offices in Article SEVENTH hereof). No junk vehicles, vehicles in a visi- ble state of disrepair, or vehicles lacking proper registration and inspection stickers shall be permitted to remain on any Lot or street within the Subdivision. Boats, boat trailers, camping trailers and other recreational vehicles may be on a Lot only if stored completely out of view within a garage. Except for flower beds, shrubs and trees (which shall be neatly maintained), all open Lot areas in the Subdivision shall be maintained as grass covered lawns. There shall be no planting, structure, fences, shrubbery, or other obstruction to vision planted or maintained on any corner Lot which rises more than three (3) feet above ground level within ten (10) feet of the intersection of any two street lines. NINTH: After a residence is built.on any of said Lots, the Lot Owner shall provide in connection therewith off-street parking space of at least twelve (12' ) feet by forty (40' ) feet. If the construction of a driveway on any Lot prohibits the drainage in front of that Lot, then a pipe or culvert of sufficient size (and not less than twelve (1211) inches in diameter) shall be installed by the purchaser of said Lot at his expense. The final determina- tion regarding this requirement will be made by the Virginia High- way Department representative that services the area. TENTH: Each Owner shall purchase and/or construct and maintain a mailbox which is no greater than 12" X 12" X 24" in width, length and height, respectively, which shall be of similar style and suitable quality for the Subdivision,.and which shall be located on each Lot at the driveway entrance as designated on the site plan. ELEVENTH: No sign, signs or other forms of advertising of any nature shall be displayed on any Lot in the Subdivision except for usual address signs, and excepting for one (1) sign not to exceed three (3) feet in any dimension advertising the Property for sale or rental, or advertising the name of a builder during the course of bona fide construction on such Lot. Nothing herein shall prohibit a Subdivision entrance sign or signs constructed by the Declarant and maintained by the Association. TWELFTH: The Declarant for itself and its successors and assigns, hereby reserves the right to install required public utilities over, under and across the front, side or rear yard building restriction lines of each Lot in the Subdivision for a -16- period of five (5) years from the date of original sale by Decla- rant of each such Lot. In such case, Declarant, or its successors or assigns, after the making of such installation, shall immedi- ately restore the surface of the Lots affected by such installa- tion to its condition prior thereto. An easement is hereby reserved for such installation. THIRTEENTH: Notwithstanding anything herein to the con- trary, the Declarant, and its successors and assigns, during the period of its (or such successors and assigns) initial construc- tion of any improvements on any Lot covered by this Declaration, shall be exempt from the provisions of Schedule B of this Declara- tion. FOURTEENTH: All of the above restrictions shall run with and bind the land in said Subdivision for a period of twenty (20) years from the date the Declaration is recorded unless otherwise herein specified, and thereafter shall automatically be renewed for periods of twenty (20) years as specified ,in Article TEN, Section 3 of the Declaration of Covenants, Conditions and Restric- tion. The Declarant, as the present most interested party in maintaining the high quality development which by these covenants is sought to be assured for the land hereby restricted, hereby expressly reserves unto themselves (so long as these restrictions are in effect), and its successors and assigns designated by them, the absolute, unqualified right to waive or alter from time to time such of the above restrictions as they may deem best, as to any one or more of the Lots in said Subdivision, which waiver of alterations shall be evidenced by the mutual written consent of the Declarant (or its designated successors and assigns) and the then Owner or Owners of the land as to which some or all of said restrictions are to be waived or altered; such written consent to be duly acknowledged and recorded among the land records of Frederick County, Virginia. FIFTEENTH: Enforcement of the restrictions herein con- tained shall be by proceedings at law or in equity against any person or persons violating or attempting to violate any covenant hereof, which proceedings may be either to restrain such violation or to recover damages, or both; and such proceedings may be brought or prosecuted by Declarant, its successors or assigns, and/or by any persons or person owning any real property in the aforesaid Subdivision. Clifford and Associates, Inc. The review consisted of evaluation of the following referenced documents: o Construction Plans - Sheets 1 thru 10 o Memorandum on Erosion and Sediment Control o Storm Drainage Computer Calculations o Predicted Traffic Totals In general, our comments are as follows: Typical Sections o Pavement design does not appear to match the VDOT "Subdivision Street Requirements", Table II. o Will provisions be made for electric and other utilities along the Right -of -Way? They should be shown on the typical section. o Specify VDOT standard number for curb and gutter. o Specify grading slope into ditch i.e. are both 'IV" ditch slopes 3:1. This could result in several pipes being underdesigned. We recommend that the consultant revise the calculations to reflect the correct times of concentration. o Due to the topography, it appears to be difficult to maintain slopes in culverts greater than 1% or the critical slope. This may result in sediment collecting in the culvert. The construction contractor should be required to clean all storm drain culverts prior to leaving the site at completion of the project. A similar situation exists with the curb and gutter where the street grades are less than 1%. o Calculations supporting the selection of the weighted averages for the "C" values should be provided. o Top of curb elevations were not provided, therefore, flows into inlets located at or near intersections could not be reviewed. Without this information on the plans, it will be very difficult to construct the curb and gutter as intended. o Utility crossings should be shown on the storm drain profiles. In reviewing these same areas on the utility profiles, there appear to be conflicts. o What class of RCP and what bedding are to be required? o We recommend a minimum of 2' of clearance from top of pipe to existing ground or approved subgrade in order to protect pipe and joints from construction equipment. The plans have varying clearances down to 6" and in one case (Culvert 11) the top of the culvert is plotted out of the ground. Since there is no proposed sidewalk, another type of entrance may be more appropriate for transitioning curb and gutter. o No profile is shown for twin culvert at Sta. 1+75 on Tinoak Lane. Geometrics o How is contractor to determine exact location of the Rte. 647/Tinoak Lane intersection? This needs to be tied down. o Street bearings need to be shown. o Curve data on Tinoak Lane needs to be shown. o Curb radii at Tinoak Lane/Rte. 647 need to be shown and one of the radii appears to encroach on the SWMP #2. o Is an acceleration lane from Tinoak Lane onto Rte. 647 proposed? o On Rte. 647, how was length of deceleration lane and taper determined? This could result in several pipes being underdesigned. We recommend that the consultant revise the calculations to reflect the correct times of concentration. o Due to the topography, it appears to be difficult to maintain slopes in culverts greater than 1% or the critical slope. This may result in sediment collecting in the culvert. The construction contractor should be required to clean all storm drain culverts prior to leaving the site at completion of the project. A similar situation exists with the curb and gutter where the street grades are less than 1%. o Calculations supporting the selection of the weighted averages for the "C" values should be provided. o Top of curb elevations were not provided, therefore, flows into inlets located at or near intersections could not be reviewed. Without this information on the plans, it will be very difficult to construct the curb and gutter as intended. o Utility crossings should be shown on the storm drain profiles. In reviewing these same areas on the utility profiles, there appear to be conflicts. o What class of RCP and what bedding are to be required? o We recommend a minimum of 2' of clearance from top of pipe to existing ground or approved subgrade in order to protect pipe and joints from construction equipment. The plans have varying clearances down to 6" and in one case (Culvert 11) the top of the culvert is plotted out of the ground. Geometrics o How is contractor to determine exact location of the Rte. 647/Tinoak Lane intersection? Therefore, potential impacts at critical intersections and level of service on roads in the vicinity could not be evaluated. While we are not singling out this particular subdivision, this development, as well as other developments, may impact the road network and improvements need to be considered. Adjacent Areas Most of the areas surrounding the development are residential in nature. VA Route 642 forms the northern boundary of the entire development. VA Route 647 lies to the west. Land to the north and south is existing residential. The land to the east and west is undeveloped but zoned residential. Soils For purposes of design run off conditions, antecedent moisture condition II (normal consideration for the mid -Atlantic region) is assumed. The soil is considered to have a moderate rate of water transmission, therefore, SCS Soil Class "D" is adopted. Soils are, for the most part, of the Clearbrook (96) or Wiekert (41 C) Series. A copy of the respective soil map is enclosed. Permanent Stabilization Seeding for permanent stabilization is specified in the V.E.S.C. Handbook. Any area denuded in which work is not proceeding for a period of 30 days or more will be stabilized by a temporary seeding in accordance with State guidelines and procedures. All areas to be seeded will receive seed application by hydroseed methods immediately upon obtaining grades. Storm Water Management Consideration Site Plans have been attached. This development employs curb and gutter streets and enclose storm sewer to carry drainage away. The site drains in two parts. The eastern part, approximately 10 acres, drains off to the east. Development will increase flow from this end of the site by 2.26 cfs during the two year storm. About one quarter of this flow is from enclosed storm sewer drains, the remainder sheet flows off to the east. The western three quarters of the site drains, for the most part, to two detention basins. The basins have been sized to ensure the post -development two year flow across VA Rte. 647 and to Lakeside does not exceed the existing two year flow. The ponds will also detain almost all of the additional runoff to the east. The post -development flow from the entire site for the two year storm is only .40 cfs greater than the present two year rate. An increase of less than one percent. Maintenance All soil erosion control structures shall be checked weekly by the contractor during this construction period and after construction is completed ontil grass cover is established. Sediment retained by these structures shall be continuously removed and placed in an area of the site specified, damage to soil erosion control structures shall immediately be repaired when identified by the contractor.
