THIS DEED OF EXCHANGE AND BOUNDARY LINE ADJUSTMENT, made
this 1st day of February , 1999, between Shockey Realty
Co., a Virginia limited liability company, of the first part,
hereinafter called the Grantor; Fort Collier Group, L.C., a
Virginia limited liability company, of the second part,
hereinafter called the Grantee; Charles S. McCandlish
, Sole
Acting Trustee, of the third part, hereinafter called Sole
Acting Trustee; and Wachovia Bank, N.A. , a
banking institution, of the fourth part, hereinafter called the
Beneficiary.
WHEREAS, the Grantor owns two (2) lots of land on or near
West Brooke Road in Fort Collier Industrial Park in Stonewall
Magisterial District of Frederick County, Virginia, one
containing 6.9212 Acres, more or less, and the other containing
5.8151 Acres, more or less; and,
WHEREAS, the Grantee owns two (2) parcels of land, known as
Lot 26 (5.7411 Acres, more or less) and Lot 31 (10.1744 Acres,
more or less); and,
WHEREAS, the Grantor has agreed to merge its two (2) lots
of land and to convey 4.4999 Acres, more or less, of said
property to the Grantee to be merged with Lot 31; and,
WHEREAS, the Grantee has agreed to adjust the lot line
between its two (2) lots, thus resulting in the acreage of Lot
26 decreasing by .2645 Acres and the acreage of Lot 31
increasing by said amount.
NOW, THEREFORE, WITNESSETH: That for and in consideration
of the conveyance by the Grantee to the Grantor of property
located on West Brooke Road in Fort Collier Industrial Park in
Stonewall Magisterial District of Frederick County, Virginia,

receipt whereof is hereby acknowledged by the Grantor, the
Grantor does grant and convey, with General Warranty and with
English Covenants of Title, unto the Grantee, in fee simple,
together with all rights, rights of way, privileges and
appurtenances thereto belonging, all of that certain lot of
land, containing 4.4999 Acres, more or less, fronting on the
Southeast side of West Brooke Road (Route 1320) in Stonewall
Magisterial District of Frederick County, Virginia, more
particularly described by the plat prepared by Mark D. Smith,
Land Surveyor, dated January 18, 1999, attached hereto and by
this reference made a part hereof; and being a portion of the
6.9212 Acre tract conveyed to the Grantor herein by deed dated
April 8, 1986 and recorded in the Clerk's Office of the Circuit
Court of Frederick County, Virginia in Deed Book 614, at Page
740. The 4.4999 Acre tract shall be merged with and become a
part of Lot 31 of Fort Collier Industrial Park, now owned by the
Grantee.
The remainder of the Grantor's said 6.9212 Acre tract and
the 5.8151 Acre tract, collectively containing 8.2364 Acres,
more or less, are hereby merged into one parcel of land,
hereinafter known as Tax Parcel 54-((1))-D, as more particularly
shown on the aforementioned plat attached hereto.
The boundary line between Grantee's Lots 26 and 31 of Fort
Collier Industrial Park is hereby adjusted as shown on the
aforementioned plat attached hereto, resulting in acreage of Lot
26 being decreased by .2645 acres to 5.4766 Acres and the
acreage of Lot 31 being increased by .2645 acres.
This conveyance is made subject to all legally enforceable
restrictive covenants and easements of record affecting the

aforesaid realty
WHEREAS, the above described property is subject to a deed
of trust to Charles S. McCandlish and others as Trustees, dated
December 1 , 199 2
, securing Wachovia Bank, N.A., the
Beneficiary herein, and of record in the aforesaid Clerk's
Office in Deed Book at Page Z 7 5 7 ; and,
WHEREAS, the Beneficiary, by its signature hereto, hereby
directs that the above described property be released from the
lien created by said deed of trust.
NOW, THEREFORE, that for and in consideration of the sum of
Ten Dollars ($10.00), cash in hand paid and other valuable
consideration, receipt whereof is hereby acknowledged, the Sole
Acting Trustee and the Beneficiary join in this deed for the
sole purpose of releasing and do hereby release and convey to
the Grantee all their right, title and interest in the property
hereby conveyed, including their interests as Sole Acting
Trustee and as Beneficiary under the aforesaid deed of trust,
but it is expressly understood that the release of the property
.herein conveyed from the lien of said deed of trust shall not
affect in any wise the lien of said deed of trust upon the other
land thereby conveyed and not released.

DEED OF SUBDIVISION
THIS DEED OF SUBDIVISION, made and dated this 20th day of
April, 1992, by FORT COLLIER GROUP, L.C., a Virginia limited
liability company, party of the first part, hereinafter called
the Grantor.
WITNESSETH:
WHEREAS, the Grantor is the owner in fee simple of a
certain tract or parcel of land situated in Frederick County,
Virginia, containing 5.741 acres, being a portion of the land
conveyed to the Grantor herein by James L. McIlvaine, Sr., et
als, by deed dated September 18, 1991 of record in the Clerk's
Office of the Circuit Court of Frederick County, Virginia in
Deed Book 766, Page 73; and
WHEREAS, the Grantor now desires to put to record a plat
subdivision, so as to create said 5.741 acres as a separate
parcel from the remainder of its land.
NOW THEREFORE, the Grantor hereby subdivides the aforesaid
5.741 acres, to be known hereafter as Lot 26, Fort Collier
Industrial Park, in accordance with that certain plat and survey
of H. Bruce Edens, Land Surveyor, dated January 2, 1992, and
revised February 25, 1992, which plat and survey are attached
hereto and by this reference made a part hereof, more fully
describing the property as set forth above, and asserts that
this subdivision is made with full consent and in accordance
with the desires of the undersigned owner.

Enclosed you will find the signed subdivision plat of 5.737 acres on Brooke
Road in the referenced development. This section of Brooke Road is not
currently in the State's Secondary Road System. However, all entrance design
and drainage features must meet State requirements if the street is to be
eligible for acceptance. The owner should be made aware the 50' frontage on
Brooke Road may prohibit the construction of a commercial entrance to the
property whenever it is developed.
