Grantee shall be entitled to recover a portion of its construction costs (based on relative square footage of parcels using the road) from Grantor or its successors or assigns, when the road is used to serve any part of Lot 3 or Lot 4. Grantor shall include necessary provisions in any contract of sale or lease for any portion of Lot 3 or Lot 4 to give effect to the foregoing. Grantee has paid or shall pay the cost of certain improvements on Front Royal Pike required by Frederick County or VDOT for development of Lot 1 or Lot 2, including, without limitation, turn, acceleration or deceleration lanes on Front Royal Pike. If such improvements to Front Royal Pike made by Grantee benefit, increase the value of or would have otherwise been required for development of Lot 3 or Lot 4, Grantee shall be entitled to recover a portion of its costs from Grantor or its successors or assigns, when any part of Lot 3 or Lot 4 are developed. Costs of such improvements shall be allocated based on acreage, provided the area of land within the pond in the southeast corner of Lot 4 (which area shall be determined by the parties' engineer or surveyor) shall not be included in such calculation. Grantor or its successors and assigns also shall dedicate to public use, if required by Frederick County or the Virginia Department of Transportation, land necessary for any turn, acceleration or deceler ion lanes. Notwithstanding the foregoing, at such time as Win Crest Drive is dedicated as a public roadway, Grantor shall dedicate the 60-foot right-of-way and such additional lands as may be necessary to public use and Grantee shall release its interest therein to the County of Frederick and/or the Virginia Department of Transportation. This conveyance is made subject to all rights of way and restrictions ofrecord affecting the subject property. Shenandoah University hereby reserves a Vendor's Lien to secure the payment of the purchase price in the amount of One Million One Hundred Forty -Two Thousand Nine Hundred Four and 02/100 Dollars ($1,142,904.02) which payment is in the form of a promissory note of even date herewith in the amount of One Million One Hundred Forty -Two Thousand Nine Hundred Four and 02/100 Dollars ($1,142,904.02), without interest, made by Hospitality Winchester, LC and payable to Shenandoah University. The purpose of the master development plan is to promote orderly and planned development of property within Frederick County that suits the characteristics of the land, is harmonious with adjoining property and is in the best interest of the general public. B) Location The subject property is located adjacent and east of Route 522, .50 miles south of the intersection of Route 522 and Route 50. C) Site History The front portion of this property was depicted on the Frederick County Zoning Map (U.S.G.S. Winchester Quadrangle) as being zoned B2 (Business General) and the rear portion of the property as being zoned M2 (Industrial General). Rezoning #20-88 for Winchester Office Center Limited Partnership rezoned this property from B2 and M2 to B2 and B3. This rezoning depicts the current zoning designations of this property. D) Site Suitability & Project Scope Comprehensive Policy Plan: The Frederick County Comprehensive Policy Plan is an official public document that serves as the community's guide for making decisions regarding development, preservation, public facilities and other key components of community life. The primary goal of this plan is to protect and improve the living environment within Frederick County. It is in essence a composition of policies used to plan for the future physical development of Frederick County. [Comprehensive Policy Plan, p. 1-1] Land Use Compatibility: The subject properties are within the limits of the Sewer and Water Service Area (SWSA). The Sewer and Water Service Area defines the general area in which more intensive forms of planned commercial and industrial development will occur. The properties are within the limits of the Eastern Frederick County Long Range Land Use Plan. The plan shows this area with a commercial land use designation. Stormwater Management Pond: There is an existing pond located on the property that is shown as an existing stormwater management pond. It is noted that the Airport Authority has expressed concern over this facility and it may need to be addressed at the site design stage of the project. MDP #15-07, Shenandoah Oersity December 26, 2007 Page 4 Transportation Access to this property will be off of the existing Wincrest Drive which connects to Front Royal Pike (Route 522 South), as well as one full entrance onto Front Royal Pike. Staff would note that since this property has adequate access to Front Royal Pike via Wincrest Drive, as well as an Interparcel connection into the Holiday Inn property, the full entrance should be eliminated to reduce the number of entrances on this arterial road. With the development of this property, Wincrest Drive will be upgraded to state road standards. While this road may be built to state road standards, there is no guarantee that this will be a state road. As shown on the MDP, if a public road is needed in order to subdivide properties, the road will become a public road, but if the B3 portion of the site develops with a single lot and the site does not require a public road, then Wincrest Drive will be constructed to state standards but remain private. As shown on the location maps for the property, Route 522 relocated is shown on the property directly east of this property. Currently, Wincrest Drive is shown with a cul-de-sac near the middle of the property. There is a note on the MPD that states that the road could be extended should the applicant wish to continue the road to the eastern property line. Proffers — There are no proffers associated with this property. STAFF CONCLUSIONS FOR THE 12/19/07 PLANNING COMMISSION MEETING: The master development, plan for the Shenandoah University/Route 522 property depicts appropriate land uses and appears to be consistent with the requirements of Article XVII, Master Development Plan, of the Zoning Ordinance and this preliminary Master Development Plan is in a form that is administratively approvable. All of the issues brought forth by the Planning Commission should be appropriately addressed prior to a recommendation to the Board of Supervisors. PLANNING COMMISSION SUMMARY AND ACTION OF THE 12/19/07 MEETING: The staff pointed out that the site had adequate access to Front Royal Pike, via Wincrest Drive, as well as an inter -parcel connection into the Holiday Inn property and, therefore, recommended that the full commercial entrance onto Front Royal Pike be eliminated to reduce the number of entrances on the arterial road. The applicant responded that if the property develops into multiple B2 parcels, it may not be appropriate to have commercial traffic utilizing the inter -parcel connection through the parking lot and private travel lane of the Holiday Inn. During the public comment portion of the meeting, the owner/operator of the Holiday Inn and the Vice - President with Hospitality Hotel Group, both supported the applicant's additional access onto Route 522. They did not want commercial traffic driving through the hotel parking lot and spoke about safety issues with patrons parking their vehicles, children, and guests utilizing the facility. They were not MDP #15-07, Shenandoah University December 26, 2007 Page 5 opposed to an inter -parcel connection, but did not favor it becoming the main thoroughfare for commercial traffic. A member of the Commission suggested an additional inter -parcel connection with the parking lot at the adjoining fire department, for access to Costello Drive and for quick fire department response, if needed. In response to questions from the Commission, the applicant replied that entrance spacing requirements had been met and a sidewalk will be provided along Route 522, along the entire length of the property. No other issues were raised and the Commission unanimously recommended approval. (Note: Commissioner Manuel abstained; Commissioners Ours, Thomas, and Light were absent from the meeting.) STAFF CONCLUSIONS FOR THE 01/09/07 BOARD OF SUPERVISORS MEETING: The master development plan for the University/Route 522 property depicts appropriate land uses and appears to be consistent with the requirements of Article XVII, Master Development Plan, of the Zoning Ordinance. Therefore, the preliminary Master Development Plan for the University/Route 522 property is in a form that is administratively approvable. D) Site Suitability & Project Scope Comprehensive Policy Plan: The Frederick County Comprehensive Policy Plan is an official public document that serves as the community's guide for making decisions regarding development, preservation, public facilities and other key components of community life. The primary goal of this plan is to protect and improve the living environment within Frederick County. It is in essence a composition of policies used to plan for the future physical development of Frederick County. [Comprehensive Policy Plan, p. 14] Land Use Compatibility: The subject properties are within the limits of the Sewer and Water Service Area (SWSA). The Sewer and Water Service Area defines the general area in which more intensive forms of planned commercial and industrial development will occur. The properties are within the limits of the Eastern Frederick County Long Range Land Use Plan. The plan shows this area with a commercial land use designation. Stormwater Management Pond: There is an existing pond located on the property that is shown as an existing stormwater management pond. It is noted that the Airport Authority has expressed concern over this facility and it may need to be addressed at the site design stage of the project. MDP #15-07, Shenandoah Oersity December 4, 2007 Page 4 Transportation Access to this property will be off of the existing Wincrest Drive which connects to Front Royal Pike (Route 522 South), as well as one full entrance onto Front Royal Pike. Staff would note that since this property has adequate access to Front Royal Pike via Wincrest Drive, as well as an Interparcel connection into the Holiday Inn property, the full entrance should be eliminated to reduce the number of entrances on this arterial road. With the development of this property, Wincrest Drive will be upgraded to state road standards. While this road may be built to state road standards, there is no guarantee that this will be a state road. As shown on the MDP, if a public road is needed in order to subdivide properties, the road will become a public road, but if the B3 portion of the site develops with a single lot and the site does not require a public road, then Wincrest Drive will be constructed to state standards but remain private. As shown on the location maps for the property, Route 522 relocated is shown on the property directly east of this property. Currently, Wincrest Drive is shown with a cul-de-sac near the middle of the property. There is a note on the MPD that states that the road could be extended should the applicant wish to continue the road to the eastern property line. There is no guarantee with this MDP that a connection from Wincrest Drive to Route 522 relocated will be provided with this development.
