PROFFERED CONDITIONS
A strip of land sixty (60) feet in width shall be dedicated to tite County of Frederick for
the purpose of providing a future collector road which will connect Valley Pike (Route
f 41) willh Shady ;Im Road (Route 651). The location of this dedicai1ed sllrip oil hand is
from the end of Prosperity Drive to the western limits of parcel 75-A-20, as
demonstrated on the attached pfat which is referred to as Exhibit 1.
The voluntary dedication of land shall be valid for as tong as the Winchester Area
Transportation Plan identifies this area as a potential route for a collector road between
Route 11 South and Route 651, due to the possible expansion or change of the 1.81 -
Route 37 South Interchange. This shall not be used for any private expansion of a road
or development of private lands to the west or south of this land.
if after eight years from the dated signed, this land has not b- een used or is not in titre
definite plans for a collector road between Route 11 and Roul'e 651, the land will revert
back to the owner of record of each parcel.

Enclosed please find a copy of the Dedication of Public Street whereby a previously
reserved 60' strip of land is dedicated to the County. Eric and I have previously discussed the
matter, which fits in well with the County's overall transportation plan for the area west of
Valley Pike. I am having this instrument signed over the next day or two and hope to have it
recorded not later than Wednesday of next week among the land records in the Clerk's Office of
the Circuit Court of Frederick County, Virginia. I will need John Riley's signature to accept the
dedication of this strip. I will drop it by for John's signature in the next day or so as well.

THIS DEDICATION OF PUBLIC STREET made and dated this 6`h day of July,
2006, by and between RT&T PARTNERSHIP, a Virginia partnership, hereinafter referred
to as the "Owner", and the COUNTY OF FREDERICK. VIRGINIA, hereinafter referred
to as the "County".
RECITALS:
A. The Owner has previously dedicated and subdivided Lots 1, 2, 3, 4, 5, 6, 7, 8,
9, 10, 11, 12, 14, 15, and 16 (the "Lots") in Kernstown Business Park, located on Prosperity
Drive, Back Creek Magisterial District,. Frederick County, Virginia (the "Business Park").
B. The Owner has previously designated upon various plats of the Lots a parcel of
land extending in a southwesterly direction from the cul-de-sac at the western end of
Prosperity Drive to the eastern limits of that certain parcel of land containing 9.710 acres,
more or less, acquired by Jasbo, Inc. by those two certain Deeds dated March 2, 2005, of
record in the Clerk's Office of the Circuit Court of Frederick County, Virginia as Instrument
No. 050004465 and Instrument No. 050004466 (Tax Map No.75-A-2C) (the "Future Street
Extension"). The Future Street Extension is more particularly described upon various plats
of the Lots, including, but not limited to, the following:
(i) "Additional Street Dedication 0.2685 Ac." on that certain plat titled "Final
Plat Lot 11 Section I Kernstown Business Park" dated July 27, 2000, drawn by David M.
Furstenau, L.S., attached to and made a part of that certain Deed dated August 30, 2000, of
record in the Clerk's Office of the Circuit Court of Frederick County, Virginia as Instrument
No. 000009218 (Deed Book 974, Page 1699).
(ii) "60' Proffered Strip" (Sheet 5 of 6) on that certain plat titled "Final Plat Lots
3, 4, 6, 7, 9 & 10 Section I Kernstown Business Park" dated March 7, 2003, drawn by David

C. The Owner has previously imposed certain Proffered Conditions upon several
of the Lots, whereby the Owner agreed to make a voluntary dedication of the Future Street
Extension as part of a potential route for a collector road between Route 11 South (Valley
Pike) and Route 651 (Shady Elm Road), as identified by the Winchester Area Transportation
Plan, now superceded by the Metropolitan Planning Organization, including, but not limited
to, the following:
(i) By that certain Deed dated October 23, 2001, of record in the aforesaid
Clerk's Office as Instrument No. 010014361.
(ii) By that certain Deed dated November 21, 2002, of record in the aforesaid
Clerk's Office as Instrument No. 020020227.
(iii) By that certain Deed dated May 7, 2003, of record in the aforesaid Clerk's
Office as Instrument No. 030009806.
(v) By that certain Deed dated August 30, 2000, of record in the aforesaid
Clerk's Office as Instrument No. 000009218 (Deed Book 974, Page 1699).

NOW THEREFORE WITNESSETH: That for and in consideration of the sum of
Ten Dollars, ($10.00), cash in hand paid by each of the parties hereto unto the other, the
receipt and sufficiency of which is hereby acknowledged, the parties do agree as follows:
1. The Recitals are incorporated herein and made a material part hereof as if set
out in full.
2. The Owner hereby dedicates the Future Street Extension unto the County for
public street purposes.

Dear Mr. Baker:
I have had the opportunity to review the revisions to the referenced plan. Please modify your final plan
to incorporate the following comments:
1) Please update the zoning classifications for the adjoining properties as indicated on the red -lined plan.
2) Please revise the acreage calculation for the B-2 portion of the business park to read 11.787 acres.
3) Please remove the buffer designation along the western property boundary line which adjoins the Brim
and Virginia Pride Fruit Packers tracts. The zoning designation for these properties does not require a
zoning district buffer to be provided within the Kernstown Business Park.
4) Please modify the buffer description to state `B Category" Buffer as indicated on the red -lined plan.
5) Please include the word "or" in the description of the Internal Buffer and modify Zoning Code to state
Zoning Ordinance as indicated on the red -lined plan.
6) Please include the B-3 zoning designation in the title block as indicated on the red -lined plan.
7) Please include a symbol for the zoning district line as indicated on the red -lined plan.
8) Please revise the zip code for the owner/developer address as indicated on the red -lined plan.
Please revise your plan to reflect the comments specified in this letter and submit six copies for final

RE: Approval of Revised RT&T Partnership Master Development Plan for Kemstown Business Park
Dear Mr. Baker:
Frederick County administratively approved revisions to the referenced plan on No 4, 1998.
These revisions include the provision of a 60 foot dedicated right-of-way from the end of Prosperity
Drive to the western property boundary line, the inclusion of perimeter and internal buffer and
screening areas, and the delineation of the approved B-2 and B-3 zoning district areas within the
business park. All other design, elements approved by Frederick County on September 3, 1991 are
applicable to this project.

We have reviewed the above referenced (MDP) Plan as submitted and offer the
following comments:
A. GENERAL
1. The parcel number and lot of subdivision should be provided an the
plan. This will help us in locating properties on the tax maps and to
identify the physical relationship of one project to another.
B. ACCESS ISSUES
1. Projected traffic flows at all intersections to existing and proposed
state maintained roads need to be provided.
2. Proposed typical sections of the roadways need to be identified on
the plan and the proposed right-of-way dimension of the cul-de-sac
shown on the plan.
3. Both the vertical and horizontal sight distance need to be verified
at connections and intersections with final design.
4. Curb returns, right-of-way intersection radii, the cul-de-sac radius,
and road curve radii should be labeled on the plan. There may be some
concern with the minimum radius for the bend in the road.
C. DRAINAGE ISSUES
1. The plan does not indicate the provision of storm water management on
site. The on -site and off -site drainage relief requirements will need
to be addressed with the final site design submission. Stormwater
management will be required.
