Dear Ms. Elhers:
This letter is to confirm the Frederick County Board of Supervisors' action at
their meeting of June 28, 1989:
Approval of Conditional Use Permit Request #008-89 of Health Equity Resources.of
,Winchester, Inc. for a dwelling (Cottage B) and an addition to the existing
`personal care home. This property is .located at 1011 and 1025 Pennsylvania
Avenue in the Stonewall Magisterial District, with the following conditions:
1. This is a one-year permit. to be reviewed and renewed annually by the staff,
the Planning Commission, and.the Board of Supervisors.
2. If the use of the property changes, this conditional "use permit shall expire
and a new conditional use permit will .be required.

LOCATION: 1011 and 1025 Pennsylvania Avenue
MAGISTERIAL DISTRICT: Stonewall
ADJACENT LAND USE AND ZONING: RP (Residential Performance), B-2 (Business
General), and low density residential zoning
PROPOSED USE AND IMPROVEMENTS: Construct an addition to existing dwelling
Personal Care Home); construct an open porch and enclose existing porch for use
as bedroom in existing Cottage B.
REVIEW EVALUATIONS:
VA Dept. of Transportation - No objection to conditional use permit for this
property.
Health Department - No objections. Units to be provided with city water and
sewer before use.
Sanitation Authority - No comments.
Clearbrook Fire Company - No comments.
City of Winchester - Phase I is unclear from plan. Reponse to Question #8
indicates 490 square foot addition to existing dwelling? Improvements to
Pennsylvannia Avenue should be indicated. Adjacent city property is low
density, single family zoning. What is the traffic impact? Drainage?
Frederick County Fire Marshal - There is an existing hydrant approximately
400' from this facility. The new "cottage" as well as the Phase II
construction will be completely sprinklered due to licensing so this proposal
does not cause any greater life safety problem than currently exists.
Inspections Department - Shall comply to Use Group "I" Institutional, Section
307.0 of the BOCA National Building Code 1987.
Planning and Zoning - This is an application for a CUP for a convalescent
nursing home. The Vangilder Care Center has been in operation for a number
of years as a nonconforming use. The Center would like to expand beyond the
50% allowed for such a use, and thus are applying for a CUP. The rear of the
property is bounded by the railroad with the land across the street being

property is bounded by the railroad with the land across the street being
vacant (Star Fort). There are residences to the north and south of the
property. The residence to the north is proposed to be purchased and
converted for the use of the center.
STAFF RECOMMENDATIONS: Approval, with the following conditions
1. This is a one-year permit to be reviewed and renewed annually by the staff,
the Planning Commission, and the Board of Supervisors.
2. If the use, occupancy, or ownership of the property changes, this permit shall
expire and a new conditional use permit shall be required.
3. Any proposed construction or alteration of existing or proposed structures
must be approved through site plan review.
4. Any proposed change to existing entrance or addition of any new entrance be
approved by VDOT.
PLANNING COMMISSION RECOMMENDATIONS OF 7/6/89: Approval, with the following
conditions:
1. This is a one-year permit to be reviewed annually by the staff, the Planning
Commission, and the Board of Supervisors.
2. If the use or occupancy of the property changes, this permit shall expire and
a new conditional use permit shall be required.
3. Any proposed construction or alteration of existing or proposed structures
must be approved through site plan review.
4. Any proposed change to the existing entrance or addition of any new entrances,
must be approved by VDOT.
5. No adverse impacts on drainage.

THIS REAL ESTATE SALES CONTRACT, made and dated this 3rd
day of April, 1989, by and between FRED W. BOYCE, Unmarried, and BRENDA
L. WHITE, Unmarried, hereinafter referred to as Seller; and HEALTH
EQUITY RESOURCES OF WINCHESTER, INC., a Wisconsin Corporation,
hereinafter referred to as Buyer.
W I T N E S S E T H
In consideration of the mutual covenants and agreements contained
herein, Seller does hereby agree to sell and Buyer does hereby agree to
buy the following described property under the following terms,
covenants and conditions:
1. DESCRIPTION OF PROPERTY:
A. Real Property: All that certain parcel of land improved
by a dwelling designated as No. 1025 Pennsylvania Avenue, said lot
containing 28,090 square feet, more or less, located on the northwest
boundary of Pennsylvania Avenue, just North of the City of Winchester,
in Stonewall Magisterial District, Frederick County, Virginia, and more
particularly described by a plat and survey of Charles H. Kirkland,
C.L.S., dated May 24, 1972, and recorded in the Clerk's Office of the
Circuit Court of Frederick County, Virginia, in Deed Book 392, at Page
210. This is the same realty conveyed to the Seller herein by deed of
Marvin L. Campbell and Margarette C. Campbell, his wife, by deed.dated
April 30, 1979, and recorded in the aforesaid Clerk's Office in Deed
Book 507, at Page 582. This is a sale in gross and not by the acre.
B. Personal Property: The items of personal property more
particularly described on the Bill of Sale attached hereto as Exhibit 1
are being purchased by Buyer for a total purchase price of Three
Thousand Five Hundred Dollars ($3,500.00) to be paid in cash at
closing. These items of personal property are not included in the sale
price of the real property.
2. PURCHASE PRICE: The total purchase price for the real
property is Eighty-seven Thousand Five Hundred Dollars ($87,500.00).
One Thousand Dollars ($1,000.00), the receipt of which is hereby
acknowledged, will be credited upon the purchase price. Due on
closing: Sixty-nine Thousand Dollars {$fa,91000.00) in cash paid to

Seller. Balance of S-en Thousand F(ie—ffufidred Dollars ($17,500.00)
will be paid by Seller giving Buyer a three year note secured by a
second deed of trust payable to the Seller as follows: Thirty-six (36)
equal monthly installments of Five Hundred Seventy-seven Dollars Ei
Cents ( $577 . 06 ) which installments include interest at the rate of ten Dri,
percent (11 1/2%) per annum upon the unpaid balance. Seller reserves
the right to prepay said note without penalty.
3. SETTLEMENT DATE: On or before ninety (90) days from the
signing of this contract, at which time a good and sufficient general
warranty deed with English covenants of title will be delivered to
Buyer or his assigns conveying good and marketable fee simple title to
the property, free from liens and encumbrances, but subject to ordinary
and usual utility easements and rights of way.
4. TITLE: If any defect develops in the title capable of
being remedied within a reasonable time, Seller shall take immediate
steps to perfect title, and the time of settlement shall be extended
for such reasonable period; if the defect cannot be remedied within

such time, the deposit will be refunded, and neither party will have
any further rights against the other.
5. REAL ESTATE COMMISSION: Each party covenants he is not
liable for any commission; and if any commission is claimed by virtue
of any contract with either party, that party will be responsible for
the defense and payment of any claim by any such real estate agent.
6. RISK OF LOSS AND POSSESSION: To pass on settlement date.
7. PRORATING PROPERTY EXPENSES: Taxes, insurance, interest,
escrow deposits, and all other charges against the property, will be
prorated by the parties as of settlement date.
S. CLOSING COSTS: Seller to pay for the costs of the
preparation of the deed and Seller's transfer tax; Buyer to pay for the
costs of the survey, this real estate sales contract, title
examination, recording of deed, and the preparation and recording of
any deed of trust.
9. CONDITION OF PROPERTY: Buyer represents that an
inspection satisfactory to Buyer has been made of the property, and
Buyer agrees to accept the property in its present condition except as
may be otherwise provided.herein.
10. WOOD INFESTATION INSPECTION AND REPORT: Prior to
settlement, Seller shall provide, at his cost, to Buyer a report dated
not more than thirty (30) days prior to the date of settlement from a
termite control company certified and licensed by the Commonwealth of
Virginia and properly insured, concerning the presence of, or damage
from termites or other wood destroying insects or organisms. If the

inspection reveals active infestation in the primary dwelling on the
premises, .Seller, at his expense, shall have the primary dwelling
treated by a company licensed by the Commonwealth of Virginia and
properly insured. If the inspection reveals damage to the primary
dwelling on the premises, Seller shall have the damage repaired by a
contractor licensed in the Commonwealth of Virginia, provided, however,
that if the estimated aggregate cost of such treatment or repairs or
both exceeds One Thousand Dollars ($1,000.00), Seller shall have the
option to terminate this Contract, unless Buyer and Seller mutually
agree to share the cost exceeding the above amount.
11. WELL INSPECTION: Seller, at his cost, agrees to furnish
Buyer with a certificate from the appropriate governmental authority,
or from an acceptable private company, indicating that the well water
is potable. If said well system is found defective, Seller shall take
immediate steps to repair all defects at Seller's expense.
12. FIXTURES: All appliances and fixtures convey with the
property, or are the subject material of the separate Bill of Sale
(attached Exhibit 1) for the sale of the personal property. Seller
warrants that all appliances and fixtures will be in working order at
the time of settlement. It agreed between the parties that the built-
in dishwasher may be removed by the Seller without closing up the
opening left by said removal.
13. APPRAISAL: Seller agrees to provide, at his expense, an
appraisal of the real property within twenty-one (21) days of the
signing .of this agreement.

14. COMPLETE CONTRACT: This Contract of Sale constitutes the
entire agreement among the parties and may not be modified or changed
except by written instrument executed by all of .the parties.
15. CONSTRUCTION OF CONTRACT: This contract shall be
construed, interpreted and applied according to the laws of the State
of Virginia.and shall be binding upon and shall inure to the benefit of
the heirs, personal representatives, successors and assigns of the
parties..
16. CONTINGENCIES: This contract is contingent upon:
A. The Buyer's obtaining a loan on terms satisfactory to it,
and Buyer agrees that it will forthwith make application for any loan
necessary for the purchase of the property and will exercise due
diligent in obtaining said loan.
B. The Buyer's obtaining a survey of the real property, to
allo,W Buyer to' accurately ascertain the exact boundaries of the
property being purchased and determine that the survey substantially
conforms to the property as represented by the Seller, and which survey
will allow Buyer to obtain an owner's title insurance policy without
exception as to survey.
C. The Buyer's obtaining a conditional use permit and other
governmental approval necessary to operate a licensed adult health care
facility on the premises.
17. REMEDIES: If it is necessary for either party to pursue
any legal action to enforce any right hereunder the party prevailing in

that litigation will recover, in addition to other costs and expenses,
his reasonable attorney's fees.
18. EXPIRATION OF OFFER: This instrument shall be regarded
as an offer by the Buyer and is open by acceptance by the Seller until
5:00 p.m. on April 7, 1989. If by that time written acceptance of the
offer has not been actually received by the Buyer, the offer will
expire.

Dollars ($3,500.00) paid to them, the receipt of which is hereby
acknowledged, Fred W. Boyce and Brenda L. White hereby sell, transfer
and assign good and marketable title to the following items of personal
property located in the residence at 1025 Pennsylvania Avenue,
