EASEMENT AND VACATION OF EASEMENTS
THIS DEED OF ' BOUNDARY LINE ADJUSTMENT, EASEMENT AND

VACATION OF EASEMENTS (this "Deed") is made as of this , day of August 2010 by
and between KOHL'S DEPARTMENT STORES, INC, a Delaware corporation, grantor. and
grantee ("Kohl's"), and AIRPORT BUSINESS PARK, LLC, a Virginia limited liability
company, grantor and gfantee {"Airport Business Park") (Kohl's and Airport Business Park are
sometimes hereinafter collectively referred to as "Owners"), and FREDERICK COUNTY
SANITATION AUTHORITY, a body corporate and politic (hereinafter referred to as
"Authority"), grantor and grantee.
WITNESSETH:
WHEREAS, Owners are the owners of certain real property which property is located in
the County of Frederick, Virginia and is more particularly described as Parcel B and Parcel E on
the plat prepared by Painter -Lewis, P.L.C., of Winchester, Virginia, titled "BOUNDARY LINE
ADJUSTMENT BETWEEN THE PROPERTY AIRPORT BUSINESS PARK, LLC AND
KOHL'S DEPARTMENT STORES, INC." dated July 28, 2010 (the "Plat"), attached hereto as
Exhibit A and expressly made a part hereof (the "Property"), which Property was conveyed to
the Owners pursuant to those certain Deeds referenced on the Plat and that certain Special

Warranty Deed recorded in the land records of Frederick County, Virginia in Deed Book

WHEREAS, the Owners desire to formalize the platting of the Property;
WHEREAS, Kohl's desires to vacate a portion of the existing property line on the
Property, and create a new property line as shown on the Plat;
WHEREAS, Kohl's desires to grant and convey unto the Authority the easement in the
locations as shown on the Plat and as hereinafter provided; and
WHEREAS, Authority desires to vacate portions of the easements in the locations as
shown on the Plat and as hereinafter provided; and
WHEREAS, the Property is not subject to the lien of any deed of trust.
Vacation of Boundary Lines and Boundary Line Adjustment
NOW THEREFORE, THIS DEED WITNESSETH, in consideration of the premises and
the sum of Ten Dollars ($10.00) cash in hand paid by each of the parties hereto to each of the
other parties hereto, the receipt and sufficiency of which is hereby mutually acknowledged, and
the foregoing Recitals, which are hereby incorporated into this Deed by this reference as if set
forth herein in their entirety, the parties agree as follows:
The Owners formalize the subdivision of Parcel as per the I lAcre Deed and as reflected
on the Plat. In addition, Kohl's hereby vacates the property line as, shown on the Plat as "Ex.
Property Line Hereby Vacated", and does hereby create a new consolidated parcel in accordance
with the Plat.
This Deed is made in accordance with the statutes made and provided in such cases and
with the approval of the proper authorities of the County of Frederick, Virginia, as shown by the
signature affixed to the Plat attached hereto and incorporated herein. Owners warrants that this

Deed is made with the free consent and in accordance with the free consent and the desire of the .9"
Owners, as evidenced by their signatures hereto.
Water Easement
THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the
sum of Ten Dollars ($10.00), cash in hand paid, receipt of which is hereby acknowledged,
Kohl's does hereby grant and convey unto the Authority, its successors and assigns, the water
easement in the location shown on the Plat as "20' Water Esmt. (Hereby Created)" for the
purpose of installing, constructing, operating, maintaining, adding to, repairing, replacing, or
altering present or future water mains, and waterlines, including fire hydrants, valves, meters,
building service connections, and other appurtenant facilities for the transmission and
distribution of water, said easement area being more particularly bounded and described on the
Plat.
The above -described waterline easement is subject to the following conditions;
1. All water mains, waterlines and appurtenant facilities which are installed in the
easement areas shall be and remain the property of the Authority, its successors and assigns, and
shall be underground unless the prior written consent of Kohl's is obtained.
2. The Authority and its agents shall have full and free use of said easement area for
the purposes named, and shall have all rights and privileges reasonably necessary to the exercise
of the rights granted by the easement including the right of access to and from the casement area
and the right to use adjoining land where necessary; provided, however, that this right to use
adjoining land shall be exercised only during periods of actual construction or maintenance, and
then only to the nninimum extent necessary for such construction and maintenance, and further,

this right shall not be construed to allow the Authority to erect any building or structure of a
permanent nature on such adjoining land.
3. The Authority shall have the right to trim, cut, and remove trees, shrubbery,
fences, structures, or other obstructions or facilities in or near the easement area being conveyed,
deemed by it to interfere with the proper and efficient construction, operation, and maintenance
of said water mains, waterlines, and appurtenant facilities; provided, however, that the Authority
at its own expense shall restore as it deems appropriate for easement use all land or premises
which are disturbed in any manner by the installation, construction, operation, and maintenance
of said water mains, waterlines and appurtenant facilities. Such restoration shall include the
back -filling of trenches, the replacement of fences and shrubbery, the reseeding or resodding of
lawns or pasture areas, and the replacement of structures and other facilities, as appropriate,
located without the easement.
4. Kohl's reserves the right to make use of the casement area herein granted which
may not be inconsistent with the rights herein conveyed, or interfere with the use of said
easement by the Authority for the purposes named; provided, however, that Kohl's shall comply
with all applicable county ordinances and regulations prior to placing any building, roadway,
other structure or fence within the easement area.
Vacations of Authority Easements
THIS DEED FURTHER WITNESSETH, that in consideration of the premises and the
sum of Ten Dollars ($10.00), cash in band paid, receipt of which is hereby acknowledged, the
Authority, hereby vacates, those portions of the existing water and sewer easements shown on
the attached Plat as "Ex. Sewer Esmt. Instr. #020015405 (Hereby Vacated)" and "Ex. 20' Water
Esmt. Instr. #020015405 (Hereby Vacated)" and being a portion of the existing water and sewer

easements previously dedicated by deed recorded as Instrument No. 020015405 among the land
records of Frederick County, Virginia.
General Provisions
All provisions of this Deed, including all benefits and burdens, shall run with the
land and will be binding upon and will inure to the benefit of the heirs, assigns, successors and
personal representatives of the parties hereto, subject to the provisions hereof. The easements
herein granted shall be perpetual, and may not be extinguished by merger or otherwise, unless
sooner terminated by a recorded instrument executed by all of the owners of fee simple title
interest in and to all of the parcels upon which the easement to be extinguished or terminated is
located, and shall be binding on their successors and assigns
2. The Owners covenant that they are seized of and have the right to convey said
easements, rights and privileges; that the grantees of the easements shall have quiet peaceable
possession, use and enjoyment of the easements, rights and privileges, and that the Owners shall
execute such further assurances thereof as may be required.
3. Those certain private easements shown on the attached Plat as "l0' Utility
Easement (Hereby Created) "Drainage Esmt. (Hereby Created)", "10' Drainage Esmt. (Hereby
Created)", "20' Drainage Esmt. (Hereby Created)", "10' Private San. Sewer Esmt. Hereby
Created" and "Temporary Construction Esmt. (Hereby Created)" are being dedicated by separate
instrument by and among the parties to which they apply.
4. This Deed is made in accordance with the statutes made and provided in such
cases, with the approval of the proper authorities of the Frederick County, Virginia, as shown by
the signatures affixed hereto and to the Plat, and is with the free consent and in accordance with
the desire of the Owners of the Property as aforesaid.

We have reviewed the above plan dated July 2, 2010 for trailer storage expansion. The proposed parking
lot expansion has no impact on Admiral Byrd Drive at this time and no increase in traffic generation has
been indicated. Therefore, we have no comments on this plan. Any future changes that would increase
the traffic generation at this facility would need to be reviewed at that time.

Dear John:
Planning Staff has reviewed the above -referenced site plan to determine if administrative approval can be granted.
At this time, administrative approval cannot be granted. This site plan is denied until the issues in this letter, as
well as all issues of the other review agencies, have been adequately addressed. Please review Staff's comments
listed below and then prepare a revised site plan which adequately addresses each concern.
Review Comients:
1) Special Limited Power of Attorney Form. Pleasc have the property owner sign the attached Special
Limited Power of Atiorney Form prior to further review or approval. This form should be notarized and
completed to grant the applicant (you) with authorization to represent them for this site plan.
2) BLA. The Boundary Line Adjustment (BLA) needs to be completed before the site plan can be approved.
3) Notes. The following notes need to be provided: (1) All outdoor lighting must be shielded to prevent
glare onto adjoining properties and road right-of-ways; and, (2) All utilities must be underground.
4) Approved Site Plan. On the coversheet under general notes, change SP831-99 to 1103-01.
5) Previous Site Work. Please note that the previously installed trailer storage spaces that were approved
Nvith SPH62-07 need to be paved in conjunction with the new trailer storage expansion.
6) Alternate curb location. Sheet 2 shows both alternatives, which is confusing. The preferred
configuration should be shown on the main site plan on sheet 3 and the alternate in a separate location
(possibly in a box at the top of sheet 3).
7) Lighting Height. Sheet 12 shows the proposed pole lighting to be 39 feet in height. The Zoning
Administrator may allow lighting in the M I district to be up to 45 feet in height provided that additional
security is needed. If only trailers are intended to be stored (and no product), it is Unclear why a higher
pole height is necessary. Also, indicate if the six foot light base has been added into the proposed pole
height.
8) Photometric Plan. A detail of the site lighting fixture needs to be provided on the photometric plan.
9) Existing Easements. Provide the legal reference for all existing easements.
10) Islands. Indicate on sheet 3 that the islands at the end of the parking are striped islands.
11) Landscaping Plan. The landscaping plan needs to show one deciduous tree per 20 feet, not 40 feet.

FYI- I've spoken with John Lewis regarding Kohl's trailer parking lot. After our extended discussions, they are submitting
a site plan with asphalt parking. A single row of evergreen trees will be provided along the southern parking lot to
complement the ZDB against the RP (credit is given for the MDP environmental corridor and distance). And a deciduous
tree will be planted every 20 ft on the west and north edge of the parking lot. The northern edge tree planting will be
filling the gaps that might exist from previously planted trees. See me with questions. I have not discussed any
deviation from C/G. Thanks.
