THIS DEED OF EASEMENT, made this ��' day of August, 1996, by
and between FORT COLLIER GROUP, L.C., a Virginia limited liability
company, party of the first part, hereinafter called the Grantor;
and FREDERICK COUNTY SANITATION AUTHORITY, a Virginia corporation
organized and existing under the provisions of the Virginia Water
and Sewer Authorities Act (Sec. 15.1-1239, et. seq., Code of
Virginia, 1950, as amended), party of the second part, hereinafter
called the Grantee.
WITNESSETH: That for and in consideration of the sum of One
Dollar ($1.00), cash in hand paid, receipt whereof is hereby
acknowledged, the Grantor does grant and convey, unto the Grantee,
with General Warranty of Title, permanent water and sewer easements
over the property of Fort Collier Group in Fort Collier Industrial
Park, Tax Map 54-A-36A, known as "Lease Building Three", as shown
on the plat of Mark D. Smith, L.S., dated August 9, 1996, attached
hereto and incorporated herein in full, said easements being over
and upon the land of the Grantor acquired from James L. McIlvaine,
Sr., et als, by deed dated September 18, 1991, and recorded in the
Clerk's Office of the Circuit Court of Frederick County, Virginia
in Deed Book 766, Page 73.
The easements hereby conveyed grants to the Grantee the
perpetual right to construct, operate and maintain water and sewer
lines, including the right to go on, over and upon the said
permanent easements for the purpose of maintaining, repairing and
replacing the same as needed. Grantor shall retain the right to
use the land which is subject to the easements acquired herein in

any manner which shall not interfere with the use and enjoyment of
said rights by Grantee. Grantor shall at all times have the right
to cross over and upon the said easements to use the surface over
the easements in such manner as will neither injure nor interfere
with the operation or maintenance of the lines, except that no
building or other structure shall be erected over said permanent
easements unless by mutual consent of the parties or their
successors. Whenever the enjoyment of its rights hereunder
requires Grantee to disturb the surface of the ground, it shall be
the obligation of the Grantee to restore the same to its conditions
prior to being so disturbed at Grantee's expense.

Dear Mr. McIlvaine:
The Frederick County Planning Department administratively approved a revision to Site Plan #
033-96 for Fort Collier Lease Building #3 on August 29, 1996. This site plan was revised to
relocate the required disabled parking space and provide a disabled ramp access system to the
building that meets the requirements of the Americans with Disabilities Act. This ramp system is
in addition to the required pedestrian sidewalk located along the perimeter of the parking lot. All
other site improvements that were reflected on the approved site plan dated July 29, 1996 still
apply to this project.
I have provided you with an approved revised site development plan and forwarded two approved
copies to Mr. Mark Smith of Greenway Engineering. By copy of this letter, I am advising Mr.
Smith to provide an approved copy of this plan to Mr. David King, Project Manager for Howard
Shockey & Sons, Inc. Please contact me if I may answer any questions regarding this letter.

RE: Site Development Plan Approval for Fort Collier Lease Building #3 - Phase II
Dear Mr. McIlvaine:
The Frederick County Planning Department administratively approved Site Plan # 033-96 for Fort
Collier Lease Building #3 - Phase H on July 29, 1996. The approved site plan calls for the
completion of all interior work associated with the 60,337.5 square feet shell building, the
construction of a paved parking lot that will contain 12 regular parking spaces, one van accessible
disabled parking space with a ramp and appropriate signage, curb and gutter, concrete sidewalks,
and landscaping around the perimeter, the provision of a paved loading and maneuvering area that
will contain 10 striped loading spaces, the installation of three fire hydrants that will be
surrounded by protective bollards, the creation of fire access drives that will be constructed of an
all-weather surface, and all appropriate erosion and sedimentation control measures. It is my
understanding that a common shared buffer and screening easement has been finalized between
the owners of this tract and the owners of the Arcadia Mobile Home Park tract. Please ensure
that our department receives a copy of the recorded easement agreement to maintain in this site
plan file. This agreement will need to be provided prior to the issuance of an Occupancy Permit
for this project.
I have provided you with two copies of the approved site development plan to distribute to the
appropriate persons. Please contact this office to schedule an on -site inspection once all
improvements are complete. Please contact me if I may answer any questions regarding this
letter.

MUTUAL GRANT OF EASEMENT
THIS MUTUAL GRANT OF EASEMENT, made and dated this day
of July, 1996, between FORT COLLIER GROUP, L.C., a Virginia limited
liability company, its successors and assigns (hereinafter called
"Fort Collier") and ARCADIA MOBILE PARK, INC., a Virginia
corporation, its successors and assigns (hereinafter called
"Arcadia")
W I T N E S E T H:
WHEREAS, Arcadia owns certain property located in Frederick
County, Virginia, Tax Map Number 54-A-91, zoned MH-1, more fully
described as:
All that certain lot or parcel of land
containing 64.321 acres, being the same land
conveyed to Arcadia by deed of William J. Lockhart,
et als, dated February 6, 1969, of record in Deed
Book 350, page 481, among the land record of said
County (hereinafter called the "Arcadia Property"); and
WHEREAS, Fort Collier owns certain property adjacent to the
Arcadia Property, being part of Frederick County Tax Map Number 54
A-36, zoned M-1, and more fully described as:
Lease Building Three, Fort Collier Industrial Park,
fronting on Brooke Road, and being part of the property
conveyed to Fort Collier by deed of James L. McIlvaine,Sr.,
et als, dated September 18, 1991, of record in Deed Book 766,
Page 73, among the same land records (hereinafter the "Fort,
Collier Property"); and
WHEREAS, Section 165-37 of the Zoning Ordinance as contained
in the Code of the County of Frederick, Virginia ("the Zoning
Ordinance"), establishes certain requirements for buffers and
screening, with particular attention to adjoining lands in
different zoning districts; and
WHEREAS, Section 165-37D(8) of the Zoning Ordinance, adopted
by Frederick County on June 12, 1996, permits adjoining owners of
properties in different zoning districts to establish corimon shared!
buffers; and
WHEREAS, the parties have agreed to cooperate in establishing
such a common shared buffer for the mutual benefit of their

screening, with particular attention to adjoining lands in
different zoning districts; and
WHEREAS, Section 165-37D(8) of the Zoning Ordinance, adopted
by Frederick County on June 12, 1996, permits adjoining owners of
properties in different zoning districts to establish common shared
buffers; and
WHEREAS, the parties have agreed to cooperate in establishing
such a common shared buffer for the mutual benefit of their
properties, and wish now to memorialize that agreement,
NOW THEREFORE, for and in consideration of the mutual promises
herein exchanged, and the sum of ten dollars ($10.00) by each party
paid to the other, receipt of which each party hereby acknowledges,
the parties agree and take action as follows:
1. Fort Collier hereby grants and conveys to Arcadia an
easement fifty feet in width over the Fort Collier Property and
along its boundary with the Arcadia Property, the location of said
easement being more fully described as Easement "A" on that certain
plat of H. Bruce Edens, certified land surveyor, dated July 1,
1996, which plat is attached as Exhibit 1 hereto and incorporated
herein. The easement is granted for purposes as described below.
2. Arcadia grants to Fort Collier an easement fifty feet in
width, over the Arcadia Property, and along its boundary with the
Fort Collier property, such easement being more fully described as
Easement "B" on Exhibit 1 hereto. This easement is granted for
purposes as described below.
3. The purpose of both easements herein created is to create
a zoning district buffer as that term is used in Section 165-37 of
the Zoning Ordinance. In addition to granting the easements above
the parties undertake as follows:
a. Fort Collier agrees to provide, construct, plant,
and maintain on Easement "A", at its sole expense, all such berms,
plantings and other improvements as may be required on Easement "A"
for the creation of such a buffer. BI( 8 6 3 PG .14 543
b. Arcadia agrees to maintain on Easement "B", at its)
sole expense, all such existing vegetation as may be required on
Easement "B" to achieve the function of a full screen as those)
terms are used and understood in Section 165-37 of the Zoning)
Ordinance.
4. Should the Zoning Ordinance, or the zoning of either
parcel, change so that a common shared buffer becomes unnecessary,
or so that the burden thereof may be reduced without harm to either
owner, the parties agree in good faith to meet and consider a
modification agreement for that purpose.
5. The obligations contained herein shall be binding on Fort
Collier and Arcadia, their successors and assigns. The burdens
herein created shall run with each parcel, for the benefit of the)
other parcel, in perpetuity.
Arcadia represents that nothing in the corporate documents of
Arcadia requires shareholder or other approval of this transaction.)
Fort Collier represents that nothing in the organizational)
documents of Fort Collier requires membership or other approval of
this transaction.
