The purchase price for the Grantor's repurchase from the Grantee shall equal the purchase price herein increased by a factor of 5.0% per annum, compounded annually and computed pro rata for any portion of a one (1) year period from the date of closing on the property herein conveyed to the date of closing on such repurchase. Grantee shall be required to convey title to the Repurchase Property by General Warranty Deed with covenant of further assurances and, subject to the conditions and provisions hereinafter, with no liens, encumbrances, restrictions or other exceptions to title other than, such exceptions existing as of the date of this deed. At closing on such repurchase, Grantee shall be responsible for payment of the "Grantor's Tax" on such reconveyance and Grantor shall pay all other recordation and transfer taxes imposed upon such reconveyance. In particular, the parties acknowledge Grantor's requirement of paragraph 5 requiring cooperation with regard to obtaining industrial access roads approval fi-om the State and local governmental authorities and Grantee agrees to render the cooperation set forth in the aforesaid contract and; Grantee acknowledges that the development plan previously submitted for the site will be modified and that therefore the Grantor's acceptance of that plan has been withdrawn and that any new plan will need to be submitted to Grantor for approval. In addition, the Grantee acknowledges that Grantor may develop a new development plan including building and landscaping for Grantee's property and the development as a whole. Grantee agrees to execute whatever reasonable documentation submitted by Grantor to effect said new development. Grantee further acknowledges that before any construction and/or landscaping takes place on the property, that it shall first be approved in writing by Grantor or Grantor's successors or assigns before any work may commence on the property.
