DEED OF JOINT INGRESS AND EGRESS EASEMENT made and dated this 11"'
day of April, 2007 by and between GASMART, INC., a Maryland corporation, ("Gasmart"),
party of the first part, and HIGH UP DAIRY MART, INCORPORATED, a Virginia
corporation, ("High Up Dairy Mart"), party of the second part.
RECITALS
WHEREAS, Gasmart, Inc. is the owner of a certain tract or parcel of land, lying and
being situate in Frederick County, Virginia, and designated as Frederick County Tax Map 55-A-
37, and being the same land conveyed to Gasmart, Inc. by Instrument No. 05-0029563 dated
December 19, 2005, by Instrument No. 06-0003618 dated February 9, 2006, and by Instrument
No. 06-0017806 dated September 18, 2006; and,
WHEREAS, High Up Dairy Mart is the owner of a contiguous and adjacent tract of land
designated Frederick County Tax Map 55I3-2-1-A, and being the same land conveyed to High
Up Dairy Mart, Incorporated by Instrument No. 07-0003563 dated March 2, 2007; and,
WHEREAS, Gasmart and High Up Dairy Mart desire to provide for a joint entrance to
be used by each and to provide cross easements, each to the other, in connection with the joint
entrance and which cross easement is shown on the plat of survey drawn by Ernest S. Holzworth,
L.S., dated April 10, 2007 attached hereto and by this reference made a part hereof as if set out in
full.
NOW, THEREFORE, in consideration of the benefits to accrue thereby, the parties
agree as follows:
1. That the recitals hereinabove are a substantive part of this Agreement.
2. High Up Dairy Mart, Incorporated does hereby grant and convey unto Gasmart,
Inc., an appurtenant, non-exclusive easement for ingress and egress over the

northwestern corner of the property of High Up Dairy Mart, Incorporated as
shown on the plat of survey drawn by Ernest S. Holzworth, L.S., dated April 10,
2007 and by this reference made a part hereof as if set out in full.
3. That Gasmart, Inc. does hereby grant to High Up Dairy Mart, Incorporated a joint
non-exclusive appurtenant easement for ingress and egress over the northeastern
corner of its land as shown on the aforesaid plat or survey drawn by Ernest S.
Holzworth, L.S., dated April 10, 2007 and by this reference made a part hereof as
if set out in full.
4. The cross easements hereby granted, each to the other, shall be jointly maintained
by Gasmart and High Up Dairy Mart, each of which shall share equally in the cost
of said maintenance. Further, Gasmart and High Up Dairy Mart agree to not
obstruct the joint ingress/egress easement as shown on the attached plat so that
each party shall have unobstructed ingress and egress for each of their respective
properties over said joint ingress/egress easement.

This is to acknowledge receipt of your revised plans with latest revisions dated 3/22/07 for the
referenced project. The plans appear satisfactory and are approved. Please advise .the developer
accordingly. Please provide 6 sets of approved coastnwtiiwn puns with sigaed seal fot VDOT
distribution.
I offer the following comments:
• A preconstruction conference be held by the engineer and/or developer with the attendawe of the
contractor, various County agencies and VDOT prior to initiation of work.
• Materials used and method of construction shall apply to current observed VDOT Road & $ridge
Specifications applicable during construction of this development.
• Our review and comments are general in nature. Should conditions in the field exist such that
additional measures are warranted, such measures shall be completed to the satisfaction' of the
Department.
• All drainage is to be carried within the right-of-way in ditch lines or gutters along the street to a pipe
or drainage easement.
• The contractor shall notify VDOT when work is to. begin or cease for any undetermined length of
time. VDOT will also require 48 hours notice for inspections.
• The appropriate land use permits shall be obtained before any work is performed on the., State's
right-of-way. The permit is issued by this office and will require a minimum processing fee, surety
bond coverage, and the salary & expenses of a State assigned Inspector.
• Any signs to be installed will be in accordance with the Manual on Uniform Traffic Control Devices
(MUTCD) and the approved plans.
• I suggest any utilities and/or storm sewer placed within the VDOT fight -of 'WaY be backElled
completely with CK Type 121-P Stone. This will greatly reduce the possibilityof any. pavement
settlement.
• No recorded plats of dedication for drainage easements or additional right-of-way appear to be
required for implementation of this proposed project.

Dear Eric:
Planning Staff has reviewed the above -referenced site plan to determine if administrative approval can be
granted. At this time, administrative approval cannot be granted. This site plan is denied until the issues in
this letter, as well as all issues of the other review agencies, have been adequately addressed. Please review
Staffs comments listed below and then prepare a revised site plan which adequately addresses each concern.
Review Comments:
1) Signature Blocks. A signature block needs to be provided for the Zoning Administrator.
2) Entrance. An easement for the shared entrance needs to be created/recorded before the site plan can
be approved.
