The above referenced site plan was approved on March 11, 2010. The site plan is
approved for a sand mine operation per Conditional Use Permit 406-07, located at 450
Brill Road in the Back Creek Magisterial District.
All requirements of the Frederick County Zoning Ordinance have been met in the
approved site plan, including review agency comments from all relevant review agencies.
I am providing you with six copies of the approved site plan. Please forward these copies
to the appropriate representative(s). Furthermore, advise the owner(s) that a copy should
be kept for future reference, and an approved copy must be kept on the construction site
throughout the development process. Once site development is complete, the owner(s)
should contact this office to schedule an on -site inspection. Do not hesitate to contact me
if you have any questions or concerns.

Dear Ben:
Thank you for your letter of April 10 and for forwarding the materials concerning the
lease of the sand mine property from the Brills to Mundy Sand. I have now reviewed the
materials, in the context of the issue concerning the power of attorney requested by the County.
For the reasons that I state here, I am unable to find a basis for the County to conclude that the
County may do anything other than require a power of attorney from the owner of the parcel.
First, I note that, with particular respect to an action such as approval of a site plan, the
inherent nature of a site plan, which will govern all subsequent improvements and construction
on the subject property, see County Code § 165-147(A) ("All improvements and construction on
the site shall conform with the approved site plan and the requirements of the Frederick County
Code."), is such that the County practically could not require anything less than the property
owner's acknowledgement. The rights of a tenant certainly do not rise to the level of those of a
landlord in terms of making such fundamental changes to the more permanent legal
characteristics of a property, even when a lease gives the tenant the right to build structures on
the property. Therefore, if the property owner is not signing the site plan application directly, a
power of attorney from the owner is necessary.
Beyond that, as I indicated when we spoke concerning the matter, the County simply
cannot accept the responsibility for making an interpretation of particular documents between
private parties, to the extent that there could be a scenario, in the context of a lease, in which a
landlord could even contract away such fundamental rights with respect to his property. Along
these lines, I note, as to the documents you have provided, that they are in fact demonstrably
ambiguous. You note that the lease document gives the tenant the right to construct buildings
and other structures as the tenant deems necessary and proper, but I note that, in section 8(G) of
the Agreement for the Sale of Leasehold Interests, the parties deemed it necessary for the
landlord to give affirmative consent for the tenant to seek a conditional use permit.

In addition, as I also noted before, the County has no means of ascertaining the validity of
various documents that may or may not vest one party with some particular authority. A power
of attorney, on the other hand, is a document that bears an express and unequivocal purpose and
direction. Practice usually permits a party to which a power of attorney is tendered to rely upon
it, until the party receives actual notice that it is not, or no longer is, valid.
Finally, I note that you ask regarding the time frame for site plan finalization and request
that the County refrain from issuing a notice of termination of the conditional use permit for the
property. As to these matters, I believe that it is more appropriate that I defer to Mark Cheran, as
Zoning Administrator, to address how the County intends to proceed further with these matters.
Again, I thank you for your letter and the accompanying materials. I appreciate having
had the opportunity to examine matters further.
