A VDOT review has been completed on the final plat dated November 4, 2005 for the referenced
project. The plat appears to reflect the information shown on the approved project plans and is
therefore approved by this letter.
The application for subdivision of this property appears to have a measurable impact on Route
1322, Fort Collier Road, the VDOT facility which would provide access to the property. Before
development, this office will require a complete set of construction plans for review. Entrances
will have to be constructed to VDOT standards to allow for safe egress and ingress of the
property.
We are returning three (3) signed copies of the plat to your office, one copy is being retained for
our work file. Please provide one copy of the plat of dedication fully signed and
recorded at the appropriate County Clerk's Office prior to the issuance of any land use
permit from VDOT.

The accompanying plat represents a division survey of a portion of the land conveyed to Fort Collier
Group, L.C. by deed dated September 18, 1991 of record in the Frederick County Circuit Court Clerk's
Office in Deed Book 766 at Page 73. The said land fronts the southeastern boundary of Fort Collier Road
(Va. Route 1322) about 820 feet(') south of its intersection with Brooke Road (Va. Route 1328 & 1322) in
Stonewall Magisterial District, Frederick County, Virginia and is more particularly bounded as follows:

Beginning at a %" iron rebar found on curve in the southeastern boundary of Fort Collier Road, corner
to the County of Clarke, County of Frederick, and City of Winchester Land (Regional Detention Center);
thence with said Detention Center for the following three courses:

DECLARATION OF PROTECTIVE COVENANTS
OF FORT COLLIER INDUSTRIAL PARK
FREDERICK COUNTY, VIRGINIA
THIS DECLARATION OF PROTECTIVE COVENANTS is made as of
April 9, 1990, by James L. McIlvaine, Sr., homme soles Corridor
Ridge Partnership, a Virginia General Partnerships Showy Realty
Company, a Virginia Limited Partnerships and James L. McIlvaine,
Jr., Trustee under the Rebecca Claire McIlvaine Trust dated May 5,
19761 James L. McIlvaine, Jr., Trustee under the Jennifer Lynn
McIlvaine Trust dated December 13., 1969; James L. McIlvaine, Jr.,
Trustee under the Michael Joshua Durfee Trust dated June 1, 1970;
James L. McIlvaine, Jr., Trustee under the Mark M. Durfee Trust #2
dated January 1, 1989; James L. McIlvaine, Jr., Trustee under the
Mary Shannon McIlvaine Trust #2 dated January 1, 1989; and James
L. McIlvaine, Jr., Trustee under the Kirsten Campbell Durfee Trust
#2 dated January 11 1989 (hereinafter "Declarant");
WHEREAS, Declarant acquired a certain 333.1423 acres of land
situated in Stonewall Magisterial District, Frederick County,
Virginia, by a deed dated February 9, 1989 and recorded in Deed
Book 705 at Page 433 among the land records of Frederick County,
Virginias and
Cj WHEREAS, Declarant is desirous of establishing protective
P. covenants to be imposed upon a certain 44.974 acres, being a part
of that land hereinabove referenced, the said 44.974 acres being
{ composed of three parcels of land, containing (1) 30.184 acres,
(2) 3.787 acres, and (3) 11.003 acres (the said three parcels of
land collectively hereinafter called "Land'); Parcels (1) and (2)
are more particularly described on the attached Schedules "A" &
"B" and shown on the plat attached as Exhibit "C", and Parcel (3)
is more particularly described on the attached Schedule "D" and
shown on the plat attached as Exhibit "E", and
WHEREAS, Declarant wishes to provide for the development,
enhancement and maintenance of all of the Land as a business and
`ev industrial center in a way which will protect property values and
R assure an harmonious and aesthetically pleasing mixture of office,
commercial, industrial and open space uses and
WHEREAS, Fort Collier Group Partnership, a Virginia Limited
Partnership, heretofore having leased certain of the Land from the
Declarants, is desirous and willing to subordinate its leasehold
in
to the herein Declaration of Protective Covenants, as
evidenced by its joinder in this Declarations
NOW THEREFORE this Declaration

W I T N E S S E T H:
That Declarant does hereby declare that the Land, as
described in Schedules "A", "B" and "D", and as shown on the
attached plats, and any additional property which may hereafter be
subjected to this Declaration by Declarant or its successor(s) in
interest, shall be held, transferred, sold and conveyed subject to
the covenants, restrictions, easements, charges and liens herein-
after set forth. This Declaration shall run with the Land and
every part thereof and shall be binding upon and shall inure to
the benefit of all owners, lessees, licensees, tenants, and occu-
pants of any part of the Land and their successors and assigns.
ARTICLE I
USES, PERMITTED AND PROHIBITED
1.01. Notwithstanding approval by any public agency, no use
of any part of the Land shall be permitted which gives rise to, or
is likely to give rise to, noxious or offensive odors, smoke,
vapor, dust, i.oise or vibration.
1.02. No asphalt plant, concrete hatching pliant, automobile
salvage yard, automobile graveyard, tire recapping establishment,
fuel tank farm, or stock yard shall be permitted upon any part of
the Land.
1.03. No hazardous waste or substance shall be deposited,
disposed of, or allowed to enter into any storm or sanitary sewer
serving the Land. Moreover, no hazardous waste or substance shall
be generated, stored or disposed of on any part of the Land.
1.04. Bujj dings. No building wall exterior shall be con-
structed of wood or metal, and no such wall exterior, if clearly
visible from any street, shall be constructed of standard concrete
block or cinder block. Construction of such wall exteriors with
decorative block is permitted, and trim may be constructed of wood
or metal. Additionally, metal accent walls or roofs, such as
metal mansard roofs, are permitted.
1.05. Maintenance Resvouesibilities. Owners and occupants of
any lot or other part of•the Land shall, Jointly and severally,
have the duty and responsibility, at their sole cost and expense,
to keep that part of the Land so owned or occupied, including
buildings, parking structures, grounds, landscaping and all other
improvements in connection therewith, in a well -maintained, safe,
clean and attractive condition at all times. Such maintenance
includes, but is not limited to, the following: Removing litter
and trash from the grounds; mowing of lawns and, if the lot is
unimproved, weeds must be cut below twenty-four (24) inches; prun-
ing of trees and shrubbery; watering and fertilizing; keeping lawn

and landscaped areas alive, and free of weeds; keeping parking
areas, driveways and roads in good repair, including but not
limited to striping and sealing; keeping site irrigation and
drainage systems in good repair; removing snow and ice from walks,
driveways and parking areas; keeping exterior signs and lighting
in good repair and working order; keeping mechanical facilities in
working order; complying with all governmental, health, police and
fire requirements, statutes and regulations; and painting of all
exterior painted surfaces shall be done at least every five (5)
years, unless a waiver is obtained from the Board of Review. In
addition, e,treets affording access to an owner's lot shall be
cleaned by such owner whenever construction activity into and out
of the lot renders such streets in need of cleaning in order to
keep their neat and attractive appearance.
1.06. Rubbish and Debris. No rubbish or debris of any kind
shall be kept or allowed to accumulate on any part of the Land
except in approved waste containers or dumpsters kept in locations
approved by the Board of Review, totally screened from the view of
adjacent property and from streets.
1.07. Communications Facilities. No communications towers,
satellite earth stations or exterior radio or television antennas
shall be placed upon any part of the Land without the written
approval of the Board of Review.
1.08. outside storage. No outside storage of any type will
be permitted without the written approval of the Board of Review,
in which case such storage shall be totally screened from the view
of adjacent property and from streets.
1.09. Parking. At all times, the owner of each individual
lot or building site within the Land shall provide adequate auto-
mobile and truck parking (not less than required by the Zoning
Ordinance of the local government having jurisdiction) on such
Owner's Lot or building site for the parking needs of its employ-
ees, visitors and company vehicles. Vehicular parking on any
public street within, adjacent to, or near the Land is expressly
Prohibited. Each owner or occupant shall use its best efforts to
prevent its employees, lessees, agents, customers and visitors
from parking on any street within Fort Collier Industrial Park.
If any owner or occupant of a lot or building site within the Land
shall persistently park or allow its employees, lessees, agents,
customers or visitors to park after written notice from the
Declarant that such use is in violation of this Declaration, the
Declarant shall have the right to assess a charge for each day
each vehicle is parked on a street in the amount of $25.00. Such
charge, together with the expense of collection, shall be payable
by the owner of the lot to which the violator is attributed, it
being the responsibility of the owner to enforce the parking
restriction. Further, the Declarant shall have the right to cause

1.10. signs. All signs shall be uniform and consistent as
to size, color, design and placement. Free standing signs shall
not be permitted, except for directional and directory signs.
Written approval of the Board of Review shall be required for all
signs as to size, location, design, materials and text. Flashing
or moving signs shall be prohibited.
1.11. Reservation of Utility F.aseZents. Declarant hereby
reserves and retains an easement 20-feet wide contiguous to each
boundary line of each lot or building site which now is or here-
after may be established, and wholly within each such lot or
building site, each easement being for the installation and
maintenance of storm or sanitary sewer lines, water lines,
electric lines (both above -ground and underground), telephone and
cable TV lines, gas lines and such other utility lines as may be
desirable. Declarant shall have the right to grant and assign

benefits of any such easement to any electric company, gasP t
ny, telephone company, cable television company, the governing
body of Frederick County or any county, city or town having juris-
diction over the Land and any authority or public utility of the
Commonwealth of Virginia created for the purpose of installing,
operating and maintaining utility lines. It is provided, however,
that the person directing the entry upon any such easement shall
restore said Land at such person's expense to as nearly as practi-
cable the condition existing prior to the entry, installation or
maintenance. Such restoration shall include the backfilling of
trenches, replacement of fences, the resodding of lawns and the
replacement of shrubbery, but not the replacement of natural
obstructions. No conveyance by Declarant of any portion of its
Land shall be deemed to be or construed to be a conveyance or
release of the right to create the easements herein reserved, even
though such conveyance purports to convey Declarant's interest in
fee simple.
1.12. Non-residential Usei_RgX9Mjjlg. No owner, contract
purchaser, or occupant of any lot or portion of the Land shall
apply for rezoning or change of proffers for any part of the Land
without the prior written consent of the Declarant, and such
consent may be granted or withheld in the Declarant's sole and
absolute discretion. All portions of the Land are restricted to
non-residential uses.
ARTICLE II
BOARD OF REVIEW; ASSESSMENTS; REMEDIES
2.01. The Declarant shall appoint a Board of Review con-
sisting of not fewer than three (3) persons nor more than five (5)

persons, of whom at least one shall be a land planner, architect,
land surveyor or landscape architect ("the Board of Review"). The
Board of Review shall have the power to review, and, by a majority
action, to approve or disapprove, or approve with conditions, all
plans for development or construction within the Land in accord-
ance with the procedures set forth in Article III of this Declara-
tion. The Board of Review also shall have those other duties and
responsibilities as are elsewhere specified in this Declaration.
2.02. Annual General Assessments. The Declarant hereby
covenants and declares that each owner of a lot or other parcel in
the Land, by acceptance of a deed of a lot or other parcel within
the Land, shall be deemed to covenant and agree to pay an annual
general assessment to the Users Association, in the event such
Association hereafter shall be established pursuant to Article IV
hereof and in the further event the Association thereafter shall
determine to establish an annual general assessment.
2.03. special Assessments. The Declarant hereby covenants
and declares that each owner of a lot or other parcel in the Land,
by acceptance of a deed of a lot or other parcel within the Land,
shall be deemed to covenant and agree to pay to the Declarant, and
the Declarant is hereby authorized to levy against an individual
owner of a Lot or other parcel within the Land, a special assess-
ment for the costs incurred by the Declarant in bringing such lot
into compliance with the provisions of this Declaration.
2.04. Liability for Assessments. The annual general assess-
ments, in the event a Users Association hereafter shall be estab-
lished pursuant to Article IV, and the special assessments against
individual lots or parcels of land, together with interest and
costs of collection, shall be a charge on the Land and improve-
menta and shall be a continuing lien upon the lot or parcel of
land against which each such assessment is made. Each such
assessment, together with interest and the costs of collection,
shall also be the personal obligation of the person(s) who was the
owner of the lot or parcel of land when the assessment fell due.
2.05. Remedies of the Declarant in the Event of Default. If
any interest or charge is not paid within 30 days after the due
date, the assessment or charge shall bear interest from due date
at twelve percent (121) per annum. In the event the assessment or
charge is not paid within sixty (60) days from the duct date the
Declarant may, after ten (10) days written notice, file a written
notice of lien among the land records to evidence the lien upon
the lot against which such assessment or charge was made. Such
notice of lien shall be signed by the Declarant, or an agent
therefor, and shall be recorded among the land records of
Frederick County (or successor political subdivision). The
Declarant may also bring actions at law or in equity for the
enforcement of liens and the collection of arrears.

2.06. Preventive Remedies_. The Declarant, or any owner of
a lot or parcel of land within Fort Collier Industrial Park, may
proceed at law or in equity to prevent or abate the violation of
the provisions of this Declaration.
2.07. Right of Inspection. During normal business hours and
subject to reasonable security requirements the Declarant, or its
successors, and its agents shall have the right to enter any part
of the Land, and any building thereon, for the purpose of ascer-
taining whether this Declaration has been or is being complied
with. Any such entry shall be deemed by permission and neither
the Declarant nor any member or agent or employee thereof shall be
deemed liable for any manner of trespass.
2.08. Right of Entry for Enforcement. The Declarant and its
agents shall have the right, upon reasonable notice, at any time
and from time to time following violation or breach of this
Declaration, (a) to enter upon the lot or parcel of land upon or
as to which said violation or breach exists and summarily to abate
and remove, at the expense of the owner thereof, any structure,
object or condition that may be or may exist there contrary to the
intent and meaning of this Declaration (including, without in any
way limiting the generality of the foregoing, the care and main-
tenance of landscaping and lawns, care and maintenance of improve-
ments, removal of trash and debris, removal of dirt from streets
and parking areas resulting from construction activity, abatement
of nuisances, removal or relocation of signs, etc.) and/or (b) to
institute a proceeding at law or in equity against the persons who
have violated or are attempting to violate any of the provisions
of this Declaration, to enjoin or prevent them from doing so, to
cause said violation to be remedied and/or to recover damages for
said violation. In the event, pursuant to this paragraph, the
Declarant or its duly authorized agents enter upon any lot for the
purpose of abating or removing any violation or breach of this
Declaration, neither the person entering nor the person directing
the entry shall be deemed liable for any manner of trespass for
such action, and the owner of such lot or parcel of land shall
promptly reimburse the Declarant for the cost thereof. Payment of
such amount shall be secured by a lien against the property and
improvements of such owner, which lien may be foreclosed and/or
enforced in any manner available at law or in equity. However, as
provided in Section 2.14, such lien shall be inferior to any
first- or second -deed of trust lien made in good faith and for
value, provided further, hc,ever, that such lien shall not be
inferior to any blanket deed of trust lien (whereby other lots or
properties, either within the Land or elsewhere, are also encum-
bered by and within the same deed of trust). If such amount is
not paid in full within thirty (30) days after such owner is
billed therefor by the Declarant, then the Declarant may institute
appropriate action to enforce the collection of such amount,
together with interest from the due date at the rate of 12% per

annum. All rights and remedies of the Declarant under Sections
2.02 through.2.14 of this Article II are optional and not
obligatory, and shall not impose any duty or obligation on the
Declarant.
2.09. Cumulative gemedies. The remedies hereby specified
are cumulative, and this specification shall not be deemed to
preclude any aggrieved person's resort to any other remedy pro-
vided hereunder or at law, in equity or under any sta;:ute.
2.10. Non -Waiver. No delay or failure on the part of an
aggrieved party to invoke any available remedy in respect to a
violation of any provision of this Declaration shall be held to be
a waiver by the person of (or an estoppel of that person to
assert) any right available to him upon recurrence or continuance
of said violation or the occurrence of a different violation, nor
shall there be imposed upon Declarant, or its successors, a duty
to take any action to enforce this Declaration.
2.11. A@gignment of Right and Dutieq. Any and all of the
rights, powers and reservations of Declarant herein contained may
be specifically assigned by Declarant to any person, and upon any
such person consenting in writing to accept such assignment and
assume such rights, powers and duties, he shall, to the extent of
such assignment, have the same rights and powers and be subject to
the sane obligations and duties as are given to and assumed by
Declarants herein. No conveyance by Declarant of any part of the
Land or any interest therein shall be deemed to be, or construed
as, an assignment of any right or power reserved herein to
Declarant, unless said right, power or reservation is specifically
transferred or assigned by Declarant. The term Declarant as used
herein includes all such assignees, who are specifically assigned
said rights, powers and reservations, and their successors and
assigns. Any assignment or appointment made under this section
shall be in recordable form and shall be recorded among the
appropriate land records.
2.12. Constructive Notice. Each owner, lessee, licensee and
occupant, by acceptance of a deed conveying title to a part of the
land, or the execution of a contract for the purchase thereof, or
the acceptance of a lease or license therefor, or the taking pos-
session thereof, whether from Declarant or other owner or lessee,
ah&ll accept such deed, contract, lease, license or possession
upon and subject to each and all of the provisions of this Declar-
ation, and also the jurisdiction, rights and powers of Declarant
and its successors and assigns, and by such acceptance shall for
himself, his heirs, personal representatives, successors and
assigns, covenant, consent and agree to -and with Declarant, its
successors and assigns, and to and with the other Owners and lea -
sees to keep, observe, comply with and perform the requirements of
this Declaration, whether or not any reference to this Declaration

is contained in the instrument by which such person acquired said
interest. Every person who now or hereafter owns or acquires any
rights, title, or interest in or to any portion of the Land is and
shall be conclusively deemed to have consented and agreed to the
provisions of this Declaration, whether or not any reference to
this Declaration is contained in the instrument by which such per-
son acquired an interest in said real property. Notwithstanding
the foregoing, owners, lessees, licensees, and occupants agree to
refer to this Declaration in deeds, leases and licenses covering
any portion of the Land and to make this Declaration binding upon
all owners, lessees, licensees and occupants.
2.13. Waiver. Neither Declarant, the Board of Review, nor
any individual or member thereof, nor their successors or assigns
shall be liable for damages to any owner, lessee, licensee, or
occupant of a portion of the Land by reason of any mistake in
judgment, negligence, nonfeasance, action or inaction in the
administration of the provisions of this Declaration or for the
enforcement or failure to enforce this Declaration or any part
thereof] and every owner, lessee, licensee or occupant, by acquir-
ing an interest in the Land, agrees that he will not bring any
action or suit against Declarant, Declarant's successors or
assigns, or the Board of Review or any member thereof, or the
board of directors of the Association (if same hereafter shall be
created pursuant to Article IV) or any member thereof, from time
to time, to recover any such damages on account of their enforce-
ment or non -enforcement of this Declaration.
2.14. ,Subordination to Mortgages and Deeds of Trust. Liens
or charges resulting from general and special assessments permit-
ted hereby shall be subordinate to the liens of first- and second -
deeds of trust placed for the purpose of financing and refinancing
buildings and improvements upon any portion of the Land; it is
further provided, however, that any such assessment lien shall not
be subordinate to any blanket deed of trust lien (wherein other
lots or properties, either within the Land or elsewhere, are also
encumbered by and within a common deed of. trust). The sale or
transfer of any lot pursuant to a foreclosure shall extinguish the
lien of assessments and charges which become due prior to such
sale or transfer. However, sale or transfer of any lot other than
by foreclosure shall not affect any assessment lien, and no sale
or transfer by foreclosure or otherwise shall relieve the grantee
from liability for any assessments or charges which thereafter
become due or from the lien thereof.
ARTICLE III
PLAN APPROVAL PROCEDURES
3.01. Pr0,liminary submission. Prior to the commencement of
any clearing, grading or construction, the owner or his designated

representative shall submit to the Board of Review three (3)
copies of a preliminary plan in accordance with development guide-
lines provided by the Board of Review setting forth the following:
(a). A master plan for full development of the lot or
parcel of land;
,b). A site plan and schematic design of the area
proposed for immediate development showing:
(1). Location of all structures, easements, street
rights -of -way, and setback lines;
(2). Location of all walks, parking areas, off-
street loading areas, driveways and outside storage
areas;
(3). Location of all landscaping features and
existing trees to be preserved, and limits of clearing
and grading;
(4). Site coverage data and calculations;
(5). Parking data and calculations, including base
data for projected needs;
(6). Site drainage plans, data and calculations;
and
(7). A grading plan showing existing and proposed
contours at two (2) foot or lesser intervals, and
including spot elevations at appropriate locations.
(c). Architectural building elevation drawings of each
building face;
(d). Building materials and color information, with
samples if available;
(e). Description of the proposed use or uses; and
(f). Satisfactory evidence that the proposed plan is in
conformity with all applicable governmental ordinances.
Within not more than twenty-one (21) days following delivery
of owner's submission to a representative of the Board of Review,
the Board shall review the submission in a meeting at which the
owner or owner's representative shall be entitled to be present,
and within ten (10) days following the conclusion of the meeting
the Board small provide the owner or owner's representative a
written approval, approval with conditions, or disapproval.
3.02. Final Submission. Following approval of a Preliminary
Submission and prior to commencement of any clearing, grading or
construction the owner or his designated representative shall sub-
mit to the Board of Review three (3) copies of all site plans and
related plans, applications for permits, construction drawings and
specifications and other drawings submitted for governmental
approval. In addition to the information required for the Preli-
minary Submission, the Final Submission shall include:
(a). Location of all walks, driveways anti curbs;
(b). Layout and location of all parking areas,
including location and dimension of all spaces, circulation
aisles, landscaping, curbs and wheel -bumpers;

(c). Layout and location of all off-street loading
areas;
(d). Layout and location of all outside storage areas
(if any), including identification and
size
mof the dimensions to be stored, and the location, type
all
fencing and screening;
(e). Location, height, intensity and fixture type of
all exterior lighting; of all pipes, lines,
(f). Location, Size and type
conduits, and appurtenant equipment and facilities for the
transmission of sanitary sewage, drainage and storm water,
potable water, and other utility services;
(g). Location, size and type of all fencing;
(h). Final building construction drawings, including
architectural, structural, electrical, mechanical and plumb-
ing plans]
W . Design of temporary construction sign;
(j). Design and location of permanent sign; and
(k). Such other data as may be specified in the
Development Guidelines.
3.03. ii2 Use Prior to Approval. No building, structure or
improvement of any kind shall be commenced, installed, orected,
placed, assembled, altered, occupied or permitted to remain on any
lot, nor shall any use be commenced on any lot, unless and until
the Final Submission for the same (including a description of the
proposed use) has been submitted to, and reviewed and approved by
the Board of Review in accordance with this Article III. No owner

3.04. Presumption of Compliance. Upon approval by the Board
of Review of a Final Submission for any Lot, subject only to con-
ditions contained in the approval, all development shown on the
Final Submission shall be deemed to comply with the requirements
of this Declaration. If the Board of Review, after having
reviewed and approved a Preliminary Submission, shall fail to
respond to a Final SubmissiorL within twenty-one (21) days after
receipt thereof, the Final Submission shall be deemed approved.
3.05. App i abi>;*v tO Declar=. Anything contained herein
to the contrary notwithstanding, the provisions of this Article
III shall not apply to any work performed by Declarant for market-
ing, beautification or street purposes, or for installing roads
and utilities, or for any work performed by Declarant in develop-
ing the Land as an industrial park, or for any buildings or other
improvements heretofore or hereafter constructed by the Declarant
or on any of the land or property owned by the Declarant.

USERS ASSOCIATION
4.01. Declarant hereby expressly reserves the right to here-
after establish or create a non -stock, non-profit association to
be known as Fort Collier Industrial Park Users Association, or a
similar name (the "Association"). The purpose of such Association
may include, but not be limited to, the provision of maintenance
of common areas, open spaces, ponds, storm drainage facilities,
walkways, streets, landscaping, signs, street lights, and recrea-
tion amenities, and the obtaining of any insurance deemed appro-
priate, and the provision of administration of the responsibili-
ties associated with the Association, including the payment of
real estate taxes on any common area, staff salaries, and the
coats of operating the Association. The Declarant: also hereby
reserves the express right, at any time following the establish-
ment of the Association, to assign such of its rights, powers and
duties as it may elect to the Association, and the Association
thereupon shall be deemed to have automatically accepted such
assignment without the requirement for any action to be taken by
the Association as to such assignment. If any such Association
shall be established in the future, among other provisions, its
organizational documents shall provide that membership in the
Association of all owners of lots and properties within the Land
shall be compulsory and that payment of assessments shall be
mandatory.
ARTICLE V
DURATION, MODIFICATION AND REPEAL
5.01. Duration. This Declaration shall continue and remain
in full force and effect at all times with respect to the Land and
each part thereof (subject, however, to the right to amend, vacate
and repeal as provided for herein) for a period of twenty (20)
years from the date of recordation of the Declaration among the
land records of Frederick County, Virginia, and shall be automat-
ically extended thereafter for successive periods of ten (10)
years each, subject to termination as provided below.
5.02. Termination and Modification_. This Declaration, or
any provision hereof, may be terminated, modified or amended, or
this Declaration may be vacated as to a portion of the Land or may
be expanded to incorporate additional real property within the
area defined as the Land, with the written consent of the owners
of at least sixty percent (60%) of the area of the Land (excluding
streets, common areas and identified open apace), which written

Met with Lou Boyer (Landscaping), Eric Lawrence and Candice Perkins from the county at the site Friday 3/25 to
reviewing the final landscaping.
It was noted that the Sugar Maples (72) at the Category "C" Buffer (SE) on the back of the pond had been
substituted with 72 Forsythia 4' (Forsythia x intermedia). After discussing and talking this through with Eric and
Candice it was determined that we could leave the forsythia if we provided the following.
1) As -Built Plan Sheet C-7 showing the 4' Forsythia in place of the Sugar Maple
2) Add Note: That these Forsythia are placed in conjunction with the existing trees and shrubs along the
adjacent properties and discussed on 3/25/05 with the Frederick County's - Eric Lawrence, Candice
Perkins, Boyer Landscaping (Lou) and TUCON Construction (Chris Jenkins).
Please proceed with producing 2 copies of the as -built for the county's file in coordination with the two items
mentioned above. Candice Perkins may also help direct us on any additional comments that the county may want
to see for their use and file. Candice can be reached at 540-665-5651 or cperkins(a co.frederick.va.us .

I spoke with the landscaper and he informed me of the reason the sugar maples
were not used a along the buffer at the Barber & Ross project. Because of the class
of buffer, code only required a four -foot deciduous plant. So the sugar maples were
value engineered out. If you could please let me know if this will meet code and if
there is anyway we can use the plants that are in place now.

In response to your request, please be advised that the above -referenced properties are
approved for manufacturing with an approved site development plan (Site Plan # 41-03).
All permitted uses listed within the M-1 Zoning District may occur on this site. Any
changes to this property will require an updated site plan. I have enclosed a copy of the
allowed uses in the M-1 Zoning District for your refinance.
You may have the right to appeal this zoning determination within thirty (30) days of the
date of this letter in accordance with Section 15.2-2311 of the Code of Virginia. This
decision shall be final and unappealable if it is not appealed within thirty (30) days.
Should you choose to appeal, the appeal must be filed with the Zoning Administrator and
the Board of Zoning Appeals (BZA) in accordance with Article XXI, Section 165-
155A(1) of the Frederick County Zoning Ordinance. This provision requires the
submission of an application form, written statement setting forth the decision being'

This site utilizes a 100' full screen zoning district buffer. The interpretation of the Zoning Ordinance on
plantings for these buffers is that they must be deciduous trees of at least 2" caliper. The approved site
plan for the Barber and Ross site calls for Sugar Maples at a 2.5" caliper. Under general landscaping
notes on sheet C-7 of the plan, 42 states that "specified plant species may be subject to substitution with
the requirement that newly selected species provide the same visual effect and meet with the approval of
Frederick County Planning". The deciduous shrubs provided by your landscaper do not meet the same
visual effect of a Sugar Maple and the substitution was not approved by our department. Since the
deciduous plants provided in the zoning district buffer do not meet what is approved on the plan they
need to be replaced with either a sugar maple or similar tree type approved by our department. If you

The above referenced site plan was approved by staff on February 23, 2004. The site plan is
approved for the construction of a 256,000 square foot manufacturing facility in the Fort Collier
Industrial Park, located within the Stonewall Magisterial District. The site plan meets all
requirements of the Frederick County Zoning and Subdivision Ordinances for development of
property within the M 1 Zoning District.
The site plan includes 339 parking spaces, 28 tractor trailer loading spaces, a 100' zoning buffer with
full screen along the east property line, sidewalks, handicap access, fire hydrants and fire lanes, a
designated outdoor flammable storage area, a diesel fuel tank, four trash compactors, a tractor trailer
parking area, security fencing, a propane tank, curb & gutter, a picnic area for employees, a general
contractor pickup parking area with entrance, two commercial entrances, and the protection of the
existing historical marker.
I am providing you with several copies of the approved site plan. Please forward these copies to the
appropriatg representative(s). Furthermore, advise the owner(s) that a copy should be kept for future
reference, and an approved copy must be kept on the construction site throughout the development
process. Once site development is complete, the owner(s) should contact this office to schedule an

The following represents Triad Engineering, Inc, response to your comments enumerated in your
letter dated December 1, 2003 (attached). We are responding on a point -by -point basis to
correlate with your letter.
1. The landscape screen along the south property line is extended to the property line in
both directions. Please note that there is a small portion at the southeast corner that is
not screened. The reason for this is this area is at the outfall of the storm -water
management basin, and tree plantings will be detrimental to the channel capacities as .he
storm -water flows off the site along Fort Collier Road. (see sheet C-7)
2. The language regarding the showroom and contractor pickup areas is revised. (see note
#6, sheet C-2)
3. All revision dates are shown under the revision block in the upper right-hand corner of
each sheet. Note that revision #2, dated 12-19-03, was submitted to FCSA only.
4. The limited power of attorney form is attached with this submittal.
I have included one copy of the revised site plan (revised 01/16/04, color coded red), for your
review. If you have no further comments, I will send you the required additional sets for final
signatures. We have approvals from all agencies except VDOT, and I anticipate that shortly.

Staff received the submission of the above -referenced site plan on November 24, 2003. This site plan is a
revision of the site plan submitted October 23, 2003. It appears that the majority of Staff's comments were
addressed in the recent revision. However, a few remaining comments need to be addressed before staff can

Surveyor, dated August 4, 2003, attached hereto and by this
reference made a part hereof.
NOW, THEREFORE, WITNESSETH: To effect the above, the
Creator does consent and agree to the lot line adjustment of
said two lots as set forth on the attached plat, which is with
the free consent and in accordance with the desire of the
Creator.
The remainder of the lot designated as "TAX MAP NO. 54-
((A))-36A" shall have a right of way, mostly fifty (50) feet
wide, running from the Southwestern corner of said lot across
the Northern portion of the new Lot 33 to Fort Collier Road, all

Dear Dennie:
Staff received the submission of the above -referenced site plan on November 24, 2003. This site plan is a
revision of the site plan submitted October 23, 2003. It appears that the majority of Staffs comments were
addressed in the recent revision. However, a few remaining comments need to be addressed before staff can
grant administrative approval of the site plan. These comments are listed below.
Review Comments:
1) South Property Lines Zoning Buffer. Please extend the proposed landscape screen along the south
property line to cover the entire property line. It appears that a significant portion at both ends of the
property line are not adequately screened.
2) "Showroom". Based on your previous conversation with staff, the area designated for general
contractor pickup will not be used as a showroom. If this is still the case, please change the language
from showroom to general contractor pickup area under note #6 of C-2.
3) Revision Dates. Please show all revision dates on the site plan.
4) Power of Attorney. Please complete the special limited power of attorney form attached with this letter.
The completion of this form by the property owner and your firm guarantees staff that your firm has the
authorization to represent the property owner. This is a new requirement for all land use applications.
I will need all approved review agency comment sheets and at least five copies of the final plan for approval.
Comment sheets are required from the following agencies: The Frederick County Department of Building
Inspections, The Frederick County Fire Marshal, The Frederick County Department of GIS, The Frederick
County Department of Parks and Recreation, The City of Winchester, The Frederick County Sanitation Authority,

Dear Mr. Camp,
The following represents Triad Engineering, Inc. response to your comments enumerated in your
letter dated November 3, 2003 (attached). We are responding on a point -by -point basis to
correlate with your letter.
1 . The Final Subdivision Plat for the consolidation of parcels 54-A-36A and 54-A-3613 was
recorded on November 6, 2003, and a copy is provided for your records (see attached).
Since the plat only required a property line adjustment, the subject property will keep the
identification information for parcel 54-A-36B.
2. The location map is revised to correctly show the boundaries of the subject parcel (see
sheet C-1).
3. The 75' inactive and 25' active elements of the 100' category "C" zoning buffer are shown
along the south property line (see sheet C-4). A 6'+ earthen berm is also provided for the
full screen (see sheet C-6). The width between rows of trees for this buffer was also
increased from 10' to 20' to aid tree survival (see sheet C-7).
4. The outdoor flammable storage area is labeled, and a 6' high opaque wooden fence is
provided for screening this area from Fort Collier Road and adjoining property (see sheet
C-4 ).
5. Fire code improvements are shown (see sheet C-B) along with the pertinent details tsee
sheets C-15 & C-16).
6. A breakdown of the various building uses is provided (see Note 116, sheet C-2).
7. The width of the travel aisle to the general contractor pickup area is provided (see sheet
C-4).
8. A description of the historical marker is provided (see Note #32, sheet C-2).
9. The general landscaping note is revised per your comment (see Note #1 , sheet C-7).
10. A diverse mixture of trees is used for parking lot landscaping. The additional plant
species were provided after consultation with Boyer Landscapes, Inc. (see sheet C-7).

Staff received the submission of the above -referenced site plan on October 23, 2003. This letter
details staffs' review comments regarding this site plan. Each of the following review comments
must be adequately addressed prior to administrative approval.
Review Comments:
1) Lot Consolidation. The zoning -approved plat for the consolidation of parcels 54-A-36A and
54-A-3613 needs to be recorded. Please record this plat and provide staff with a copy of the
recorded copy. The PIN reference on the site lane would then need to be updated.
2) Location Map. The location map, found on the cover sheet of the site plan, appears to
inaccurately show the boundaries of the subject parcel. Please correct this as necessary.
3) South Property Lines Zoning Buffer. Please show the inactive and active elements of the
required category C zoning buffer along the entire south property line. This is the property line
which adjoins Battlefield Subdivision. Please also provide an opaque screen with the
landscaping. Both of these elements are required for a full screen. It may also be logical to
spread out the required landscaping to provide the best change of survival for the trees. This
would not require any additional trees. Ten feet is the "minimum" width for landscaping screens.
4) Storage Area. There is an area off of the rear loading area labeled storage. Please explain what
will be stored here. Outdoor storage and dumpsters must be appropriately screened from
adjoining properties and roads. Please screen as necessary.
5) Fire Code Improvements. Please show all improvements required by the Frederick County
Fire Marshal. This includes, but is not limited to, fire hydrants, fire lanes, and bollards.

6) Other Uses. Please show the locations of the various uses of the proposed building on the site
plan. This includes any area proposed for manufacturing, offices, showrooms, and accessory
retailing.
7) Width of Travel Aisle To G. C. Pick-up Parking Area. Please label the proposed width of
the travel aisle to the general contractor pick-up area.
8) Historical Marker. Please label on the site plan what the historical marker is marking. Better
access to this marking may also be appropriate.
9) General Landscaping Note #1. Please eliminate everything in note #1 except for "Owner of
Property shall maintain required landscaping in good condition."
10) Tree Selection. Please diversify the species of trees used for parking lot landscaping. Instead
of using all Littleleaf Lindens, please use at least one other species of tree. Redbuds, European
Hornbeams, Green Ash Trees, Golden Rain Trees, Cherry Trees, and Dogwoods are all
acceptable trees.
11) Required Loading Spaces. Seven (7) loading spaces are required for this development, not six
(6). Please correct this error.
12) Signage. Please show the location of all proposed signs. Please provide a stop sign at both
entrances.
13) Confederate Drive. Please provide a note on the site plan to the effect that Confederate Drive
will not be used for access during or after the construction process.

Dear Denme:
Staff received the submission of the above -referenced site plan on October 23, 2003. This letter
details staffs' review comments regarding this site plan. Each of the following review comments
must be adequately addressed prior to administrative approval.
Review Comments:
1) Lot Consolidation. The zoning -approved plat for the consolidation of parcels 54-A-36A and
54-A-36B needs to be recorded. Please record this plat and provide staff with a copy of the
recorded copy. The PIN reference on the site lane would then need to be updated.
2) Location Map. The location map, found on the cover sheet of the site plan, appears to
inaccurately show the boundaries of the subject parcel. Please correct this as necessary.
3) South Property Lines Zoning Buffer. Please show the inactive and active elements of the
required category C zoning buffer along the entire south property line. This is the property line
which adjoins Battlefield Subdivision. Please also provide an opaque screen with the
landscaping. Both of these elements are required for a full screen. It may also be logical to
spread out the required landscaping to provide the best change of survival for the trees. This
would not require any additional trees. Ten feet is the "minimum" width for landscaping screens.
4) Storage Area. There is an area off of the rear loading area labeled storage. Please explain what
will be stored here. Outdoor storage and dumpsters must be appropriately screened from
adjoining properties and roads. Please screen as necessary.
5) Fire Code Improvements. Please show all improvements required by the Frederick County
Fire Marshal. This includes, but is not limited to, fire hydrants, fire lanes, and bollards.

6) Other Uses. Please show the locations of the various uses of the proposed building on the site
plan. This includes any area proposed for manufacturing, offices, showrooms, and accessory
retailing.
7) Width of Travel Aisle To G. C. Pick-up Parking Area. Please label the proposed width of
the travel aisle to the general contractor pick-up area.
8) Historical Marker. Please label on the site plan what the historical marker is marking. Better
access to this marking may also be appropriate.
9) General Landscaping Note #1. Please eliminate everything in note #1 except for "Owner of
Property shall maintain required landscaping in good condition."
10) Tree Selection. Please diversify the species of trees used for parking lot landscaping. Instead
of using all Littleleaf Lindens, please use at least one other species of tree. Redbuds, European
Hornbeams, Green Ash Trees, Golden Rain Trees, Cherry Trees, and Dogwoods are all
acceptable trees.
11) Required Loading Spaces. Seven (7) loading spaces are required for this development, not six
(6). Please correct this error.
12) Signage. Please show the location of all proposed signs. Please provide a stop sign at both
entrances.
13) Confederate Drive. Please provide a note on the site plan to the effect that Confederate Drive
will not be used for access during or after the construction process.
I will need all approved review agency comment sheets and at least five copies of the final plan for
approval. Comment sheets are required from the following agencies: The Frederick County Department
of Buildinglnspections, Tlie Frederick County Fire Marshal, The Frederick County Department of GIS,
The Frederick County Department of Parks and Recreation, The City of Rrinchester, The Frederick
County Sanitation Authority, The Frederick County Engineer, Airport Authority, and The Virginia
