The checklist shown below specifies the information which is required to be submitted as part of the site plan
application. The Department of Planning & Development will review the application to ensure that it is
complete prior to accepting it. If any portion of the application is not complete, it will be returned to the
applicant(s).
(1) One (1) set of approved comment sheets are required from each relevant review
agency prior to final approval of a site plan. It is recommended that applicants
contact the Department of Planning & Development to determine which review

Dear Mr. Pennington:
The Frederick County Department of Planning and Development administratively approved the above -
referenced site plan on November 5, 2004. Approval is granted for the construction of five separate self
storage buildings with a total square footage of 25,500. The project is planned to be constructed in two
phases. Phase 1 will contain 144 individual self storage units and Phase 2 will contain 72 individual self
storage units. This development requires paved driving lanes and five parking spaces (including one handicap
accessible space). Other required site improvements include curb and gutter and landscaping. All
requirements of the Frederick County Zoning Ordinance have been adequately addressed in the site plan,
including approvals from all relevant review agencies.
I am providing you with three (3) signed copies of the cover sheet of the site plan. Please forward entire
copies of the plan to the appropriate representative(s). Furthermore, advise the owner(s) that a copy should be
kept for future reference, and an approved copy must be kept on the construction site throughout the
development process. Once site development is complete, the owner(s) should contact this office to schedule
an on -site inspection. Do not hesitate to contact me should you have any questions or concerns.

Comment 1: Special Limited Povwr of Attorney (SPLA). A SPL.A needs to be signed by the property owner,
notarized and submitted. In you response letter you indicated that it was included with the revised site
plan, howrver it was not attached.
Response: SPIA is attached.
Continent 2: Lease Agreement. Once you obtain a copy of the draft lease agreement please provide it to
our department for review.
Response: A copy of the lease agreement is attached.
Comment 3: Signage. On the cover sheet you indicate that no signs are proposed, however on the site plan
a monument sign is proposed. This sign must be place at lease 10' off of the Independence Drive right of
way.
Response: Note on the cover sheet has been corrected to indicate that all signs will require separate sign
permits and must conform to County regulations.

GROUND DRAtr
THIS GROUND LEASE, made this day of , 2004,
by and between DINO MORGOGLIONE and CAROLYN C. MORGOGLIONE,
Individually, and DCT & G, L.L.C., a Virginia limited liability company, Grantors,
hereinafter "Landlord," and Store -It -Here, L.L.C., a Virginia limited liability company,
Gralitee, hereinafter "Tenant."
WITNESSETI<I:
(1) Landlord's Demise. Upon the terms and conditions hereinafter set forth,
and in consideration of the mutual covenants and the payment by Tenant
to Landlord in accordance herewith and the performance by the Tenant of
the covenants and agreements set forth herein, the Landlord does lease, let
and demise to the Tenant, and the Tenant hereby leases from the Landlord,
all of that certain lot or parcel of land, together with the improvements
thereon and the appurtenances theremito belonging, lying and being situate
in Shawnee Magisterial District, Frederick County, Virginia, and more
particularly described as Lot 16, Westview Business Centre, containing
2.9929 acres, more or less, as shown on that certain plat and survey drawn
by Richard A. Edens, Land Surveyor, dated June 26, 2003, revised
September 15, 2003, of record in the Office of the Clerk of the Circuit
Court of Frederick County, Virginia, as Instrument No. 030023422,
attached to that certain Declaration of Subdivision Plat, Deed of
Dedication and Reservation/Imposition of Utility Easements, dated
October 2, 2003. Said lot was conveyed to Landlord by Deed dated
October 9, 2003, recorded in the Office of the Clerk of the Circuit Court of
Frederick County, Virginia, as Instrument No. 030023438 (the
"Premises")
(2) Lease Term. This Lease shall commence on the date that Tenant obtains
from Frederick County, Virginia Final Site Plan approval of and for
Tenant's planned use and development of the Premises as a self -storage
facility(ies) (including mini -warehouses) or shall commence on
2005, whichever date shall first occur. The initial
term of this Lease shall be for a period of twenty (20) years (subject to
Tenant's right to renew and extend, if applicable, as set forth in Paragraph
8 hereinafter). The parties shall execute a Certificate confirming the
actual Lease Commencement Date.
(3) Rent. Tenant shall pay to Landlord, without notice, demand, deduction or
offset whatsoever, payable yearly in advance on the first day of each lease
year during the term of this Lease, the annual rental. The first such rental
payment shall be due on the Lease Commencement Date.

The annual rent for the first year of the Lease shall be Five Thousand
Three Hundred Fifty Dollars ($5,350.00), and the annual rent for each year
thereafter shall increase at the non -compounded rate of five percent (50/6)
per year, such that annual rental for the second year of the Lease shall be
Five Thousand Six Hundred Seventeen Dollars and Fifty Cents
($5,617.50) (representing a 5% increase of $267.50); annual rental for the
third year of the Lease shall be Five Thousand Eight Hundred Eighty -Five
Dollars ($5,885.00) (representing a 10% increase of $535,00); annual rent
for the fourth year shall be Six Thousand One Hundred Fifty -Two Dollars
and Fifty Cents ($6,152.50) (representing a 15% increase of $802,50); and
contuiuing thereafter with a 5% increase each year.
(4) Condition Precedent. This Lease, and the parties' respective obligations
hereunder, is expressly conditioned and contingent upon, and subject to,
the following:
a. Frederick County, Virginia, and all other applicable governmental
authorities, approving and permitting Tenant's plan of use and
development of the Premises as a facility (or multiple facilities) for
mini -warehouses and self -storage units to be sub -leased to
members of the public, and Tenant obtaining final approval from
Frederick County of Tenant's Site Development Plan for such use
and development of the Premises. In this regard, Tenant represents
that it has retained Greenway Engineering to prepare and present
all engineering and development -related plans and profiles.
Landlord agrees to cooperate with Tenant on any applications
required to obtain approval of Tenant's Site Development Plan
and/or to obtain any special use permit, conditional use pennit, or
any other permits or approvals necessary for Tenant's intended use
and development of the Premises. All costs of such plans,
applications and permits shall be Tenant's sole responsibility.
Landlord shall promptly sign any and all such applications and
such other documents as may be necessary for the approval of
Tenant's intended use of the Premises. Tenant agrees that it shall
make its best, good faith effort to promptly obtain such approvals
and permits, and in the event that such approvals and permits have
not been obtained by on or before , 2005, either
party may terminate this Lease.
b. Tenant obtaining a written commitment for a satisfactory
construction/development loan and for permanent financing in an
amount not to exceed $ and at an interest rate satisfactory
to Tenant and to be secured by a first lien upon Tenant's leasehold
interest hereunder. In the event that Tenant does not obtain such
financing commitment by on or before , 2005, Tenant

form Landlord in writing, at which time this Lease may

be terminated by either party.
(5) Tenant's Use of Premises. Tenant is empowered to use the Premises for
the facilities noted above, and it is understood and agreed that Tenant, not
Landlord, shall be permitted to construct buildings, improvements and
facilities upon the Premises. Tenant shall pay the entire cost of all such
construction activities. Before commencing any such construction
activities, Tenant shall have arranged for Tenant's financing.
All construction activities, and all buildings and improvements
constructed by Tenant, shall conforM with Tenant's approved Site
Development Plan and with all other terms and conditions of any other
applicable permits and approvals for the work and shall be performed in a
good and workmanlike manner and in accordance with good construction
practices, and shall conform with all applicable laws, ordinances,
buildings codes and insurance requirements. Tenant shall obtain, at
Tenant's sole expense, all permits necessary for such construction and all
certificates of occupancy necessary for the use and occupation of the
improvements. All such construction shall be in Tenant's sole discretion.
Title to all such improvements on the Premises shall be and remain in the
Tenant for and during the entire term of this Lease, and Landlord hereby
covenants and agrees that the sole o-,vnership of the improvements, and the
right to possess and use the same, shall automatically pass to and be vested
in Tenant without payment or consideration of any kind other than as set
forth in this Lease.
Further, Tenant, at its sole cost and expense, shall have the right at any
time and from time to time during the term of this Lease to make changes
to and alterations in such improvements, provided that any such change or
alteration, when completed, shall be of a character as not to reduce the
value and utility of the improvements below the value and utility
immediately before such change or alteration and further provided that any
such change or alteration shall be made promptly (unavoidable delays
excepted) in a good and workmanlike manner and in compliance with all
applicable permits and authorizations and in conformity with all
applicable laws, ordnances, building codes and insurance requirements.
(b) Tenant's Mortgage Financing. Tenant shall have the right, at anytime
and from time to time, during the tern of this Lease, to subject Tenant's
leasehold interest in the Premises, or any part or parts thereof, and all
improvements at any time and from time to time situate upon the
Premises, to any one or more mortgages for the construction /
development of the Premises and for the permanent financing for such
construction and development (provided, however, that the principal

balance due on any such mortgages shall not exceed the amount of
S ). Landlord agrees that it shall, from time to time, execute,
acknowledge and deliver such consents and other instruments and
documents as reasonably may be required or desired by Tenant's lender in
order to effect such financing for Tenant. Tenant covenants and agrees to
make all payments of interest and principal under any such Mortgage or
Deed of Trust and to pay all of the costs and expenses incurred in
connection therewith, all of which shall be paid by 'Tenant directly to
Tenant's lender. Landlord covenants and agrees that Tenant alone shall be
entitled to all of the proceeds from any such Mortgage or Deed of Trust.
In the event Landlord places a mortgage or deed of trust upon, or
otherwise creates a security interest affecting, the Landlord's fee interest
in the Premises, such mortgage shall be expressly subject and subordinate
to Tenant's rights under this Lcase and subject and subordinate to any
leasehold mortgage effected by or with the consent of Tenant pursuant to
this Lease (including all advances thereunder, and any security interest(s)
in Tenant's fixtures, equipment and personality, regardless of the
respective dates of recordation).
(7) Tenant's Option/Right of First Refusal to Purchase the Premiso.
Assuming all installments of rental theretofore due have been paid and all
other conditions of this Lease have been properly complied with by
Tenant, Landlord grants to Tenant, for a period of five (5) years
commencing with the Lease Commencement Date, the exclusive option to
purchase the Premises for the Purchase Price of $124,200.00 during the
first three (3) years of said five (5) year option term, for the Purchase Price
of $129,600.00 during the 4th year of the five (5) year option term, and for
the Purchase Price of $135,000.00 during the 5` year of the five (5) year
option term. During the 5 year option term, Tenant may exercise this
option by notifying Landlord in writing of Tenant's intent to exercise and
to close, and Landlord and Tenant shall then proceed to Settlement and
Closing within sixty (60) days after Tenant's provision of such written
notice. The failure of Tenant to exercise its option right during the five (5)
year option period shall forever terminate and make null and void
Tenant's option to purchase the Premises.
If, at anytime during the initial twenty (20) year term of this Lease,
Landlord receives from a ready, willing and able purchaser an acceptable
(to Landlord) bona fide offer to purchase the Premises, and provided all
installments of rental theretofore due have been paid and all other
conditions of this Lease have been properly complied with by Tenant,
Landlord shall provide Tenant with written notice of the terms and
conditions of such offer, enclosing to Tenant a copy of such offer.
Thereupon, Tenant shall have thirty (30) days within which to exercise
Tenant's right of first refusal to purchase the Premises by providing

Landlord, within thirty (30) days of Tenant's receipt of a copy of the third
party offer, written notice of Tenant's intent to exercise its right of first
refusal and to purchase the Premises by matching such third party offer. If
Tenant exercises its right of first refusal, Closing and Settlement on the
purchase shall occur within sixty (60) days from the date of Tenant's
notice of exercise, with Closing to be on the same terms and conditions as
-set forth in the third -party offer received by Landlord. The failure of
Tenant, once notified that a third -party offer has been received from
Landlord, to exercise Tenant's right of first refusal on the terms and
conditions set forth herein shall forever terminate and make null and void
Tenant's right of first refusal.
At the Closing and Settlement, upon Tenant's exercise of its option or of
its right of first refusal, Landlord shall convey good and marketable fee
simple title to the Premises (subject only to Tenant's financing) by
General Warranty Deed with English Covenants of Title.
Tenant's Rielit to Extend Lease. Provided all installments of rental
theretofore due have been paid and all other conditions of this Lease have
been properly complied with by Tenant, and in the event Tenant has not
exercised its rights pursuant to Paragraph 7 immediately above, Tenant, at
its option, may extend this Lease for an additional term of ten (10) years
by providing the Landlord with written notice of such intention no later
than six (6) months prior to the expiration of the initial twenty (20) year
term of this Lease. In the event of such extension, all of the terms and
conditions as herein set forth (except for Paragraph 7 immediately above)
shall continue in full force and effect, with the annual rental to continue to
increase ai the non -compounded rate of 5% per year, consistent with
Paragraph 3 herein above.
Tenant's Obligations and Covenants. In addition to Tenant's
obligations outlined above, Tenant shall also be responsible and liable for
the following:
Pay and discharge all taxes, assessments, and impositions assessed,
charged or imposed upon the Premises and any improvements
thereon;
Maintain and repair, at Tenant's sole cost and expense, the
Premises and all buildings and improvements thereon in good
repair, order and condition, so long as such maintenance and
repairs are not occasioned by the actions of the Landlord.
Landlord shall not be, required to furnish any services or facilities
to, nor to make repairs or alterations in or to (unless the same are
the result of Landlord's actions), the Premises or the buildings and
improvements thereon, and Tenant assumes the Hill and sole

responsibility for the condition, operation, repair, replacement,
maintenance, and management of the Premises and buildings and
improvements thereon throughout the term of this Lease;
(c) Not permit the Premises, or any improvements thereon, to become
subject to any lien, charge or encumbrance whatsoever, other than
leasehold mortgages and/or security agreements as hereinabove
provided for;
(d) Indemnify the Landlord against any and all liens, charges and
encumbrances upon the Premises and any improvements thereon, it
being expressly agreed that Tenant shall have no authority,
expressed or implied, to create any lien, charge or encumbrance
upon the Premises other than leasehold mortgages and/or security
agreements as hereinabove provided for;
(e) Maintain insurance on all buildings and improvements erected and
maintain insurance to protect Tenant and Landlord from any all
liability or claim for injuries or property damage sustained on the
Premises;
(fj Not make or suffer any use or occupancy of the Premises contrary
to any law, governmental regulation or ordinance now or hereafter
in force, and not permit any hazardous materials (other than
cleaning solvents and petroleum products in reasonable quantities
consistent with Tenant's permitted use of the Premises) to be
stored, used or placed in or on the Premises;
(g) Indemnify Landlord from claims arising out of or by virtue of
Tenant's use and occupancy of the Premises and/or the use and
occupancy by Tenant's permitted sub -tenants or assignees;
(h) Permit Landlord to enter upon the Premises at reasonable times to
examine the condition and use thereof, so long as such right is
exercised during regular business hours in a manner that does not
interfere with the Tenant and the conduct of its business on the
Premises.
(10) Landlord's Covenants. Landlord represents and covenants that it has full
power and authority to enter into this Lease and that so long as Tenant, its
successors and assigns, keeps and performs all of its covenants and
conditions under this Lease, Tenant shall have quiet, undisturbed and
continued possession of the Premises, free from all claims against the
Landlord and free from all claims of any and all persons claiming under,
by or through the Landlord.

(11) Default. If at anytime Tenant defaults in the payment of any rent when
same is due and payable, or if Tenant fails to perform any other covenant
under this Lease, then the Landlord shall provide Tenant with written
notice specifying the nature of the default and providing Tenant with 60
days within which to cure (or, in the event cure cannot be effected within
such 60 day period, to commence the curative process within such 60
days) sucb default. If Tenant fails to cure the default within such 60 day
period (or fails to commence, and thereafter diligently pursue, completion
of the curing of such default within such 60 day period), then Landlord,
upon the provision of a second written notice to Tenant, may declare the
Lease terminated. In such event, the Landlord may reenter the Premises,
and Tenant shall promptly and peaceably surrender and deliver up the
Premises to the Landlord.
(12) Improvements Upon Termination of the Lease. Upon the termination
of this Lease (whether via natural expiration or through termination), the
Tenant shall surrender the Premises with all buildings and improvements
erected thereon, subject to Tenant's right to remove Tenant's trade fixtures
and other personal property which can be removed without damage to the
buildings or improvements. Provided, however, that Landlord may
require Tenant to remove the buildings and improvements.
(13) Assignment/Sub-Lease. Landlord acknowledges, understands and agrees
that Tenant, upon the construction and installation of mini -warehouses
and/or self -storage units upon the Premises, such storage space in such
warehouses and/or in such units may tie sublet by Tenant to third parties,
including members of the general public. Such subletting is hereby
approved and consented to by Landlord. This Lease may be assigned or
sublet in whole only with the written consent of Landlord, which consent
shall not be unreasonably refused, conditioned or delayed.
(14) No BrokeL. The parties mutually represent unto one another that neither
is represented by a Realtor or a Broker, and each party hereby indemnifies
the other from any liability to any Realtor/Broker claiming through such
ply,
(15) Entire Agreement. This Lease contains the entire agreement between the
parties as to the leasing of the Premises. The execution hereof has not
been induced by either party by representations, promises or undertakings
not expressed herein. There are no collateral agreements, stipulations,
promises or undertakings whatsoever upon the respective parties in
anyway touching the subject matter of this Lease which are not expressly
contained in this Lease.
(16) Time of the Essence. Time is expressly declared to be of the essence
with respect to this Lease and the terms and provisions hereof

(17) Recordation. Eithcr party shall, at any time, at the other's request,
promptly execute duplicate originals of an instrument, in recordable form,
which shall constitute a short form of Lease. This short form of Lease or
Lease Memorandum will set forth a description of the Premises, the term
of the Lease, and any other provisions of this Lease (except for the rental
- provisions) requested by either party. All costs of such recordation shall
be borne by the party who records such instrument. Further, Tenant, in
Tenant's sole discretion, shall be permitted to record this Lease.
(18) Binding Effect. This Lease, the terms and provisions hereof, shall inure
to the benefit of, and shall be binding upon, the parties and their respective
successors and assigns.

Dear Mr. Richardson:
Delta Airport Consultants reviewed the site plan for the above referenced project and based on that
information, the following comments are on behalf of the Winchester Regional Airport Authority:
1. The proposed site plan elevation shown on the plans by your firm as 670' MSL with a maximum
building height of 18" does not violate any FAR Part 77 surfaces until the building height
approaches 50'. Based on this information the proposed building height should not impede
airport operations.
2. Due to the location of this site being only 1500' from the runway threshold, it is requested that
outdoor lighting be hooded and be amber in color such as the type of light produced by high
pressure sodium light fixtures. This is a safety measure to shield bright lights from approaching
and departing aircraft.
3. Burning should not be allowed due to the site being located within the Airport's avigation
easement and the site's proximity to the runway.
4. During the construction phase of the buildings, all cranes will be required to have an aviation
obstruction flag (4' x 4' white and orange one foot block checkered flag) and/or aviation
red obstruction light visibie during operations and must be lowered ai nigh! unless fit.
Intended hours and dates of operation need to be coordinated with Airport Operations
Supervisor no less than twenty-four hours prior to start.
5. The type of trees used for planting should be of the type that are slow growing and do not
exceed a growth height 40' MSL to avoid future violations of the FAR Part 77 surfaces.
Provided these conditions are met, the Winchester Regional Airport Authority has no objections to the
proposed site plan for the Store -It -Here Complex.

our earlier review comments have been satisfactorily addressed. Please note on Sheet 7 of 7, the mix
types of asphalt are incorrect; should be BM-25 and SM-9A.
Please advise the owner of our approval. Also please provide five (5) sets of approved construction
plans with signed seal for VDOT distribution.
The appropriate land use permit may now be applied for to cover work within the Route 1091 right-of-
way. The permit is issued by this office and will require a minimum processing fee, surety bond
coverage, and the salary & expenses of a State assigned Inspector. A copy of any/all recorded plats of
dedication for drainage easements or additional right-of-way required for implementation of this
proposed project should be provided to VDOT prior to issuance of any land use permits. Dedication
should be made to the Commonwealth of Virginia.
Once satisfactory application has been made, a permit will normally take approximately thirty days to

1) Currently, this property as well as the adjacent properties are in the design process for
development. There are issues related to existing downstream flooding. Therefore, it will
be necessary to provide a comprehensive stormwater analysis which includes all areas
proposed for development. This analysis shall include recommendations for on -site
stormwater management as well as downstream channel improvements.
2) A comprehensive review of the site plan will occur once the storm,*N,ater report has been
submitted.
