To: Frederick County Board of Supervisors

Through: J. 0. Renalds, III, County Administrator
Subject: M-1 application of DENNY'S, INC.
It should be made clear that the Planning Commission favors the proposal of Denny's,
Inc. to establish a commercial park for wholesale and warehouse type businesss -- it
is the industrial zoning and all the other permitted uses that the Commission does not
favor. The good faith of the Commission in this application is further evidenced in
the committee that has been appointed to add this long -needed business district to the
zoning ordinance.Work has begun on the district and it should go to Public Hearing
in May.
With these points in mind, there are at least two options for the Denny's Inc.
application:
a) The Board could wait until the business zoning district is written and then
take the proper action; or
b) Zone the land as M-1 and condition that zoning on the applicant seek-
ing a change to the business district when it is ready.
You should understand, that the conditions imposed would be voluntary and
would involve additional cost to the applicant (Denny's, Inc.).
While the first alternative is the best, in my view, both are workable.

SUBJECT: Earl Haines M-2 Zoning
In the latter part of October, 1976, the matter of rezoning on
the property along Route 7 from business and residential to an indus-
trial category was raised.
Upon checking the County's files, it appears that the property
of Mr. Earl Haines had inadvertently been changed to business and
residential zoned property when the zoning maps and new zoning or-
dinance were adopted on November 1, 1973.
Therefore, I believe it would be equitable for the rezoning to
M-2 of Mr. Earl Haines' proeprty to be accomplished by the Planning
Commission and Board without the usual fee for adopting and processing.

Ken Stargardt, of the Virginia
Industrial Development
Division, said that the Win-
chester -Frederick area has
limited land available with the
services many potential in-
dustries require. According to
him that means water and
sewer availability along with

HARRISONBURG,
STAUNTON, and Waynesboro
in the Shenandoah region of the
state offer many more, he says.
Locally, two of the three sites
are in the city of Winchester.
The other is near Middletown.
All three contain at least 10 -

by and between DENNIS A. COLE and ALMA:COLE, his wife, JOHN H.
COLE and LAURA K. COLE, his wife, PAUL R. MURPHY and MARY L.
MURPHY, his wife, DENNIS T. COLE, and MILDRED B. COLE, his wife,
and WILLIAM E. FADELY and NANCY L. FADELY, his wife, hereinafter
referred to as Grantors and DENNY'S, INC., a Virginia corporation,
hereinafter referred to as Grantee.
WITNESSETH: That for and in consideration of the sum
of Ten Dollars ($10) and other good and valuable consideration,
the receipt of all of which is hereby acknowledged, the Grantors
do hereby grant, bargain, sell, and convey in fee simple unto
the Grantee the following described property and appertenances
thereunto belonging:
All that certain lot or parcel of land
together with the improvements thereon and
appertenances thereunto belonging, containing
approximately 34.720 acres located on the
south side of U. S. Route 7 and on the north
side Valley "Sill Road (Virginia secondary
Route 659) in stonewall Magisterial District,
Frederick County, Virginia, more particularly
described by plat and survey of H. Bruce Edens,
C.L.S.,.dated September 24, 1976, said plat
and survey attached hereto and by this reference
made a part hereof as if set out in full.
Said land being conveyed is a portion
of the same land conveyed to D. A. Cole,
et ux, by deed dated March 6, 1944, from
H. H. Kelley and Hilda J. Kelley, his wife,
of record in the office of the Clerk of the
Circuit Court of Frederick County, Virginia,
in Deed Book 189, at Page 305, and also a
portion of the land conveyed to Dennis A. Cole
by deed dated December 26, 1946, from A. B.
Clevenger and Ethel M. Clevenger, his wife,
of record in the aforesaid Clerk's office
in Deed Book 204, at Page 566. The named
Grantors, other then Dennis A. Cole and
Alma Cole, his wife, are the heirs at law
and the spouses of said heirs of Dove L. Cole,
who died intestate on March 14, 1958, seized
of a one half undivided interest in the
property conveyed to Dennis A. Cole, et ux,
by the aforesaid deed of record in the
aforesaid Clerk's office in Deed Book 189,
at Page 305.
This conveyance is made subject to all.duly recorded
and enforceable easements, rights of way, and restrictions of
record affecting the subject property.

convey said land to the Grantee; that they have done no act to
encumber said land; that the Grantee shall have quiet possession
of said land free from all encumberances; and that they will

THIS DEED OF EASEMENT made this day of
1976, between Denny's, Inc., a Virginia
corporation, of the one part, hereinafter called the Grantor,
and the Commonwealth of Virginia, of the other part, herein-
after called the Grantee,
WITNESSETHi That for and in consideration of the
sum of One ($1.00) Dollar, and other good and valuable con-
sideration, receipt of which is hereby acknowledged, the
Grantor does hereby grant and convey unto the Grantee the
perpetual right and easement to construct, operate and maintain
a drainage ditch for the purpose of draining U. S. Highway No.
about one mile East of Winchester, Virginia, in Stonewall
magisterial District, Frederick County, Virginia, upon and
across the lands and property of the Grantor adjacent to said
road, and including the right of egress and ingress to same.
Said easement and right of way is more particularly described
by plat and survey of Greenway Engineering 6 Surveying Co., Inc.,
attached hereto and as a part hereof, as being a 20 foot
easement extending from Point A to Point D as shown on said
plat.
It is agreed between the parties hereto that the

Grantee and her agents shall have the right to inspect -the said
drainage ditch and to cut and clear all undergrowth and other
obstructions in and along the said drainage ditch or adjacent
thereto that may in any way endanger or interfere with the
proper use of the same,
The Grantor covenants and agrees for itself,
successors and assigns, that the consideration aforementioned
shall be in lieu of any and all claims to compensation and

of the same land conveyed to D. A. Cole,
et ux, by deed dated March 6, 1944, from
H. H. Kelley and Hilda J. Kelley, his wife,
of record in the office of the Clerk of the
Circuit Court of Frederick County, Virginia,
in Deed Book 189, at Page 305, and also a
portion of the land conveyed to Dennis A. Cole
by deed dated December 26, 1946, from A. B.
Clevenger and Ethel M. Clevenger, his wife,
of record in the aforesaid Clerk's office
in Deed Book 204, at Page 566. The named
Grantors, other then Dennis A. Cole and
Alma Cole, his wife, are the heirs at law
and the spouses of said heirs of Dove L. Cole,
who died intestate on March 14, 1958, seized
of a one half undivided interest in the

Grantor does hereby grant and convey unto the Grantee the
perpetual right and easement to construct, operate and maintain
a drainage ditch for the purpose of draining U. S. Highway No. 7
about one mile East of Winchester, Virginia, in Stonewall
Magisterial District, Frederick County, Virginia, upon and
across the lands and property of the Grantor adjacent to said
road, and including the right of egress and ingress to same.
Said easement and right of way is more particularly described
by plat and survey of Greenway Engineering 6 Surveying Co., Inc.
attached hereto and as a part hereof, as being a 20 foot
easement extending from Point A to Point B as shown on said
plat.
It is agreed between the parties hereto that the
Grantee and her agents shall have the right to inspect -the said
drainage ditch and to cut and clear all undergrowth and other
obstructions in and along the said drainage ditch or adjacent
thereto that may in any way endanger or interfere with the
proper use of the same.
The Grantor covenants and agrees for itself,
successors and assigns, that the consideration aforementioned
shall be in lieu of any and all claims to compensation and
