Christianson 703-662-6744 �T CONSTRUCTORS IIvC . a/ party of the first part (hereinafter designated the Sub -Contractor) and i.- 50 Park P1aee,Newark, N. J. party of the second part (hereinafter designated the Contractor). WITNESSETH that the Sub -Contractor, in consideration of the agreements herein made by the Contractor agrees with the Contractor as follows: ARTICLE I. The Sub -Contractor See attached Rider to Agreement consisting of two (2) pages incorporated herein by reference. See attached Rider to Subcontract consisting of four (4) pages incorporated herein by reference, together with Insurance Bulletin also incorporated herein by reference. The Sub -Contractor is required to have all shipments properly identified .with this Agreement number and evil! instruct its suppliers and Sub -Contractors (if any) to do likewise. The Sub -Contractor will furnish all temporary of ices, sheds, tool houses, equipment, power, water, temporary lights, hoisting, sco oldina, ladders, rigging, staging, runways and any other equipment or plant necessary for the accomplishment of the work, transportation of some, labor, and supervision, unless otherwise stipulated. The Sub -Contractor also agrees to furnish the Contractor with one copy of every accident report AT THE TIME THE ORIGINAL IS SUBMITTED TO ITS INSURANCE CARRIER. ARTICLE II. It is understood cnd agreed by cnd between the parties hereto that the work included in this Agreement is to be done under the direction of the Architect, Enaineer, or Contractor. Such additional drawings and explanations as may be necessary to detail cnd illustrate the work to be done are to be furnished by said Architect, Engineer, or Contractor, and the Sub-Contrecter agrees to conform to cnd abide by the some so for as they may be consistent with the purpose and intent of the original drawings cnd spec;ficctions referred to in Article I. ARTICLE 111. No alterations sr ' be made in the work except upon 'en change order of the Contractor. -The amount to be paid by the Contra(.--- or allowed by the Sub -Contractor by J , .ue of such alterations shall be stated in said order. Should the Contractor and Sub -Contractor not agree as to amount to be paid or allowed, the work shall go on under the order required above, and in case of failure to agree, the determination of said amount shall be referred to arbitration, as provided for in Article XVI of this Agreement. ARTICLE IV. The Sub -Contractor shall provide sufficient, safe and proper facilities at all times for the inspection of the work by the Architect, Engineer, or Contractor, or their authorized representatives, and shall, within twenty-four hours after receiving written notice from the Contractor to that effect, remove from the grounds or buildings all materials condemned by the Contractor, whether worked or un worked, and take down all portions of the work which the Contractor shall by like notice condemn as unsound or improper, or as in any way foiling to conform to the draw- ings and specifications, and the Sub -Contractor shall thereupon furnish the materials and de the work thus removed in accordance with the requirements of the plans and specifications. The Sub -Contractor shell cover, protect and exer- cise due diligence to secure its work from injury, furnishing any necessary materials for the purpose, and all damage happening to the some at any time prior to the final completion and acceptance thereof shall be made good by the Sub -Contractor. The Sub -Contractor shall from time .to time, cs directed by the Contractor, remove from the building site all such appliances as may not be further required, remove all debris, etc., and leave the building site free and clear from all obstructions and hindrances, and if it fails to do so, the Contractor then may do it and charge the cost thereof to the Sub -Contractor. The Sub -Contractor shall be responsible to the Contractor and any other Sub -Contractor employed on the building site for all damage to material, persons or property, or for loss due to its negligence or failure in improperly fitting its materials or performing its work, or its failure to finish such work at the proper time, thereby preventing other portions of the work being finished at the proper time, or for loss or damage from any other cause arising from its operations. The Sub -Contractor shall notify the Contractor immediately of any claim made against it on account of the causes herein referred to. No one in the Contractor's employ has any right to grant the Sub -Contractor or its employees the right to ride on any material hoist and the Sub -Contractor hereby acknowledges that the Contractor has issued orders prohibiting the use of any material hoist as a passenger elevator and agrees that it will not permit or allow its employees to ride on any material hoist used in connection with this work. Whenever the Sub -Contractor shall use any scafsolds, derricks, or equipment of any kind belonging to the Contractor, or any material hoist in connection with the said building, it shall satisfy itself as to the safety of the said scaffold, derrick or other equipment or material hoist. ARTICLE V. Should the Sub -Contractor et any time refuse or neglect to supply a su=iciency of grope; ly skilled workmen, or of materials of the proper quality, or fail in any respect to prosecute the work with promptness and diligence, or fail in the performance of any of the stipulations herein contained, the Contractor shall be at liberty after three days' written notice to the Sub-Contrcctor to provide any such labor or materials and to deduct the cost thereof from any mcney then due or thereafter to become due to the Sub -Contractor under this Agreement, and if the Architect or Engineer shall certify that such refusal, r.eglect or failure is sufficient around for such action, the Contractor shall also be at liberty to terminate the employment of the Sub -Contractor for the said work and to enter upon the premises and take possession. for the purpose of completing the work included under this Agreement, of all materials, tools and work included under this Agreement, of all materials, tools and appliances thereon, and to -employ any other person or persons to finish the work, and to provide the materials therefor; and in case of such discontinuance of the employment of the Sub -Contractor, it shall not be entitled to receive any further payment under this Agreement until the said work shall be wholly finished, at which time, if the unpaid balance of the amount to be paid under this Agreement shall exceed the expense incurred by the Contractor in finishing the work, such excess shall be paid by the Contractor to the Sub-Contrcctor; but if such expense shall exceed such unpaid bolence the Sub - Contractor shall pay thereupon the difference to the Contractor. Nothing herein contained shall be construed es creating the relationship of employer and employee between the parties, but the Sub-Contrcctor shall be deemed to be at ell times an independent contractor. ARTICLE VI. It is hereby agreed that time is of the essence of this Agreement, and that the Sub -Contractor shall and will proceed with the said work, and every part and detail thereof in a prompt cnd diligent manner. The Sub -Contractor will be prepared to proceed with the said work at the building site when and as instructed by the Contractor or on authorized representative of the General Contractor: The Sub -Contractor shall, if required by the Contractor, have a competent representative familiar with the work attend job meetings. The Contractor shall 'nave the right to designate the carrier or railroad over which any or all materials entering into this contract shell be routed from the source of fabrication to the construction site, provided this shall not entoil additional cost to the Sub -Contractor. The Contractor shall have full and free access to the shops, factories or ether places of business of the Sub -Contractor or the Sub-Sub-Controctors in order that it may inform itself as to the general condition and progress of the work herein contemplated. ARTICLE VII. The Sub -Contractor shall not let, essicn or transfer this Agreement, or any interest therein, with- out the prior written consent of the Contractor. ARTICLE Vill. The Sub -Contractor shell make no claim for additional .work unless the some shall be done in pursuance of written order from the Contrcctor and notice of ell such claims shall be made to the Contractor in writing. The Sub -Contractor shell keep accurate cost records of labor cnd materiel claimed as additional work end shall make same available to the Contractor when so requested. r ARTICLE IX. It is hereby mutually agreed between the parties hereto that the sum to be paid by the Con- tractor to the Sub -Contractor for said work and materials (subject to additions and deductions Ins hereinbefore prop;cled) 'shall be Twenty Thousand Seven Hundred Seventy Three Dollars and Twenty Five Cents ($20,773.25) shich includes all applicable taxes. In the event the Sub -Contractor is authorized to perform any of the work covered herein or additional work on which a price cannot be predetermined, on other than regular working days or other than during regular wcrking hours, it is understood that the premium time charges for such overtime will be subject to taxes, pension fund and welfare fund only; nothing will be added to these charges for insurance, overhead or profit. Payment to the extent of __90 ___ per cent of the value of work done will be made on the 20th of the following month, provided invoice for some is delivered to the Contractor not later than the last day of the month in which the work is done. Failure to present invoice at time specified will delay payment until the succeeding month. The Sub -Contractor will show on each invoice the amount of retainage prescribed by this Agreement and REN- DER SEPARATE INVOICE FOR THE TOTAL RETAINED with final invoice. The final payment shall be mode within _._60 days after the completion of the work included in this Agreement and its acceptance by the Architect, Engineer, or Contractor. Before any payment is mode the Sub -Con- tractor shall give the Contractor good and sufficient evidence that the work is free from all liens or claims and that the work has been done strictly in accordance with the requirements of local lows and ordinances. If at any time there shall be evidence of any such lien or claim for which the Contractor might become liable, the Contractor shall have the riaht to retain out of any payment then due or thereafter to become due the Sub -Contractor on amount sufficient to completely indemnify it against such lien or claim. Should there prove to be any such lien or claim after all payments ere made, the Sub -Contractor shall refund promptly on demand to the Contractor all monies that the latter may be compelled to pay in discharging any such lien or claim. ARTICLE X. It is further mutually agreed between the parties hereto 'hot no payment made under this Aareement shall be conclusive evidence of the performance of this Agreement, either whoily or in part, and that no pc:yment shall be construed to be on acceptance of defective work or improper materials. ARTICLE XI. The Sub -Contractor hereby assumes the entire responsibility and liability for and hereby agrees to indemnify and save harmless the Owner cnd'or Contractor from and against any and all loss, damage, cost, counsel fees, expense, payment or liability imposed by law by reason of loss, damage or injury to, or death of, any and all persons, including loss, damage. or injury to, or death of, employees of the Sub -Contractor, and any and all damage to property, directly or indirectly, caused by, arising out of, in connection with, or incident to this Agree- ment and work to be performed by the Sub -Contractor, its servants, agents, employees or sub-controctors, including loss, damage, inju,-y or death caused by or occasioned, directly or indirectly, by reason of, or arising from the nea- liaence of the Owner, the Contractor, or their respective servants, agents or employees, or for which the Owner, Contractor or their respective servants, agents or employees may be liable of law, and the Sub -Contractor, if re- quested, shall assume and defend on their behalf, at the Sub -Contractor's own expense, any suit, action or other legal proceedings arising therefrom, which may be brought against the Owner and. or Contractor, or either of thern, and pay the amount of any judgment that may be entered against them or either of them therein, but nothing herein contained shall be construed to impose upon the Owner and 'or Contractor any obligation to request and or permit the Sub -Contractor to defend, on their behalf, any such suit, action or other legal proceeding. ARTICLE XIV. The Sub-Contrcctor cgrees that all work performed and all materials furnished by it shall strictly comply with the laws and ordinances in force in the locality in which the work is located, end that it will comply promptly with ell rules, regulations and orders of the Bureaus or Departments of the Federal, State, and local Governments pertaining thereto, end will furnish all labor and material thus required in the completion of the work herein contracted for free of expense to the Contractor whether the some are or ere not specifically provided for in the plans or specifications- No labor shall be employed by the Sub -Contractor which, in the judament of the Contractor, will not work in harmony with labor and mechanics employed by the Contrcctor or other Sub -Contractors. The Sub -Contractor will not be permitted to display any signs, posters, etc. on or around the building or cn or around the site. The Sub-Contractcr, for the Contract Price herein provided for, hereby agrees to pay and shall hold the Con- tractor harmless against the payment of all contributions, taxes or premiums which may be payable under Federal, State, or local laws arising out of the performance of the Work and all sales, use, or other foxes of whatever nature levied or assessed against the Owner, the Contractor, or the Sub -Contractor arising out of the furnishing or installing by the Sub -Contractor of any kind of building materials, supplies, or equipment, including the payment of any interest or penalties arising out of failure of the Sub -Contractor to make ,timely payment. ViRGINIA 22CGI Re: Permit #4265, Technicon Facility, Middleto\-m, Virginia Dear Mr. Mazzucco: On, Tuesday, June 6, 1978, a meeting was held on the Technicon project site to discuss the various aspects of Quality Control as they relate to the Virginia Uniform Statewide Building Code. Our attendance was at the request of Technicon, Inc. Quality Control at the Technicon Facility has been a continuing concern of this office, in that the building official at the conclusion of the project must, by law, issue a Certificate of Use and Occupancy certifying the structure. This issuance is contingent upon compliance with All provisions of the Code and any special stipulations and conditions of the building permit. The expressed intent of the code is to insure public safety, health and welfare insofar as they are affected by building construction through structural strength, adequate egress facilities, sanitary equipment, light, ventilation and fire safety, and in general, to secure safety to life and property from all hazard incident to the design, erection or use and occupancy of buildings and structures. In reviewing the reports and data submitted to this office concerning the Technicon project, various discrepencies and omiss- ions have been brought to light, which in the long term could effect the structural integrity of the building. On, June 7, 1977, a letter was sent to Mr. Joseph Morelli, of Engineers, Inc., outlining the special stipulations of the building permit. The conditions germaine to this issue are as follows: 1. Submit to our office for approval a set of sprinkler plans, prior to construction of the sprinkler system. 703 — 662-4541 Mr. Salvatore rlazzucco June 8, 1978 Page Two 2. Submit to our office on a monthly basis, construct- ion progress reports, including test data, design changes, etc. 3. File with our office at the conclusion of the job a verified report from a licensed Professional Engineer that the structure has been erected in accordance with the approved plans and as erected complies in all respects with the Code and other laws governing ui ding construction. These special conditions are binding on the applicant of record, Engineers, I-nc. Mr. A. A. LaFountain, Project Manager, for Engineers, Inc., initially provided monthly progress reports and some test data to this office, but as time elapsed the frequency of this information became sporadic. Mr. Jack Dorian, Project Super- intendent, for Engineers, Inc., was notified of this problem and advised that the amount of supportive data pertinent to the Quality Control aspects of the job, i.e., concrete reports, structural steel, etc., would have to be substantially increased in order to determine ultimate compliance. Mr. Dorian assured our office this oversite would be quickly corrected to our satisfaction. Unfortunately the problems continued and in fact increased. In periodic progress inspections conducted by this department the following problems were noted and brought to the Project Superintendent's attention: Example 1. Test cylinders were being made by construction personnel, using improper methods. 2. Test cylinders were being improperly handled, stored and tested. 3. Inadequate storage facilities were available on the project site. 4. Test reports did not have the minimum test infor- mation required by the project specifications Section 3A.19 (see attached copy of project specifications). 5. Routine slump C-143 were not specifications test in accordance with A.S.T.M. being performed as required by and the Code. On May 9, 1978, a meeting was held at the Frederick County Mr. Salvatore Mazzucco June 8, 1978 Page Three Inspections Department attended by, among others, Mr. Charles Ayers, of Engineers, Inc. The question of. Quality Control, lack of progress reports, sufficient test data etc. was discussed and again quick correction promised. On or about May 19, 1973 Mr. Ayers submitted to this office a series of reports detailing soils, concrete and steel bolting test procedures, the detailed examination of these re- ports revealed the following discrepancies: 1. Soil testing and field density testing reports that exceed 100% (see attached background data). 2. Inadequate concrete test data showing cylinders received and tested @ thirty (30) days of age, recording less than 3000 psi. This prompted a detailed study of the project spec- ifications to determine what specific information was missing and how this information relates to the structural integrity of the building intoto. The results of this study was presented at the meeting of June 6th involving Frederick County, Engineers, Inc., A.T.E.C. and Technicon personnel. The specific areas of concern to this office are as follows: 1. Sufficient soils data, i.e., proctor curves, work- sheets, etc., to substantiate the ability of the subgrade to withstand the loads placed upon it. (Section 108.5 of the Virginia Uniform State- wide Building Code). 2. Welders certification as to qualification have not been submitted to this office as required in Section 5A-07 of the project specifications and 826.5 of the Code. 3. All welds shall be subject to the approval of a testing laboratory (Section 5A-07) 4. Certification by a Professional Engineer, duly licensed in the State of Virginia, that all joist members and connections will support the design loads. 5. Submit to the Frederick County Inspections Depart- ment a complete set of as -built drawings for the above referenced project. Plans must conform to all the provisions of the Virginia Uniform State- wide Building Code. 2. Final plumbing inspection approval performed by the Frederick County Department of Inspections. 3. Ayers: In reviewing the laboratory soils testing and field density testing reports for the above referenced project, a number of discrepancies are readily evident, raising serious doubts as to the overall validity of the test reports. ATEC Associates, Inc., in their cover letter to Engineers, Inc. stated: Field density test were performed, as required, on the exposed subgrade as required. Test results were expressed as a percentage of the appropriate modified proctor maximum dry density. The specified compaction is 95% of the modified proctor maximum dry density. All enclosed test results met or exceeded the specified compaction requirements. A detailed review of the tabulated field density results shows the percent compaction reported as 100.0+. Standard procedure would be to take a one point proctor test to determine the proper material curve for calculation of percent compaction. It is evident this ..:as riot done on the Technicon project. Since the area in which the test were taken represents the floor subgrade, there exists serious doubt as to whether the specification requirements have been met, and raises the possibility of slab failure at some point in time. STODDART Star Staff Writer MIDDLETOWN—Technicon, a Tarrytown, N.Y. based manufacturer, has presented a preliminary site plan for construction of a new industry south of here adjacent to the Western Union plant. Stephen Weddle, senior vice president and general consul for Technicon, said that a statement on the pending land purchase was drafted this morning, but has not been reviewed by Technicon president Guy Charlap. Weddle said that Technicon manufac- tures automated instruments which chemically analyze blood. AT THE Middletown facility, which, if built, would hire between 150 and 175 people, "biological material" used in the automated machine would be produced. Weddle said that hospitals use the Technicon product to perform a "20 test profile" on human blood. The profile, according to Weddle, checks levels of glucose, triglycerides, protein and cholesterol, among other substances. The product which would be made in Middletown, would be marketed world- wide, according to Weddle. YESTERDAY, a site plan was presented to Frederick County Planner Ron Berg for his review. It calls for a 100,000 square foot plant to be built on 18 acres next to Western Union. Western Union Realty Co. owns the land, and an executive there said the sale is pending. Eleven office cubicles are included in the blueprints. This is an indication that few management personnel will make the transfer from New York to Middletown. Berg said that an engineer for the design firm which is ironing out the local details of the purchase said that most of the employes would be hired locally. Technicon would be the third industry to locate in the industrial park south of Middletown, Stowe Woodward Industries opened a plant there last year. LAST WEEK, VDO, a West German instruments manufacturer, sought in- dustrial development bonds from the Frederick County Industrial Development Authority. A total of $2 million dollars worth of bonds were approved. VDO plans to construct a plant at Fort Collier Farms located north of Winchester on Rt. 11 for the manufacture of speedometers for autos and boats.
