THIS VACATION OF INTEREST AGREEMENT, made this day of
February, 1993, by INTERSTATE PROPERTIES LIMITED PARTNERSHIP, a
Virginia Limited Partnership, hereinafter referred to as
"Interstate", and THE COUNTY OF FREDERICK, VIRGINIA, hereinafter
referred to as "Frederick County".
WHEREAS, Interstate has pending before the governing body
of Frederick County a site plan, submitted by Cracker Barrel -
Old Country Store, Inc., with regard to Lot #4, Lot #4 being as
set forth in the Deed of Dedication and Declaration of Plat,
recorded in the Office of the Clerk of the Circuit Court of
Frederick County, Virginia in Deed Book 556, at Page 692 and as
modified by Deed of Minor Subdivision, recordedinthe aforesaid
Clerk's Office in Deed Book U� , at Page U %�j ; and,
WHEREAS, pursuant to Section 15.1-480.1 of the Code of
Virginia, 1950, as amended, Interstate desires that the pending
site plan submitted by Cracker Barrel - Old Country Store, Inc.
for Parcel #4 be approved and as a condition of approval,
Interstate agrees to vacate all rights of passage, easements for
drainage and easements for public utilities in accord with
Section 15.1-480.1 of the Code of Virginia, 1950 as amended,
relating to Parcel #4; and,
same.
WHEREAS, Frederick County requires the vacation of the
NOW THEREFORE, Interstate declares all such interest,,
previously granted, including public rights of passage,
easements for drainage and easements for public utilities,
vacated with regard to Parcel #4, and to Parcel #4B (which
formerly was Parcel #4 and a part of Dominion Avenue as shown on
the original Deed of Dedication) as shown on that certain
Boundary Plat of Interstate Properties Limited Partnership by

Scot W. Marsh, Land Surveyor, a copy of which is attached hereto
and made a part hereof, the vacation specifically relating to
Parcel #4 and Parcel #4B as set forth thereon.
Frederick County, by its authorized agent, joins in this
instrument to evidence its consent to the vacation noted herein.
Interstate and Frederick County shall cause this instrument
to be recorded in the Office of the Clerk of the Circuit Court
of Frederick County, Virginia, which instrument, upon
recordation, shall operate to divest all public rights in Parcel
#4 and Parcel #4B as above noted and to reinvest title in such
interest to Interstate.

On this date, February 5, 1993, the Frederick County Department of Planning and
Development administratively approved site plan #003-93 for The Cracker Barrel Old
Country Store.
This plan calls for the construction of a 9748 square foot restaurant/country store with a
paved parking area of 195 parking spaces, a 281 square foot sign with a height of 95 feet (a
variance was obtained for the signs height and square footage), two 91 square foot building
signs, both interior and perimeter landscaping of the parking lot, and a complete stormwater
management and erosion and sediment control plan.

This letter is in reference to my review of the Cracker Barrel site plan. The overall concept
of this plan is fine. However, I will request that some minor revisions be made. I offer the
followi g comments:
1. The site plan needs to reflect the changes required by the City of Winchester Public
Works Department (see your copy of the letter from Jesse Moffett addressed to Tim
Youmans).
2. The site plan needs to reflect the comments made by Doug Kiracofe, Frederick
County Fire Marshal, regarding the requirement for two fire hydrants within 300 feet
of the restaurant, with one of those being 50 feet of the siamese connection, and the
requirement that fire lanes be indicated along with fire lane signage.
3. The Zoning Ordinance requires a 12 foot wide by 45 feet long loading space.
Although you show a loading pad, an appropriate loading space should be shown on
the plan.
4. Zoning Ordinance requires that a three foot high evergreen hedge, fence, berm
or wall be provided as necessary to prevent headlights from shining on adjoining
properties. The site plan at present does not show this hedge along the eastern
perimeter of the property where it abuts the Biggs property and Shenandoah
Professional Credit Association property. This department will require that the
hedge continue along this portion of the property.
5. A temporary construction entrance should be shown on the erosion and sediment
control plan per comments made by Ed Strawsnyder, County Engineer.

We have reviewed the referenced site plan for penetration of FAR Part 77 surfaces by a
proposed sign. Based on the information we received, the elevation of the sign will be
approximately 825 to 835 and the sign will be located at least 4000' from the Runway 14
threshold. At these elevations and distances the sign does not represent a penetration to a 34:1
slope. Winchester's ALP currently shows Runway 14 as being a future non -precision runway
with a 34:1 approach slope.
If the criteria *of a 50:1 approach slope is applied to Runway 14, then the sign may be a
penetration of FAR Part 77 surfaces. The site plan is not detailed enough to determine this
penetration exactly, but the penetration could be as much as 10.
FAA regulations require that the project developer submit a 7460 Notice of Proposed
Construction or Alteration Form for any construction that will penetrate the 50 to 1 plane within
a horizontal distance of 10,000 from the nearest point of the nearest runway. This requirement
should be forwarded to the project developer.

On Sheet UP-1, it indicates that a domestic meter will be located
near the building; this is not acceptable. The location of the
meter must be in the vicinity of the 1 1/2" irrigation meter. The
domestic service line must be separate from the fire line entering
the Cracker Barrel building. In addition, the fire hydrant shown
should be removed from the drainage easement. My recommendation
would be to place it in the grass area along the entrance road. I
have marked this in on Sheet UP-1A.
Regarding the water service and the fire hydrant installation, I
have included copies of the standard detail for a 2" water meter
and fire hydrant installation. Also of concern is the sewer
connection and its entry to the existing manhole. Because of the
drop condition from 718 to 714 it will be necessary to provide a
drop connection at this manhole or else bring this connection in
above the bench line and redo the channel area. There should also
be a detail showing exactly how it is planned to make connection to
the manhole. We would like to see a profile, especially in the
area of the conflicts or pipe crossings as indicated on UP-1 and
UP-1A. The 6" fire line should note that a tapping sleeve and
valve is to be used to make the connection. We also recommend a
tapping sleeve and valve for the connection of the new fire
hydrant. The fire line will require an installation of a double
check valve assembly with a side saddle detector meter. This
installation can be exterior or interior to the building.
Regarding fees associated with this project, there will be
Availability Fees imposed on both the 2" domestic water service and
the 1 1/2" irrigation meter. The charges for the 2" domestic
service will be $8,000 for water and $8,000 for sewer and $6,000
for the 1 1/2" water only irrigation meter.
In closing, since no lines will be owned by the City of Winchester,
a Utility Service Agreement will not be necessary on this project.

The boundary plat of Parcel 4 of Interstate Propertir
copy of which I enclose, has been displayed to me and I wi:

subdivision of the property in Dominion square, various
streets were dedicated preparatory to being accepted anca t
