DEED OF TRANSFER
THIS DEED OF TRANSFER is made as of ` - , by and
between DAVID B. HOLLIDAY and KATHY G. HOLLIDAY, husbana and wife, (to be indexed
as "Grantors"), and SHAWNEE VILLAGE, L.C., a Virginia limited liability company, (to be

WITNESSETH:
That for and in consideration of the sum of ten dollars, cash in hand paid, and other good and
valuable consideration, the receipt of which is hereby acknowledged, the Grantors do hereby
quitclaim, release, and convey and transfer to the Grantee, all right, title, and interest of the Grantors
in 20 residential development rights (the "Severed Development Rights"), which Grantors acquired
pursuant to that certain Deed of Severance by and between DAVID B. HOLLIDAY and KATHY

G. HOLLIDAY, as Grantors, and the COUNTY OF FREDERICK, VIRGINIA, as Grantee, and
recorded in the Clerk's Office of the County of Frederick at instrument number 140001411.
Grantors hereby transfer the Severed Development Rights unto Grantee, and the Severed
Development Rights shall hereafter be affixed to the following described property located in the

Parcel One (Property Identification Number 75-A-86): All that certain tract or parcel of
land in the Shawnee Magisterial District, Frederick County, Virginia, containing 11.345
acres, fronting on Virginia Route 642, and being more particularly described by that certain
plat and survey by Lee A. Ebert, L.S. dated June 17, 1976 of record in the Clerk's Office of
the Circuit Court of Frederick County in Deed Book 553 at page 288; AND BEING
designated as Parcel livo of the land conveyed to Shawnee Village, L. C., by Deed dated
November 10, 2001 from David B. Holliday, of record in the aforesaid Clerk's Office by
instrument number 010017570.
