Patrick Lee, Esq. _ McGuireWoods LLP ` 1750 Tysons Blvd., Suite 1800 McLean, Virginia 22102 Frederick County TMP 87-A-102 The existence of title insurance is unknown EXEMPT FROM RECORDATION TAXES UNDER SECTIONS 58.1-811(A)(3), 58.1-811(C)(5) and 58.1-811(H) OF THE CODE OF VIRGINIA (1950) $28,000.00 CERTIFICATE OF TAKE This Certificate is filed pursuant to the authorization contained in Sections 15.2-5114, 25.1-300 et seq. of the Code of Virginia and is to certify that (i) $28,000.00, which sum has been paid into the Circuit Court for the County of Frederick, Virginia, is estimated by the FREDERICK COUNTY SANITATION AUTHORITY D/B/A FREDERICK WATER, a body politic and corporate created pursuant to the Virginia Water and Waste Authorities Act (the "Authority") ("Grantee" for indexing purposes), to be the fair value of the fee simple interest in land hereinafter described and damages to the remainder, if any, owned by MREC SHENANDOAH VA, LLC, a Virginia limited liability company (the "Property Owner") ("Grantor" for indexing purposes), which fee simple interest the Authority has directed to be acquired to complete the Lake Frederick Water Tank Project (the "Project"); (ii) such Project and the fee simple interest in the property are a public necessity in order to provide adequate water supply to the Lake Frederick community in order to (a) provide redundancy of service in the event of an interruption to the 7.5 mile water main linking the Diehl Water Treatment Plant and Lake Frederick, (b) adequately serve the growing needs of the area of the County of Frederick within Lake Frederick, and (c) improve infrastructure conditions in the Lake Frederick Area by ensuring that adequate fire flows and pressures are provided to meet existing and future C demands; and (iii) such Project and the fee simple interest in the property will be put to public — Cr use for the continued provision of potable water to the residents and businesses of Frederick County, Virginia and for all other purposes incidental thereto. Pursuant to this exercise of the Authority's power of eminent domain, the Authority hereby acquires title to, enters upon and takes possession of the following fee simple interest in the land of Property Owner situated in the County of Frederick and being a portion of the same property devised to Property Owner by deeds recorded in the Clerk's Office of the Circuit Court of the County of Frederick in Instrument Number 130010885: Fee Simple Property Interest All that certain tract or parcel of land, with improvements thereon and appurtenances thereto, situated in Frederick County, Virginia, on the south side of Fairfax Pike, containing approximately 4.3655 acres, more or less, and shown as Parcel 102A on the plat entitled "Final Plat MREC SHENANDOAH VA LLC", prepared by Price Land Surveying, dated June 27, 2018 (the "Plat"), a copy of which is attached hereto (the "Property"). Reference is made to the Plat for the exact location and dimension of the Property.
