INC TR STEE, a Virginia corporation, hereinafter referred to as the "Deed Trustee", BANK OF AMRICA. N A a National Banking Association, hereinafter referred to as the "Lender", and THE COUNTY OF FREDERICK. VIRGINIA, hereinafter referred to as the "County". RECITALS: A. The Owner is vested with fee simple title to that certain tract or parcel of land, together with all improvements thereon and all right, rights of way and appurtenances thereinto belonging, lying and being situate on Brooke Road in Stonewall Magisterial District, Frederick County, Virginia, containing 31.68 acres, more or less, designated as "Winchester Industrial Properties, LLC TM 54((A)) 36T Lot 27A-2 31.68 Ac + Zoned; M-1" on that certain plat titled "Plat Showing Dedicated Right -Of -Way On the Property Of Winchester industrial Properties, LLC TM 54((A)) -36T Lot 27A-2 Fort Collier Industrial Park" dated March 26, 2008, drawn by David F. Spriggs, L.S., which plat is of record in the Clerk's Office of the Circuit Court of Frederick County, Virginia as Instrument No. 080008704; and being a portion of the lands acquired by the Owner by that certain Deed dated December 22, 2007, of record in the aforesaid Clerk's Office as Instrument No. 070000137 (the "Parent Tract'). TAX MAP NO. 5&A -36T (Parent Tract) B. The Owner seeks to subdivide the Parent Tract into two parcels, designated as "Lot 27A -2A 21.1732 Ac." ("Parcel 2A') and "Lot 27A-213 10.5090 Ac." ("Parcel 2B') on that certain plat titled "Subdivision of Lot 27A-2, Fort Collier Industrial Park" dated September 24, 2018, drawn by Michael M. Artz, L.S., a copy of which is attached hereto and incorporated herein by reference as if set curt in full (the "Subdivision Plat'). Mickael L Bryao C. Braddock St. Wmcbesuer, VA County, as evidenced by its execution of the attached Subdivision Plat. a R a D. The Owner intends to create and impress that certain variable width ingress/egress easement and that certain variable width drainage easement over a portion of Parcel 2A and Parcel 2B, designated as "Variable Width Ingress/Egress & Drainage Easement hereby created" on the attached Subdivision Plat (the "ingress/Egress Easement" and the "Drainage Easement"), as more fully set forth hereinafter. E. The Parent Tract is subject to the lien of that certain Deed of Trust, Assignment of Rents, Security Agreement and Fixtures Filing dated June 29, 2018, of record in the aforesaid Clerk's Office as Instrument No. 180006333, given to secure the Lender the maximum aggregate principal amount of $1,633,807.00 (the "Deed of Trust'). PRLAP, Inc. is the Deed of Trust Trustee under the terms of the Deed of Trust NOW, TAF.RF.FOR , WITNESSETH: That for and in consideration of the premises conveyed, and other good and valuable considered deemed adequate at law, the receipt and sufficiency of which is hereby acknowledged, the parties do agree as follows: 1.Recitals: The Recitals are incorporated herein and made a material part hereof as if set out in full. 2. Subdivision of Parent Tract: The Owner hereby subdivides the Parent Tract in order to create Parcel 2A, containing 21.1732 acres, more or less, and Parcel 2B, containing 10.5090 acres, more or less, as more particularly described on the attached Subdivision Plat. The subdivision of land as shown on the attached Subdivision Plat so as to create Parcel 2A and Parcel 2B is with the free consent and in accordancewith the desires of the undersigned Owner, and has been approved by the County as evidenced by its execution of the Subdivision Plat. Kneme a. The Owner hereby creates and impresses the Ingress/Egress Easement over a portion of Parcel 2A and Parcel 2B. The Ingress/Egress Easement shall provide public access from Brooke Road (VA. RTE. 1328) to Park Center Drive (VA. RTE. 1322). The Michael L. Bryan Ingress/Egress Easement shall be a non-exclusive, VSB N5737 perpetual,appurtenant And permanent 116 & BrmMock St. easement or right of wa Winchester, vwy running with the title to Parcel 2A and Parcel 2B. CD The Owner hereby creates and impresses the Drainage Easement over a portion of Parcel 2A and Parcel 213. The Drainage Easement shall be a perpetual, appurtenant and permanent easement and shall nm with the title to Parcel 2A and Parcel 2B. Lender's Consent: (a) Lender consents to the subdivision of the Parent Tract into Parcel 2A and Parcel 2B asset forth on the attached Subdivision plat. (b) The Deed of Trust Trustee, at the direction of the Lender, joins in the execution of this instrument to subordinate the lien of the Deed of Trust to the Ingress/Egress Easement and the Drainage Easement created and impressed upon a portion of parcel 2A and Parcel 2B, as st forth on the attached Subdivision Plat.
