Dear Mr. Lawrence:
This letter is being sent to confirm the items of discussion in the meeting at our facility on Monday, August
26.
We are embarrassed that you found it necessary to take action to get our site in compliance. Your
inspection was done just two days after our 31 -day Alaska tour departed and I drove that tour. Therefore
your `phone calls and your letter sat on my desk until I returned on August 21". Plans had been made prior
to my departure to get the exterior of our complex completed, i.e. tires and other accumulated items
removed, calls had been made and the vehicles belonging to others were to be out of here before we
returned, inquiries had been made about renting a grader to complete the landscaping, and some additional
shrubbery and plants were on the agenda. You beat us to the draw.
Please accept this as notice that we have every intention of making this place one you will be proud to have
located in Frederick County. Not because of any regulations, but simply because we care and have a
reputation to uphold. We take pride in our equipment, our service and our property. Had circumstances
this past year been anything other than they were, everything but the paving would have been completed.
Since we are a small, family -operated company, we do much of the work ourselves and the business of
keeping bills paid had to be a priority.
Within the next month every effort will be made to complete our outside work, with the exception of the
paving, of course, and we will notify you to "check us out" as soon as we have finished.

This letter is intended for use by Shenandoah Personal Communications Company as evidence of
its status as an affiliate of Sprint PCS pursuant to the terms of a long-term agreement between American
PCS, L.P./PHILLIECO.L.P. ("Sprint PCS) and Shenandoah Personal Communications Company (the
"Affiliation Agreement").
Sprint PCS is licensed by the Federal Communications Commission to provide PCS services in
the Basic Trading Areas listed on Attachment A (the "Service Area") on the associated frequencies.
Pursuant to the Affiliation Agreement, Affiliate is exclusively authorized by Sprint PCS, under Sprint PCS
direction and control, to construct, operate and manage a PCS network in the Service Area using the Sprint
and Sprint PCS brands for the term of the Affiliation Agreement. Sprint PCS and Affiliate have a mutual
obligation to affiliate their networks for the term of the Affiliation Agreement. However, Affiliate is not
authorized to execute any agreements, instruments or other documents on behalf of Sprint PCS or any of its
related parties.
As an affiliate of Sprint PCS, Affiliate may be able to obtain volume -based pricing discounts from
certain vendors to Sprint PCS. However pursuant to the Affiliation Agreement, Affiliate may only obtain
these discounts for items to be used in the Service Area.

In conjunction with the Conditional Use Permit (CUP) application submitted by Shenandoah Personal
Communications, Inc. (Shentel) for their 077 Imboden Drive site, please accept this letter as a checklist
for the specific requirements detailed in sec. 165-48.6 of the Frederick County Zoning Ordinance. The
information to follow, and the packet of exhibits attached to this letter, should effectively address each
requirement. If any information is either lacking or not completed to your satisfaction, please do not
hesitate to contact me at 540-798-3551.
Specific Requirements
A description of compliance with sec. 965-48.6 (A.) (Information Required)
(9) A Map depicting the search area: Please note tab 3. of the application booklet which identifies the
search area as defined by Shentel's radio-frequency engineering department.
(2) Identification of all structures in search area: Please note tab 4. of the application materials
identifying all existing structures in or around the defined search area as well as the reason(s) given
why these structures were eliminated.
(3) FCC Compliance: Please note tab 5. of the application materials which contains a copy of Shentel's
FCC license for this particular area.
(4) LandownerAffidavir Please note tab 6. of the application materials for the affidavit signed by a Mr.
Schrock of Schrock Tours Property.

Dear Patrick:
Various candidates have been identified for this site and the search area has been
relocated a number of times. The current search area is within 0.5 miles of the
intersection of Berryville Avenue and Interstate 81. The proposed candidate is to provide
coverage in and around this area and also serve as a capacity site to assist in the area.
Previously identified sites include the co -location possibility with WINC AM and the
Shoney's sign located along Berryville Ave. Both sites proved to be unsuccessful. When
contacted, the AM station indicated that they were not interested in leasing space for
wireless carriers. The Shoney's sign turned out to be unsuccessful because Shoney's
prime lease of the property comes to termination within a year thus potentially
eliminating the sign and the facility. Listed below I will give a brief summary of the
currently identified properties.
Candidate F: Schrock Tours Property, 220 Imboden Drive, Winchester, VA
This candidate is a raw land site located behind Schrock Tours at the end of Imboden
Drive, Winchester, VA. The proposed site is to the rear of the property that fronts 1-81.
The site is flat and would require very little grading for construction and would provide
excellent access. In the general vicinity is a trailer park to the North and numerous
apartment complexes to the West and South. Additionally to the West and South are
various business and commercial structures. Across I-81 to the East is another very large
modular home park.
This proposed site is at the approximate outer edge of the search ring. The property is
zoned M-1, Light Commercial. A telecommunications tower is a permitted use in this
area and would require a conditional use permit. The location of this site meets or
exceeds all the requirements of the Frederick County Zoning Ordinance regarding
setbacks. See attached tax map, double circle 7 parcel 7A.
Candidate G: Development Company of America, Parcel for Sale
Candidate G is a raw land site that is located on a parcel of commercial property located
at the end of Getty Lane to the North of the Winchester Mall. The site is located
approximately 1000 feet beyond the end of the parking jot. The portion of the parcel
identified is about 3-4 acres and is pie shaped.
The point of contact with the management group does not give a positive feeling towards
the remainder of the group agreeing to sell a portion of the property. He has not provided
a positive response regarding lease of the property. See attached tax map, double circle
A parcel 99F.
Candidate U: Old Shell Sign Structure owned by Emmart Oil
Candidate H is the old Shell Sign structure. This structure currently has the sign frame
and 2 carriers. It is not know if this site would pass a structural to allow for the co -
location of additional antenna. And Emmart Oil could not provide any information
regarding any structural capabilities. We would like to refrain from using this facility if
possible and adding to the mess that is currently present.
Summary:
Additional contacts were made regarding other properties in the industrial area. All of
these sites were also for raw land. No other significantiall structures were located in the
search area or close proximity. The raw land sites in the industrial area are surrounded by
single-family housing or by apartment complexes. I felt that staying at the outer parcels
of the industrial area would be the least obtrusive and would provide the best location to
cover the targeted search area.
A search of the area has provided limited co -location opportunities. No other tall
structures were located in the area that would support an antenna platform other than
those that had been previously identified. Attempts have been made to meet or exceed the
setback requirements of the Frederick County Zoning Ordinance.
The tax map that I have referred to in the above paragraphs is attached your review. I
have various site pictures that I can forward to you via E-mail at your request. .
Representatives from Shenandoah Personal Communications (Shentel) would like to
meet with your office to determine a sense of support/non-support for this proposed
